CLAN:331001511Ri4iugN:17-HM-XC-000151.PARTIESThUSAGREEMENTisenteredintobyandbetweenTOWNOFESUSPARK(hereinaftercalledthe“LocalAgency”).andtheSTATEOFCOLORADOactingbyandthroughtheDepanmeniofTransportation(hereinaftercalledthe“State”or“CDOfl.2.EFFECTIVEDAnAYDNOTICEOFNOMJABflJTYThisAgreementshallnotbeeffectiveorenforceableuntilitisapprovedandsignedbytheColoradoStateControllerortheirdesignee(hereinaftercalledthe“EffectiveDate”).TheStateshallnotbeliabletopayorreimbursetheLocalAgencyforanyperformancehereunder.including,butnotlimitedtocostsorexpensesincurred,orbeboundbyanyprovisionhereofpriortotheEffectiveDate.3.RECITAlSA.Authority,Appropriation,adApprovalAuthorityexistsinthelawandfundshavebeenbudgeted.appropriatedandotherwisemadeavailableandasufficientimenctunberedbalancethereofremainsavailableforpaynniandtherequiredapproval.clearanceandcoordinationhavebeenaccomplishedfimandwithappropriateagencies.IFederalAuthorityPursuanttoTideI.SubtitleA.Seciion1108ofthe“TransportationEquityMtforthe21stCeonny”of1998CrEA-21)and/orthe“Safe.Accountable,flexible.EfficientTransportationEquityAct:ALegacyfrrUsers”(SAFETEA-LU)of2005andtoapplicableprovisionsofTide23oftheUnitedStatesCodeandimplementingregulationsatTide23oftheCodeofFederalRegulations,asmaybeamended.(collectivelyrefenedtohereinafterasthe“FederalProvisions’),certainfederalfluidshavebeenandareexpectedtocontinuetobeallocatedfortransportationprojectsrequestedbytheLocalAgencyandeligibleundertheSurfaceTransportationInmvenntProgramthathasbeenproposedbytheStateandapprovedbytheFederalHighwayMminisuatiou(‘ThWA”).ILStateAuthorityPursuanttoCR8§43-1-223andtoapplicableportionsoftheFederalProvisions,theStateisresponsiblefirthegeneraladministrationandsupervisionofperformanceofprojectsintheProgram.includingtheadnñnisntionofkderalfluidsforaProgramprojectperformedbyaLocalAgencyunderacontractwiththeState.ThisAgreementisexecutedundertheauthorityofCR8§29-l-2O3.43-1-110:43-1-116.43-2-lOl(4)(c)and43-2-104.5.B.ConsiderationThePartiesacknowledgethatthemutualpromisesandcovenantscontainedhereinandothergoodandvaluableconsiderationansufficientandadequatetosqpoflthisAgreement.C.PurposeThepurposeofthisAgreementistodisburseFederalfluidstotheLocalAgencypursuanttoCDOT’sStewardshipAgreementwiththeFUWAD.RefereaenAMreferencesinthisAgreementtosections(wbdhaspelledoutorwingthe§symbol),subsections.exhibitsorotherattachments.anreferencestosections.subsections,exhibitsorotherattachmentscontainedhereinorincorporatedasaparthereotunlessotherwisenoted.4.DEFThTIONSThefollowingtermsasusedhereinshallbeconstruedandinterpretedasfollows:A.AgreementorContract“Agreement”or“Contact”meansthisAgreement,itstermsandconditions,attachedexhibits,documentsincorporatedbyreferenceunderthetermsofthisAgreementandanyfithiremodifyingagreements,exhibits,attachmentsorreferencesthatareincorporatedpursuanttoColoradoStateFiscalRulesandPolicies.B.AgreementFunds“AgreementFunds”meansfluidspayablebytheStatetoLocalAgencypursuanttothisAgreement.C.Budget“Budget”meansthebudgetfortheWorkdescribedinExhibitC.D.ConsultantandContractor“Consultant”meansaprofessionalengineerordesignerhiredbyLocalAgencytodesigntheWorkand“Contractor”meansthegeneralconstructioncontractorhiredbyLocalAgencytoconstructtheWork.00floan,tBaildnGa,mtaiRn3131/2016Page2of2l 00OlAi’:331001511Rowiog17-HA4XC-00015State’spublication.StandardSpecificationsforRoadandBridgeConstruction,inconnectionwithdilswork.(ci)TheState.initssolediscretion.mayreviewconstructionplan&specialprovisionsandestimatesandmayrequiretheLocalAgencytomakesuchchangesthereinastheStaledeterminesnecessarytocomplywithStaleandfl{WArequirements.ilLConstructionlitheWorkincludesconstruction.theLocalAgencyshallperformtheconstructioninaccordancewiththeapproveddesignplansand/oradministertheconstructioninaccordancewithExhibitE.SuchadministrationshallincludeWorkinspectionandtesting:approvingsourcesofmaterials:performingrequiredplantandshopinspections:documentationofcontractpayments.testingandinspectionactivities:preparingandapprovingpayestimates:preparing,approvingandsecuringthefundingforcontractmodificationordersandminorcontractrevisions:processingConstructionContractorclaims:constructionsupenisiottandmeetingtheQualityControlrequhertsoftheFHWMCDOrStewardshipAgreement,asdescribedintheLocalAgencyContractAdministrationChecklist.a)iftheLocalAgencyispcfonningtheWork,theStatemay.afierprovidingwrittennoticeofthereasonforthesuspensiontotheLocalAgency,suspendtheWork,whollyorinpart.duetothefullureoftheLocalAgencyoritsContractortocorrectconditionswhichareunsafeforworkersorforsuchperiodsastheStalemaydeannecessaryduetounsuitableweather,orforconditionsconsideredunsuitablefortheprosealtionoftheWork,orforanyotherconditionorreasondeemedbytheStatetobeinthepublicinterest.b)TheLocalAgencyshallberesponsibleforthefollowing:(1)Appointingaqualifiedprofessionalengineer,licensedintheStateofColorado.astheLocalAgencyProjectEngineer(IAPE),toperformengineeringadministration.The[APEshalladministertheWorkinaccordancewiththisAgreement,therequirementsoftheconstructioncontractandapplicableStateprocethues.(2)FortheconstructionoftheWork,advertisingthecallfurbidsuponapprovalbytheStateandawardingtheconstructioncontract(s)tothelowresponsiblebidder(s).(a)Alladvertisingandbidawards,pursuanttothisagreement.bytheLocalAgencyshallcomplywithapplicablerequirenntsof23U.S.C.§112and23C.F.LPads633and635andC.LS.§24-92-101etseq.Thoserequlienrntsinclude,withoutlimitation,thattheLocalAgencyanditsContractorshallincorporateForm1273(ExhibitUinitsentiretyverbatimintoanysubcontract(s)forthoseservicesastermsandconditionstherefore.asrequiredby23C.F.R633.102(e).(b)TheLocalAgencymayacceptorrejecttheproposaloftheapparentlowbidderforWorkonwhichcompetitivebidshavebeenreceived.TheLocalAgencymustacceptorrejectsuchbidwithinthree(3)workingdaysafiertheyarepubliclyopened.(c)Aspadofacceptingbidawards,theLocalAgencyshallprovideadditionalfunds.subjecttotheiravailabilityandappropriation,necessarytocompletetheWorkifnoadditionalfederal-aidthudsareavailable.(3)Therequirementsofthis§6(D)(iliXcX2)alsoapplytoanyadvertisingandawardsmadebytheState.(4)IfallorpartoftheWodcistobeaccomplishedbytheLocalAgency’spersonnel(i.e.byforceaccount)ratherthanbyacompetitivebiddingprocess.theLocalAgencyshallperformsuchworkinaccordancewithpertinentStatespecificationsandrequirementsof23C.F.R635,SubpartB,ForceAccountConsnction.(a)SuchWorkwillnormallybebaseduponestimatedquantitiesandfirm‘mitpricesagreedtobetweentheLocalAgency,theStateandFHWAinadvanceoftheWork,asprovidedforin23C.F.R.635.204(c).SuchagreedunitpricesshallconstituteacommitmentastothevalueoftheWorktobeperformed.(b)AnalternativetotheprecedingsubsectionisthattheLocalAgencymayagreetoparticipateintheWorkbasedonactualcostsoflabor,equipmentrental,materialssuppliesandsupervisionnecessarytocompletetheWork.Whereactualcostsareused,eligibilityofcostitemsshallbeevaluatedforcompliancewith48C.F.R.Pad31.(c)iftheStateprovidesmatchingfundsunderthisAgreement,rentalratesforpubliclyownedequipmentshallbedeterminedinaccordancewiththeState’sStandardSpecificationsforRoadandBridgeConstruction§109.04.1ocianitBuilderGtna,ledPgc5of2lRrv.3/31/2016
