0RESOLUTIONNO.17-16ARESOLUTIONAPPROVINGTHENEGOTIATIONOFANINTERGOVERNMENTALAGREEMENTWITHTHEESTESVALLEYRECREATIONANDPARKDISTRICTFORTHEESTESVALLEYCOMMUNITYCENTERWHEREAS,onApril1,2014,theelectorsoftheTownofEstesParkpassedBallotIssue1AwhichprovidedforcollectionanddistributionbytheTownofsalestaxfortheconstructionoftheEstesValleyCommunityCenter(EVCC)includingfacilitiesfortheEstesParkSeniorCenter;andWHEREAS,onNovember3,2015,theEstesValleyRecreationandParkDistrict(RecDistrict),BallotIssues4C&4DwereapprovedbytheelectorsoftheRecDistrict.BallotIssue4CprovidedthattheRecDistrictcouldincurupto$19.83millionofdebttoconstruct,improveandequiptheEVCC;andBallotIssue4Dprovidedforamilllevyincreaseofupto$200,000foraten-yearperiodcommencingin2018foroperatingandmaintainingtheEVCC;andWHEREAS,withthedesignoftheEVCCwellunderway,theTownandtheRecDistrictarestrivingtoestablishasolidfoundationfortheconstructionandoperationoftheEVCC;andWHEREAS,integrationofenhancedseniorservicesintotheEVCCwastheprimaryrecommendationoftheTown’s2013SeniorCenterMasterPlan,receivingstrongsupportthroughthepublicprocess;andWHEREAS,followingdiscussionsamongTownandRecDistrictStaffandrepresentativesoftheirrespectiveBoards,theTownandtheRecDistrictareconsideringthetransferofthemanagementofseniorservicesfromtheTowntotheRecDistrictupontheopeningoftheEVCC;andWHEREAS,asowneroftheEVCC,themanagementofseniorservicesbytheRecDistrictwouldallowforintegration,streamliningandmanagementofseniorservicesbyoneentity;andWHEREAS,throughthisprocess,theTownwillremaincommittedtoprovidingasolidfoundationforthecontinuationofseniorservicesforEstesValleyresidents;andWHEREAS,bytheadoptionofthisResolution,theTrusteesoftheTownofEstesParkherebydirectstheTownStafftocontinuetheprocessofnegotiatinganIntergovernmentalAgreementwiththeRecDistrictbaseduponthetermsandconditionssetforthinthisResolution.NOWTHEREFORE,BEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK: 001.ThefollowingisalistofthetermsandconditionstobeincludedintheIntergovernmentalAgreementbetweentheTownandtheRecDistricttodisburseTownsalestaxrevenuestotheRecDistrictforconstructionoftheEVCCandthetransferofseniorservicesfromtheTowntotheRecDistrictuponcompletionoftheEVCCasfollows:a.TheTownwilltransferallsalestaxrevenuesdistributedtotheTownpursuanttoBallotIssue1A(3)totheRecDistrict.ThetransferredfundswillbeusedbytheRecDistrictforconstructionoftheEVCC.b.TheRecDistrictwillassumeresponsibilityforprovisionofseniorservicesuponcompletionoftheEVCC.TheRecDistrictwillcommittoprovidinggenerallythesametypeofseniorservicesthattheTowncurrentlyprovideswiththeexceptionofmealservicesandsupportforViaMobilityServices.c.TheTownandtheRecDistrictwillenterintonegotiationsregardingthetransitionofexistingTownseniorservicesemployeestotheRecDistrict.d.TheRecDistrictissolelyresponsibleforthedesignandconstructionoftheEVCC.TheTownwillnotrequireaminimumsquarefootageordesignforspacecommittedtoseniorservices.e.TheTownwillcooperatewiththeRecDistrictinthetransferofthe1AsalestaxrevenuestotheRecDistricttofacilitatetheRecDistrict’sfinancingoftheconstructionoftheEVCC,including,butnotlimitedtoprovidinginformationtoanyfinancialentitythatprovidesfinancingtotheRecDistrictforconstructionoftheEVCC.2.TownStaffisherebydirectedtoimmediatelybeginnegotiationsforanIntergovernmentalAgreementwiththeRecDistrictaddressingtheabovelistedmattersandallotherissuesneedingtobeaddressedtoprovideforthetransferofBallotIssue1A(3)salestaxrevenuetotheRecDistrictfortheconstructionoftheEVCCandthetransferofseniorservicesfromtheTowntotheRecDistrict.DatedthisI”dayof_________________2016.TOWNOFESTESPARK,COLORADOMayorATTEST:.NaOwyç5TownClerk
