BoardofTrustees—February10,2009—Page22.Bills.3.CommitteeMinutes:A.PublicWorks,January22,2009:1.Lots16-19,LakeViewTracts(LadyoftheMountainCatholicChurch)-DrainageandElectricalEasements.2.Lot3,StoneBridgeEstates—DrainageEasement.Itwasmovedandseconded(Levine/Miller)theConsentAgendabeapproved,anditpassedunanimously.2.ACTIONITEMS:1.RESOLUTION#03-09RE-APPROPRIATIONOF2008ENCUMBEREDFUNDSTO2009BUDGET&RESOLUTION#04-09-2009SUPPLEMENTALBUDGETRESOLUTION.CertainTowndepartmentshaveenteredintocontractsforgoodsand/orservicesthatwerenotfulfilledbyyear-endDecember31,2008.Inordertokeeponlyonebudgetyearopen,2008encumberedfundsarere-appropriatedintothecurrentbudgetyear.FinanceOfficerMcFarlandrequestedthatResolution#03-09beapproved,re-appropriatingapproximately$5.8milliontobecarriedforwardintothecurrentbudgetyear,andexplainedthatthereappropriationwouldhavenoneteffectonthefundbalances.Thebulkoftherolloversfor2008areduetothefollowingprojects/purchases:engineeringforthenewwatertreatmentplant,firetrucktobedeliveredin2009,watertreatmentplantconstructionandsubstationupgrades.Asupplementalbudgetappropriationfor2009wouldencumberfundstocompletethereconstructionofProspectAvenueandtheremodelofAdministrationforthenewPublicInformationOfficer.Specificvendorswerenotchosenbecauseoftimeconstraints;therefore,Resolution#04-09wouldappropriate$123,000fromtheunappropriatedGeneralFundsurplusfrom2008,morespecifically$94,000fromStreetsand$48,000fromBuildings.Itwasmovedandseconded(Levine/Ericson)thatResolution#03-09beadopted,anditpassedunanimously.Itwasmovedandseconded(Miller/Eisenlauer)thatResolution#04-09beadopted,anditpassedunanimously.2.4thQUARTERFINANCIALREPORT.FinanceOfficerMcFarlandreviewedthefourthquarterreport.TheGeneralFundindicatesrevenuesat97.2%oftherevisedbudgetwithDecembernumbersnotincluded;therefore,theestimatedrevenueswouldtotal110.5%ofbudget.Expendituresfinished95%ofbudgetwithanearly$500,000returnedtotheGeneralFundasunrealizedexpenditures.TheEnterpriseFundrevenuesareat74.6%ofbudget,whiletheutilitysalesareup103.4%.Thewaterloanwillnotbereported/realizedinthebudget;however,theloanwouldbecalledoutintheCAFR.TheTown’sinvestments(90%)areheldwithColoTrustandhavebeenguaranteedbybothMBIAandbytheFederalTreasuryDepartment.3.FIRESERVICESFEESTRUCTURE.TownAdministratorHalburntstatedastructurefireoccurredataNorthEndPropertyAssociation(NEPOA)member’spropertyin2008.Thememberdidnotpaytheoptionalfiresubscriptionfeein2008;andtherefore,abillof$12,563wassentforfirepersonnelresponseandequipmentusedattheincident.AmeetingwasheldwiththeNEPOArepresentativesthatasserta BoardofTrustees—February10,2009—Page3flawexistsintheTown’scalculationandchargeforpersonnelhours.In2008,theBoardapprovedtheoptionalfiresubscriptionfeeforcountypropertyownersandtheassociatedfeestructurethatwouldbechargedforanincidentifthesubscriptionfeewasnotpaid.Personnelchargesarecalculatedbydividingthepersonnelcostsdividedbythenumberofincidenthoursfromthepreviousyear:therefore,the2008personnelcostsare$96/hrand$113/hrin2009.DonWidrig/NEPOAmemberstatedthebilldetailedthecostforequipmentbasedontheColoradoStateForestServicefeescheduleandpersonnelcostasoutlinedbyAdministratorHalburnt.TheAssociationperceivesaninherentflawwiththecalculation:i.e.themoreincidentsthelowerthepersonnelcosts.Hestatedthiscalculationquestionsthefairnessandequalityofthefeestructure.BillVanHorn/NEPOAmemberstatedtherearefundamentalissueswiththecurrentfirefeestructureandsubscriptionfee.HequestionedwhetherthefundscollectedbytheTownwereworthdamagingtherelationshipbetweentheTownandcountyresidentsandthepossiblepassageoftheupcomingfiredistrict.HestatedtheNEPOAmemberwhosebarnburnedchosetopaythe$40Associationfeeinsteadofthesubscriptionfee.TheAssociationselfinsurancewasdevelopedaftertheTownapprovedthesubscriptionfee.SuzanneMiller/NEPOAmemberstatedtheAssociation’sfundisanassistancefundandnotaself-insurancefundtoaidmembersintheeventofanincident,upto$2,000.ThecapwasdeterminedbyinformationprovidedbyChiefDormanonthecostofastructurefire.ChiefDormanstatedtheestimateshediscussedwiththeNEPOAforastructurefirewas$10,000andaroom/contentfire$2,000.ThesefigureswereestimatesbasedontheColoradoStateForestServicescheduleforapparatuscostandusingthewildlandfirefighterhourlyrate.TheestimateswouldhavebeenhigherifthecurrentTown’sfeeschedulehadbeeninplace.DiscussionfollowedamongsttheBoard:theformulaisdifficulttodiscern:questionedwhythesubscriptionfeewasnotpaid:thesubscriptionfeeisafairpricetoprotectyourproperty:thefireservicesfeesshouldbereviewedafterthenextfiredistrictelection:andifthefeestructureisflawedthentheBoardshouldaddressitimmediately.MayorProTernLevineandTrusteeMilleragreedwiththesubscriptionfee:however,thepersonnelfeeappearstobeflawedandshouldbeaddressedtoestablishafairandequitablefee.TrusteeMillersuggestedtheBoardconsiderafixedhourlyrateorafixedfeepertypeofevent.MayorPinkhamsuggestedtheBoardconsidertheperceptionofthecurrentfeestructure.Afixedratewouldbemoreappropriate.Itwasmovedandseconded(Homeier/Blackhurst)the2010firefeeschedulewouldbereviewedlaterin2009withCIRSAtoprovideinputonthefeestructure,andthecurrentfeestructurewouldremainineffectaswellasallcurrentbillsforservice,anditpassedwithTrusteesLevineandMillervotingNo”.StaffwouldbringaproposedfeestructuretothePublicSafetyCommitteeforreview.4.TOWNLOGOUSEPOLICY.TheLocalMarketingDistrict(LMD)hasrequestedtheuseoftheTowntreelogoforfuturemarketingandadvertisingin2010andfortheirbusinessstationary.UsingthesamelogowouldreinforcethebrandingofthetownstartedbytheCVB.Itwasmovedandseconded(Miller/Levine)toapprove BoardofTrustees—February10,2009—Page4theuseoftheTown’streelogowithstrictguidelinesregardingcolor,size,etc.bytheLocalMarketingDistrictasoutlinedabove,anditpassedunanimously.5.ADOPTIONOF2009ORGANIZATIONALCHART.AdministratorHalburntpresentedtheBoardwiththreeoptions:1)DeputyTownAdministrator(DTA)underTownAdministratorwithcolorcodingtoillustratedepartmentsupervisoryresponsibility;2)DTAofftotherightwithresponsibledepartmentsunderneath;and3)SameasoptiontwowiththeadditionofaboxseparatefromtheorganizationthatincludesaffiliationswiththeVolunteerFireDept.,UrbanRenewalAuthority,HousingAuthorityandtheLocalMarketingDistrict.TrusteeEricsonstatedOption3displaystheorganizationandreportingrolesoftheTowndepartmentswithoutrelyingonacolorcharttodiscernresponsibility.Afterfurtherdiscussion,itwasmovedandseconded(BlackhursULevine)toapproveOption#1withtheinclusionoftheaffiliationbox,theadditionoftheVolunteerstotheFireDepartmentboxwithanasteriskandaddthePublicInformationOfficer,anditpassedwithTrusteeEricsonvoting“No”.6.TOWNADMINISTRATORREPORT.•TheTown’sGeneralFundwouldhaveafundbalanceof$3.4millionattheendof2009.•Mary’sLakeRoadbridgereplacementhasbeendelayedbecausetheCountyhashaddifficultyprocuringmaterials.Itisanticipatedthebridgewouldbeclosenextweek.WhereuponMayorPinkhamadjournedthemeetingat8:55p.m.WilliamC.Pinkham,MayorJackieWilliamson,TownClerk TownofEstesPark,LarimerCounty,Colorado,February10,2009MinutesofaJointStudySessionoftheTownofEstesParkBoardofTrusteesandtheEstesParkUrbanRenewalAuthorityCommissioners.MeetingheldinRooms202/203intheTownHallinsaidTownofEstesParkonthej0thdayofFebruary,2009.Board:MayorPinkham,TrusteesBlackhurst,Eisenlauer,Ericson,Homeier,Levine,andMillerCommission:ChairmanNewsom,CommissionersBlume,Halburnt,Little,Martinsen,White,andWilcocksAttending:MayorPinkham,TrusteesBlackhurst,Eisenlauer,Ericson,Homeier,Levine,andMiller;CommissionersBlume,Martinsen,White,andWilcocksAlsoPresent:TownAdministratorHalburnt,DeputyTownAdministratorRichardson,EPURAExecutiveDirectorSmith,DirectorZurn,DirectorPickering,ManagerWinslow,TownAttorneyWhite,EPURAAttorneyBenedefti,TownClerkWilliamson,andDeputyTownClerkDeatsAbsent:ChairmanNewsomandCommissionerLittleMayorPinkhamcalledthemeetingtoorderat5:00p.m.1.EPURAFUTUREPROJECTS.TheEstesParkUrbanRenewalAuthorityhasapproximately$1.3millioninitscashreserve.TownAdministratorHalburntinitiatedadiscussionrelatedtofutureEPURAprojectsforconsiderationandstatedthat,atthistime,justunder$300,000hasalreadybeenallocatedbyEPURA,leavingabalanceofapproximately$1millionavailabletocommittoprojectsand/orimprovements.DiscussionrevolvedaroundimprovementstoMoraineAvenue,BondPark,andtheStanleyParkFairgroundsallofwhichwereincludedaspotentialfutureprojectsforEPURAin“TheUrbanRenewalPlanfortheEstesPark21stCenturyUrbanRenewalProject”whichwasapprovedbytheTownBoardinJuneof2008.MoraineAvenue—MoraineAvenueStreetscapeImprovementstomatchthestreetscapealongElkhornAvenuewerediscussed.Thesizeoftheprojectwouldnecessitatethestreetscapebecompletedinphases,withcostsintheneighborhoodof$2million;exceedingEPURA’scurrentresources.PublicWorksDir.ZurninformedthegroupthattheColoradoDepartmentofTransportation(CDOT)hasplans,sometimeinthefuture,tochangethetrafficpatternsalongMoraineAvenuewhichwouldmostlikelyresultintheremovalofanystreetscapeimprovementsthatEPURAmightmakeinthemeantime.BondPark—ImprovementstoBondParkwillrequirethedevelopmentofaMasterPlanandsubsequentlycommunityinvolvementandgatheringpublicinputrelatedtotheplan.Thesestepswilltakesometimetocomplete.TheTownBoardhasauthorizedstafftoissueaRequestforProposal(RFP)foraMasterPlanforBondPark,butimplementationofimprovements,ifauthorized,willbeseveralyearsinthefuture.StanleyParkFairgrounds—Dir.PickeringpresentedabriefsummaryofpossibleopportunitiesforEPURAparticipationinimprovementstothefairgroundsbasedonaconceptplanfortherevitalizationofStanleyParkFairgroundsthatwasdevelopedin2004-2005.Theconceptplanincludestheproposedconstructionofmulti- BoardofTrusteeFebruary10,2009—Page2purposebarns,grandstands,ahockey/icearena,andaparkinglot.Estimatedcostsare:Multi-purposebarns-$4millionGrandstands-$835,000Hockey/IceArena-$1millionParkingLot-$800,000Drainageandundergroundutilityimprovementstothefairgroundshavebeencompleted;however,designplansforthebarns,grandstands,hockey/icearena,andparkinglotdonotcurrentlyexist.Dir.ZurnstatedthataparkinglotatthefairgroundscouldpotentiallybeutilizedasatransportationhubforatransitsystemandthatagranttostudyatransitsystemhasbeenawardedtotheTowninconjunctionwithRockyMountainNationalPark.Discussionfollowedandissummarized:EPURAprojectedpropertytaxincrementfinancing(TIF)isexpectedtobeapproximately$20,000in2009;chosenprojectshouldincreaselongtermsalestaxincrement;urbanrenewalauthorityhasabilitytobondforprojects;complicationswithCDOTandcostsprecludeMoraineAvenueprojectatthistime;BondParkprojectdoesnotincreaseTIF;theTownhas$2.2millionbudgetedforCapitalImprovementProjects(CIP);improvementstothefairgroundshavebeensuggestedformanyyearsanditistimetoproceed;improvedfairgroundswillattractvisitorstoEstesPark;chosenprojectshouldbeidentifiedasanEPURAproject;thecommunityissupportiveofimprovementsatStanleyPark;newgrandstandsmayprovidethebiggestbangforthebuck;andfairgroundimprovementswouldbeahighlyvisibleprojectforEPURA.Dir.Pickeringstatedthataninvestmentinthefairgroundswillbereturnedtothecommunitybyincreasedusageofthefacility,willprovidethebusinesscommunitywithasenseofconfidence,andallowthefairgroundstocontendwithacompetitivemarketplace.MayorPinkhamthankedtheboardsfortheircooperationandconversation.WhereuponMayorPinkhamadjournedthemeetingat6:30p.m.WilliamC.Pinkham,MayorCynthiaDeats,DeputyTownClerk RECORDOFPROCEEDINGSEstesValleyPlanningCommission2January20,20093.CONSENTAGENDAa.ApprovalofmeetingminutesdatedDecember16,2008.b.ACCESSORYDWELLINGUNITSRequesttocontinuethisitemtotheFebruaryPlanningCommissionmeetingduetotheabsenceofPlannerDaveShirkItwasmovedandseconded(Hull/Fraundorf)toAPPROVEtheconsentagenda,andthemotionPASSEDunanimouslywithoneabsent.4.PROPOSEDAMENDMENTSTOTHEESTESVALLEYDEVELOPMENTCODE(EVDC),BLOCK12—WILDLIFEHABITATPROTECTIONPlannerChilcottstatedthatshewouldliketofocusthediscussiontodayonproposedrevisionstoEVDC§7.8.Thissectionaddresseswhenawildlifehabitatimpactassessmentwouldberequired,whatwouldbecontainedintheassessment,andhowitwouldsubsequentlybereviewed.Aftertoday’sdiscussion,proposedcodechangesaswellasproposedsetbackrequirementswillbedraftedforpresentationatFebruary’sPlanningCommissionmeeting.Ahabitatassessmentwouldberequiredfordevelopmentplan,subdivisionplat,plannedunitdevelopment,specialreviewuses,andrezoningapplicationsonpropertythatcontainscriticalwildlifehabitat.PlannerChilcoffindicatedhabitatassessmentswillnotberequiredforconstructionofsingle-familyhomesbuiltonlotszonedsingle-familyresidential.Accordingtotheproposedcode,criticalstatuswouldapplytothefollowinghabitats:aquatic,wetlands,riparianvegetation,potentialconservationareasasdefinedbytheColoradoNaturalHeritageProgram,winterconcentrationareasofBigHornsheepasdefinedbytheColoradoDivisionofWildlife,raptornestsandaone-halfmilediameterbufferaroundthenest,andseverewinterrangeformuledeerandelk.Anotherpossibleadditionismigratorybirdhabitatassociatedwithriparianvegetationandopenwater.StaffisproposingthatawildlifehabitatmapbeadoptedintotheEVDC,ratherthanreferencingtheEDAWhabitatassessmentortheEDAWmapsintheEVDC.StaffisusingtheEDAWassessmenttoassistinformingcodelanguage.PlannerChilcottdisplayedthemostrecentversionofthecriticalhabitatmaps,whichareavailableontheTownwebsite.Shepointedouttheareasthatareconsideredcriticalandcouldpotentiallyrequireastudypriortodevelopment.WhenaskedbyCommissionerTuckeraboutthepercentageofdevelopablelandinthevalleyandaskedwhetherweshouldfocusontherivercorridorsandtheeffectofwildlifeconservationinthoseareassincethisiswherethebulkofdevelopment/redevelopmentinareasmappedascriticalwildlifehabitatmayoccurinthefuture.DirectorJosephstatedtheEstesValleyisapproachingbuild-outanddeveloperswillbeginlookingatredevelopingexistingparcelsratherthandevelopingvirginland.DirectorJosephconcurredwithTuckeraboutthefocusonrivercorridors.PlannerChilcottrecommendsanyadoptedmapsbeusedasguidesforfurtherstudies.Theremaybetimeswhenpropertyownersquestionthepresenceofcriticalhabitatontheirproperty,andtheproposedcodehasprovisionsforthosechallengesandpossibleupdatestothemaps.Thiswouldtakeplacethroughapublicprocesstoallowforcomment.Anothernewadditiontotheproposedcodeincludestheabilitytowaivetheimpactassessment.Ifitwasconcludedtherewasnocriticalhabitatontheproperty,awaivercouldbesubmittedandreviewedbytheCommunityDevelopmentDirector,PlanningCommission,CountyCommissioners,orTownBoard.Adeterminationaboutwhetherornotawildlifeimpactassessmentwouldberequiredcouldberequestedpriortosubmittalofadevelopmentapplication.Commissioner’sKlinkandNorrisstatedthatthis RECORDOFPROCEEDINGSEstesValleyPlanningCommission3January20,2009neededtobeatransparentprocess.PlannerChilcoffstatedthatshebelievedtheprocesswouldbetransparent.DirectorJosephindicatedthatstaffroutinelydetermineswhatinformationneedstobesubmittalaspartofacompleteapplicationandthatthiscouldincludeadeterminationthatahabitatimpactassessmentisnotneeded.Thisinitialwaiverdoesnotmeanthatthesubjectisoff-limitsfordiscussionanddoesnotpreventPlanningCommissionfromrequiringanassessment.Also,hesaiditisacommonoccurrencetoaskdevelopersformoreinformationduringtheapplicationreviewprocess,andstaffalwaysusestheirbestjudgmenttofocusonpertinentinformationandtriestomaketheprocessflowsmoothly.PlannerChilcoffstatedthatcodelanguagenowincludescriteriabywhichanassessmentwouldbeevaluated.PlannerChilcoffindicatedthereviewcriteriafordeterminingimpactsonwildlifespeciesshouldincludehuman-relatedactivities(domesticpets,etc.)thatcouldthreatenthehealthorviabilityofaspecies.Alongthissameline,impactsonwildlifehabitatthatthreatenelimination,reduction,orfragmentationofsaidhabitatshouldbeconsidered,aswellasmovementpatternsandthepotentialdisplacementofspeciesoverthelong-term.Finally,cumulativeimpactsshouldbeconsideredinordertodeterminehowadevelopmentcouldimpactadjacentpropertiesandsubsequentwildlifehabitat.PlannerChilcoffstatedthatshebelievesthelanguageusedinthiscodewasoriginallypreparedbyClarionforuseinSummitCountyandhasbeenadoptedinseveralotherColoradocounties.StaffandPlanningCommissionneedstodetermineifthecriterialistedwillworkfortheEstesValley.AccordingtoPlannerChilcoff,theproposedcoderecommendsthehabitatstudybeconductedbyaqualifiedbiologisttodeterminewhatmitigationfactorsareneededinordertominimizeimpacts.TheEstesValleyContractorsAssociationrequestedthatstaffmaintainalistofqualifiedbiologistssolanguagerequiringthiswasaddedtothecode.Thislistwouldbenon-exhaustive,andanyapplicantcouldbringthenameofaqualifiedbiologisttoaddtothelist,whichwouldbemaintainedintheCommunityDevelopmentDepartment.ItissuggestedeachbiologisthaveatleasttwoyearsexperiencewithhabitatreviewintheColoradoRockiesortwoyearsofcomparableexperienceinanotherareawithsimilarcharacteristicsandspecies.Eachstudywouldlookatexistingconditions,assesspotentialdevelopmentimpacts,reviewmitigationofimpacts,andincludeanimplementation-monitoringenforcementplan(possiblyworkingwithhomeowners’associations).Ifadeveloperhadapprovaltoremovehabitatfromoneareatheywouldberequiredtoenhanceorrestoreanareacloseby.Anydamagedhabitatwouldrequirerepair.CommissionerNorriswouldliketoseetheinitiationofadatabaseofdocumentedwildlifesightingsbypublicgroupstotrackhabitatandspeciesinordertodetermineanywildlifetrends.PublicComment:BurtCushing/TownResident—Beingaretiredstreamecologist,Dr.Cushingstatedthatitiswell-knowninhissciencethatariverorstreamreflectsthevalleythatitdrainsbecauseofthelinkagesbetweentheterrestrialandaquaticenvironments.Anyimpactstoastream’svalleyorenvironmentwilleventuallyimpactthestreamaswell,andtheclosertheimpact,thequickeritwillchangethestream.Dr.Cushingsaidthegreaterthemagnitudeoftheimpacts,thegreatertheimpactswithinthestream,andencouragedthePlanningCommissiontostayasfarawayaspossiblefromstreamsinordertolessenthepotentialimpacts.Concerningqualifiedbiologists,Dr.Cushingstatedmanyorganizationsnowhave‘certified”ecologists,andthesesocietieswilloftenprovideyouwiththenamesofthosewhohavepassedthecriteriatobeincludedontheirlists.CommissionerTuckeraskedDr.Cushing’sopiniononwhatdamage,ifany,hasbeendonetostreamsintheEstesValley.Cushingbelievesallbeenseverelyimpacted,includingsomeareaswherethelinkbetweentheterrestrialandaquaticenvironmentshasbeencompletelydestroyed.MarkElrod/TownResident—Mr.Elrodhasconcernsaboutthequalificationsofthebiologistsproposedtoconductthehabitatassessments.Accordingtotheproposedcode,thebiologistmustbemutuallyagreeduponbytheapplicantandtheCommunity RECORDOFPROCEEDINGSEstesValleyPlanningCommission4January20,2009DevelopmentDirector.ItisalsoproposedthattheCommunityDevelopmentDirectorcompileandmaintainthelistofbiologists.Mr.Elrod’sconcernlieswiththepoweroftheDirectortobethesoledecision-makerofwhoisincludedonthelist.Mr.Elrodbelievestheterm“qualifiedbiologist”shouldbedefinedbyeducation,experience,yearsofservice,etc.Hesuggeststhecodeat§7.8.F.1.abechangedtostate‘Theassessmentshouldbepreparedbyaqualifiedbiologist.TheCommunityDevelopmentDepartmentmaymaintainalistofqualifiedbiologistsknowntoitfromtimetotimeandfromwhichselectionsmaybemade.”Mr.Elrodthinksqualifiedbiologistsincludedonthelistshouldhaveaminimumofamaster’sdegreefromauniversityintheUnitedStates,havealeasttwoyearsworkexperienceinthenaturalhabitatsoftheColoradoRockyMountains.Becauseourenvironmentisunique,hefeelsstronglythatthebiologistsshouldhaveColoradoRockyMountainexperience,ratherthanaccepting“comparable”habitatexperience.SandyOstermantrownResident—Ms.Ostermanindicatedthatthewords“significantadverseimpact”arestillundefinedandwithnoclearmeaning.SheaskedCommissionerstoagainrefertoherletterdatedJanuary14,2009andconsidermakingtheapplicablechanges,whichwouldincludeestablishinganescrowaccountasawaytoreimburseaqualifiedbiologistforhisservices.CoreyLaBianca/LocalResident—Ms.LaBiancasuggestedallhabitatassessments,eventhosebeingwaived,bebroughtbeforeapublichearing.DaveAlbee/TownResident—Mr.Albeehadquestionsaboutsomepropertyonthenorthendnotbeingcategorizedascriticalhabitat.DirectorJosephstatedatsomepointurbanizationproducesenoughfragmentationofthehabitatthatitisnolongerconsideredseverewinterrange.CommissionerNorrisstatedtheseareasarealsorecognizedbytheColoradoDivisionofWildlife.Mr.AlbeesuggestedreviewingBoulderCounty’sopenspacedatabaseasanexampleofhowthepubliccanhelpintrackingcertainanimalspecies.FredMares/TownResident—Mr.Maresindicatedthislatestdrafthasnomentionofreduceddensityorlesseningofimperviouscoverageasameanstomitigateadverseimpact.Healsothinksitwouldbehelpfultodeveloperstolistspecificsonhowthedevelopmentfootprintcouldbelessened.Mr.Maresfeels“mitigationtomaximumextentfeasible”needsclearerdefinition.PlannerChilcoffstatedthereisadefinitioninthecurrentdevelopmentcodefor“maximumextentfeasible”and“maximumextentpractical,”andthefinaldecisionconcerningmitigationwouldrestinthehandsofthePlanningCommission.Mr.MaresappreciatestheworkStaffandPlanningCommissionhavecompletedthusfar,andispleasedtoseethesingle-familyresidentialparcelstakenoutofcontentionforhabitatassessments.Mr.Mareswouldliketosuggestachangeinthedevelopmentplanapplicationprocesstoincludeaconceptphasethatisaddressedatapublicforum.Theneedforawildlifeassessmentcouldbedeterminedatthispointoftheprocess.Thecurrentprocessinformsthepublicaftertheofficialsubmissionoftheapplication,whichcomesaftermoneyandtimehavebeeninvested.Ifthedevelopmentapplicationwasmadeknowntothepublicearlier,itisMr.MaresopinionthatmanyoftheproblemsorconcernscouldbetakencareofbeforetheapplicantgoesbeforethePlanningCommission.Mr.Maresalsosuggeststhewildlifehabitatassessment,correspondingcoderevisions,andtheopenspacestudythatiscurrentlybeingproposedtotheTownBoard,betakenasawholewithinavisionstatementgearedtowardswhatourcommunityistryingtoachieve.Mr.Maresindicatedtheconcernaboutfinanciallosstolandownersifareasarelabeledforopenspace,andwantsthePlanningCommissiontobeopentocreativeideastomitigateadverseimpactsofdevelopmentthroughanopenspaceplan.IfapurposeorvisionstatementisstatedforthefutureoftheEstesValley,thecitizenscouldfollowthatvisionandbemoreacceptingofPlanningCommissiondecisionsconcerningdevelopment,habitatissues,andopenspace. IIJNTERGOVERNMENTALAGREEMENTFORWASTEWATERTREATMENTThisIntergovernmentalAgreementforWastewaterTreatment(“Agreement”)isexecutedthisJdayoff,2009,bytheUPPERTHOMPSONSANITATIONDISTRICT,aquasi-municipalcorporationandpoliticalsubdivisionoftheStateofColorado(“District”)andtheTOWNOFESTESPARK,COLORADO,amunicipalcorporationandpoliticalsubdivisionoftheStateofColorado(“Town”)(eachbeingreferredtosingularlyas“Party”andjointlyas“Parties”).RECITALSA.WHEREAS,theDistrictisorganizedandoperatedpursuanttotheprovisionsofArticle1,Title32,C.RS.,toprovidesanitationserviceswithinthejurisdictionalboundariesoftheDistrict,whichboundariessurroundandincludeaportionoftheTown;and3.WHEREAS,theTownhascommencedworktoexpandtheTown’sMary’sLakeWaterTreatmentPlant(“MLWTP”),withananticipatedcompletiondateofAprilof2009(the“PlantExpansionProject”);andC.WHEREAS,theTownanticipatesoperatingatemporary1milliongallonperday(mgd)watertreatmentplantfromJanuary2009throughcompletionofthePlantExpansionProject;andD.WHEREAS,uponcompletionofPlantExpansionProject,theTownanticipatestheexpandedMLWTPwillbefullyoperational;andE.WHEREAS,peakmonthwasteflowisdefinedastheaverageofthemaximumdailyflowssustainedforaperiodof30consecutive,butnotnecessarilycalendar,days;and.F.WHEREAS,theTownanticipatesthatthePlantExpansionProjectwillincreasepeakmonthwasteflowsby15,400gallonsperday(gpd),fromthecurrentallocationof4,600gpd,toanestimatedpeakmonthwasteflowof20,000gpd;andG.WHEREAS,thePartieswishtomemorializetheDistrict’sabilitytohandletheincreasedwasteflowsrequiredofthePlantExpansionProjectandtoestablishanappropriateplantinvestmentfee(“PIF”)basedontheadditionaldemandcreatedbythePlantExpansionProject;andH.WHEREAS,theDistrictandtheTowndesiretoenterintothisAgreementtosetforththeirunderstandingbeforethecompletionofthePlantExpansionProjectregardingtheexpandedTownrequirementsforwastewatertreatmentandthePIFrelated(00154452DOC/3) tothePlantExpansionProjectanduserfeesthatwillberequiredoftheincreasedflow;andI.WHEREAS,thePartiesmayfurthermemorializethedetailsofthePlantExpansionProjectwastewatertreatmentrequirementsandtheassociatedPIFanduserfeesasdeemednecessarythroughamendmentofthisagreement,basedoncurrentdataavailablethroughoutthePlantExpansionProject.NOWTHEREFORE,JNCONSIDERATIONoftheaboverecitals,themutualcovenantscontainedhereinandothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebymutuallyacknowledged,thePartiesherebyagreeasfollows:AGREEMENT1.PerformanceofthePlantExpansionProjectWork.TheTownwillbesolelyresponsibleforthecommencementandcompletionofthePlantExpansionProject,including,butnotlimitedto,operatingthetemporary1mgdwatertreatmentplantfromJanuary2009untilcompletionoftheproposedPlantExpansionProject;confirmingaverageandpeakconcentrationsoftotalsuspendedsolids(“TSS”),five(5)-daybiochemicaloxygendemand(“30D5”),totaldissolvedsolids(“TDS”),totaldissolvedcopper,andflowofthewastestreamfromboththetemporaryandPlantExpansionProject;andupdatingtheDistrictontheanticipatedcompletiondateofthePlantExpansionProject.PriortothedischargetotheDistrictfacilitiestheTownagreestomeetwithrepresentativesfromtheDistricttoconfirmtheproposedplansandobtaincommentsfromtheDistrict.ThePlantExpansionProjectwillbecompletedatthesolecostandexpenseoftheTown.2.ContinuousReporting.TheTownagreestoprovidetheDistrictwithamonthlyreportwith,ataminimum,dataregardingdailydischargesingpd,bi-month[yconcentrationsinmg/L,andloadinginpounds/day,includingTSS,BOD5,TD$,andcopperconcentrationsduringtheoperationofthetemporaryplantandPlantExpansionProject.InorderforthePartiestocoordinatedatesandflowcapacity,theTownshallnotifytheDistrictatleastthree(3)daysinadvanceofitsplanstocommencedischargingfromthetemporaryplantandthePlantExpansionProject.TheTownmayrequestthattheDistrictassistwithandconductwastewatersamplingonbehalfofthePartiestomeetthecontinuousreportingrequirements.ForwastewatersamplingcompletedbytheDistrict,theTownagreestoreimbursetheDistrictforsamplingandlaboratoryexpensesattheDistrict’scurrenthourlyratesplusexpenses.TheDistrictwillfurnishtheTownwithawrittenaccountingofthedaysandhoursand(00154452.DOC/3] resultsofthattestingandlaboratoryworkcompleted.TheDistrictwillinvoicetheTownforthesefeesonamonthlybasis.3.PlantInvestmentFee(PIF)Calculation.TheDistrictbasesitsPIFonthesinglefamilyequivalents(SFE)requiredoftheanticipatedflow.TheDistrict’scurrentPIFis$4,300perSFE.ThePifis,however,subjecttoadjustmentfromtimetotimeinaccordancewiththegeneralrulesandregulationsoftheDistrict.Theproposedpeakmonthwasteflowof20,000gpdisequivalentto100SFEs(basedon200gpd/SfE).TheDistrict’sPIFfortheMLWTPiscalculatedasfollows:(a)PlantExpansionProject:ThePWforthePlantExpansionProject,usingtheabovecriteria,willbe$331,100,assumingtheTownrequiresanadditional15,400gpdofpeakmonthcapacityinadditiontotheTown’sexisting4,600gpdofpeakmonthcapacity.ThisPIFisbasedonanassumedtotalnewpeakmonthcapacityof20,000gpd.(b)AnadditionalPIFshallbeassessedforpeakmonthwasteflowcapacityrequirementsoftheTownexceeding20,000gpd,subjecttotheTown’srequirementtoadvisetheDistrictofthecapacitytheywishtopurchase.TheTownshallpaytheDistrictforsaidadditionalPIFwithinten(10)daysoftheTown’sintroductionofadditionalwastewaterflowsintoDistrictfacilities.(c)IfthedatasupportingtheanticipatedPIFbecomesoutdated,ormoreaccuratedataisavailableasthePlantExpansionProjectprogresses,asdeterminedbytheDistrictortheTown,thePartiesagreetofurtherdefinethePIFbasedonthemostcurrentdata,andsubjecttotherequirementthatanymodificationtotheabove-statedPIfmustbeinwritingandapprovedbythePartiespriortoanymodificationthereto.(d)futurePIf’s,andotherDistrictfees,shallbechargedatthecurrentrateatthetimeofpurchase.AnaddendatotheAgreementshallbepreparedatthetimeofpurchaseoffuturePIF’sandexecutedbythePartiesmemorializingtheactualPIFcharged.4.UserFeeRates/HighStrengthfee.TheDistrict’suserfeefortheMLWTPiscalculatedasfollows:(a)Theuserratewillbechargedatthecurrentrateatthetimeofbilling.Thecurrent2009userrateformeteredcustomersis$6.25per1,000gallons,withanadditionalquarterlyaccesschargeof$5.25permonth.(b)Inaddition,theDistrictwillusethecontinuouswastewatersamplingtodeterminetheactualwastewaterstrengthandshallapplyahighstrengthwastewater{00154452.DOC/3] chargeifrequired,pursuanttotheDistrict’scurrentRulesandRegulations,rates,feesandcharges.5.SamplingandFlowMetering.(a)Sampling.AnappropriatesamplingpointwillbeprovidedbytheTowninalocationtopermittheDistricttohaveconvenientaccessforsamplingoftheflowcomingfromtheMLWTP.TheTownagreestogivetheDistrictanditspersonnelaccesstothesamplingpointforsamplingasdeterminedappropriateandnecessarybytheI)istrictduringanyregularworkday.NothinghereinshallguaranteeanysamplingscheduleorshallcreateanyrequirementfortheDistricttonotifytheTowninadvanceofsamplingactivitiesconducted,excepttogainsiteaccess,inaccordancewiththisAgreement.(b)FlowMeteringandReports.FlowmeteringwillbecompletedbytheTownandmonthlyreports,showingdaily,averageandpeakmonthwasteflowwillbegeneratedandprovidedbytheTowntotheDistrictbythe10thdayofthefollowingmonth.TheDistrictwillhaveaccesstotheflowmeterduringanyregularworkdayandmayperiodicallyverifythereportsprovidedbytheTown.InadditiontheTownagreestocalibratetheflowmeteratleastonceperyearandprovideacalibrationreporttotheDistrict.6.IndemnificationandHoldHarmless.Totheextentpermittedbylaw,theTownanditscontractorswillbesolelyresponsibleforanyspills,backupsorphysicaldamagetotheDistrict’streatmentplantthatmaybedirectlycausedbythePlantExpansionProject,thephasingoftheproject,ortheoperationoftheMLWTPfollowingcompletionofthePlantExpansionProject,andwillindemnifyandholdtheDistrictharmlessfromanyclaim,damageorliabilityoftheDistrictfromsaidspills,backuporphysicaldamage.Totheextentpermittedbylaw,theDistrictwillbesolelyresponsibleforanyinjuryordamagetoitsemployeesorpropertypursuanttotheDistrict’ssamplingorflowmeteringactivitiesontheTown’spremisesorpropertyunlesssaidinjuryordamageiscausedbythenegligentorintentionalact,oromissionoftheTownoritscontractors.IntheeventsaidinjuryordamageiscausedbythenegligentorintentionalactoromissionoftheTownoritscontractors,totheextentpermittedbylaw,theTownshallindemnifyandholdtheDistrictharmlessfromanyclaim,damageorliabilityincurredbytheDistrictasaresultofsaidnegligentorintentionalactoromission.NothinghereinshallpreventtheTownfromseekingcontributionagainstanyandallofitscontractorsforsuchindemnitypaidtotheDistrict.7.GovernmentalImmunity.{00154452DOC/3) I’ThepartiesagreeandunderstandthattheTownandtheDistrictarerelyingonanddonotwaive,byanyprovisionofthisAgreement,themonetarylimitationsortermsQresentlyOneHundredfiftyThousandand00/100Dollars(S150,000)perpersonandSixHundredThousandand00/100($600,000)peroccurrence)oranyotherrights,immunities,andprotectionprovidedbytheColoradoGovernmentalImmunityAct,Section24-10-101,C.R.S.,asfromtimetotimeamended,orotherwiseavailabletothepartiesoranyoftheirofficers,agents,volunteersoremployees.8.ThirdPartyBeneficiaries.NoneofthetermsorconditionsinthisAgreementshallgiveorallowanyclaim,benefit,orrightofactionbyanyotherthirdpersonorentitynotapartyhereto.9.Default/Cure/DisputeResolution.hitheeventeitherPartyshallfailtoobserveorperformanyofthetermsandprovisionsofthisAgreementandsuchfailureshallcontinueforaperiodoften(10)daysafterreceiptofwrittennoticefromthenon-defaultingparty(‘Defaultt),thenthenon-defaultingpartymayterminatethisAgreement,providedhowever,thatwheresuchDefaultcannotreasonablybecuredwithinsuchperiod,andthedefaultingpartyhasproceededpromptlytocurethesameandisprosecutingsuchcurewithdiligence,thetimeforcuringsuchDefaultshallbeextendedforanamountoftime,nottoexceedsixty(60)days,asmaybenecessaryunderthecircumstancestocompletesuchcure.ThePartiesagreethattheywillnegotiatedisputesingoodfaith.IntheeventaPartyseekstocureanallegedDefaultandthereisdisagreementregardingtheinterpretationbyandbetweenthePartiesofthisParagraph9,thePartiesagreewithinfifteen(15)daysofnoticeofDefaultandattempttocuretoappointacommitteeofatleastfourpersons,includingatleasttwoindividualsfromeachagency,toevaluateanyclaimofDefaultandattempttocurepursuanttothisAgreement.ThecommitteeshallbeboundtothegoodfaithnegotiationprovisionofthisParagraph9.Theinterpretationofthecommitteeregardingwhetheracurehasbeencommencedandshallbepermittedtobecompleted,orwhethertheAgreementisindefaultandmaybeterminated,shallbedeemedconclusive.Intheeventthecommitteecannotreachaconclusivedeterminationoftheissuewithinthirty(30)daysofthenoticeofDefault,theAgreementshallbedeemedterminated,andthePartiesshallonlybeliableforpaymentofanyfees,includingbutnotlimitedtosamplingfees,PIF,andusercharges,thatarecurrentlydueandowing.10.BindingEffect.ThisAgreementshallbebindingupon,andshallinuretothebenefitofthePartiesheretoandtheirrespectivesuccessorsandassigns.11.GoverningLaw.{00154452DOC/3)
