MEMORANDUMTo:TownTrustees,EPURACommissionersSubject:ProposedStanleyParkGrandstandProjectDate3August,2009FromGrandstandsDesignCommittee4’CommissionerArtBlume,TrusteeDoriaEisenlauer,,ATrusteeJerryMiller,CommissionerSharryWhitej)/4’By:JerryWMiller/IV41.1/7iAWearepleasedtoannouncethatwehaveconcludedourreviewoftheproposedGrandstandDesign,andassociatedcostestimates,andwishtounanimouslyrecommendthatyouacceptthedesign,aspresented,andauthorizetheArchitect,RogerThorp,tocontinuewithpreparationofbiddingandconstructiondocuments.Itishisintenttoputtheprojectouttobidaroundthe18thofAugustwiththeBidOpeningoccurringmid-September.Ifacontractorisselected,andputundercontract,itisanticipatedthatconstructionwouldbeginbythefirstofOctober,withaconstructiondeadlinespringof2010.ItwasthechargetotheDesignCommitteetoreviewtheprojecttodetermineifthedesignwassuitableandwhatcostssavings,ifany,couldberealized.TheCommitteealsodecidedto:•Notreinventtheproject.Wefeltitwasimportanttonotstartthedesignoftheprojectoverfromscratchandtotryandmaintaintheoriginalscheduleascloselyaspossible.Todootherwisewouldbeawasteofdesignfundsalreadyspentandcoulddelayconstructionoftheproject.•WorkwiththeArchitect.Itwasnotourintenttotellhimhowtodesignthefacilitybuttooffersuggestionsandguidanceregardingthedesignofthebuilding.•Maintainsomeaesthetics.Webelieveditwasimportanttoretainsomeofthedesignconceptsthathadbeenestablishedpreviously,aslongastheywerereasonableandorientedtothepublicusers.•EnsurethattheneedsoftheTown,StaffandCommunityweremettothebestofourability.WeallwishtopubliclythankMr.Thorpforhisflexibilitypatienceandunderstandingwhileworkingwiththecommittee.Wearealltooawareofthedifficultiesofhavingthingschangemid-stream.Review:Wespecificallylookedatseveralaspectsofthebuildingtodetermineifcostsavingscouldberealizedinthoseareas.ItshouldbenotedthatMr.Thorp,priortoourfirstmeeting,alsolookedatthebuildingandsuggestedareaswherehethoughttherecouldbesavingstoo.Thiswasaneffortwerecognizeandappreciate.Also,pleasenotethateveryoneoftheCommittee’sdecisionsordirectionswereunanimous.Theindividualareaswelookedatinvolvedthestructuralsystem,mechanicalsystems,concessionsarea,toiletroomsandexteriorfinishes,Itwasdecidedtoproduceaprojectthathasabasebidforwhatisconsideredtobetheminimumprojectlevelthatcanthenbemodifiedbyconsiderationof BidAlternatesthatcouldeitherraiseorlowerthefinalprojectcost.Mr.Thorpwillbepresentingthosealternatestoyou,sowewon’tlistthemhere.Thenumberoftoiletfixturesbecameanimmediateareaofinterest.TheoriginaldesignwasbasedontheuseoffuturetoiletfixturesintheproposedIndoorArena.TheinternationalBuildingCodeallowsforuseofothertoiletfacilitieswithin500feetoftheprojecteduse.WhiletechnicallythiscouldmeetBuildingCoderequirements,wedidnotagreewithdeferringrequiredtoiletfixtures,andtheassociatedcost,toafuturebuildingwhosescheduleiscurrentlyupintheair.Webelieved,asyouallconcurred,thatprovidingthepropernumberoftoiletfixturesnowwasanimportantpartofthisproject.WefeltitwasmuchmoreimportanttocomplywiththeadoptedCodesaswouldberequiredofanyoneelsebuildingasimilarprojectwithintheTown.Thisaddedtotheprojectedcosttotheproject.TheoriginalprojectalsoassumedtheConcessionsRoomwouldbea“shell”forfinishbytheconcessionaire.Aftersomediscussion,andareviewofthecontractbetweentheTownandconcessionaire,wedecidedthattheareaneededtobemorefinishedthanthat.Asaresult,theConcessionsAreawillhavefinishedwalls,floorandceilingaswellaslightingsuitabletohealthdepartmentrequirements.Requiredelementsthatarebuiltin,andthereforeverydifficulttoremove,willalsobepartofthebasebid.Theseincludethewaterheater,janitor’ssinkandkitchenrangehood.Asacostmeasure,thewalk-incoolerandfreezerwillbeincludedasbidalternates.Thatway,wecanexamineoptions,includingrefurbishedunits,forthoseusuallyexpensivefixtures.Requiredplumbingandelectricalconnectionswillberoughedinandthere-useofexistingsinkswillbeexaminedbythearchitect.ItshouldalsobenotedthatMr.Thorphasgonebeyonethescopeofthiscontractbyworkingwiththeconcessionaireonthedesignofandrequirementsfortheconcessionsarea.Weappreciateitandthinktheconcessionairedoestoo.EstimatedConstructionCost:ItneedstobeemphasizedthatanydiscussionofcostspresentedhereinoraspresentedbyMr.Thorp,arestrictlyestimates.Theyarenothardandfastcosts.Theyare,atbest,educatedguessesofwhatthefinalconstructioncostmightbe,aspreparedbytheArchitect.ItisincorrecttosaythatthenewGrandstandsaregoingtocost”X”MillionDollarsuntiltheBidscomeinandafinalconstructioncontractisnegotiated.Theoriginalcostestimatewasintheneighborhoodof$1,800,000to$1,900,000.00.OnJune23,2009,theestimatewasreducedtoatotalof$1,490,000.00.WhentheCommitteehelditsfirstmeeting,thatestimatewasreducedto$1,332,000.00.Thisestimatewasapproximately$70.00persquarefoot.Itshouldbenotedthatalltheseestimatesincludedestimatedcontractor’sfeesofapproximately12%and,accordingtotheArchitect,acontingencyamountof5%.Contractor’sfeesincludeAdministrativerequirements,temporaryfacilities,generalconditions(insurancecosts,etc.)andprofit.Thedesignwearerecommendingyouapprovethiseveninghasanestimatedconstructioncostof$1,241,000.00,includingcontingency.Withaprojectedcontractor’sfeeof12%,thiswouldtotaltoanestimatedconstructioncostof$1,392,000.00.Wearethefirsttoadmitthatourrecommendeddesignpotentiallycouldcostabout$60,000morethantheoriginalestimatewestartedoutwithonJuly10.However,theproposalbeforeyouincludesthingsthatwerenotincludedpreviouslythatwerefeltwerenecessary.Wehavetakenoutsomeoftheextraneousitemsandaddedbackinthingswefelttheprojectwasrequiredtodeliver. Inaddition,wemovedsomedesignelementstoadeductivealternatescategorywhichhavethepotentialofreducingthecostbyapproximately$70,000.Wedonotknowifthiscostincludesthecontractorsfees.Ifallthesedeductivealternateswereaccepted,thetotalcostcouldpotentiallybereducedbyanestimated$70,000ormore.Conversely,wehavealsomovedthingstoanaddalternatestatusequaltoanestimatedtotalof$107,000.00increaseinthetotalcostoftheproject.Theseitemsarealternatesbecausewethinkitwasimportanttogetpricesforthemsothedecisionmakingbodycouldthendecideonwhetherornotthecostjustifiedtheirinclusionintheproject.Aswithanycostestimate,itisimportanttonotethatitisjustanestimate.Thingscanchangedrasticallywhenbidsarereceived.Forexample,a“normal”contractor’sfeecanrunbetween8%to15%,dependingontheprojectandhowhungrytheyare.Areductionincontractorsfee,assumingeverythingelseiscorrect,of4%reducestheestimatedamountbycloseto$52,000.WewillnotknowwhatthefinalpriceoftheprojectwillbeuntiltheBidscomein.Conclusion:Inconclusion,weareverycomfortablewiththeprojectwe’vecomeupwithandisbeingpresentedbeforeyou.Somemaysaythatwe’venotdoneourjobbecausethetotalestimatedcostoftheprojectismorethanwhenwestartedout.Wedonotbelievethatwasourultimategoal.Webelievewe’vedonewhatwesetouttodobecausetheprojectwillnow:•ConformwithaconservativeinterpretationofadoptedTownofEstesParkBuildingCodes,aswouldberequiredofanyoneelseproposingaprojectsimilartothis;•ConformwithLarimerCountyHealthDepartmentRequirementsforthebasicneedsoftheConcessionsarea,regardlessofwhotheconcessionairemightbe;•Movesomeofthemoredecorativeelementstoaposition,throughtheuseofBidAlternates,wheretheapprovingbodycanmakeintelligentdecisionsregardingtheirincorporationintotheproject;•ComplywiththeintentoftherecentlyadoptedDesignGuidelinesforStanleyPark.Guidelinesarejustthatand,inouropinion,economicsmustruleoverdesignguidelines,aslongastheintentismet.•Notreinventthewheelbyretainingmostofthebasicdesignelementstheprojectstartedoutwith.Asstated,wefelttheschedulewasimportanttomaintainbecausethecircumstancesofnothavingafunctionalgrandstandsbynextspringcouldbeverynegative.Wewanttopointoutthatinnoway,shapeorformdowewanttoimplythatMr.Thorp’sdesignsviolatedanyTownofEstesParkCodesorLarimerCounty’sHealthregulations.ThiswasanevolvingprocessandsomeoftheassumptionsmadeinitiallywerenotwhatthecommitteefeltwereinthebestinterestsoftheTownorCommunity.Onafinalnote,whilethechargeofthedesigncommitteeiscompletewiththispresentation,wewouldliketheopportunitytoreviewthealternates,oftheselectedbidders,priortoawardofcontract,sothatwemaysuggestwhichalternatestoacceptordecline.Therearesomealternateswebelieveare,ifthepriceallows,essentialtotheprojectandwillbelessexpensivetodonowratherthanlater.Wewouldlikethatopportunitytoofferoursuggestions.Thankyou. DRAFT07/28/09AGREEMENTTHISAGREEMENT,enteredintothisdayof,2009,byandbetweentheTOWNOFESTESPARK,COLORADO,aMunicipalCorporation(“Town”),andTHEESTESPARKURBANRENEWALAUTHROITY,aColoradoUrbanRenewalAuthority,abodycorporateandpoliticoftheStateofColorado,(“Authority”)(thepartiesarealsoreferredtocollectivelyasthe“Parties”or,individually,a“Party”).WHEREAS,inthefurtheranceoftheobjectivesoftheUrbanRenewalLawofColorado(Section31-25-101etseq.,C.R.S.),theAuthorityisengagedintheimplementationoftheUrbanRenewalPlanforthe215tCenturyUrbanRenewalArea(the“Plan”),whichisanurbanrenewalplanforcertainportionsoftheTownofEstesPark.ThePlanwasapprovedbytheBoardofTrusteesoftheTownonMay1$th,2008;andWHEREAS,concurrentlywiththis.\grcerncnttr*rrcntcrcdintoaCooperationAgrccmcnt,whichprovides,inpart,thatthePartiescn[crmjaçparatcagrccmcntforthedesign,construction,binding,operationand-‘‘-ncc.fccrtaindcve1”‘‘whichimplementtheprovisionsofthePlan;andWHEREAS,aspartoftheimplementationofthePlan,theAuthorityidentifiedcertaingrandstandimprovementstoStanleyParkassuchadevelopmentproject(theccGrandstandProject”)thatshouldbeundertakenbytheAuthoritypursuanttothetermsandconditionsofthePlan;and-WHEREAS,theTownhagreedtoprovidefunding.feewaivers,andotherservicesasmorefullysetforthinthis.\recmentGrandstandProject;andA4WHEREAS,theGrandstandProject,whencompleted,willcontributetotheeconomicdevelopmentoftheTown,removeblightinthePlanArea,upgradepublicfacilitiesandinfrastructureinthePlanArea,improveconditionsandcorrectproblemsinpublicamenitiesatStanleyPark,andexpandtheTown’seconomicbaseforthecontinuedattractionofresidentsandvisitorstothePlanArea;and4..WHEREAS,thePartiesdesiretosetforththetermsandconditionsapplicabletotheGrandstandProject.THEREFOREINCONSIDERATIONOFTHEFOREGOING,THETOWNANDTHEAUTHORITYAGREEASFOLLOWS:1.TheAuthorityshallberesponsiblefortheprogramming,design,andconstructionoftheGrandstandProject,thescopeofwhichisattachedheretoasExhibitAandincorporatedhereinbythisreference.2.TheAuthorityshalluseAuthorityfundsforsaiddesignandconstructionandberesponsibleforallobligationsincurredinthedesignandconstructionofthe GrandstandProject.TheTownshallfle-t-beresponsiblenorbeobligatedinanymannerwhatsoeverwithregardtodcaignandconstt-uctionoftheGrandstandProjcctforanamountnottoexceedSfortheGrandstandProject._SaidftmdsshallbeusedbytheAuthorityonlyforpaymentofconstructioncostsoftheGrandstandProject.IntheevciitthatthecostoftheGrandstandProjectexceedsSandtheAuthorityhasnoftmdsavailabletopaytheoverage,theJownmaybyaseparatewrittenagreementagreetopaytheovcrage.Insaidevent,theAuthorityshallirrevocablypledgesufficientfuturerevenuesoftheAutho;-in-toreimbursethe[‘ownforallexpendhircsmadebythelO\vnoverandabovetheamountcommittedinthisParagr’TheseparatewrittenagreementbetweenthePartiesshallincludethduleofpaymentbythe\uthoritotthean-bUntoftheoeragepsbvthwnandtheintcresttobechargedtotheAuthority.TheAuthorityunderstandsandreesthattheagreementTowntopaytheamountsetforthinthisParagrhaboveiscontingentuponçquatlono.acontractforconsucüonfortheGrandstandProjectwhichprothattheconstructioncostofGrandstandProjectshallnotexceedthotalsumofSrndudmgequatecundngenc.3.TheTownshallwaiveallfspetotheTownfortheGrandstandProjectrnclucbngbutnotlimitedtobwlgP”teesdcclopmcntphcnnnteesandutilifees.K4.TheAuthorityshallberesponsibleforalldecisionsrelatedto,butnotlimitedto,theprogramming,design,costs,ffinding,constructionandtimingoftheGrandstandProject.TheAuthorityshallconsultwithandobtainwrittenapprovalfromtheTownEnginerofthedesignofthegrandstandprojectpriortothebeginningofconstructionoftheproject.TheAuthorityshalldesignandconstructtheGrandstandProjectinaccordancewiththeStanleyParkFairgroundsDesignGuidelinesadoptedbytheTown.4si_JheAuthorityunderstandsandagreestheTownshallmakeavailableaportionofStanleyParkforstorageofconstructionmaterialsandstagingfortheconstructionoftheGrandstandProject.Theconstructionshallnotcommenceuntil4f,2009.TheAuthorityandtheTownshallcooperatewithregardtoaccesstoStanleyParkbytheAuthority,coordinationofallconstructionactivitieswithotheractivitiesatStanleyPark,coordinationwithanyotherconstructionactivities,performances,andprojectsatStanleyPark,andallothermattersnecessaryfortheconstructionoftheGrandstandProjectinatimelyandefficientmanner.TheAuthorityshallusereasonableefforts,consistentwithitsstamto;duties,toemploylocalarchitects,contractorsandsubcontractorsfortheGrandstand Project.SelectionofthecontractorsandallsubcontractorsshallbewithinthesolediscretionoftheAuthority.FollowingcompletionofconstructionoftheGrandstandProject,paymentofallcostsforthedesignandconstructionoftheGrandstandProfrct,andacceptanceoftheGrandstandProjectbytheAuthority,theAuthorityshalltransfertheconstructedgrandstandstotheTownbyagoodandsufficientbillofsalefreeandclearofallliens,encumbrancesandclaimsofanynamrewhatsoever.AllwarrantiesfortheconstructedgrandstandsshallbetransferredbytheAuthoritytotheTown.followingthetransferofthegrandstandstotheTown,theTown,andnottheAuthority,shallbesolelyresponsibleforthemaintenanceandrepairofthegrandstands.9.Totheextentlawflillyallowed,l1uthority’agreestorndernrnrandholdharmlesstheTownanditstrustees,officers,agents,employeesandassignsfromandagainstallclaims,liability’,damages,losses,expensesanddemands,includingattorney’sfees,onaccountofinjury,loss,ordamage,including,withoutlimitation,claimsarisingfrombodilyinjury,personalinjury,sickness,disease,death,propertylossordamage,whichariseoutoforareinanymannerconnectedwiththisAgreementorthegrandstandGrandstandprojectProjectifsuchinjury,loss,ordamageiscausedinwholeorinpartby,thenegligentact,bmission,error,professionalerror,mistake,negligence,orothernegligentfaultofAuthority,oranyofficer,employee,representative,oragentofAuthority;provided,theforegoingprovisionsshallnotapplytolossordamageorclaimsthereforeattributabletoactsoromissionsoftheTown,itsagents,officers,employeesorcontractorsorofsubcontractorsemloyedbytheircontractors.li).TheTo,vnshallprovidetheAuthoritywithliabthtyniandotherpropertvdamageinsurancecoveragepursuanttotheCooperation:\greementtoprotectbothPartiesfromanyclaimorlosshereunder.‘IThe.\utboritvshallrequirethatBuildersRiskcoveragebeprovidedbythegeneralcontractorfortheGrandstandProject.TheAuthorityshallrequireallcontractorsandsubcontractorstocarryinsuranceinscopeandamountsconsistentwithTownrequirementsforconstructioncontractsoftypeandscopeoftheGrandstandProject.LMultiple-fiscalYearObligation.TheAuthorityisnotsubjecttoarticleX,section20oftheColoradoConstitution.ThisAgreementshallbeamuloplefiscalyearobligationoftheAuthontyuntilfullyperformedbytheAuthority.4-4-1MISCELLANEOUSA.GoverningLawandVenue.ThisAgreementshallbegovernedbythelawsoftheStateofColorado,andanylegalactionconcerningtheprovisionshereofshallbebroughtinLaiimerCounty,Colorado.3 expirationofthisAgreementshallinnowaylimittheeitherParty’slegalorequitableremedies,ortheperiodinwhichsuchremediesmaybeasserted,forworknegligentlyordefectivelyperformed.KBindingEffect.TheTownandAuthorityeachbinditselfitssuccessorsandassignstotheotherpartytothisAgreementwithrespecttoallrightsandobligationsunderthisAgreement.NeithertheTownnorAuthorityshallassignortransferitsinterestinthisAgreementwithoutthewrittenconsentoftheother.L.Delays.AnydelaysinorfailureofperformancebyanyPartyofitsobligationsunderthisAgreementshallbeexcusedifsuchdelaysorfailurearearesultofactsofGod,fires,floods,strikes,labordisputes,accidents,regulations,initiative,referendum,ororderofcivilormilitaryauthorities,shortagesoflaborormaterials,orothercauses,similarordissimilar,whicharebeyondthecontrolofsuchParty.M.GoodFaithofParties.IntheperformanceofthisAgreementorinconsideringanyrequestedapproval,acceptance,orextensionoftime,thePartiesagreethateachwillactingoodfaithandwillnotactunreasonably,arbitrarily,capriciously,orunreasonablywithhold,condition,ordelayanyapproval,acceptance,orextensionoftimerequiredorrequestedpursuanttothisAgreement.N.PartiesNotPartners.NotwithstandinganylanguageinthisAgreementoranyotheragreement,representation,orwarrantytothecontrary,thePartiesshallnotbedeemedtobepartnersorjointventurers,andnoPartyshallberesponsibleforanydebtofliabilityofanyotherParty.0.MinorChanges.ThisAgreementhasbeenapprovedinsubstantiallytheformsubmittedtothegcwerningbodiesoftheParties.TheofficersexecutingthisAgreementareauthorizedtomakeandmayhavemade,minorchangestothisAgreementandattachedexhibitsastheyhaveconsiderednecessary.SolongassuchchangeswereconsistentwiththeintentandunderstandingofthePartiesatthetimeofapprovalbythegoverningbodies,theexecutionoftheAgreementshallconstitutetheapprovalofsuchchangesbytherespectiveParties.P.DefenseofAgreement.IntheeventoflitigationchallengingthelegalityorvalidityofthisAgreement,thePartiesshallcooperatetodefendthevalidityorenforceabilityofthisagreement.ThisAgreementisdatedthis______dayof__________,2009.T0\VNOFESTESPARKESTESPARKURBANRENEWALAUTHORITY5
