0TownofEstesPark,LarimerCounty,Colorado,August3,2009MinutesofaSpecialmeetingoftheBoardofTrusteesandtheEstesParkUrbanRenewalAuthorityoftheTownofEstesPark,LarimerCounty,Colorado.MeetingheldintheTownHallinsaidTownofEstesParkonthe3rddayofAugust,2009.MeetingcalledtoorderbyMayorPinkham.Present:WilliamC.Pinkham,MayorMayorProTemChuckLevineTrusteesEricBlackhurstDorIaEisenlauerJohnEricsonRichardHomeierJerryMillerWayneNewsom,EPURAChairCommissionersArtBlumeJacquieHalburntIreneLittleJimMartinsenSharryWhiteRonWilcocksAlsoPresent:LowellRichardson,DeputyTownAdministratorWilSmith,EPURADirectorGregWhite,TownAttorneyJackieWilliamson,TownClerkMayorPinkhamcalledthemeetingtoorderat5:00p.m.PUBLICCOMMENT.None.APPROVALOFGRSTANDDESIGNANDCOSTESTIMATE.TrusteeMillerreviewedtherecommendationbytheGrandstandsDesignCommitteeconsistingofCommissionerBlume,CommissionerWhite,TrusteeEisenlauerandTrusteeMiller.TheCommitteereviewedtheprojecttodetermineifthedesignwassuitableandwhatcostsavingscouldberealized.TheCommitteereviewedthestructuralsystem,mechanicalsystems,concessionarea,restroomsandexteriorfinishes.Theprojectwouldbeabasebidfortheminimumprojectwithbidalternatesthatcouldbeaddedorremovedfromthefinalprojectdependentoncosts.Therestroomsandtheconcessionareaswerere-evaluatedwiththetotalnumberoffixturesincreasedtomeetthebuildingcodestandardsandafinishedconcessionareaincludingfinishedwalls,floor,ceiling,lighting,waterheater,janitor’ssink,kitchenrangehoodandwalk-incoolerandfreezer.Theoriginalbidwas$1.8millionandwasreducedto$1.49million.TheCommitteeisrecommendingadesignwithanestimatedconstructioncostof$1.392millionincludingcontingencyandacontractorfeeof12%.TheCommitteealsonoteddeductivealternatesthatwouldreducethecostby$70,000andaddalternatesof$107,000.Bidswouldbereceivedforallalternatestoallowthedecisionmakingbodythefinaldecisiononwhichitemsshouldbeincludedinthefinalproject.ArchitectRogerThorpreviewedtheschematicsfortheproposedgrandstands.Theproposedstructurewouldbe10feetwiderthanthecurrentstructurerequinngoneshedtoberelocated.Theasphaltconcoursewouldbereplacedwithconcreteandadditionaltreeswouldbeadded;however,theplansdonotincludeparkingimprovementsoradditionallandscapingimprovementsalongManfordAve.Thedesignwouldaccommodate2,648seatswithnoseatbacks.Handicapseatinghasbeendesignedwitharampsystemtotheboxseatingareas.Thebuildingwouldbeconstwctedof metalsidingortranslucentsidingwithstoneveneeratthebottomtomeettheground.Thestructurewouldconsistoftwomainentranceswithtimberandstoneandathirdentranceneartherestrooms.Thefollowingitemswouldbeaddordeductalternatestotheproject:•Concreteconcoursereplacedwithasphaltandremovetrees.•Relocategrandstandcolumnsback4rowstoprovidedbetterviews.•Addseatbackstothefirst9rows.•Removetheannouncerstandbutretaintheconduitintheeventthestandisaddedatalaterdate.•Addacousticattenuationtotheceiling.•Deductthecopulas.•Deductstonebasefromsmallercolumns.•Replacegangwashtubswithindividualsinks.•Addtrenchdraintocapturerunofffromtheroofandgrandstandstopreventdamagetothearena.•Addaslopedarenawalltokeeplivestockfartherawayfromthespectators.•Addendwalltrim.•Useofacrylicwindowsversuswindowswithframes.•Addwalk-incoolerandfreezerforconcessions.•Windowsinthewomen’srestrooms.AttorneyWhitequestionediftheconstructionmanagementfeehadbeenincludedinbasecostestimate;lineitemsincludedforbuildingpermitfeesanddevelopmentfeeandutilityfees,costestimateforthedemolitionofthecurrentgrandstands;sitepreparation;andfurniture,fixtureandequipment.costsArchitectThorpstatedthecostestimatedoesincludetheconstructionmanagementfee,nofeesincludedforutilitiesacceptforsewer,nobuildinganddevelopmentfeesincluded,nocostestimatefordemolition,includessitepreparation,lightingincludedbutnonewacousticequipmentandnonewfurniture,fixturesorequipment.Heunderstoodstaffhasinterestedpartiestoremovethegrandstandsandwouldreusecurrentfurnitureandfixtures.DirectorPickeringstatedatthistimethereisnoentityformallycontractedtoremovethegrandstands.Thereisavolunteerorganizationthathasshownaninterestinthebleachers.TrusteeMillerstatedtheCommitteewasinformedthattheexistingbuildingandseatingwouldberemovedbytwocompaniesatnocosttotheTown.EPURACommissioner’scommentswereheardandsummarizedasfollows:thankedtheCommitteefortheireffortscommittedtospendingtheadditionalEPURAfundsonthisimportantsafetyproject;theprojectwouldbeagooduseofEPURAfunds;concernswereraisedonwheretheoveragefundswouldcomefrom;concernwithcommittingEPURAfundswithoutestablishingiftheTownwouldcovertheadditionalcosts;andthenewgrandstandswouldservethecommunityformanyyearstocome.TownBoardcommentsaresummarized:appreciatestheeffortsoftheCommittee;approveoftheaddalternatestrategy;demolitionshouldbeaddedasanaddalternatefortheremovalofthecurrentstructure;thetwoBoardsneedtoworktogethertocompletethisimportantproject;encouragelocalcontractortobidontheproject;wouldliketoseebidsbeforetheTownmovesforwardwithcommittingfunds;andthestructureisbeyonditsusefullife.TrusteeBlackhurstcommentedthegrandstandsmaynotbetheprimaryprojectatthefairgrounds.TheTowncontinuestolookatotherstructuresincludingtheMultiPurposeEventCenterandIndoorArenathatwouldproviderevenuethroughouttheyear.HealsoquestionedwhatTownfundwouldbeusedtocompletethegrandstands.Hestatedheisuncomfortablecommittingfundsatthistime.CommissionerWilcocksagreedwithTrusteeBlackhurst’scomments.Hesupportsthepreparationofthebiddocumentsandgoingouttobidtodeterminethecostoftheproject. BoardofTrustees—August11,2009—Page31.RESOLUTION#15-09TEMPORARYMORATORIUMFORWINDTURBINES.AttorneyWhitereviewedtheResolutionthatwouldplaceatemporarymoratoriumof120daysontheissuanceofanybuildingpermitsrelatedtowindturbines.Therearenopendingapplicationsforbuildingpermitsforwindturbinesatpresent;however,fiveverticalhelixwindturbineapplicationshavebeenissuedbytheTown.Thistemporarymoratoriumwouldnotaffecttheinstallationofthosewindturbines.Thismoratoriumwouldonlybeeffectivewithintownlimits.DirectorJosephstatedapublicmeetinghasbeenscheduledforAugust13,2009at6:00p.m.todiscussregulationsofwindturbines.TheCountyhasaddressedtheissueofwindturbineregulationsandcurrentlyallowsthemwithheightandsetbackrequirements.HestatedHomeownersAssociations(HOAs)cannotregulatewindturbinesbecausethestatecanpreemptHOAsabilitytoregulate.TrusteeHomeierstatedconcernwiththeTownmovingforwardwithamoratoriumafterofferingrebatestoelectriccustomertoerectwindturbines.HesuggestedtheTownmoveforwardwithdevelopingregulationswhileallowingturbinestobeerected.TheBoarddiscussedthetimeframeofthemoratoriumandwhetherornotitprovidedsufficienttimetoaddressanddevelopregulations.Afterfurtherdiscussion,itwasmovedandseconded(Levine/Miller)toapproveResolution#15-09,anditpassedwithTrusteeHomeiervoting‘No”.2.LOT4,STANLEYHISTORICDISTRICT—TECHNICALREVIEWCOMMIUEELAWSUIT—SETTLEMENTPROPOSAL.AttorneyWhitepresentedtheBoardwithastipulationagreementfromtheNewStanleyAssociates,LLLPthatwouldleadtothedismissaloftheircurrentappealintheColoradoCourtofAppealsasitrelatestotheTechnicalReviewCommitteelawsuit.TheTownfiledamotiontodismissthecaseinFebruary2009andthecourtfoundthemattermootandgrantedtheTown’smotionanddismissedthePlaintiffsclaimswithprejudice.OnJune5,2009,thePlaintifffileditsnoticetoappealtotheColoradoCourtofAppeals.ThestipulationwouldconfirmthatthedevelopmentplanforLot4,StanleyHistoricDistrictsubmittedbyLot4ED,LLCapprovedbytheTechnicalReviewCommitteewouldbenullandvoidastheTownhasnotedinpastnoticestotheCourts.TheexecutionoftheagreementwouldremovetheTownfromanyfurthercostsassociatedwiththelawsuitthroughtheappealprocess.ThePlaintiffwouldreimbursetheTownforthecostsincurredinthecasepriortotheexecutionofthestipulation.Afterfurtherdiscussion,itwasmovedandseconded(BlackhursUMiller),toapprovethestipulationagreementforthedismissaloftheTechnicalReviewCommifteelawsuitwithNewStanleyAssociates,LLLP,anditpassedunanimously.WhereuponMayorPinkhamadjournedthemeetingat8:07p.m.WilliamPinkham,MayorJackieWilliamson,TownClerk RECORDOFPROCEEDINGSTownBoardStudySession—August11,2009—Page2VACATIONHOME/RENTALPROBLEMSTATEMENT.DirectorJosephreviewedthepastdiscussionoftheTownBoardasitrelatestovacationhomes.HestatedvacationhomeshaveexistedinEstesParkasanincidentalandsecondaryusepriortotheexistenceoftheTown.Theadventoftheinternetinthe1990schangedthebusinessofvacationhomesandthefirstattempttoregulatethembytheTowncameforwardin1996viatheMunicipalCode.HestatedtheissuehasbeenaddressedthroughtheEstesValleyDevelopmentCode(EVDC)asausecategoryandreferencestheregulationsintheMunicipalCode.TheEVDCcategorizesvacationhomesasanaccessoryuseandtheMunicipalCodecategorizestheuseasaprincipaluse.Staffrequestsdirectiononwhetherornotvacationhomesshouldbeaprincipleoraccessoryuseinresidentialzones,andifcategorizedasaccessory,adefinitionofaccessoryusewouldhavetobedeveloped.DirectorJosephstatedmovingtheregulationsintotheEVDCwouldcreateagrandfatheringsituation.AttorneyWhitecontendstheTownhasallowedtheuseofresidentialpropertyforvacationhomesandcouldnoteliminatetheuse.HestatedvacationhomeregulationsshouldbemovedintotheEVDC.ThepermittingandlicensingofvacationhomesinthecountyhasnotbeenaddressedinthepastbecausetheCountycannotanddoesnotwanttolicensetheseproperties.TheTownandtheCountywouldgainanenforcementtoolbyplacingtheregulationforvacationhomesinthelandusecode.DiscussionfollowedbytheBoard:agooddefinitionofthedifferenttypesofaccommodations(B&B,smallhotel,vacationhome,etc.)needstobedeveloped;subdivisionscanregulatevacationhomesthroughcovenants;landuseshouldberemovedfromtheMunicipalCodeandplacedintheEVDC;theEstesParkLocalMarketingDistrict(LMD)shouldbetheregulatoryagencyforvacationhomestoensurecountypropertiesarecollectionthe2%lodgingtax;questionedtheseverityoftheproblem;abasicdefinitionofaccessoryuseandprincipaluseisneededtobetterunderstandtheissueasitrelatestolanduse;therecommendedcodechangesbythePlanningCommissioncontaineddetailssuchasfoodserviceandcleaningthatcannotbeenforced;andB&Bshouldbeallowedagreaternumberofgueststhanavacationhome.IAdiscussionwasheardonthemechanismsthatcouldbeusedtoaddressthegrandfatheringuseofvacationhomesiftheregulationsweremovedtotheEVDC.Itwassuggestedcurrentvacationhomescouldbegivenaperiodoftimetoregistertheuse.Ausepermitwasalsodiscussedasanavenueforpermittingvacationhomesinthecounty.AttorneyWhitestatedplacingsuchrequirementsintheEVDCallowstheissueoflicensingandgrandfatheringtobedealtwithasazoningviolation,therebycreatinganincentivetoregisterthevacationhome.StaffwouldutilizethenewlydevelopedproblemstatementformtodraftavacationhomeproblemstatementfortheBoard’sreview.Theproblemstatementwouldaddressdefinitionsforalaccommodationtypes,licensing,andprincipalversusaccessoryuse.Additionally,thePlanningCommissionwoulddiscussthefuturecodechangesthatneedtobeaddressedfortheTownBoardtoreviewandprioritize.Therebeingnofurtherbusiness,MayorPinkhamadjournedthemeetingat6:41p.m.JackieWilliamson,TownClerk0 aWildlifeConservationPlantotheCommunityDevelopmentDepartment.Theplaneffectiveness(andtheintentofthissectionofcode)isnotofconsequence.ThesefindingswereatopicofdiscussionatthejointstudysessionbetweentheLarimerCountyCommissioners,theEstesParkBoardofTrustees,andtheEVPCinearly2008.Theoutcomewasanagreeduponactionplanconsistingofthefollowingthreeelements•Commissioningofawildlifeandhabitatstudy(completedinSeptember2008)intendedtoidentifytheimportantwildlifeareaswithintheValley.•AnindependentopenspacestudyintendedtoidentifythesignificantundevelopedspacesremainingwithintheEstesValley—notjustaroundit.TownPlanningStafffacilitatedanexcellentprocessthroughwhichanorganizationwasselectedtoperformthestudy(effortandfundingtabledbytheBoardofTrustees,December9,200$).•Acodeupdateandrevisionbasedontheresultsofthestudies.DuringfaIl2008andspring2009,TownPlanningStaffpresentedsixdraftsforaproposedcomprehensiverevisionoftheWildlifeHabitatProtectionsectionoftheEVDCbasedonthecompletedEstesValleyHabitatAssessment,September2008.AftermonthsofdeliberationandpubliccommenttheEVPCtabledMay19,2009,thiscomprehensiveapproachtocoderevision,favoringtowaitforthecompletionoftheopenspacestudysothatamoresynergistic,unifiedapproachtofuturesensitivelanduseissuesmightbeachieved.TopicsofEstesValleywildlifehabitat,openspaceandresultantcodechangeswerediscussedagainattheJune4,2009JointStudySessionoftheLarimerCountyCommissioners,EstesParkBoardofTrustees,andEVPC.Whileawaitingthecompletionoftheopenspacestudyandcomprehensivecodechanges,theconsensusofthecombinedgroupwasthatsimplechangescorrectingthedocumentedflawsintheexistingcodewouldproduceafunctionalhabitatprotectioncodefortheinterim.Thatsimplesetofcorrectionsisthecoderevisionbeingpresentedtoyouforyourapprovalanditdoescorrectthefirsttwoproblemsfrompageoneofthisletter.CDOWhasbeenremovedfromthedecisionmakingprocessandthenewlanguagestatesinSection7.$.f.4.a(page3ofDraft7)“TheReviewandDecision-MakingBodiesshaltissueajindingastowhethertheapplication,includingthewildlifeconservationplan,complieswiththerequirementsofthissection.”Itgoesontosayinparagraphc(page4)that“ApplicationsthatdonotcomplywithSection7.8ofthiscodeshallbedenied.”However,nowhereinthisrevisionisthereaclearstatementoftheactual“requirements”asreferencedinthepreviousparagraph.ItisleftforargumentandinterpretationthattherequirementsmightbejustthesixitemslistedintheReviewsection(buffers,fences,lighting,refusedisposal,etc.)Thereisnomentionofreduceddensityorreducedfootprintasmitigationmethods.PerhapstherequirementsmightbetheiistoftopicsrequiredtobeincludedintheWildlifeConservationPlan.Thesetwo0 (rnrTOWNOFESTESPARK“s’UAGREEMENTFORPROFESSIONALSERVtCESTHISAGREEMENTFORPROFESSIONALSERVICES(this“Agreement”)ismadeandenteredintothis______dayof____________2009,byandbetweentheTownofEstesPark,CountyofLanmer,StateofColorado(the“Town”)andKenney&Associates,Inc.(“Consuftanr)WHEREAS,theTownrequiresprofessionalarchitecturalandengineeringservicesrelatedtotheMulti-PurposeEventsCenter(MPEG)andIndoorArena;andWHEREAS,ConsultanthashelditselfouttotheTownashavingtherequisiteexpertiseandexperiencetoperformtherequitedarchitecturalandengineeringservices;NOW,THEREFORE,fortheconsiderationhereinaftersetforth,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:I.SCOPEOFSERVICESA.Consultantshallfurnishalllaborandmaterialsrequiredforthecompleteandpromptexecutionandperformanceofitsduties,obligations,andresponsibilities(the“Work”)whicharedescribedorreasonablyimpliedinExhibit3oftheTown’sRequestForProposalsFor30,000s.f.MPEGand22,000s.f.IndoorArenadatedMay1,2009andConsultanVsproposaldatedApril17,2009.B.NomaterialchangetotheWork,includinganyadditionalcompensation,shallbeeffectiveorpaidunlessauthorizedbywrittenamendmentexecutedbytheTown.IfConsultantproceedswithoutsuchwrittenauthorization,thenConsultantshallbedeemedtohavewaivedanyclaimforadditionalcompensation,includingaUaimbasedonthetheoryofunjustenrichment,quantummeritorimpliedcontract.Noagent,employee,orrepresentativeoftheTownisauthorizedtomodifyanytermofthisAgreement,eitherdirectlyorimpliedlybyacourseofaction.Il.REPORTS.DATAANDWORKPRODUCTA.TheTownshallprovideConsultantwithreportsandsuchotherdataasmaybeavailabletotheTownandreasonablyrequiredbyConsultanttoperformtheWork.AlldocumentsprovidedbytheTowntoConsultantshallbereturnedtotheTown.ConsultantisauthorizedbytheTowntoretaincopiesofsuchdataandmaterialsatConsultant’sexpense.B.OtherthansharinginformationwithdesignatedthirdpartiesaspreviouslydirectedbytheTown,noprojectinformationshallbedisclosedbyConsultanttothirdpartieswithoutpriorwrittenconsentoftheTownorpursuanttoalawfulcourtorderdirectingsuchdisclosure.0 C.TheTownacknowledgesthatthedocumentscreatedbyConsultantfortheProject,indudingbutnotlimitedto,drawings,designs,specifications,reports,andincidentalworkormaterials(theWorkProducr),areinstrumentsofprofessionalservice.Nevertheless,copiesoftheWorkProductshallbeprovidedtotheTownandothercontractorsandsubcontractorsshallbeauthorizedtouseandreproduceapplicableportionsoftheWorkProductthatareappropriatetouseintheexecutionoftheirworkrelatedtotheProjectTheWorkProductshallbecomethepropertyoftheTownuponcompletionoftheWork.Consultant,however,shallretainitsrightsinitsstandarddrawingdetails,designs,specifications,databases,computersoftwareandanyotherproprietarypropertyandallrightstoanyintellectualpropertydeveloped,utilized,ormodifiedinthepreparationoftheWorkProduct.D.ConsultantshallprovidetotheTownelectronicversionsoftheWorkProductintheformatdirectedbytheTownwhichshallnotbeAutocad.lii.COMPENSATIONA.InconsiderationfortheWorkbytheConsultant,theTownshallpaytheConsultantassetforthonExhibitA.B.If,onthebasisoftheTownsobservationoftheWorkandtheTown’sreviewofaninvoice,theTownissatisfiedthattheWorkinvoicedhasbeencompletedandConsultant’sotherobligationsunderthisAgreementhavebeenfulfilled,theTownwillpaytheinvoicedamountwithinthirty(30)daysofreceiptofaninvoice.C.UponcompletionoftheWork,ConsultantshallfilewiththeTownaninvoiceforallsumsdueandowing.IftheTownissatisfiedthattheWorkhasbeencompletedandacceptedbytheTownandallofConsultant’sobligationsunderthisAgreementhavebeencompleted,theTownshallproceedtoadvertisetheNoticeofFinalSettlementandpaytheinvoicedsubjecttocompletionoftheprocedureinSection38-26-f07C.R.S.IV.COMMENCEMENT,TIMEOFPERFORMANCEANDCOMPLETIONOFWORKUpontheexecutionofthisAgreement,ConsultantshallcommencetheWork.ExceptasmaybechangedinwritingbytheTown,theWorkshallprogressandbecompletedpursuanttotheanticipatedschedulesetforthinConsultant’sproposal.V.PROFESSIONALRESPONSIBILITYA.ConsultantherebywarrantsthatitisqualifiedtoperformtheWork,holdsallprofessionallicensesrequiredbylawtoperformtheWork,andhasallrequisitecorporateauthoritytoenterintothisAgreement.2 B.TheWorkshallbeperformedbyConsultantinaccordancewithgenerallyacceptedprofessionalpracticesandthelevelofcompetencypresentlymaintainedbyotherpracticingprofessionalfirmsperformingthesameorsimilartypeofworkintheDenvermetroarea.TheWorkshallbedoneincompliancewithapplicablefederal,stateandlocallaws,ordinances,rulesandregulations.C.Consultantshallberesponsiblefortheprofessionalquality,technicalaccuracy,timelycompletion,andthecoordinationofalldesigns,drawings,specifications,reports,andotherservicesfurnishedbyConsultantunderthisAgreementConsultantshall,withoutadditionalcompensation,correctorresolveanyerrorsordeficienciesinitsdesigns,drawings,specifications,reports,andotherservices,whichfallbelowthestandardofprofessionalpractice.D.ApprovalbytheTownofdrawings,designs,specifications,reports,andincidentalworkormaterialsfurnishedhereundershallnotinanywayrelieveConsultantofresponsibilityfortechnicaladequacyoftheWork.NeithertheTown’sreview,approval,oracceptanceof,norpaymentfor,anyoftheWorkshallbeconstruedtooperateasawaiverofanyrightsunderthisAgreementorofanycauseofactionarisingoutoftheperformanceofthisAgreement.E.BecausetheTownhashiredConsultantforitsprofessionalexpertise,Consultantagreesnottoemploysubcontractorstoperformmotethanfiftypercent(50%)oftheWork.UponexecutionofthisAgreement,ConsultantshallfurnishtotheTownalistofproposedsubcontractors,andConsultantshallnotemployasubcontractortowhoseemploymenttheTownreasonablyobjects.AllcontractsbetweenConsultantandsubcontractorsshallconformtothisAgreementincluding,butnotlimitedto,SectionsVIandXII(L).F.InnoeventwillConsultantberesponsibleforanyincreasedcostorexpenseoftheProjectthatprovidesbetterment,upgrades,orenhancesthevalueoftheProject.VI.INSURANCEA.Consultantagreestoprocureandmaintain,atitsowncost,apolicyorpoliciesofinsurancesufficienttoinsureagainstallliability,claims,demands,andotherobligationsassumedbyConsultantpursuanttothisAgreement.Suchinsuranceshallbeinadditiontoanyotherinsurancerequirementsimposedbylaw.B.Consultantshallprocureandmaintain,andshallcauseanysubcontractorofConsultanttoprocureandmaintain,theminimuminsurancecoverageslistedbelow.SuchcoveragesshallbeprocuredandmaintainedwithformsandinsurersacceptabletotheTown.Inthecaseofanyclaims-madepolicy,thenecessaryretroactivedatesandextendedreportingperiodsshallbeprocuredtomaintainsuchcontinuouscoverage.0 1.TheConsultantshallcarry,provideandmaintain,infullforceandeffectatalltimesduringthetermofthisAgreement,atitssolecostandexpense,workmen’scompensationinsurancerequiredforallitsemployees,commercialgeneralliabilityinsurance,errorsandomissioninsurance(professionalliability),andautomobileliabilityinsuranceinconjunctionwiththeperformanceofitsobligationsunderthetermsofthisAgreement.SaidinsurancecoverageshallbeinamountsnolessthantheliabilitylimitsspecifiedintheColoradoGovernmentalImmunityAct,Section24-10-101,etseq.,C.R.S.ascurrentlyexistsormaybeamendedthereafter.2.Exceptfortheerrorsandomissioninsurance(professionalliability)suchpoliciesshallprovidethatTown,itsofficers,itsemployeesandagentsbeanadditionalinsuredandtheTownshallbeentitledtorecoveryundersaidpoliciesforanylossoccasionedtoit,itsofficers,employees,andagentsbyreasonoftheactsoromissionsofConsultant,itsofficers,employees,agents,subcontractors,orbusinessinvitees.SuchpoliciesshallbewrittenasprimarypoliciesnotcontributingtoandnotinexcessofcoveragetheTownmaycarry.C.AnyinsurancecarriedbytheTown,itsofficers,itsemployees,oritsconsultantsshallbeexcessandnotcontributoryinsurancetothatprovidedbyConsultant.Consultantshallbesolelyresponsibleforanydeductiblelossesunderanypolicy.D.ConsultantshallprovidetotheTownacertificateofinsurance,completedbyConsultant’sinsuranceagent,asevidencethatpoliciesprovidingtherequiredcoverages,conditions,andminimumlimitsareinfullforceandeffect.ThecertificateshallidentifythisAgreementandshallprovidethatthecoveragesaffordedunderthepoliciesshallnotbecancelled,terminatedormateriallychangeduntilatleastthirty(30)dayspriorwrittennoticehasbeengiventotheTown.TheTownreservestherighttorequestandreceiveacertifiedcopyofanypolicyandanyendorsementthereto.E.FailureonthepartofConsultanttoprocureormaintaintheinsurancerequiredhereinshallconstituteamaterialbreachofthisAgreementuponwhichtheTownmayimmediatelyterminatethisAgreement,oratitsdiscretion,theTownmayprocureorrenewanysuchpolicyoranyextendedreportingperiodtheretoandmaypayanyandallpremiumsinconnectiontherewith,andallmoniessopaidbytheTownshallberepaidbyConsultanttotheTownupondemand,ortheTownmayoffsetthecostofthepremiumsagainstanymoniesduetoConsultantfromtheTown.VII.INDEMNIFICA11ONConsultantagreestoindemnifyandholdharmlesstheTownanditsofficers,insurers,volunteers,representatives,agents,employeesandassignsfromandagainstallclaims,liability,damages,losses,expensesanddemands,includingattorney’sfees,onaccountofinjury,loss,ordamage,including,withoutlimitation,claimsarisingfrombodilyinjury,personalinjury,sickness,disease,death,propertylossordamage,which4 ariseoutofthenegligentact,omission,error,professionalerror,mistake,negligence,orothernegligentfaultoftheConsultant,anysubcontractorofConsultant,oranyofficer,employee,representative,oragentofConsultantorofanysubcontractorofConsultant,orwhichariseoutofanyworkmen’scompensationclaimofanyemployeeofConsultantorofanyemployeeofanysubcontractorofConsultantInanyandallclaimsagainstTownoranyofitsofficers,insurers,volunteers,representatives,agents,employeesorassigns,byanyemployeeofConsultant,anysubcontractorofConsultant,anyonedirectlyorindirectlyemployedbyanyofthemoranyoneforwhoseactanyofthemmaybeliable,theindemnificationobligationunderthisSectionVIIshallnotbelimitedinanywaybyanylimitationontheamountortypeofdamages,compensationorbenefitspayablebyorforConsultantoranysubcontractorunderworker’scompensationactions,disabilitybenefitactsorotheremployeebenefitacts.IntheeventitbecomesnecessaryfortheTowntobringanyactiontoenforceanyprovisionofthisAgreementortorecoveranydamagestheTownmayincurasaresultofthebreachofthisAgreement,including,butnotlimitedto,defectivework.andtheTownprevailsinsuchlitigation,ConsultantshallpaytheTownitsreasonableattorneys’feesasdeterminedbytheCouriVIIITERMINA11ONThisAgreementshallterminateatsuchtimeastheWorkiscompletedandtherequirementsofthisAgreementaresatisfiedorupontheTown’sprovidingConsultantwithseven(7)daysadvancewrittennotice,whicheveroccursfirst.IftheAgreementisterminatedbytheTown’sissuanceofwrittennoticeofintenttoterminate,theTownshallpayConsultantthereasonablevalueofallworkpreviouslyauthorizedandcompletedpriortothedateoftermination.If,however,ConsultanthassubstantiallyormateriallybreachedthisAgreement,theTownshallhaveanyremedyorrightofset-offavailableatlawandequity.IftheAgreementisterminatedforanyreasonotherthancausepriortocompletionoftheWork,anyuseofdocumentsbytheTownthereaftershallbeattheTown’ssolerisk,unlessotherwiseconsentedtobyConsultant.NothinghereinshallconstituteamultiplefiscalyearobligationpursuanttotheColoradoConstitution,ArticleX,Section20.NotwithstandinganyotherprovisionofthisAgreement,theTown’sobligationsunderthisAgreementaresubjecttoannualappropriationbytheBoardoftheTown.AnyfailureoftheTownBoardannuallytoappropriateadequatemoniestofinancetheTown’sobligationsunderthisAgreementshallterminatethisAgreementatsuchtimeassuchthen-existingappropriationsaretobedepleted.Noticeshallbegivenpromptlyto.Consultantofanyfailuretoappropriatesuchadequatemonies.IX.CONFLICTOFINTERESTTheConsultantshalldiscloseanypersonalorprivateinterestrelatedtopropertyorbusinesswithintheTown.Upondisclosureofanysuchinterest,theTownshalldetermineiftheinterestconstitutesaconflictofinterest.IftheTowndeterminesthataconflictofinterestexists,theTownmaytreatsuchconflictofinterestasadefaultandterminatethisAgreement.5 XLINDEPENDENTCONTRACTORConsultantisanindependentcontractor.NotwithstandinganyotherprovisionofthisAgreement,allpersonnelassignedbyConsultanttoperformworkunderthetermsofthisAgreementshallbe,andremainatalltimes,employeesoragentsofConsultantforallpurposes.ConsultantshallmakenorepresentationthatitisaTownemployeeforanypurposes.XII.MISCELLANEOUSA.GoverningLawandVenue.ThisAgreementshallbegovernedbythelawsoftheStateofColorado,andanylegalactionconcerningtheprovisionshereofshallbebroughtinLanmerCounty,Colorado.B.NoWaiver.DelaysinenforcementorthewaiverofanyoneormotedefaultsorbreachesofthisAgreementbytheTownshallnotconstituteawaiverofanyoftheothertermsorobligationofthisAgreement.C.Integration.ThisAgreementandanyattachedexhibitsconstitutetheentireAgreementbetweenConsultantandtheTown,supersedingallpriororalorwrittencommunications.D.ThirdParties.Therearenothird-partybeneficiariestothisAgreement.E.Notice.AnynoticeunderthisAgreementshallbeinwriting,andshallbedeemedsufficientwhendirectlypresentedorsentpre-paid,firstdassUnitedStatesMail,addressedasfollows:TheTown:TownofEstesParkPublicWorksDepartmentPOBoxl200EstesPark,CO80517Consultant:Kenney&Associates,Inc.209EastFourthStreetLoveland,CO80537F.Severability.IfanyprovisionofthisAgreementisfoundbyacourtofcompetentjurisdictiontobeunlawfulorunenforceableforanyreason,theremainingprovisionshereofshallremaininfullforceandeffect.G.Modification.ThisAgreementmayonlybemodifieduponwrittenagreementoftheparties.6 H.Assignment.NeitherthisAgreementnoranyofllerightsorobligationsofthepartieshereto,shallbeassignedbyeitherpartywithoutthewrittenconsentoftheother.I.GovernmentalImmunity.TheTown,itsofficers,anditsemployees,aterelyingon,anddonotwaiveorintendtowaivebyanyprovisionofthisAgreement,themonetarylimitations(presentlyonehundredfiftythousanddollars($150,000)perpersonandsixhundredthousanddollars($600,000)peroccurrence)oranyotherrights,immunities,andprotectionsprovidedbytheColoradoGovernmentalImmunityAct,C.R.S.§24-10-101,etseq.,asamended,orotherwiseavailabletotheTownanditsofficersoremployees.J.RightsandRemedies.TherightsandremediesoftheTownunderthisAgreementareinadditiontoanyotherrightsandremediesprovidedbylaw.TheexpirationofthisAgreementshallinnowaylimittheTown’slegalorequitableremedies,ortheperiodinwhichsuchremediesmaybeasserted,forworknegligentlyordefectivelyperformed.K.BindingEffect.TheTownandConsultanteachbinditself,itssuccessorsandassignstotheotherpartytothisAgreementwithrespecttoallrightsandobligationsunderthisAgreement.NeithertheTownnorConsultantshallassignortransferitsinterestinthisAgreementwithoutthewrittenconsentoftheother.L.WorkByIllegalAliensProhibited.1.Consultantherebycertifiesthat,asofthedateofthisAgreement,itdoesnotknowinglyemployorcontractwithanillegalalienandthatConsultanthasparticipatedorattemptedtoparticipateinthebasicpilotemploymentverificationprogramasdefinedinC.R.S.§8-17.5-101(1)(‘Program”)inordertoverifythatitdoesnotemployillegalaliens.2.ConsultantshallnotknowinglyemployorcontractwithanillegalalientoperformworksunderthisAgreementorenterintoacontractwithasubcontractorthatfailstocertifytoConsultantthatthesubcontractorshallnotknowinglyemployorcontractwithanillegalalientoperformworkunderthisAgreement.3.ConsultantherebycertifiesthatithasverifiedorattemptedtoverifythroughparticipationintheProgramthatConsultantdoesnotemployanyillegalaliensand,ifConsultantisnotacceptedintotheProgrampriortoenteringintothisAgreement,thatConsultantshallapplytoparticipateintheProgrameverythree(3)monthsuntilConsultantisacceptedorthisAgreementhasbeencompleted,whicheverisearlier.7 4.ConsultantisprohibitedfromusingProgramprocedurestoundertakepre-employmentscreeningofjobapplicantswhilethisAgreementisbeingperformed.5.IfConsultantobtainsactualknowledgethatasubcontractorperformingworkunderthisAgreementknowinglyemploysorcontractswithanillegalallen,Consultantshallberequiredto:(I)notifythesubcontractorandDistrictwithinthree(3)daysthatConsultanthasactualknowledgethatthesubcontractorisemployingorcontractingwithanillegalalien;and(ii)terminatethesubcontractwiththesubcontractorifwithinthree(3)daysofreceivingthenoticerequitedpursuanttothissubparagraphthesubcontractordoesnotstopemployingorcontractingwiththeillegalalien;exceptthatConsultantshallnotterminatethecontractwiththesubcontractorifduringsuchthree(3)daysthesubcontractorprovidesinformationtoestablishthatthesubcontractorhasnotknowinglyemployedorcontractedwithanillegalalien.6.ConsultantshallcomplywithanyreasonablerequestbytheColoradoDepartmentofLaborandEmployment(“Department”)madeinthecourseofaninvestigationthattheDepartmentisundertakingpursuanttotheTownestablishedinC.R.S.Article17.5.7.IfConsultantviolatesthisparagraph,TownmayterminatethisAgreementforbreachofcontract.IfthisAgreementissoterminated,ConsultantshaltbeliableforactualandconsequentialdamagestotheTown.8
