08-9900ORDINANCENO.8-99ANORDNANCEESTABLISHINGAWATERACTIVITYENTERPRISEUNDERSTATELAWWITHINTHETOWNOFESTESPARK,COLORADO;ACKNOWLEDGINGTHATSUCHWATERACTIVITYENTERPRISEHASTHEAUTHORITYTOISSUEITSOWNREVENUEBONDSUNDERSTATELAW;MAKINGCERTAINfiNDINGSWITHRESPECTTOSUCHENTERPRISE;PROVIDINGOTHERDETAILSINCONNECTIONTHEREWITH;ANDDECLARINGANEMERGENCY.WHEREAS,theTownofEstesPark,LarirnerCounty,Colorado(the‘Town”)desirestoestablishawateractivityenterprise(the“Enterprise”)understatelaw;andWHEREAS,themembersofthegoverningbodyoftheTown(the“Board”)arewillingandintendtoactasthegoverningbodyoftheEnterprise;andWHEREAS,pursuanttoTitle37,Article45.1,Part1.ColoradoRevisedStatutes,(the‘Act”),theestablishmentofwateractivityenterpriseswithinorbyentitiesofstateandlocalgovernmentiscriticaltothehealthandwelfareofthepeopleoftheStateofColorado;andWHEREAS,theActdefinesa‘wateractivityenterprise”toincludeanywateractivitybusinessownedbyadistrict,whichenterprisereceivesundertenpercentofitsannualrevenuesingrantsfromallColoradostateandlocalgovernmentscombinedandwhichisauthorizedtoissueitsownrevenuebondspursuanttothisarticleoranyotherapplicablelaw;andWHEREAS,“district”isdefinedintheActtoincludemunicipalities;andWHEREAS,“wateractivity”isdefinedintheActtoincludebutnotbelimitedtothediversion,storage,carriage,delivery,distribution,collection,treatment,use,reuse,augmentation,exchange,ordischargeofwateraswellastheprovisionofwholesaleorretailwaterorstormwaterservicesandtheacquisitionofwaterorwaterrights;andWHEREAS,“grant”inthecontextoftheActmeansacashpaymentofpublicftndsmadedirectlytoawateractivityenterprisebythestateoralocalgovernmentalentityoradistrict,whichcashpaymentisnotrequiredtoberepaid;andWI-IEREAS.theTowniadistrictundertheAct,hasitsownrevenuebondingauthorityunderTitle31,Article35,Part4,ColoradoRevisedStatutes(“C.R.S.”),andwillbethesoleowneroftheEnterprise;and\VHEREAS,theTown’swateractivity,untilnowknownasthewaterenterpriseftnd,atpresentreceivesundertenpercentofitsannualrevenuesingrantsfromallColoradostateandlocalgovernmentscombinedandtheTownpresentlyintendstoinsurethatthewateractivityenterprisewillcontinuetoreceiveundertenpercentofitsrevenuesfromsuchgrants;and#5415863 00WHEREAS,theActprovidesatSection37-45.1-104,ColoradoRevisedStatutes,thateachwateractivityenterprise,throughitsgoverningbody,mayissueorreissuerevenuebondsinaccordancewithandthroughtheprovisionsofSection37-45.1-104(2),C.R.S.;andWHEREAS,theBoardhasdeterminedthatitisinthebestinterestoftheTowntodesignateitswaterenterprisefundanditswateractivitiesasa“wateractivityenterprise”pursuanttotheActandArticleX,Section20oftheColoradoConstitution(“TABOR”;)andWHEREAS,allcapitalizedwordsandtermsusedinthisenterpriseordinance(the“EnterpriseOrdinance”)shallhavethemeaningssetforththereforintheserecitals;THEREFORE,BEITORDAINEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,LARIMERCOUNTY,COLORADO:Section1.EstablishmentoftheEnterprise.TheTownherebyestablishestheEnterpriseasanagencyoftheTownandformallydesignatesitasthe“TownofEstesPark,WaterActivityEnterprise”.ItshallbethepurposeoftheEnterprisetopursueorcontinuealloftheTown’swateractivities,includingthosedefinedintheAct,suchaswateracquisitionorwaterprojectorfacilityactivities,includingtheconstruction,operation,repair,andreplacementofwaterfacilities,andadministration,usingrevenuesandincomegeneratedbyandearnedoracquiredinconnectionwithsuchwateractivitiesandheldandmanagedintheTown’swaterenterprisefund.AsbetxveentheTownandtheEnterprise,allwateractivitieswillbedeemeddoneandftirnishedbytheEnterprise.Section2.EnterpriseExcludedfromtheProvisionsofTABOR.PursuanttoandinaccordancewiththeAct,thcEnterpriseshallbeexcludedfromtheprovisionsoflABORandshallbeentitledtoimposerates,fees,tolls,andcharges;collectandspendrevenues;issuerevenuebonds;andconstruct,operate,andmaintainfacilitiesandprovidewaterservices;allwithoutreferenceorregardtothelimitationscontainedinTABOR.Section3.GoverningBody.ThemembersoftheBoardshallserveasthegoverningbodyoftheEnterpriseandshallbeknowncollectivelyastheBoardofDirectorsoftheEnterprise(the“EnterpriseBoard”).ActingastheEnterpriseBoard,theBoardmayexercisetheTown’slegalauthorityrelatingtowateractivitiesasdefinedintheAct.TheEnterpriseBoardherebyisdirectedtotakeallactionsnecessarytocausetheEnterprisetocomplywithallapplicablelaws.Section4.PowersoftheEnterprise.TheEnterpriseshallhaveallpowersandauthoritygrantedtowateractivityenterprisesbytheprovisionsoftheAct,includingbutnotlimitedtothepowertoconductandcontinuewateractivitiesasdefinedintheAct;thepowertocontractwithanypersonorentity,includingotherdistrictsasdefinedintheActandotherwateractivityenterprisesasdefinedintheAct;andthepowertoissueandreissuerevenuebondsthroughitsgoverningbodyinaccordancewithandthroughtheprovisionsofSection37-45.1-104(2),C.R.S.Section5.EnterpriseObligationsandTownObliQations.InconsiderationoftheEnterprise’scommitmenttoprovidewaterservicesforwhichtheTownactuallyisobligatedandtocollectandspendrevenuesfromrates,fees,tolls,andchargesimposedbytheTown,theTownherebyagrees#5415864 00tocontinuetoprovideadministrativeservicesfortheEnterpriseanditsactivities,tocontinuetoholdtitletoandownalloftheassetscurrentlyownedbytheTownandnecessary’totheoperationoftheEnterprise,tolevytaxesforandpaydebtserviceongeneralobligationsoftheTownincurredinthepasttofinancetheacquisition,construction,andinstallationofwaterfacilitiesandimprovements,andtoimposeallrates,fees,tolls,andchargesforwateractivities.TherelationshipbetweentheTownandtheEnterprisewithrespecttotheadministrationoftheEnterprise,theoperationofthewateractivities,andthedutiesandresponsibilitiesofeachpartyshallbeashereinsetforthandasmaybedelineatedandclarifiedfromtimetotimeinajointresolutionoftheBoardandtheEnterpriseBoardwhichmaybeadoptedatanytimewhenthisEnterpriseOrdinanceisinhillforceandeffect(‘JointResolution”).Section6.TransactionsintheNameoftheTown.AnyandalltransactionsoftheEnterprisemaybedoneinthenameoftheTownorinthenameoftheEnterpriseandneitherthisSection6noranytransactionenteredintopursuanttoitshallalterorabrogatetherelationshipoftheTownandtheEnterpriseasestablishedinSection5ofthisEnterpriseOrdinanceandasmaybefurtherclarifiedfromtimetotimeinaJointResolution.Section7.FindingsoftheBoard.TheBoardherebymakesthefollowingfindingswithrespecttotheestablishmentoftheEnterprise:(a)TheTown’swaterenterprisefund,waterrights,waterfacilities,andappurtenancesallshallcomprisetheEnterprisewhichshallbeandisthewateractivitybusinessownedbytheTown.(b)TheEnterpriseshallbeandisanagencyoftheTownforthepurposeandwithintheineaningofthefollowing:(i)Title24,Article10,Pan1,ColoradoRevisedStatutes,the“ColoradoGovernmentalImmunityAct;(ii)Title29,Article1,Part6,ColoradoRevisedStatutes,the“ColoradoLocalGovernmentAuditLaw”;(iii)Title29,Article1,Partl,the“LocalGovernmentBudgetLawofColorado”;and(iv)allotherlocal,state,andfederallaws,rules,andregulations.(c)TheestablishmentoftheEnterpriseisnecessarytoprovideasecurewatersupplyfordomesticusebytheinhabitantsoftheTownandotherdomesticcustomersoftheEnterprise;tocontinuetoprovidewaterforagriculturaluse;tosupplywaterforpower,milling,manufacturing,mining,metallurgical,fish,wildlife,recreational,andallotherbeneficialuses;totreaE,reclaim,conserve,recharge,augment,exchange,orreusewatersupplies;andtoprovidewholesaleandretailwatcrsupplyservices.#5415865 CC(d)TheTownhastheauthoritytoconductwateractivitiesasdefinedintheActandisthesoleowneroftheEnterpriseasrequiredbytheAct.TheTownhasrevenuebondingauthorityforwateractivitiespursuanttoTitle31,Article35,Part4,C.R.S.,allasrequiredbytheAct.(e)TheEnterprisereceivesundertenpercentofitsannualrevenuesingrants(asdefinedintheAct)fromallColoradostateandlocalgovernmentscombined,havingreceived(astheTownswaterenterprisefund)noneofitsrevenuesforthe1998fiscalyearfromstateandlocalgrantsandexpectingtoreceivenoneofitsrevenuesforthe1999fiscalyearfromsuchsources.(QPursuanttotheAct,theEnterpriseisauthorizedtoissueitsownrevenuebonds.(g)TheEnterprisedoesnotandshallnotlevyanytaxwhatsoever,norshallanyrates,tolls,fees,orchargescollectedandspentbytheEnterpriseeverbedeemedtobetaxesforanypurposeunderanylaw,rule,orregulation,whetherlocal,state,orfederal.Section8.Termination.TheEnterpriseshallremaininexistenceatthewilloftheBoardandinaccordancewithlaw.IntheeventthattheEnterpriseisterminatedbyoperationoflaworbyactoftheBoard,anyandallassetsoftheEnterprise,immediatelyandwithouttheneedforfi.wtheraction,shallbedeemedtobeandshallbeassetsoftheTown.Section9.Repealer.Allorders,rules,regulations,resolutions,andordinancesoftheTown,orpartsthereof,inconsistentorinconflictwiththisEnterpriseOrdinance,herebyarerepealedtotheextentonlyofsuchinconsistencyorconflict.Section10.Severability.Ifanysection,paragraph,clause,orprovisionoftheEnterpriseOrdinanceshallforanyreasonbeheldtobeinvalidorunenforceable,theinvalidityorunenforceabilityofsuchsection,paragraph,clause,orprovisionshallnotaffectanyofiheremainingprovisionsofthisEnterpriseOrdinanc,theintentbeingthatthesameareseverable.Section11.EffectiveDate:RecordingandAuthentication.ThisEnterpriseOrdinanceshallbeeffectiveimmediatelyuponitsadoption.ThisEnterpriseOrdinanceshallberecordedinabookkeptforthatpurpose,shallbeauthenticatedbythesignatureoftheMayorandattestedbytheTownClerk,andshallbepublishedinaccordancewithlaw.Section12.EmergencyProvisions.Byreasonofthefactsthat:(1)theTownanditsinhabitantsmustbeproperlyandadequatelysuppliedwithwateranditisnecessarytoissuebondsimmediatelytofinancethecostsandexpensesofextendingandimprovingthewaterfacilitiesand(2)itisnecessarytodocumenttheenterprisestatusoftheEnterprisebeforesuchbondsmaybeissued;itisherebydeclaredthatanemergencyexists,thatthisEnterpriseOrdinanceisnecessarytotheimmediatepreservationofthepublicpeace,health,andsafety,andthatitshallbeinfullforceandeffectuponadoptionandpublicationaccordingtolaw.#5315866
