0TransferofOwnership(15HA471517)(TransferofUS34Business,MoraineAvenuetoWonderviewAvenue)ID471000425Region4(rp)INTERGOVERNMENTALAGREEMENTTHISINTERGOVERNMENTALAGREEMENT(“Agreement”),byandbetweentheSTATEOfCOLORADOfortheuseandbenefitofTHEDEPARTMENTOfTRANSPORTATION,whoseaddressis4201EastArkansasAvenue,Denver,Colorado,hereinafterreferredtoasthe“State”or“CDOT,”andtheTownofEstesPark,P.O.Box1200,EstesPark,Colorado80517,CDOTVendor#:2000306(the“LocalAgency.”)WHEREAS,authorityexistsinthelawandfundshavebeenbudgeted,appropriatedandotherwisemadeavailableandasufficientuncommittedbalancethereofremainsavailableforpaymentofprojectcostsinFundNumber400,function<c’>,GLAcct.<c>,WB$ElementorCostCenter<c>,(ContractEncumbranceAmount:$4,200,000.00).WHEREAS,ColoradoRevisedStatutes(“CRS”)§43-2-106(1)(a)providesthattheTransportationCommissionmaydeterminethatastatehighway,orportionthereof,nolongerfunctionsasastatehighwayandwiththeagreementofeachaffectedcountyormunicipalitythestatehighway,orportionthereof,isabandoned.CRS§43-2-106(1)(b)furtherprovidesthatanycountyormunicipalityreceivingapaymentfromCDOTasaresultofCRS§43-2-106(1)(a)shallcreditthepaymenttoaspecialfundtobeusedonlyfortransportation-relatedexpenditures.WHEREAS,GovernorJohnHickenlooperandCDOTExecutiveDirectorDonHuntannouncedtheResponsibleAccelerationofMaintenanceandPartnerships(“RAMP”)programtoacceleratecompletionoftransportationprojects.WHEREAS,theLocalAgencysubmittedanapplication(“Application”)toCDOTforapprovalbytheCDOTCommissiontoparticipateintheRAMPprogram.WHEREAS,theCDOTCommissionadoptedResolutionTC-3106onOctober17,2013(the“Resolution”)approvingthelistofprojectsshowninthedocumententitled“RAMPPartnershipandOperationsProjects—PreliminaryRecommendations10/16/2013(“ProjectsList”).”WHEREAS,roadwaytransfersfromCDOTtotheLocalAgency(“Devolutions”)areapartoftheRAMPprogram,andaspartoftheapprovalundertheResolution,theLocalAgencynowdesirestoobtainownershipofUS34Business,MoraineAvenuetoWonderviewAvenueWHEREAS,theLocalAgencyproposedtotakeownershipof2.54lanemilesofUS34Business(ElkhornAvenue)fromMoraineAvenue(US36)toWonderviewAvenue(US34Bypass),asdescribedinExhibitA(RoadwayPlans)andExhibitB(LegalDescriptions)whichareattachedhereto(collectively,the“AbandonedSegment”),inexchangeforapaymentof$4,200,000.00fromCDOT(the“Payment”),subjecttotheadditionalrequirementthatCDOTtakeovertheownershipandmaintenanceof0.71lanemilesofRiversideDrivefromElkhornAvenuetoMoraineAvenue(the“Exclusion”).TheAbandonedSegmentsubjecttotheExclusion,ifany,isreferredtoasthe“HighwaySegment.”Page1of9 C,CWHEREAS,onOctober16,2014,theCDOTCommissionadoptedResolutionNumberTC-3199(ExhibitC)authorizingsaidproposaloftheLocalAgencybefundedandspecifyingthattheHighwaySegmentwouldbetransferredinan“asis”conditioninexchangeforthepaymentbyCDOTtotheLocalAgencyonthedateofthetransferofownershipoftheHighwaySegmenttotheLocalAgency.WHEREAS,thePartiesdesiretoenterintothisAgreementandagreeupontheconditionsoftheabandonmentoftheHighwaySegmentbytheStateandacceptancebytheLocalAgencypursuanttothetermsandconditionsofthisAgreement.WHEREAS,thePartiesareauthorizedtoenterintothisAgreementpursuanttotheprovisionsofCRS§29-1-203,43-1-106,43-1-110,43-1-114,43-202.7,43-2-101,43-2-106,43-2-110,43-2-144,and43-2-303,asamended.NOW,THEREFORE,itisherebyagreedthat:1.ThisAgreementestablishesthegeneralprovisionsforanddefinescertainresponsibilitiesregardingtheState’sabandonmentandacceptancebytheLocalAgencyoftheHighwaySegment.2.ThisAgreementshallnotbeeffectiveorenforceableuntilitisapprovedandsignedbytheColoradoStateControllerortheirdesignee(the“EffectiveDate”).TheStateshallnotbeliabletopayorreimbursetheLocalAgencyforanyperformancehereunder,including,butnotlimitedtocostsorexpensesincurred,orbeboundbyanyprovisionhereofpriortotheEffectiveDate.3.ThegoverningbodyoftheLocalAgencyshallhaveadoptedthefollowingprovisionsthroughformalResolutionorOrdinance:1)agreeingtheHighwaySegment,nolongerservestheongoingpurposesoftheStatehighwaysystem(“Provision1”);and2)committingtheLocalAgencytoacceptownershipoftheHighwaySegmentinthe“asis”conditioninexchangeforapaymentof$4,200,000.00fromCDOTtobecreditedtoaspecialfundtobeusedonlyfortransportation-relatedexpenditures;andspecifyingthefollowingadditionalrequirements:(1)subjecttotheExclusion;(2)thatinexchangeforPaymenttheLocalAgencyshallmaintaintheHighwaySegmentinareasonableandsafeconditionasacountyhighwayorcitystreetand(3)pursuantto23USC131,asamended(TheHighwayBeautificationActof1965)(the“Act”),theLocalAgencyshalladheretothestandardsregardingoutdooradvertisingandCDOTshallprovideperiodinspectionoftheHighwaySegmenttoinsurestandardsoftheActaremet(collectively,“Provision2”).TheLocalAgencyadoptedresolution(s)areattachedheretoasExhibitD.Thepartiesagreethat(A)Provision1andProvision2donothavetobeadoptedbytheLocalAgencyinthesameresolutionorordinance,(B)thatifProvision2isadoptedbytheLocalAgencypriortotheCommissionResolution(assuchtermisdefinedinSection4below),itshallbeconditionalandsubjecttothepassageoftheCommissionResolutionandthetransferofownershipoftheHighwaySegmenttotheLocalAgencyeffectiveuponthefilingofaquitclaimdeedpursuanttoSection5hereof,and(C)Provision2shallbeadoptedbytheLocalAgencyassoonaspracticalandnolaterthan90daysafterpassageoftheCommissionResolution.Page2of9 C04.followingtheadoptionbytheLocalAgencyofProvision1,theColoradoTransportationCommissionshalladoptaresolution(ExhibitC)abandoningtheHighwaySegment(the“CommissionResolution”).5.UponexecutionofthisAgreement,CDOTwillexecuteaquitclaimdeedsimilartotheformofquitclaimdeedattachedheretoasExhibitE,whichshallbefiledbytheLocalAgencyintheCountyClerkandRecorder’sOfficefortheHighwaySegment.TheLocalAgencyshallgiveCDOTacopyofthefiledquitclaimdeedwithin30daysoftheLocalAgency’sreceiptofthePaymentortheHighwaySegmentshallbesubjecttoreversionandtheentirePaymentshallbereturnedtoCDOTwithoutreduction.ThequitclaimdeedwillincludeareversionprovisionstatingthatiftheHighwaySegmentisnotusedforthepurposeofacountyhighwayoracitystreet,iftheLocalAgencydoesnotmeettheSignageRequirementsoriftheLocalAgencyattemptstotransferright-of-waytoalloranyportionoftheHighwaySegmenttoanypartyexceptCDOTortheState,titleoftheHighwaySegmentwillautomaticallyrevertbacktoCDOT.ThelegaldescriptionoftheHighwaySegmentthatisthesubjectofthequitclaimdeedisattachedheretoasExhibitB.CDOTandtheLocalAgencyagreethatuponareversionoftheHighwaySegmenttoCDOT,aproportionateshareofthePaymenttotheLocalAgencyshallbereturnedtoCDOT,whichshallbecalculatedasfollows:ThePayment—(MonthlyfeexMaintenancePeriod)—[(Monthlyfee/PartialMonthDays)xElapsedDays]=paymenttoCDOTThe“Monthlyfee”isequalto11240thofthePayment.The“MaintenancePeriod”isequaltothenumberoffullmonthsafterthedateofreceiptofthePaymentbytheLocalAgencythroughtheDateofReversion.The“DateofReversion”isthedayownershipoftheHighwaySegmentistransferredtoCDOTpursuanttothisSection5.“PartialMonthDays”isthenumberofdaysinthemonthwhichisthesubjectoftheproratacalculationforapartialmonth.“ElapsedDays”isthenumberofelapseddaysinthemonthwhichissubjectoftheproratacalculationforapartialmonthfromeither(A)theLocalAgency’sreceiptofthePaymentthroughtheendofthemonthor(B)thebeginningofthemonththroughtheDateofReversion.Forexample,assumingthatthePaymentis$9,000,000,ifthePaymentisreceivedbytheLocalAgencyonMarch1,2010andtheHighwaySegmentrevertstoCDOTonJanuary13,2011,theLocalAgencymustpayCDOTanamountequalto$9,000,000—($37,500x10)—[(37,500/31)x13]=$8,609,271.19.IftheHighwaySegmentrevertstoCDOTmorethan20fullyearsfollowingtheLocalAgency’sreceiptofthePayment,noportionofthePaymentshallbereturnedtoCDOT.6.UponexecutionofthisAgreement,CDOTwillpromptlyprovidethePaymentof$4,200,000.00totheLocalAgency.ThePaymentbytheStatetotheLocalAgencyasdescribedhereinshallconstitutethetotalconsiderationfromtheStatetotheLocalAgencyrelatedtotheabandonmentandtransferoftheHighwaySegment.7.TheLocalAgencyisprohibitedfromtransferringright-of-waytoalloranyportionoftheHighwaySegmenttoanypartyexceptCDOTortheState.Anysuchattempttotransferright-of-waytoalloranyportionoftheHighwaySegmentinviolationofthisSection7Page3of9 00shallbedeemednullandvoid.UponanyattemptbytheLocalAgencytotransferright-of-waytoalloranyportionoftheHighwaySegmenttoanypartyexceptCDOTortheState,theHighwaySegmentshallautomaticallyreverttoCDOTpursuanttoSection5hereof.2.IfCDOTbelievesthattheLocalAgencyisnotmaintainingtheHighwaySegmentinareasonableandsafeconditionasacountyroadoracitystreetand/orthattheLocalAgencyisnotmeetingtheSignageRequirements,CDOTshallnotifytheLocalAgencyinwritingdescribingthecondition.CDOTandtheLocalAgencyshallmeetassoonasreasonablypossibleandattempttoresolvethematteranddeveloparemediationplan.TheLocalAgencyshallhaveareasonableperiodoftimetoremedysuchcondition.IftheLocalAgencyfailstoremedytheconditiontothefullsatisfactionofCDOTwithinthereasonabletimeperiodestablishedbyCDOT,theHighwaySegmentshallbesubjecttoreversionpursuanttoSection5hereof.CDOTshallprovidetheLocalAgencywithwrittennoticeofitsintentiontore-acquiretheHighwaySegmentpursuanttoreversion.9.Eachindividualidentifiedbelowistheprincipalrepresentativeofthedesignatingparty.Allnoticesrequiredtobegivenhereundershallbehanddeliveredwithreceiptrequiredorsentbycertifiedorregisteredmailtosuchparty’sprincipalrepresentativeattheaddresssetforthbelow.Inadditionto,butnotinlieuofahard-copynotice,noticealsomaybesentbye-mailtothee-mailaddresses,ifany,setforthbelow.Eitherpartymayfromtimetotimedesignatebywrittennoticesubstituteaddressesorpersonstowhomsuchnoticesshallbesent.Unlessotherwiseprovidedherein,allnoticesshallbeeffectiveuponreceipt.A.State:___________________________________JakeSchuchCDOTRegion4ProjectManager1420SecondStreetGreeley,Colorado80631(970)350-2205B.LocalAgency:viNAkoii&I.112r-eject-Manager-Y”t)rkoQE’:170MacGregorAvenueP.O.Box1200EstesPark,Colorado80517(970)577-358210.ThisAgreementisintendedasthecompleteintegrationofallunderstandingsbetweentheparties.Nopriororcontemporaneousaddition,deletion,orotheramendmentheretoshallhaveanyforceoraffectwhatsoever,unlessembodiedhereinbywriting.Nosubsequentnovation,renewal,addition,deletion,orotheramendmentheretoshallhaveanyforceoreffectunlessembodiedinawrittenexecutedandapprovedpursuanttotheStatefiscalRules.11.ThisAgreementshallinuretothebenefitofandbebindingupontheparties,theirsuccessorsandassigns.12.The“SpecialProvisions”attachedheretoareherebymadeaparthereof.forthepurposeofthisAgreementandapplicationoftheSpecialProvisions,asallreferencestothe“thePage4of9 C,contractor”shallbedeemedtorefertotheLocalAgencyandallreferencestothe“Contract”shallbedeemedtorefertotheAgreement.13.TotheextentthatthisAgreementmaybeexecutedandperformanceoftheobligationsofthepartiesmaybeaccomplishedwithintheintentoftheAgreement,thetermsofthisAgreementareseverable,andshouldanytermorprovisionhereofbedeclaredinvalidorbecomeinoperativeforanyreason,suchinvalidityorfailureshallnotaffectthevalidityofanyothertermorprovisionhereof.Thewaiverofanybreachofatermhereofshallnotbeconstruedasawaiverofanyotherterm,orthesametermuponsubsequentbreach.14.ItisexpresslyunderstoodandagreedthattheLocalAgencyortheiremployees,contractors,consultants,orassignsshallnotinanyrespectbedeemedanagentoftheState.15.STATEWIDECONTRACTMANAGEMENTSYSTEMIfthemaximumamountpayabletotheLocalAgencyunderthisAgreementis$100,000orgreater,eitherontheEffectiveDateoratanytimethereafter,this§15applies.TheLocalAgencyagreestobegoverned,andtoabide,bytheprovisionsofCRS§24-102-205,§24-102-206,§24-103-601,§24-103.5-101and§24-105-102concerningthemonitoringofvendorperformanceonstateagreements/contractsandinclusionofagreement/contractperformanceinformationinastatewidecontractmanagementsystem.TheLocalAgency’sperformanceshallbesubjecttoEvaluationandReviewinaccordancewiththetermsandconditionsofthisAgreement,Statelaw,includingCRS§24-103.5-101,andStatefiscalRules,PoliciesandGuidance.EvaluationandReviewoftheLocalAgency’sperformanceshallbepartofthenormalAgreementadministrationprocessandtheLocalAgency’sperformancewillbesystematicallyrecordedinthestatewideAgreementManagementSystem.AreasofEvaluationandReviewshallinclude,butshallnotbelimitedtoquality,costandtimeliness.CollectionofinformationrelevanttotheperformanceoftheLocalAgency’sobligationsunderthisAgreementshallbedeterminedbythespecificrequirementsofsuchobligationsandshallincludefactorstailoredtomatchtherequirementsoftheLocalAgency’sobligations.SuchperformanceinformationshallbeenteredintothestatewideContractManagementSystematintervalsestablishedhereinandafinalEvaluation,ReviewandRatingshallberenderedwithin30daysoftheendoftheAgreementterm.TheLocalAgencyshallbenotifiedfollowingeachperformanceEvaluationandReview,andshalladdressorcorrectanyidentifiedprobleminatimelymannerandmaintainworkprogress.ShouldthefinalperformanceEvaluationandReviewdeterminethattheLocalAgencydemonstratedagrossfailuretomeettheperformancemeasuresestablishedhereunder,theExecutiveDirectoroftheColoradoDepartmentofPersonnelandAdministration(ExecutiveDirector),uponrequestbyCDOT,andshowingofgoodcause,maydebartheLocalAgencyandprohibittheLocalAgencyfrombiddingonfutureagreements.TheLocalAgencymaycontestthefinalEvaluation,ReviewandRatingby:(a)filingrebuttalstatements,whichmayresultineitherremovalorcorrectionoftheevaluation(CRS§24-105-102(6)),or(b)underCRS§24-105-102(6),exercisingthedebarmentprotestandappealrightsprovidedinCRS§24-109-l06,107,201or202,whichmayresultinthePage5of9 areversalofthedebarmentandreinstatementoftheLocalAgency,bytheExecutiveDirector,uponshowingofgoodcause.16.ItisexpresslyunderstoodandagreedthatenforcementofthetermsandconditionsofthisAgreement,andallrightsofactionrelatingtosuchenforcement,shallbestrictlyreservedtotheLocalAgencyandtheState,andnothingcontainedinthisAgreementshallgiveorallowanysuchclaimorrightofactionbyanyotherorthirdpersononsuchAgreement.Further,itistheexpressintentionoftheLocalAgencyandtheStatethatanypersonotherthanpartiesheretothatmayreceiveservicesorbenefitsunderthisAgreementshallbedeemedtobeanincidentalbeneficiaryonly.17.TheLocalAgencyrepresentsandwarrantsthattheyhavetakenallactionsthatarenecessaryorthatarerequiredbyitsprocedures,bylaws,orapplicablelaw,tolegallyauthorizetheundersignedsignatorytoexecutethisAgreementonbehalfofsaidpublicentity,andtobindsaidpublicentitytoitsterms.1$.ThelawsoftheStateofColoradoandrulesandregulationsissuedpursuanttheretoshallbeappliedintheinterpretation,executionandenforcementofthisAgreement.AnyprovisionofthisAgreementwhetherornotincorporatedhereinbyreferencewhichprovidesforarbitrationbyanyextra-judicialbodyorpersonorwhichisotherwiseinconflictwithsaidlaws,rulesandregulationsshallbeconsiderednullandvoid.Nothingcontainedinanyprovisionincorporatedhereinbyreferencewhichpurportstonegatethisoranyotherspecialprovisioninwholeorinpartshallbevalidorenforceableoravailableinanyactionatlawwhetherbywayofcomplaint,defenseorotherwise.AnyprovisionrenderednullandvoidbytheoperationofthisprovisionwillnotinvalidatetheremainderofthisAgreementtotheextentthattheagreementiscapableofexecution.19.AtalltimesduringtheperformanceofthisAgreement,thepartiesshallstrictlyadheretoallapplicablefederalandstatelaws,rulesandregulationsthathavebeenormayhereafterbeestablished.20.Thesignatoriesheretoaverthattheyarefamiliarwith18-8-301,etseq.(BriberyandCorruptInfluences)and18-8-401,etseq.(AbuseofPublicOffice),C.R.S.,andthatnoviolationofsuchprovisionsispresent.21.Thesignatoriesaverthattotheirknowledge,nostateemployeehasapersonalorbeneficialinterestwhatsoeverintheserviceorpropertydescribedherein.22.TheLocalAgency’srightsandobligationshereunderarepersonalandmaynotbetransferred,assignedorsubcontractedwithouttheprior,writtenconsentoftheState.Anyattemptatassignment,transfer,orsubcontractingwithoutsuchconsentshallbevoid.AllassignmentsandsubcontractsapprovedbytheLocalAgencyortheStatearesubjecttoalloftheprovisionshereof.TheLocalAgencyshallbesolelyresponsibleforallaspectsofsubcontractingarrangementandperformance.23.ThisAgreementmaybeexecutedinmultipleidenticaloriginalcounterparts,allofwhichshallconstituteoneagreement.24.Modificationa.BytheParties.ExceptasspecificallyprovidedinthisAgreement,modificationsofthisAgreementshallnotbeeffectiveunlessagreedtoinwritingbybothpartiesinPage6of9 aanamendmenttothisAgreement,properlyexecutedandapprovedinaccordancewithapplicableColoradoStatelaw,StateFiscalRules,andOfficeoftheStateControllerPolicies,including,butnotlimitedto,thepolicyentitledMODIFICATIONSOFCONTRACTS-TOOLSANDFORMS.b.ByOperationofLaw.ThisAgreementissubjecttosuchmodificationsasmayberequiredbychangesinfederalorColoradoStatelaw,ortheirimplementingregulations.AnysuchrequiredmodificationautomaticallyshallbeincorporatedintoandbepartofthisAgreementontheeffectivedateofsuchchange,asiffullysetforthherein.25.Notwithstandinganythinghereintothecontrary,provisionsofthisAgreementrequiringcontinuedperformance,compliance,oreffectafterterminationhereof,shallsurvivesuchterminationandshallbeenforceablebytheStateifLocalAgencyfailstoperformorcomplyasrequired.26.IftheLocalAgencyisnota“publicentity”withinthemeaningoftheColoradoGovernmentalImmunityAct,CRS24-10-10l,etseq.,theLocalAgencyshallindemnify,saveandholdharmlesstheState,itsemployeesandagents,againstanyandallclaims,damages,liabilityandcourtawardsincludingcosts,expenses,andattorneyfeesandrelatedcosts,incurredasaresultofanyactoromissionbytheLocalAgency,oritsemployees,agents,subcontractorsorassigneespursuanttothetermsofthisAgreement.ThisclauseisnotapplicabletoaLocalAgencythatisa“publicentity”withinthemeaningoftheColoradoGovernmentalImmunityAct,CRS24-10-l0l,etseq.27.Allsuits,actions,proceedingsrelatedtothisAgreementshallbeheldintheStateofColoradoandexclusivevenueshallbeintheCityandCountyofDenver.28.Anyandalllimitationsofliabilityand/ordamagesinfavoroftheLocalAgencycontainedinanydocumentattachedtoand/orincorporatedbyreferenceintothisAgreement,whetherreferredtoasanexhibit,attachment,scheduleoranyothername,arevoidandofnoeffect.Thisincludes,butisnotnecessarilylimitedto,limitationson(i)thetypesofliabilities,(ii)thetypesofdamages,(iii)theamountofdamages,and(iv)thesourceofpaymentfordamages.29.TheprovisionsofthisAgreementshallgoverntherelationshipoftheStateandtheLocalAgency.IntheeventofconflictsorinconsistenciesbetweenthisAgreementanditsexhibitsandattachments,suchconflictsorinconsistenciesshallberesolvedbyreferencetothedocumentsinthefollowingorderofpriority:1.ColoradoSpecialProvisions,2.TheprovisionsofthemainbodyofthisAgreement,3.ExhibitA(RoadwayPlans),4.ExhibitB(LegalDescription(s)),5.ExhibitC(CommissionResolution),6.ExhibitD(LocalAgencyResolution(s)),7.ExhibitE(QuitClaimDeed).30.CORADisclosure.Totheextentnotprohibitedbyfederallaw,thisAgreementandtheperformancemeasuresandstandardsunderCRS§24-103.5-101,ifany,aresubjecttopublicreleasethroughtheColoradoOpenRecordsAct,CRS§24-72-200.1,etseq.Page7of9
