HomeMy WebLinkAboutIGA Estes Valley Fire Protection District 2020-07-20RECEPTION#20200055518,7/24/202011:23:47AM,1of12,$68.00AngelaMyers,Clerk&RecorderLahmerCounty,COINTERGOVERNMENTALAGREEMENTFORACCESSANDMAINTENANCETOTOWNCOMMUNICATIONFACILITIESTHISINTERGOVERNMENTALAGREEMENTismadeandenteredintothis]dayof________________.2020,betweentheTownofEstesPark(the‘Town)andtheEstesValleyFireProtectionDistrict(the“FireDistrict”),collectively,the“Parties”.RECITALSWHEREAS,theTown,upontheexecutionbybothPartiesofthisIntergovernmentalAgreementwilltransfertheDannelsFireStationtotheFireDistrictbyDeedandBillofSale,acopyofwhichisattachedheretoasExhibitAandincorporatedhereinbyreference;andWHEREAS,theTownhasinstalledandmaintainscertaincommunicationequipment(the“CommunicationFacilities”)withintheDannelsFireStationasmorefullysetforthonExhibitBattachedheretoandincorporatedhereinbyreference;andWHEREAS.thePartiesdesiretoenterintothisIntergovernmentalAgreementtostatethetermsandconditionsoftheCommunicationsFacilitiesremainingintheDannelsFireStationincludingaccessbytheTowntotheCommunicationFacilities.NOW,THEREFORE,inconsiderationofthemutualcovenantscontainedherein,thesufficiencyofwhichisherebyacknowledged,thePartiesagreeasfollows:AGREEMENT1.TheCommunicationFacilitiesshallremainthepropertyoftheTown.2.TheTownshallhavetherighttoaccessDannelsFireStationtomaintain,replace,repair,extend,and/orremoveallorpartoftheCommunicationFacilities.a.TheTownshallprovidetheFireDistrictwithaminimumof24hours’noticepriortotheTownaccessingDannelsFireStationforroutinemaintenance,replacement,repair,extensionand/orremovaloftheCommunicationFacilities.TheTownwillendeavortoperformworkwithinregularbusinesshoursandduringtimesthatwillminimizeconflictwiththeDistrict’suseoftheDannelsFireStationtotheextentpossible.b.IntheeventofanemergencywhichrequiresaccesstotheDannelsFireStationbytheTownfortheCommunicationFacilities,theTownshallbeentitledtoaccessDannelsFireStationwithoutprovidingthe24-hournoticeprovidedinSection2.a.above.TheTownshallendeavortoprovideasmuchnoticeaspossibletotheFireDistrictpriortoaccessingDannelsFireStationforanemergencysituation.{00765814.DOCX/}1
3.TheTownmaymaintain,repair,replace,extend,and/orremovetheCommunicationFacilitiesusingthirdpartycontractorswhichshallbeagentsoftheTownforthepurposesofthisIntergovernmentalAgreement.AnycontractthattheTownentersintoforthispurposewillincludelanguagewaivingliabilitytotheDistrictforanyclaimsforpaymentorperformancethereof,andwhichprovidesthatthethirdpartyhasandwiltmaintainliabilityinsurancecoverageinanamountatleastofthelimitsoftheColoradoGovernmentalImmunityAct.4.TheTowncurrentlyprovides,throughtheCommunicationFacilities,phoneservicefortheFireDistrict’sphones.TheTownshallcontinuetoprovidephoneservicetotheFireDistrict.TheTownshallinvoicetheFireDistrictforthecostofprovidingsaidphoneservice.SaidcostshallbebaseduponthenumberofphonehandlesetsusedbytheFireDistrictduringthepreviouscalendaryearproratedbasedontheTown’sinternalcostforphoneservice.Currently,theFireDistricthasapproximatelytwelvephonehandlesetsandtheannualbillinghasaveragedbetween$100to$130perphonehandlesetperyear.TheFireDistrictshallberesponsibleforallcostsincurtcdbytheFireDistrictforlongdistancephoneservice.5.IntheeventtheTownremovesalloftheCommunicationfacilitiesfromtheDannelsFireStationanddoesnotintendtoreplacetheCommunicationFacilities,theTownagreestoprovideatleastsixty(60)days’noticetotheDistrictsufficienttoinstallitsowncommunicationfacilitiesandtoreasonablyrepairanydamagetotheDannetsFireStationcausedbyremovingtheCommunicationFacilities.ThePartiesagreethattotheextentpossible.thisIntergovernmentalAgreementwillremainineffectfortheperiodoftimenecessarytoinstallthenewDistrictcommunicationsfacilities,andthenthisIntergovernmentalAgreementshallterminate.6.ThetermofthisIntergovernmentalAgreementshallcoincidewiththetermoftheFireDistrictLicensingAgreement17-LM-60-190lwiththeUnitedStatesofAmericaunlesssoonerterminatedbymutualagreementofthePartiesorpursuanttoSection5above.7.Severability.IfanyprovisionofthisIntergovernmentalAgreement,ortheapplicationofsuchprovisiontoanyperson,entityorcircumstance,shallbeheldinvalid,theremainderofthisIntergovernmentalAgreementshallnotbeaffectedthereby.8.EntireAgreement.ThisIntergovernmentalAgreementshallnotinvalidateorotherwiseaffectanyotheragreementpresentlyineffect.ThisIntergovernmentalAgreementrepresentstheentireagreementofthePartiesandanyamendmenttothisIntergovernmentalAgreementshallbeinwritingandexecutedbytheParties.{00765814.DOCX/)2
9.GoverningLaw.ItisexpresslyunderstoodandagreedbyandamongthePartiesthatthisIntergovernmentalAgreementismadeinandshallbeconstruedandinterpretedinaccordancewiththelawsoftheStateofColorado.ID.Assignment.ThisIntergovernmentalAgreementshallnotbeassignedbyeitherofthePartieswithoutthepriorwrittenconsentoftheotherParty.11.RelationshipofParties.ThePartiesenterintothisIntergovernmentalAgreementasseparateandindependentgovernmentalentitiesandeachshallmaintainsuchstatusthroughoutthetermofthisagreement.12.EffectofAgreement.ThisIntergovernmentalAgreementisnotintendedto,norshoulditbeconstruedto,affectorextendthelegalresponsibilitiesofeitheroftheParties;createormodifyanypreexistinglegalobligations,ifany;orcreatefororextendanyofthelegalrightsofanyperson.Thisagreementshallnotbeconstruedasordeemedtobeanagreementforthebenefitofanythirdpartyorparties,andnothirdpartyorpartiesshallhaveanyrightofactionhereunderforanycausetvhatsoever.13.Counterparts.ThisIntergovernmentalAgreementmaybeexecutedinanynumberoforiginalcounterparts,allofwhichevidenceonlyoneagreement.ThepartiesagreethatcounterpartsignaturesofthisIntergovernmentalAgreementshallbeacceptableandthatexecutionofthisIntergovernmentalAgreementinthesameformbyeachpartyshallbedeemedtoconstitutefullandfinalexecutionofthisIntergovernmentalAgreement.14.ConstructionofAgreement.ThisIntergovernmentalAgreementshallbeconstruedaccordingtoitsfairmeaningasifitwaspreparedbythePartiesandshallbedeemedtobeandcontaintheentireAgreementbetweentheParties.Thereshallbedeemedtobenootherterms,conditions,promises,understandings,statementsorrepresentations,expressedorimplied,concerningthisIntergovernmentalAgreement,unlesssetforthinwritingandsignedbytheParties.15.BindingEffect.ThisIntergovernmentalAgreementshallbebindinguponandinuretothebenefitofthePartiesandtheirrespectivesuccessorsandpermittedassigns.16.GovernmentalImmunityAct.NotermorconditionofthisIntergovernmentalAgreementshallbeconstruedorinterpretedasawaiver,expressorimplied,byeitherofthePartiesofanyofthenotices,requirements,immunities,rights,benefits,protections,limitationsofliability,andotherprovisionsoftheColoradoGovernmentalImmunityAct.C.R.S.§24-10-101etseq.andunderanyotherapplicablelaw{00765814.DOCX/}3
