SERVICESINTERGOVERNMENTALAGREEMENTFORTHEEXCHANGEOFLEGALSERVICES7)THISAGREEMENTismadeandenteredintothisIdayof___________,2019,byandbetweenTHECITYOfLOVELAND,COLORADO(“Loveland”)andttheTOWNOfESTESPARK,COLORADO(“Estes”),andeachalsoandallcollectivelyreferredtoasthe“Municipality”orthe“Municipalities,”respectively.WITNESSETH:WHEREAS,pursuanttoSection29-1-203,C.R.S.,governmentsmaycooperateorcontractwithoneanothertoprovideanyfunction,serviceorfacilitylawfullyauthorizedtoeachofthecooperatingorcontractingunitsofgovernment;andWHEREAS,thelegalinterestsofLovelandandEstesaregenerallyrepresentedbytheCityandTownAttorneysemployedthereby;andWHEREAS,onoccasion,theCityorTownAttorneyispreventedfromrepresentingtheinterestsofthesuchMunicipalitybyreasonofpersonalconflictsofinterestsorothersituationswhichmayimpairtheirabilitytofullyrepresenttheinterestsofsuchMunicipalityinparticularcases;andWHEREAS,incertainsuchinstances,themostefficientandcosteffectivemannerofprovidingforthelegalrepresentationoftheMunicipalitieswouldbetoexchangetheservicesofmembersoftherespectivelegalstaffsofthecities;andNOW,THEREFORE,inconsiderationofthemutualcovenantscontainedhereinandothergoodandvaluableconsideration,thereceiptandadequacyofwhichareherebyacknowledged,thepartiesagreeasfollows:1.ExchangeofLegalServices.IftheCityorTownAttorney(“Attorney”)determines,inhisorherdiscretion,thataconflictofinterestorothersituationarisesorhasoccurredwhichpreventsorimpairshin’Jherfromfullyperformingthenormaldutiesofhis/heroffice.saidAttorney(“theRequestingAttorney”)shalldeterminewhetherthesubjectmatteroftherepresentationwouldbeappropriateforanexchangeoflegalservicesunderthisAgreement.Inmakingsuchdetermination,theRequestingAttorneyshallconsiderthenatureandcomplexityofthematteratissue;theamountoftimewhichmayberequiredtosatisfactorilyresolvethematter,eitherthroughlitigationorotherwise;thelevelofspecialexpertise,ifany,whichmayberequiredtocompetentlyrepresenttheinterestsofhisorherclient(s);andanyotherfactorswhichtheRequestingAttorneymayconsidertoberelevant.UponadeterminationthatanexchangeoflegalserviceswouldbeappropriateunderthisAgreement,theRequestingAttorneyshallsonotifytheAttorneyfortheotherpartytothisAgreement(“theRespondingAttorney”)andrequesttheprovisionofsuchlegalservices.Uponreceiptofanysuchrequest,theRespondingAttorneyshalldeterminewhethersuchservicesmaybeprovidedbyhis/herofficewithoutundulyinterferingwiththeResponding1 Attorney’sabilitytoperformthenormaldutiesofhis/herownoffice.TheRespondingAttorneyshallnotifytheRequestingAttorneywithinfive(5)workingdaysastowhethertherequestforlegalservicescanbeaccommodated.Ifso,theRespondingAttorneymayassignanyone(1)ormoreattorneysintheRespondingAttorney’sofficetoprovidesuchservices.2.ReimbursementofCosts.ThepartyforwhomlegalservicesarerenderedunderthisAgreement(“theRequestingMunicipality”)shallreimbursetheotherparty(“theRespondingMunicipality”)forallout-of-pocketexpensesincurredinrenderingtherequestedlegalservices.Suchexpensesshallinclude,withoutlimitation,costofreproducingdocuments,mileage,longdistancetelephonecalls,depositioncostsandexpertwitnessfees,butshallexcludeanyreimbursementforcompensationpaidbytheRespondingMunicipalitytoitsAttorney,itsdeputyandassistantattorneys,ortoitssupportstaff.Paymentofsuchexpensesshallbemadewithinthirty(30)daysofthedateofreceiptofanybillingtherefor.3.EmploymentStatus.Throughoutthedeliveryoftherequestedlegalservices,theRespondingAttorneyand/orhis/herpersonnelshallrepresenttheinterestsoftheRequestingMunicipalitybutshallcontinuetobeemployedsolelybytheRespondingMunicipality,andthedeliveryofsuchlegalservicesfortheRequestingMunicipalitybytheRespondingAttorneyand/orhis/herpersonnelshallbeconsideredtobewithinthescopeoftheperformanceoftheRespondingAttorney’sdutiesforandemploymentbytheRespondingMunicipality.4.Workers’CompensationInsuranceandOtherBenefits.IftheRespondingAttorneyorotherpersonneloftheRespondingMunicipalityisinjured,disabledordieswhileprovidingservicestotheRequestingMunicipalityunderthisAgreement,saidindividualshallremaincoveredby,andeligiblefor,theworkerscompensationandotherbenefitstowhichsaidindividualwouldotherwisebeentitlediftheinjury,disabilityordeathhadoccurredwhileactingsolelyasanemployeeoftheRespondingMunicipalityandnotprovidingservicestotheRequestingMunicipalityunderthisAgreement.5.GoverningLaw.ThisAgreementshallbegovernedbyandenforcedinaccordancewiththelawsoftheStateofColorado.Inaddition,theMunicipalitiesacknowledgethattherearelegalconstraintsimposeduponthembytheconstitutions,statutes,rulesandregulationsoftheStateofColoradoandoftheUnitedStates,andbytheirrespectivechartersandcodesandthat,subjecttosuchconstraints,theMunicipalitiesintendtocarryoutthetermsandconditionsofthisAgreement.Wheneverpossible,eachprovisionofthisAgreementshallbeinterpretedinsuchamannersoastobeeffectiveandvalidunderapplicablelaw.VenueforanyjudicialproceedingconcerningthisAgreementshallonlybeintheDistrictCourtforLarimerCounty,Colorado.6.IndenmificationandGovernmentalImmunityTotheextentpermittedbylaw,theRequestingMunicipalityshallindemnifyandholdharmlesstheRespondingMunicipality,itsofficers,employeesandagents,includingwithoutlimitationtheRespondingAttorney,fromandagainstallliabilities,claimsanddemandswhichmayarisefromthenegligentactsoromissionsoftheRespondingAttorneyoranyofhisorhersubordinates,agentsorotherpersonsactingunderhisorherauthority.Inaddition,theRequestingMunicipalityshallindemnifytheRespondingMunicipality,itsofficers,employeesandagents,includingwithoutlimitationtheRespondingAttorneyforallcostsandexpensesrelatedtodefendingsuchliabilities,claimsanddemands,2 including,withoutlimitation,litigationcostsandattomey&fees,whetherornotsuchliabilities,claimsordemandsaregroundless,frivolous,falseorfraudulent.However,thepartiesagreethatallsuchliabilities,claimsanddemandsshallbesubjecttoanynoticerequirements,defenses,immunitiesorlimitationstoliabilitythattheRequestingMunicipalitymayhaveundertheColoradoGovernmentalImmunityAct(Section24-10-101,C.R.S.,etseq.)andtoanyotherdefenses,immunitiesorlimitationstoliabilityavailabletotheRequestingMunicipalityunderthelaw.7.Term.ThetermofthisAgreementshallcontinueforaperiodofone(1)yearfromthedatehereofandshallbeautomaticallyrenewedforsuccessiveone(1)yearperiodsunlessterminatedbyeitherparty.AnypartymaywithdrawfromthisAgreementatanytimebythegivingofwrittennoticeofterminationtotheotherpartynotlessthanthirty(30)dayspriortothedateofwithdrawal.ENWITNESSWHEREOF,theMunicipalitieshaveexecutedthisAgreementthedayandyearfirstabovewritten.THECITYOfLOVELAND,COLORADOAMunicipalCorporationBy:Mayc.ATTEST:CityClerk
