RESOLUTION 17-89
WHEREAS,the Board of Trustees of the Town of Estes Park has
determined that it is in the best interest of the Town of Estes
Park to authorize the creation of a non—profit corporation to be
known as the “ESTES PARK BUILDING AUTHORITY”,pursuant to the
provisions of the Colorado Non-Profit Corporation Act (Title 7,
Articles 20 to 27,inclusive,C.R.S.);and
WHEREAS,the purposes for which the Estes Park Building
Authority is to be formed include,but are not limited to,the
acquisition by purchase,lease or otherwise,interest in real and
personal property,to construct or install improvements,and to
lease or otherwise convey said interest in real and personal
property and improvements to the Town of Estes Park,Colorado;
and further,to borrow money,to become indebted,and to execute
and deliver bonds,notes or debentures,or other securities,
instruments or obligations for the purpose of acquiring such
interest in real and personal property,constructing or install
ing such improvements,and for such other purpose or purposes as
may be necessary or desirable to accomplish the objectives of the
Estes Park Building Authority;and
WHEREAS,there are one or more public projects contemplated
by the Town of Estes Park in which it may be necessary for the
Estes Park Building Authority to participate in the acquisition,
management,financing,leasing,and/or construction of said
public projects;and
WHEREAS,the Board of Trustees of the Town of Estes Park
believes it is in the best interest of the Town of Estes Park to
authorize the appropriate officials of the Town of Estes Park to
form the Estes Park Building Authority.
NOW,THEREFORE,BE IT RESOLVED by the Board of Trustees of
the Town of Estes Park,Colorado:
1.The Estes Park Town Attorney,Gregory A.White,and/or
the Estes Park Town Administrator,Gary F.Klaphake,
are hereby authorized to execute the necessary articles
of incorporation in order to form the Estes Park
Building Authority,pursuant to the provisions of the
Colorado Non-Profit Corporation Act.
2.The Estes Park Town Attorney,Gregory A.White,the
Estes Park Town Administrator,Gary F.Klaphake,and
any other official or employee of the Town of Estes
Park are hereby authorized to execute any other
document or to do any other act necessary to accomplish
the formation of the Estes Park Building Authority.
