0QRESOLUTIONNO.25-89WHEREAS,theappropriateofficialsoftheTownofEstesParkhavenegotiatedtheConferenceCenterLeasePurchaseAgreement(the“Lease”)betweentheTownofEstesPark,ColoradoandtheEstesParkUrbanRenewalAuthority;andWHEREAS,thetermsandconditionsoftheLeaseprovidefortheacquisition,constructionandequippingofaconferencecenteronaparticularparcelofrealproperty(the“Site”);andWHEREAS,theappropriateofficialsoftheTownofEstesParkhavealsonegotiatedaproposedGroundLeasefortheleasingoftheSitebytheTownofEstesPark;andWHEREAS,followingtheexecutionoftheGroundLease,theGroundLeasewillbeassignedbytheTownofEstesParktotheEstesParkUrbanRenewalAuthority;andWHEREAS,inordertofinancetheacquisition,constructionandequippingoftheConferenceCenter,theEstesParkUrbanRenewalAuthorityhasauthorizedtheissuanceoftheEstesParkUrbanRenewalAuthorityTaxIncrementRevenueBonds,Series1989;andWHEREAS,itisnecessaryfortheTownofEstesParktoauthorizetheexecutionofaGeneralandNoLitigationCertificateasapart.oftheproceedingsfortheissuanceofsaidBonds;andWHEREAS,theBoardofTrusteesoftheTownofEstesParkhasdeterminedittobeinthebestinterestoftheTownofEstesParktotakethefollowingactionswithregardtotheaforementioneddocuments.NOW,THEREFORE,beitresolvedbytheBoardofTrusteesoftheTownofEstesPark,Colorado:1.TheBoardofTrusteesoftheTownofEstesParkherebyauthorizestheexecution,delivery,andperformanceoftheConferenceCenterLeasePurchaseAgreementdatedasofNovember15,1989,betweentheTownofEstesParkandtheEstesParkUrbanRenewalAuthorityinsubstantiallytheformpresentedtotheBoardofTrusteesoftheTownofEstesParkonNovember14,1989.2.InordertoenterintotheLease,itisnecessaryfortheTownofEstesParktonegotiateandexecuteaGroundLeasefortheSite,andfortheTownofEstesParktoassigntheGround -.—-L---I•-.*---tC0PH).-.-----‘I-:-.‘1(‘‘3’-/U—-H.’-)-T.€I----------‘I—çftr-’- CLeasetotheEstesParkUrbanRenewalAuthority(the“AssignmentofGroundLease”).TheBoardofTrusteesoftheTownofEstesParkherebyauthorizestheappropriateofficialsoftheTownofEstesParktonegotiatetheGroundLeaseandAssignmentofGroundLeaseinordertofulfillthetermsandconditionsoftheLease.3.TheBoardofTrusteesoftheTownofEstesParkherebyauthorizestheMayorandTownClerkoftheTownofEstesParktoexecutetheGeneralandNoLitigationCertificateintheformaspresentedtotheBoardofTrusteesonNovember14,1989.MayorATTEST:TownClerk(Actingep3/r—2— 00IL1
