0RESOLUTION#26_90cColoradoDiversilledirustFundsforthePublicInvestorTheTownofEstesParkdesiresto1)001itssurplusfundswithotherPublicEntitiesbybecomingaparticipantiflColoradoDiversifiedTrust,fundsforthePublicInvestor(CDT)andthereforeadoptedthefollowingresolution.WHEREAS,pursuanttoC.R.S.24-75-701etseq.,asamended,itislawfulforanycounty,cityorcounty,city,town,schooldistrict,specialdistrictorotherpoliticalsubdivisionoftheStateofColorado,oranydepartment,agency,orinstrumentalitythereof,oranypoliticalorpubliccorporationoftheStateofColorado(“PublicEntity”)topooLanymoniesinitstreasury,whicharenotimmediatelyrequiredtobedisbursed,withthesamesuchmoniesinthetreasuryofanyotherPublicEntityinordertotakeadvantageofshort-terminvestmentsandmaximizenetinterestearnings;andWIIEREAS,ColoradoDiversifiedTrustisatrustformedundertimelawsoftimeStateofColoradoinaccordancewiththeprovisionsofC.R.S.24-75-701etseq.,asamended,forthepurposeofpoolingmuomesofl’ublicEntities,whicharenotimmediatelyrequiredtobedisbursed,ittotdcrtotakeadvantageofshort-termInvestmentsandmaximizenetinterestearnings;andWHEREAS,‘riteTownofEstesParkdesirestobecomeaparticipantinColoradoDiversifiedTrustinaccordancewiththetermsandprovisionsoftheTrustIndenttmreinordertopoolitssurplusfundswithotherPublicEntities;NOW,THEREFORE,thegoverningbodyofTheTownofEsteaPIIamajorityvote,herebyresolvesasfollows:1.ThisPublicEntity,TheTownofEsteaParkherebyapprovesandadopts,andtherebyjoinsasaParticipantwithotherPublicEntitiespursuanttoC.R.S.24-75-701etseq.,asamended,thatcertainIndentureofTrustentitledtheColoradoDiversifiedTrust,fundsforthePublicInvestor,datedMay2,1990,asamendedfromtimetotime,thetermsofwhichareincorporatedhereinintheirentiretybythisreferenceandaCOofwhichshallbefiledwithtimemimimmutesofthemeetingatwhichthisResolutionwasadopted;and2.MonLeVavra,orhissticcessoriiifunction,whoistimelocalgovermnentofficialempoweredtoinvestthefundsinthisPublicEntity’streasury,isherebydesignatedthe“Treasurer”asthattermisdefinedintheIndentureofTrust,andassuchisherebydesignatedasthisPublicEntity’sofficialrepresentativetoColoradoD.iversi[iedirustandshallserveasamemberoftimeSupervisoryBoardofColoradoDiversifiedTrustandisherebyauthorizedanddirectedtoexecutetheIndentureofTrustandsuchotherdocumentsasarerequiredandtoserveasamemberof(lieBoardofTrusteesi[electedorapointedt)ytimeSupervisoryBoardortheBoardofTrustees;and 00 003.Ihe“Treasurer”designatedinSection2aboveisherebyauthorizedtoinvestfromtimetotimethemoniesinthisPublicEntity’streasury,whicharenotitumediatelyrequiredtobedisbursed,intheColoradoDiversifiedTrustbypurchasingSharesinColoradoDiversifiedTrustfromtimetotimewithavailablefunds,andtoredeemsomeorallofthoseSharesfromtimetotimeasfundsareneededforotherpurposes.Theu;idersignedcertifythatTheTownofEstesParkhasenacted:(NameofPublicEntity)•ThisResolution.—Anotherformofresolution,acopyofwhichisenclosed,andthatthisresolutioniscurrentlyineffect.(SuchresolutionmustauthorizetheadoptionoftheIndentureofTrust.)TheundersignedaffirmthatthisPublicEntityhasreceivedandreadtheTrust’sInformationStatementandAddendumtoInformationStatementandIndentureofTrustandagreetobeboundbythetermsthereof.Theundersignedagreethatthecertifications,instructions,andan[horizationscontainedintheattachedTrustRegistrationForm(whichismadeaparthereof)willremainineffectuntilreceiptbytheTrustofwrittennoticeofchange.NameofPublicEntity:TheTownofEstesParkBy:MonteVavraPleasePrintName-‘_‘‘(-‘Signature[SEAL]Attest:orClerkFinancialOfficerTitle 00
