CCOLORADOSURPLUSASSETFUNDTRUST(3(“CSAFE”)RESOLUTION#24-90TheTownofEstesParkdesirestopoolitssw-plusfundswithotherlocalgovernmententitiesbybecomingaparticipantinCSAFEandthereforepassesthefollowingresolution:WIIERLiAS,J)urSLmnttothel)rOViSiOIlsofC.R.S.Section24-75-601mid7t)J,ciseq.,asnmcudcdaridC.R.S.Section24-75-7(12,etseq.asamended,anylocalgovernmententity(includingcities,towns,schooldistricts,specialdistrictsorcounties)isauthorizedtopooianymoneysinitstreasury,whicharecurrentlysurplusfundsandnotimmediatelyrequiredtobedisbursed,withsimilarmoneysfromotherlocalgovernmententities,inorderfortheseentitiestotakeadvantageofshort-termInvestmentsmidmaximizenetinterestearnings.CSAFEisformedasacommonlawtrustunderthelawsofthestateofColorado.WHEREAS,thegovernlngbodyofTheTownofEstesParkdesirestoparticipateinCSAFEformedinaccordancewithtieaforesaidstatues,inordertopoolitssurplusfundswithotherlocalgovernmententities,ithaspassed,bymajorityvotethefollowingresolution:NOW,THEREFORE,itisherebyRESOLVEDasfollows:RESOLVED,that,thegoverningbodyofTheTownofEstesPark________________________________________________________________________hasreviewedC.R.S.Section24-75-601,asamendedandC.R.S.Section24-75-701,etseq.asamended,oftheColoradoRevisedStatutesandthemeritsofinvestinginatrustaspermittedbyC.R.S.Section24-75-601,asamendedandC.R.S.Section24-75-701,etseq.asamended,includingthetrust’sliquidityriskdiversificatiomi,flexibility,convenienceandcostcomrlI)aredtothealternativedirectpurchaseofcomparableinvestmentsandfindsitisinthebestinterestofthelocalgovernmententityandthereforeherebyapprovesandadopts,thatcertainindentureoftrustentitledCSAFEdatedSeptember1,1988whichshallbeamendedfromtimetotitnearidtherebyjoinsasaparticipantwithotherlocalgovernuremitentitiesintiretrustfortireptirposcsofj)oohimrgsrmrl)lusfluids,liretennisoftheabovementionedtrustimideirtureshallbeincorfx)ratcdherciiibythisreferenceandacopyfiledwiththeiniflutesofthemeetingatwhichthisresoltitionisn(lot)tctl;midI’heTownotEsLesPark_______acknowledgesandagreesthatnowarranties,eitherexpressoimplied,arepartoftheagreementbetweenCSAFEandThI’ownofEstesParkunlessassetforthintheIndentureofTrust,butthatCSAFEshalluscitsbesteffortstoaccomplishthesegoals.RESOLVED,further,tltMonteVavra,whoisthelocalgovernmentofficialempoweredtoinvestfundsofIhe1.ownorhis/hersuccessorinfunction,isherebyauthorizedanddj(ecte(JtoejçectitedthetrustindentureandanyotherdocumentsnecessarytoestablishanaccountwithCSAFE.£1onteVavraisherebydesignatedthe‘Treasurer”asthattermisdefinedinthetrustindentrmandisthereforeauthorizedtoinvestmoneyfromtheTheTownofEstesParktreasury,fromtimetotime,whicharenotimmediatelyrequiredtobedisbursed,bypurchasingsharesofCSAFEwiththoseavailablefundsandisauthorizedtoredeem,fromtimetotime,partofallofthosesharesasfundsareneededforotherpurposes.TheundersignedcertifythatTheBoardofTrusteesofTheTowncEstesParkhasadopted:[]Theaboveresolution.j7Airalternativetesolutioti,acopyofwhichisattached.Theundersignedagreethattireauthorizationsaridinstructionscontainedinthetrustregistrationformaretoremainineffectuntilthebustreceiveswrittennoticeofanychanges.TheundersignedalsoaffirmthattheyhavereceivedandreviewedacopyoftheTrust’sIntonnationStatementandtheyagreetobeboundbyitstenns.NameMonteVavraSignature‘7cac’...mleEjnaiicIalOfficerName____________________________________Signature/”Title—Name_________________________________________Signature___________________________________________lute(SEAL)AEST:_________________________________SuurClerkSignatureDATED:&%-LLA.),/c 00
