05-90ClORDINANCE5-90ANORDINANCEAUTHORIZINGTHEMAYORTOSIGNANINTERGOVERNMENTALAGREEMENTCREATINGANEMERGENCYTELEPHONESERVICEAUTHORITYINORDERTOESTABLISHANDOPERATEANEMERGENCYTELEPHONESERVICESYSTEMINTHETOWNOFESTESPARK,COLORADO,ANDIMPOSINGANEMERGENCYTELEPHONECHARGEUPONTELEPHONEACCESSFACILITIESWITHINTHETOWNOFESTESPARKWHEREAS,itwouldservethepublicsafetyandwelfareandbeinthebestinterestsofthecitizensoftheTownofEstesParktoparticipateintheorganization,administrationandcommonuseofacentralemergencytelephoneserviceauthoritytoaidthetimelydispatchofemergencyservicetocitizensoftheTownofEstesPark;andWHEREAS,pursuantto29-11-101,et.seq.,C.R.S.,theTownofEstesParkisdelegatedthepowertoenterintoagreementsforthepurposeofprovidingemergencytelephoneserviceandislawfullyauthorizedtoimposeachargeupontelephonesubscriberswithintheTownofEstesParkandtoauthorizetelephonesupplierstocollectsaidcharge;WHEREAS,theTownofEstesParkdesirestoenterintoanintergovernmentalagreementwithotherpublicagencieswithinLarimerCountyto:1)establishaseparatelegalentitytobeknownastheLarimerEmergencyTelephoneAuthoritywhichshallberesponsibleforadministeringtheoperationoftheemergencytelephoneserviceprogram;and2)definethemannerinwhichtheparticipatingpublicagencieswillparticipateintheauthority. UC,BEITORDAINEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADO:Section1.TheIntergovernmentalAgreementConcerningTheImplementationOfAn“E911”EmergencyTelephoneServicecreatinganemergencytelephoneserviceauthority,attachedheretoasExhibitA,inordertoestablishandmaintainanemergencytelephoneservicesystemintheCountyofLarimer,Coloradoisherebyapproved.Section2.Thereisherebyimposed,pursuanttoSection29—11—102,C.R.S.,uponalltelephoneexchangeaccessfacilitieswithintheTownofEstesPark,anemergencychargeinanamountofnottoexceed50permonthortwopercent(2%)ofthetariffrateasapprovedbythePublicUtilitiesCommission,whicheverisless.UponrecommendationoftheLarimerEmergencyTelephoneAuthority,theBoardofTrusteesmay,byresolution,raiseorlowertheemergencytelephonechargebutinnoeventshallsuchchargeexceedtheamountof50permonthtoeachtelephoneexchangeaccessfacilityor2%ofthetariffasapprovedbythePublicUtilitiesCommission,whicheverisless.Section3.TelephoneservicesuppliersprovidingtelephoneserviceintheTownofEstesParkareherebyauthorizedtocollecttheemergencytelephonechargeimposedbythisordinanceinaccordancewith29—11—101et.seq.,C.R.S.Section4.PortionsofthisordinancerelatingtotheimpositionandcollectionoftelephoneemergencychargesshallnotbeeffectiveuntiltheIntergovernmentalAgreementConcerning—2— 0•0.INTERGOVERNMENTALACREEMEts-.nn’juTHEIMPLEMENTATIONOFAN“E911”EMERGENCYTELEPHONESERVICEThisAgreement,madeandenteredintothis_______dayof__________________1987,byandamongthefollowingparties:CountyofLarimer,theTownofBerthoud,theTownofEstesPark,theCityofFortCollins,theCityofLoveland,theTownofTimnath,theTownofWellington,AllensparkFireProtectionDistrict,BerthoudFireProtectionDistrict,LovelandRuralFireProtectionDistrict,PinewoodSpringsFireProtectionDistrict,PoudreCanyonFireProtectionDistrict,PoudreValleyFireProtectionDistrict,RedFeatherLakesFireProtectionDistrict,GlacierViewFireProtectionDistrict,LyonsFireProtectionDistrict,WellingtonFireProtectionDistrict,ParkHospitalDistrict,PoudreValleyHospitalDistrict,andThompsonValleyHospitalDistrict.WITNESSETH,WHEREAS,pursuanttoArticle11ofTitle29,C.R.S.,asamended,theabove-listedpartiesareauthorizedtoenterintoagreementsforthepurposeofprovidingemergencytelephoneservice;andWHEREAS,Part2ofArticle1ofTitle29,C.R.S.,asamended,encouragesandauthorizesagreementsofthisnature;andWHEREAS,itwouldservethepublicwelfareandbeinthebestInterestofalloftheabove-referencedpartiestoparticipateintheorganization,administrationandcommonuseofacentralemergencytelephoneserviceauthority;andWHEREAS,thepartiesdesiretoenterintothisIntergovernmentalAgreementforthefollowingpurposes:(1)toestablishaseparatelegalentitytobeknownasthe“LarimerEmergencyTelephoneAuthority’whichshallberesponsibleforadministeringtheoperationoftheemergencytelephoneserviceprogram;and(2)todefinethemannerinwhicheachofthepartieswillparticipateintheAuthority;NOW,THEREFORE,inconsiderationofthemutualcovenantshereinaftercontained,thepartiesagreeasfollows: 00I-DEFUflONSA.Thedefinitionsfortheterms“emergencytelephonecharge”,“emergencytelephoneservice”,“equipmentsupplier”,“exchangeaccessfacilities”,“governingbody”,“person”,“publicagency”,“servicesupplier”,“serviceuser”,and“tariffrates”asusedinthisIntergovernmentalAgreementshallbethesameasthedefinitionsprovidedforthosetermsinSection29-11-101,C.R.S.,asamended.B.“Proportionalbasis”,asreferredtoinsectionsV.AandVII.B,below,shallbedeterminedbythedirectratioofthenumberofservicelineswithintheparties’respectivejurisdictionstothetotalnumberofservicelinesinalljurisdictions.Forthepurposeofthisdefinition,“parties”shallreferonlytoLarimerCountyandthetownsandcities;LarimerCounty’sproportionshallbedeterminedusingthoseservicelineswithintheunincorporatedareasofthecounty.II-GENERALPROVISIONSThepartiesherebyestablishaseparatelegalentity,asaninstrumentalityoftheparties,tobeknownasthe“LarimerEmergencyTelephoneAuthority”(hereinafterreferredtoasthe“Authority”),whichshallberesponsibleforadministeringtheoperationoftheemergencytelephoneserviceprogramdescribedbelow.ThepartiesheretowillprovidetotheAuthorityreasonableassistanceforthepurposeoforganizing,administeringandoperatinganemergencytelephoneserviceprogram.Theoperationofsaidemergencytelephoneserviceshallbeashereinsetforth.III-EMERGENCYTELEPHONESERVICEAUThORITYBOARDA.ThegoverningboardfortheAuthorityconsistsofseven(7)members:tworepresentingthecitiesofFortCollinsandLoveland;tworepresentingthetownsofBerthoud,EstesPark,TimnathandWellington;onememberrepresentingthehospitaldistricts;onememberrepresentingthefiredistricts;andonememberrepresentingLarimerCounty.-2- 00 00B.MembersmaybeappointedtoserveaconsecutivetermontheBoard,butnomembershallserveformorethantwoconsecutiveterms.Thetermsofallmembersshallbetwoyearsandshallbestaggeredinevenandoddyears.Ontheinitialappointmentofthetwomembersfromcities,townsandspecialdistricts,oneofthemembersshallbeappointedforatermofthreeyears(forspecialdistricts,thismembershallbefromafiredistrict)andthesecondmembershallbeappointedforatermoftwoyears(forspecialdistricts,thismembershallbefromahospitaldistrict).Theinitialappointmentofthecountymembershallbefortwoyears.Thereafter,allappointmentsshallbefortwoyearterms.C.ThesevenmembersoftheBoardshallbeselectedinthefollowingmanner:1.ThecitiesofFortCollinsandLovelandshalleachnominateonepersonandshallnotifytheLarimerCountyBoardofCommissioners,inwriting,oftheirchoicesforappointment.TheBoardofCountyCommissionersshallmaketheappointmentsinaccordancewiththosechoices.2.ThetownsofBerthoud,EstesPark,TimnathandWellingtonshalleachnominateoneperson.Thetwomembersfromthetownsshallbeselectedfromamongthosenomineesbyasimplemajorityvoteofthefourentities.TheBoardofCountyCommissionersshallmaketheappointmentsinaccordancewiththatmajorityvote.3.Onemembershallbeselectedfromalistofnomineesfromthefiredistrictsbyamajorityvoteofthenominatingentities.TheBoardofCountyCommissionersshallmaketheappointmentsinaccordancewiththatmajorityvote.4.Onemembershallbeselectedfromalistofnomineesfromthehospitaldistrictsbyamajorityvoteofthenominatingentities.TheBoardofCountyCommissionersshallmaketheappointmentsinaccordancewiththatmajorityvote.5.Onemember,whoshallbeaLarimerCountyelectedofficialoremployee,shallbeselectedandappointedbytheBoardofCountyCommissioners.6.Intheeventthatthetownsandspecialdistrictsareunabletoselect,bymajorityvote,tworepresentativesfromthelistsofnomineessubmittedtothem,they-3- 0shallsubmitthoseliststotheBoardofCountyCommissionerswhichwillappointrepresentativesforthenominatingentities.IV-RULESANT)REGULATIONSThegoverningbodyfortheAuthorityshallpromulgatebylawsestablishingofficesanddetailingallmattersinconnectiontherewith,includingtheelection,dutiesandtermsofofficersandthefillingofanyofficervacancies,theestablishmentandresponsibilitiesofcommittees,schedulingofmeetings,andstandingoperatingandfiscalprocedures,asitdeemsnecessary,providedthebylawsareincompliancewithArticlesIandIIofTitle29,C.R.S.,asamended,andthisIntergovernmentalAgreement.V-POWERSOFTHEAUTHORITYA.TheAuthorityisempoweredtocontractfortheinstallationandoperationofanemergencytelephoneservice,andshalldoso.TheAuthorityshahdefraythecostsofthesamebycollectinganemergencytelephonechargeforsuchserviceintheserviceareawhichiswithinthejurisdictionofandauthorizedbythisIntergovernmentalAgreementandbyordinanceorresolutionoftherespectivepartieshereto.LarimerCountyandthosepartiesheretothatareincorporatedtownsandcitiesmayenactsuchordinancesorresolutionsonorbeforeDecember31,1990;ifanyofthemfailtodoso,thepartiesshalldeterminewhatfurthercourseofactiontotakewithregardtotheAuthority,whichactionmayincludedissolutionoftheAuthority.SuchemergencytelephonechargeshallnotexceedtheratespecifiedinSection29-11-102(2),C.R.S.,asnowinforceorashereafteramended.Thefundssocollectedshallbespentsolelytopayfortheinstallationcostsandforthemonthlyrecurringchargesbilledbytheservicesupplierfortheemergencytelephoneservice.ThefundssocollectedshallbecreditedtoacashfundoftheAuthorityseparateandapartfromthefundsofanyofthepublicagencypartiesandofthegeneralfundoftheAuthoritycreatedbythisIntergovernmentalAgreement.Anyfundsremainingintheaccountatyearendshallbecarriedovertothenextsucceedingyearforthesamepurposesinsupplyingemergencytelephoneservice.Iftheemergencytelephoneserviceiseverdiscontinued,anybalanceintheaccountmaybetransferredtothegeneralfundofthepublicagenciesona-4- 00 C0proportionalbasisastotheserviceprovided.(ItIsanticipatedthatthe“E911”servicesshallbemadeavailabletoeverytelephonewithinthejurisdictionofthepartiesthathas911service,andthatthosetelephonesnotreceiving“E911”servicesshallnotpaytheemergencytelephonecharge.)B.Inaddition,theAuthoritymaysueandbesued,anddoanyotheract(subjecttoanylimitationssetforthinthisAgreement)asmaybereasonableandnecessaryfortheprovisionofinitialservicesandforthecontinuedoperationoftheemergencytelephoneservice;including,specifically,andwithoutlimitations,negotiationwithequipmentandservicesuppliersforthepurposeofobtainingthebenefitoftechnologicaldevelopmentswhichtheAuthoritydeemsnecessarytoimproveorenhancethequalityandefficiencyofservicetobeprovidedtotheusers.VI-BASISFORCONTRfflUflONANDCHARGESTOBEThWOSEDBYTHEAUTHORITYThebasisforcontributionandchargestobeimposedon“serviceusers”shallbeinaccordancewiththeprovisionsgoverningthesameinSection29-11-101,etseq.,C.R.S.,asamended.TheAuthoritymayrequestfromtheservicesupplierinformationrequiredtomakeadeterminationofcontributionsorcharges.Wheneveranycontributionorchargemustbecomputed,theAuthorityshallusethemostrecentinformationavailable,unlessotherwisespecifiedherein.VII-BUDGETANDOPERATINGCOSTSA.ForeachyearforwhichtheAuthoritybelievesfundsforoperatingcostsarenecessary,itshallprepareabudgetandsubmitabudgetrequesttotheLarimerCountyBoardofCommissionersbyJuly15.TheBoardofCountyCommissionersshallconsiderfundingthebudgetrequestintheCounty’sannualappropriation.B.ShouldfundingfromtheBoardofCountyCommissionersnotbeapproved,orifanyfundingsoprovidedshallbedeemedinsufficientbytheAuthority,theAuthoritymaythenpresentitsrequesttothepartiesheretowhoshallconsiderthebudgetsubmittedanddetermineabasisforcontributingtothebudgetrequestatthattime.Thepartieswillshareanyreasonablefundingrequirementsonaproportionalbasis.-5- 00 00Vifi-FUNDSANDOPERATIONSA.ThevariousmoniespaidintotheAuthoritybythepartiesheretoforoperatingcostsshallbeusedbytheAuthoritysolelyforoperatingcosts.Further,thevariousmoniespaidintotheAuthoritypursuanttotheuniformchargeperexchangeaccessfacilityshallbeplacedinaseparatedesignatedcashfundandshallbepaidfromsaidfundonlyforinstallationcostsandforthemonthlyrecurringchargesbilledbytheservicesupplierfortheemergencytelephoneservice.B.NodisbursementshallbemadefromthefundsoftheAuthorityexceptbycheckandunlessaverifiedclaimforservicesorcommoditiesactuallyrenderedordeliveredhasbeenfirstsubmittedandapprovedforpaymentbytheAuthority,saidapprovalbeinginwritingandsignedbythePresidentandSecretaryofsaidAuthority.C.TheAuthorityshallnotborrowmoneynorshallitapproveanyclaimsorincuranyobligationsforexpenditureunlessthereissufficientunencumberedcashintheappropriatefund,creditedtotheAuthority,withwhichtopaythesame.13.TheAuthoritymayinvestanyfundspaidintotheAuthorityonlyinaccordancewithanyapplicablelawsoftheStateofColoradogoverningtheinvestmentofpublicfunds.B.TheAuthoritymayreturnanysurplusoperatingrevenuesprovidedbythepartiesheretofortheoperationofthisemergencytelephoneservicetotherespectivepartiesheretointhesameproportionthatsaidpartiesoriginallycontributedtotheoperation.IX-BOOKSANDRECORDSTheAuthorityshallmaintainadequateandcorrectaccountsoftheirfunds,propertiesandbusinesstransactions,whichaccountsshallbeopentoinspectionatanyreasonabletimebythepartieshereto,theirattorneys,ortheiragents.TheAuthorityshallcausetobeconductedanannualaudit,whichauditshallbeconductedbyanindependentcertifiedpublicaccountantlicensedtopracticeintheStateofColorado.-6- 00 CCTheAuthorityshallfileacopyofsaidauditwiththegoverningbodiesoftherespectivepartieshereto.X-REPORThA.Withinsixty(60)daysaftertheendofeachfiscalyearoftheAuthority(whichshallcorrespondtothatofLarimerCounty),theAuthorityshallprepareandpresenttotherespectivecitycouncils,townboards,boardsofdirectorsofthespecialdistricts,andLarimerCountyBoardofCommissioners,aComprehensiveAnnualReportoftheAuthority’sactivitiesandfinancesduringtheprecedingyear.B.TheAuthorityshallalsoprepareandpresentsuchreportsasmayberequiredbylaw,regulationorcontracttoanyauthorizedfederaland/orstateofficialsortowhomsuchreportisrequiredtobemadeinthecourseandoperationoftheEmergencyTelephoneAuthority.C.TheAuthorityshallalsorendertothepartieshereto,atreasonableintervals,suchreportsandaccountingasthepartiesheretomayfromtimetotimerequest.XI-DEFAULTINPERFORMANCEA.Intheeventanypartyfailstopayitsshareoftheoperatingcostswhendue,ortoperformanyofitscovenantsandundertakingsunderthisAgreement,thisAgreementmaybeterminatedastosuchparty.TheAuthorityshallcausewrittennoticeoftheAuthority’sintentiontoterminatesaidAgreementastosuchpartytobegiventothatparty’sgoverningbodyidentifyingthematterindefault.Uponfailuretocureanysuchdefaultwithinthirty(30)daysaftersuchnoticeisgiven,themembershipintheAuthorityofthedefaultingpartyshallthereuponterminateandsaidpartyshallthereafterhavenovotingrightsasamemberoftheAuthority,norbeentitledtorepresentationontheAuthority,andsaidpartyshallthereafterbedeniedservicebytheAuthority.Furthermore,anypartywhoseparticipationisterminatedundertheprovisionsofthisSectionoftheAgreementshallforfeitallright,titleandinterestinandtoanypropertyoforwithintheAuthoritytowhichitmayotherwisebeentitleduponthedissolutionoftheAuthoritypursuanttoparagraphXII.C.Thisarticleisnotintended-7- 00 C0tolimittherightofanypartyunderthisAgreementtopursueanyandallotherremediesitmayhaveforbreachofthisAgreement.B.IntheeventoflitigationbetweenanypartiesheretoconcerningthisAgreement(orbetweentheAuthorityandanyparty),theprevailingpartymayrecoveritscostsandreasonableattorneyfeesincurredtherein.XII-TERMINATIONOFAGREEMENT:DlOLUTIONA.ThisAgreementshallbeinfullforceandeffectupontheexecutionofthisAgreementbyallofthepartieslistedherein,andshallcontinueineffectuntilterminated.B.AnypartymaywithdrawfromtheAuthority,effectiveJanuary1ofanygivenyear,bywrittennoticefromsuchpartytotheAuthorityatleastonehundredeighty(180)dayspriortothedateofwithdrawal.Suchpartyshallforfeitallright,titleandinteresttoanypropertyoforwithintheAuthoritytowhichitmayotherwisebeentitleduponthedissolutionoftheAuthoritypursuanttoparagraphXII.C.C.ThisAgreementmaybeterminatedandtheAuthoritydissolvedatanytimebywrittennoticefrompartiesrepresentingamajorityofthetotalpopulationservedbytheE9l1system;however,thepowersgrantedtotheAuthorityunderthisAgreementshallcontinuetotheextentnecessarytomakeaneffectivedispositionoftheproperty,equipmentandmoniesrequiredorheldpursuanttothisAgreement.XIII-AMENDMENTThisAgreementmaybeamendedbythepartiesfromtimetotimeuponagreementofalltheparties,butanyamendmentshallbeinwritingandexecutedbyallthepartieshereto.XIV-SEVERABILITYCLAUSEIfanyportionofthisAgreementortheapplicationhereoftoanypartyorcircumstancesisheldinvalid,suchinvalidityshallnotaffectotherprovisionsorapplicationsoftheAgreementwhichcanbegiveneffectwithouttheinvalidprovisionorapplication,andtothisendtheprovisionsoftheAgreementaredeclaredtobeseverable.-8-
