&0ORDINANCENO:16-91ANORDINANCEAUTHORIZINGEXECUTIONANDDELIVERYOFALOANAGREEMENTANDGOVERNMENTALAGENCYBONDBEITORDAINEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADO:WHEREAS,theColoradoWaterResourcesandPowerDevelopmentAuthority(the“Authority”)hasissueditsSmallWaterResourcesRevenueBonds,1991SeriesAtofinancealoantoTheTownofEstesPark,(the“GovernmentalAgency”)pursuanttoaLoanAgreement(the“LoanAgreement”),datedasofJuly15,1991,betweentheAuthorityandtheGovernmentalAgency;andWHEREAS,inordertoevidenceitsobligationsundertheLoanAgreement,theGovernmentalAgencyisrequiredtoissuetheBondintheformattachedtotheLoanAgreement;andWHEREAS,thereisherebysubmittedtothismeetingaformoftheLoanAgreementandtheGovernmentalAgencyBond.NOW,THEREFORE,BEITORDAINEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADO:1.TheformoftheLoanAgreementintheformsubmittedtothismeetingandtheGovernmentalAgencyBondintheformattachedtheretoisherebyapprovedinallrespects,andtheMayorandTownClerkareherebyauthorizedanddirectedtoexecuteanddeliverforandonbehalfandinthenameoftheGovernmentalAgency,theLoanAgreementandtheGovernmentalAgencyBondwithsuchchangesandrevisionsassaidMayorandTownClerkshalldeemadvisable,saidexecutionanddeliverytobeconclusiveevidenceofsuchapproval.2.TheMayorandTownClerkare,andeachofthemherebyis,authorizedtoexecutesuchdocuments,andtodosuchotheractsandthings,asmaybenecessaryoradvisableinconnectionwiththeexecutionanddeliveryoftheLoanAgreementandtheGovernmentalAgencyBond.3.TheadoptionofthisOrdinanceisherebydeclaredanemergencyinordertoimmediatelyauthorizetheexecutionoftheabovereferenceddocumentsinordertoclosethetransactionsetforthinsaiddocumentsonorbeforeJuly30,1991;andWHEREAS,itistheopinionoftheBoardofTrusteesthatanemergencyexistsandthisOrdinanceshalltakeeffectandbeenforcedimmediatelyafteritspassage,adoptionandsignatureoftheMayor.
