04-91C0ORDINANCENO.4—91ANORDINANCETOAPPLYANDCONTRACTFORBENEFICIALUSEOFWATERONBEHALFOFTHETOWNOFESTESPARK,AMUNICIPALCORPORATION,ANDPRESCRIBINGTHETERMSFORAPPLICATIONFORANALLOTMENTOFWATERTOSAIDTOWNOFESTESPARKBYNORTHERNCOLORADOWATERCONSERVANCYDISTRICT.WHEREAS,undertheWaterConservancyActofColorado,Title37,Article45,ColoradoRevisedStatutesof1973,itisnecessarythattheBoardofTrusteesoftheTownofEstesPark,aColoradomunicipalcorporation(hereinaftercalled“Applicant”),inordertoobtainanallotmentcontractforthebeneficialuseofwaterfromNorthernColoradoWaterConservancyDistrict,shallbyordinanceauthorizeanddirecttheMayorandTownClerktoapplytotheBoardofDirectorsofsaidDistrictforsuchwaterallotmentcontract.NOW,THEREFORE,BEITORDAINEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADO:Section1:ThattheTownofEstesParkelectstoapplyforanallotmentcontractprovidingforthebeneficialuseofOneHundredThirty-two(132)acre-feetofwaterfromNorthernColoradoWaterConservancyDistrict.Section2:ThattheMayorandTownClerkbeandareherebyauthorizedanddirectedtoapplytotheBoardofDirectorsofsaidNorthernColoradoWaterConservancyDistrictforacontractallottingtotheApplicantthebeneficialuseofwaterupontermsprescribedbysaidBoardinthemannerandformasthissectionprovided,to-wit:APPLICATIONTONORTHERNCOLORADOWATERCONSERVANCYDISTRICTFORWATERALLOTMENTCONTRACTApplicant,TownofEstesPark,aColoradomunicipalcorporation,herebyappliestoNorthernColoradoWaterConservancyDistrict,apoliticalsubdivisionoftheStateofColorado,organizedandexistingbyvirtueofTitle37,Article45,ColoradoRevisedStatutes,1973,foranallotmentcontractofbeneficialuseofwaterunderthefollowingtermsandconditions:1.ThequantityofwaterhereinrequestedbyApplicantforannualapplicationtobeneficialuseisOneHundredThirty-two(132)acre-feettobeusedsolongastheApplicantfullycomplieswithalloftheterms,conditions,andobligationshereinaftersetforth. CC.2.ItisunderstoodandagreedbytheApplicantthatanywaterallottedbytheBoardofDirectorsofsaidDistrictshallbefordomestic,irrigation,orindustrialusewithinorthroughfacilitiesoruponlandsownedorservedbysaidApplicant,providedhowever,thatalllands,facilities,andservicedareaswhichreceivebenefitfromtheallotment(whetherwaterserviceisprovidedbydirectdelivery,byexchange,orotherwise)shallbesituatedwithintheboundariesofNorthernColoradoWaterConservancyDistrict.3.Applicantagreesthatanacre-footofwaterasreferredtohereinisdefinedasbeingone-three-hundred-ten-thousandth(1/310,000)ofthequantityofwaterannuallydeclaredbytheBoardofDirectorsoftheDistricttobeavailablefordeliveryfromthewatersuppliesoftheDistrict.ApplicantagreesthatsuchwatershallbedeliveredfromtheworksoftheDistrictatsuchexistingDistrictdeliverypointorpointsasmaybespecifiedbytheApplicantandthatthewaterdeliveryobligationoftheDistrictshallterminateuponreleaseofwaterfromsaidworks.Further,theApplicantagreesthatonNovember1ofeachyear,anywaterundeliveredfromtheannualquantitymadeavailabletotheApplicantshallreverttothewatersuppliesoftheDistrict.4.ApplicantagreestopayannuallyfortheamountofwaterhereinallottedbytheBoardofDirectorsofsaidDistrictatapriceperacre-foottobefixedannuallybysaidBoard;and,further,agreesthattheinitialannualpaymentshallbemade,infull,withinfifteen(15)daysafterthedateofnoticefromtheDistrictthattheinitialpaymentisduehereunder.SaidnoticewilladvisetheApplicant,amongotherthings,ofthewaterdeliveryyeartowhichtheinitialpaymentshallapplyandthepriceperacre-footwhichisapplicabletothatyear.AnnualpaymentsforeachyearthereaftershallbemadebytheApplicantonorbeforeeachOctober1attherateperacre-footestablishedbytheBoardformunicipalwaterallotmentsinthatyear.Ifanannualpayment,ashereinprovided,isnotmadebyduedate,writtennoticethereof,bycertifiedmail,willbegivenbysaidDistricttotheApplicantatthefollowingaddress:P.0.Box1200,EstesPark,Colorado80517.Ifpaymentisnotmadewithinthirty(30)daysafterthedateofsaidwrittennotice,Applicantshallhavenofurtherright,title,orinterestunderthiscontract;andtheallotmentofwater,ashereinmade,shallbedisposedofatthediscretionoftheBoardofDirectorsofsaidDistrict.5.AssecuritytotheDistrict,theApplicantagreesthattheforegoingcovenantofannualpaymentswillbefullymetbyannualbudgetandappropriationoffundsfromsuchsourcesofrevenuesasmaybelegallyavailabletosaidApplicant.6.Applicantagreesthatthewaterallotmentshallbebeneficiallyusedforthepurposesandinthemannerspecifiedherein,andthatthisagreementismadefortheexclusivebenefitoftheApplicantandshallnotinuretothebenefitofanysuccessorsorassignsofsaidApplicantwithoutpriorspecificapprovaloftheBoardofDirectorsofsaidDistrict. CC7.ApplicantagreestobeboundbytheprovisionsoftheWaterConservancyActofColorado;bytheRulesandRegulationsoftheBoardofDirectorsofsaidDistrict;andbytheRepaymentContractofJuly5,1938,betweensaidDistrictandtheUnitedStatesandallamendmentsthereofandsupplementsthereto.8.Applicantagrees,asaconditionofthiscontract,toenterintoan“OperatingAgreementTMwithsaidDistrictifandwhentheBoardofsaidDistrictfindsanddeterminesthatsuchanagreementisrequiredbyreasonofadditionalorspecialservicesrequestedbytheApplicantandprovidedbytheDistrict.Saidagreementmaycontain,butnotbelimitedto,provisionforwaterdeliveryattimesorbymeansnotprovidedwithinthetermsofstandardallotmentcontractsoftheDistrict;additionalannualmonetaryconsiderationforextensionofDistrictdeliveryservicesandforadditionaladministration,operationandmaintenancecosts;orforothercoststotheDistrictwhichmayarisethroughprovisionofservicestotheApplicant.Section3:IntheopinionoftheBoardofTrusteesoftheTownofEstesPark,acquisitionofawaterallotmentcontractfromNorthernColoradoWaterConservancyDistrictandtherighttothebeneficialuseofwaterthereunderbysaidTownofEstesParkisnecessary;thatthecontinuedacquisitionanduseofthiswatersupplyisessentialforthewell-beingofthecommunityandforpreservationofthepublicpeace,health,andsafety;andthattheadequateprotectionofthehealthoftheinhabitantsofthecommunityrequiresanimmediateincreaseinApplicant’swatersupply.Itis,therefore,declaredthatanemergencyexists;thatthisordinanceshalltakeeffectasanemergencymeasureandthatitshallbepublishedinthemannerandshalltakeeffectasprovidedbythestatutesoftheStateofColoradoorcharteroftheApplicant.Passedandadopted,signed,andapprovedthis‘%dayof%liZc1qA.D.,1991.TOWNOFESTESPARKBy_______ATTEST:(SEAL)
