13-9600RESOLUTION13-96WHEREAS,theTownofEstesParkhaspursuedtheconstructionofaHike/BikeTrailacrosstheLakeEstesCauseway;andWHEREAS,theStateofColorado,DepartmentofTransportationistheadministrativeagencyresponsibleforadministeringfederalfundspursuanttotheIntermodalSurfaceTransportationEfficiencyAct(ISTEA)of1991;andWHEREAS,theaforementionedHike/BikeTrailiseligibletoreceiveFederalAidfunds,pursuanttoinitialdesigndataprovidedbytheTownfortheproject;andWHEREAS,thematchingratioforthisFederalAidprojectis80%FederalAidfundsto20%TownfundsforsuchcostsasareeligibleforFederalparticipation;andWHEREAS,theTownhasreceivedaproposedcontractbetweentheStateofColoradofortheuseandbenefitoftheColoradoDepartmentofTransportationandtheTownofEstesPark,acopyofwhichisattachedheretoasExhibit“A”andincorporatedhereinbyreference,whichstatesthetermsandconditions,andresponsibilitiesofeachpartywithregardtotheproject;andWHEREAS,theBoardofTrusteesoftheTownofEstesParkhasdeterminedthatitisinthebestinterestoftheTowntoenterintotheaforementionedcontract.NOW,THEREFORE,BEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADO:1.ThecontractbetweentheStateofColoradofortheuseandbenefitoftheColoradoDepartmentofTransportationandtheTownofEstesParkasmorefullysetforthonExhibit“A”,isherebyapproved.2.TheappropriateofficialsoftheTownofEstesParkareherebyauthorizedtoexecutesaidcontract.DATEDthisç7—dayof__________________,199c6’TO0ESTESPARKATTT:-ThTownClerk 00resolutiondulypassedandadoptedbytheauthorizedrepresentativesoftheLocalAgency,acopyofwhichisattachedheretoandmadeaparthereof;andWHEREAS,saidordinanceorresolutionalsoestablishestheauthorityunderwhichtheLocalAgencyentersintothiscontract;andWHEREAS,thiscontractisexecutedbytheStateunderauthorityofSections24-16-101etseq.,24-92-101,etseq.,29-1-203,43-1-110,43-1-116,43-2-101(4)(c)and43-2-144,C.R.S.,asamended;andWHEREAS,thepartiesheretodesiretoagreeuponthedivisionofresponsibilitieswithregardtothisproject;andNOW,THEREFORE,itisherebyagreedthat:I.PROTECTDESCRIPTION“Theproject’or‘thework”underthiscontractshallconsistoftheconstructionofa10ftwidepedestrianandbikepathbeginningatUS36andextendingalongLakeEstesintheTownofEstesPark,Colorado.II.PROJECTFUNDINGPROVISIONSA.TheLocalAgencyshallpaytoitsownconsultantapproximately$45,000.00forthepreliminaryengineeringandconstructionengineeringrequiredtopreparefortheconstructionprojectatnocosttotheproject.Fortheconstructionofthepedestrian/bikepath,whichistheworkaddressedinthiscontract,theLocalAgencyhasestimatedthetotalcosttobe$204,450.00whichistobefundedasfollows:a.Federalparticipatingfunds:(80%of$204,450.00)$163,560.00b.LocalAgencyparticipatingshare:(20%of$204,450.00)$40,890.00TotalFunds:$204,450.00-2- 00 00•B.Thematchingratioforthefederalparticipatingfundsforthisprojectis80%federal-aidfundsto20%LocalAgencyfunds,itbeingunderstoodthatsuchratioappliesonlytothe$204,450.00thatiseligibleforfederalparticipation,itbeingfurtherunderstoodthatallnon-participatingcostsarebornebytheLocalAgencyat100%.ifthetotalactualcostofperformanceoftheworkexceeds$204,450.00,andadditionalfederalfundsaremadeavailablefortheproject,theLocalAgencyshallpay20%ofallsuchcostseligibleforfederalparticipationand100%ofallnonparticipatingcosts.Ifthetotalactualcostofperformanceoftheworkislessthan$204,450.00,thentheamountsofLocalAgencyandfederal-aidfundswillbedecreasedinaccordancewiththefundingratiodescribedherein.TheperformanceoftheworkshallbeatnocosttotheState.C.ThemaximumamountpayabletotheLocalAgencyunderthiscontractshallbe$163,560.00unlesssuchamountisincreasedbyawrittensupplementalcontractorwrittencontractamendment.D.rtisunderstoodandagreedbythepartiesheretothatthetotalcostoftheworkstatedhereinbeforeisthebestestimateavailablebasedonthedesigndataasapprovedatthetimeofexecutionofthiscontract,andthatsuchcostissubjecttorevisionsagreeabletothepartiespriortobidandaward.F.UponreceiptofeachbillfromtheState,theLocalAgencywillremittotheStatetheamountbillednolaterthan30daysafterreceiptofeachbill.ShouldtheLocalAgencyfailtopaymoneysduetheStatewithin30daysofdemandorwithinsuchotherperiodasmaybeagreedbetweenthepartieshereto,theLocalAgencyagreesthatattherequestoftheState,theStateTreasurermaywithholdanequalamountfromfutureapportionmentsduetheLocalAgencyfromtheHighwayUsersTaxFundandtopaysuchfundsdirectlytotheState.Interimfunds,untiltheStateisreimbursed,shallbepayablefromtheStateHighwaySupplementaryFund(400).-3- 00P.ThepartiesheretoagreethatthiscontractiscontingentuponallfundsdesignatedfortheprojecthereinbeingmadeavailablefromfederalandLocalAgencysources.Shouldthese.sources,eitherfederalorLocalAgency,failtoprovidenecessaryfundsasagreeduponherein,thecontractmaybeterminatedbyeitherparty,providedthatanypartyterminatingitsinterestandobligationshereinshallnotberelievedofanyobligationswhichexistedpriortotheeffectivedateofsuchterminationorwhichmayoccurasaresultofsuchtermination.G.UponexecutionofthiscontracttheStateisauthorized,initsdiscretion,toperformanynecessaryadministrativesupportservicespursuanttothiscontract.Theseservicesmaybeperformedpriortoandinpreparationforanyconditionsorrequirementsofthiscontract,includingpriorFHWAapprovalofprojectwork.TheLocalAgencyunderstandsandagreesthattheStatemayperformsuchservices,andthatpaymentforsuchservicesshallbeatnocosttotheStatebutshallbeasprovidedherein.AttherequestoftheLocalAgency,theStateshallalsoprovideotherassistancepursuanttothiscontractasmaybeagreedinwriting.Intheeventthatfederal-aidprojectfundsremainavailableforpayment,theLocalAgencyunderstandsandagreesthecostsofanysuchservicesandassistanceshallbepaidtotheStatefromprojectfundsattheapplicablerate.However,intheeventthatsuchfundingisnotmadeavailableoriswithdrawnforthiscontract,oriftheLocalAgencyterminatesthiscontractpriortoprojectapprovalorcompletionforanyreason,thenallactualincurredcostsofsuchservicesandassistanceprovidedbytheStateshallbethesoleexpenseoftheLocalAgency.TheLocalAgencyshallpaytheStateforallsuchcostswithin30daysofreceiptofwrittennoticefromtheStaterequestingsame.-4- C0ifi.STATECOMMITMENTSA.TheStatewillprovideliaisonwiththeLocalAgencythroughtheState’sProjectManager,BobSadighian,ColoradoDepartmentofTransportation,4201E.ArkansasAve.,Denver,Colorado800222-3400,303-757-9864.SaidProjectManagerwillalsoberesponsibleforcoordinatingtheState’sactivitiesunderthiscontract.SaidProjectManagerwillalsoissuea‘NoticetoProceed”totheLocalAgencyforcommencementofthework.B.TheStatewillreimbursetheLocalAgencyforthefederal-aidshareoftheprojectchargesfollowingtheState’sreviewandapprovalofsuchcharges.ChargesincurredbytheLocalAgencypriortothedateofFHWAauthorizationfortheprojectwillnotbechargedtotheproject.C.TheStatewillreviewconstructionplans,specialprovisionsandestimatesandwillcausetheLocalAgencytomakethosechangesnecessarytoassurecompliancewithStateandFHWArequirements.TheLocalAgencywillaffordtheStateampleopportunitytoreviewtheconstructionplans,specialprovisionsandestimates,aschangedandsaidplansshallbeconsideredfinalwhenapprovedandacceptedbythepartieshereto.Thefinalplansareincorporatedhereinbythisreference.TV.LOCALAGENCYCOMMffMENThA.Totheextentrequiredbythenatureoftheproject,theLocalAgencywillprovide:1.Preliminaryengineering,designservices,preparationofconstructionplans,specialprovisionsandestimatesinaccordancewiththeState’sRoadwayandBridgeDesignManualsandStandardSpecificationsforRoadandBridgeConstruction.Saidplansshallincludedetailsofartyrequireddetourstopreventanyinterferenceoftheconstructionworkandtoprotectthetravelingpublic.MiplansproducedshallbestampedbyaColoradoRegisteredProfessionalEngineer.-5- 00 CC2.Designworksheetsusedindesigningoftheproject.3.ConstructionsupervisionbyaColoradoRegisteredProfessionalEngineer.B.TheLocalAgencywillcomplywiththefollowing:1.TheLocalAgencywillprepareconstructionplansinaccordancewiththerequirementsofEngineeringServicesSection107,PreparationofConstructionPlansbyLocalAgency,attachedheretoandmadeaparthereof.2.TheLocalAgencywillberesponsiblefortheplansbeingaccurateandcomplete.C.TheLocalAgencywillcomplywiththeapplicableprovisionsoftheState’sapprovedActionPlan,includingallfederaldirectivescontainedthereinbyreference.CopiesoftheapplicableprovisionsmayberequestedfromtheOfficeofEnvironmentalServices,ColoradoDepartmentofTransportation,4201E.ArkansasAvenue,Rm.284,DenverCo80222.D.TheLocalAgencymayenterintoacontractwithaconsultanttodoalloranyportionofproposedpreparationofconstructionplansandconstructionadministration.Intheeventthatfederal-aidfundsprovidedhereinaretoparticipateinthecostofworktobedonebyaconsultant,thecontractshallcomplywiththerequirementsofFederalAidPolicyGuide(FAPG),Title23,ChapterI,Sub-chapterB,Part172,AdministrationofEngineeringandDesignRelatedServiceContracts.ThecontractwiththeconsultantshallbeprecededbyanacceptableproposalandmaynotbeexecutedorawardeduntiltheselectionoftheconsultantandtermsofthecontractshallhavebeenapprovedbytheStateandtheFederalHighwayAdministration(FHWA).AllchangesinthecontractshallbebywrittensupplementalagreementandmusthavepriorapprovaloftheStateandFHWA.Assoonasthecontractwiththeconsultanthasbeenawarded,onecopyoftheexecutedcontractshallbesubmittedtotheState.Anysupplementalagreementsshallbesimilarlysubmitted.Anyconsultantbillingsshall-6- 00 oCcomplywiththeState’sstandardizedconsultantbillingformat.Examplesofthebillingformatsforthevariousmethodsofcontractpaymentareattachedheretoandmadeaparthereof.E.Ifacquisitionandrelocationassistanceisrequiredfortheproject,theLocalAgencywillberesponsibletoperformtheacquisitionandrelocationassistance,asrequiredbySection24-56-101,etseq.,C.R.S.However,iftheStatedeterminesthatsuchperformancebytheLocalAgencywilljeopardizeorisjeopardizingdistributionoffederalassistancefunds,orthatactionbytheStateisnecessarytocomplywithfederalpolicyorprocedures,thentheState,initsdiscretion,mayperformtheacquisitionandrelocationassistanceitselformaysuperviseanddirecttheLocalAgencyintheperformanceofsuchacquisitionandassistance.Priortotakingsuchaction,theStatewillprovidewrittennoticetotheLocalAgencyofthebasisofsuchdeterminationoractionandwillmeetwiththeLocalAgencytodiscusspossibleremedialmeasures.Priortothisprojectbeingadvertisedforbids,theLocalAgencywillcertifyinwritingtotheStatethatallrightofwayhasbeenacquiredinaccordancewiththeapplicableStateandfederalregulations,orthatnoadditionalrightofwayisrequired.F.TheLocalAgencywillberesponsibleforobtainingtheproperclearanceorapprovalfromanyutilitycompanywhichmaybecomeinvolvedinthisproject,byseparateagreementbetweentheLocalAgencyandtheutility,ifnecessary.Priortothisprojectbeingadvertisedforbids,theLocalAgencywillcertifyinwritingtotheStatethataUsuchclearanceshavebeenobtained.C.Intheeventtheprojectinvolvesmodificationofarailroadcompany’sfacilitiesatarailroadgradecrossingwherebytheworkistobeaccomplishedbyrailroadcompanyforces,theLocalAgencyshallmakeapplicationtothePublicUtilitiesCommissionrequestingitsorderprovidingfortheinstallationoftheproposedimprovements.TheLocal-7- 00 aCAgencyshallalsoestablishcontactwiththerailroadcompanyinvolvedforthepurposeof:1.Executinganagreementsettingoutwhatworkistobeaccomplishedandthelocation(s)thereof:,andthatthecostsoftheimprovementshallbeeligibleforfederalparticipation.2.Obtainingtherailroad’sdetailedestimateofthecostofthework.3.Establishingfuturemaintenanceresponsibilitiesfortheproposedinstallation.4.Prescribingfutureuseordispositionsoftheproposedimprovementsintheeventofabandonmentoreliminationofthegradecrossing.5.Establishingfuturerepairand/orreplacementresponsibilitiesintheeventofaccidentaldestructionordamagetotheinstallation.H.TheLocalAgencywillprovidefinalassemblyofconstructionplans,specialprovisions,estimatesandcontractdocuments.IntheeventtheLocalAgencyhasengagedaconsultantforthedesignofamajorstructure,theLocalAgency/consultantcontractshallcontainthefollowing:1.Uponadvertisementfortheprojectforconstruction,theconsultantshallmakeavailableservicesasrequestedbytheStatetoassisttheStateintheevaluationofconstructionandtheresolutionofconstructionproblemsthatmayariseduringtheconstructionoftheproject.2.Theconsultantshallreviewtheconstructioncontractor’sshopdrawingsforconformancewiththecontractdocumentsandcompliancewiththeprovisionsoftheState’spublication,“StandardSpecificationsforRoadandBridgeConstruction”,inconnectionwiththiswork.J.Ifconstructionontheprojectistobebid,theLocalAgencyinconjunctionwiththeStatewilladvertisethecallforbids,anduponconcurrencebytheStateawardtheconstructioncontract(s)tothelowestresponsiblebidder(s).-8- 00 C)0K.TheLocalAgencyhastheoptiontoacceptorrejecttheproposalofthelowbidderforworkonwhichcompetitivebidshavebeenreceived.TheLocalAgencymustdeclaretheacceptanceorrejectionattheawardconferenceorwithin3workingdaysaftersaidbidsarepubliclyopened,whicheveroccurslater.Followingawardoftheconstructioncontract(s),nofurtherrevisionsindesigndataorcostestimateshallbemadeexceptbyagreementinwritingbetweentheparties.Byindicatingitsconcurrenceinsuchawardattheawardconference,theLocalAgencyactingbyorthroughitsdulyauthorizedrepresentatives,agreestoprovideadditionalfundsifrequiredtocompletetheworkunderthisprojectifnoadditionalfederal-aidfundswillbemadeavailablefortheproject.L.Administrationoftheprojectshallbeinaccordwiththeproject’sPreconstructionand/orConstructionAdministrationChecklists,asamended,whichareattachedheretoandmadeaparthereof.IftheLocalagencyisresponsibleforadministeringtheproject,theLocalAgencyshallappointaqualifiedprofessionalengineer,licensedintheStateofColorado,astheLocalAgencyProjectEngineer(LAPE).Suchadministrationshallconsistofprojectinspectionandtesting;approvingsourcesofmaterials;performingrequiredplantandshopinspections;documentationofcontractpayments,testing,andinspectionactivities;preparingandapprovingpayestimates;preparing,approving,andsecuringthefundingforcontractmodificationorders(CMOs)andminorcontractrevisions(MCRs);processingcontractorclaims;and,meetingtheQualityControl(QC)requirementsoftheFHWA/Statestewardshipprogram.M.TheLAPEshalladministertheprojectinaccordancewiththisagreement,therequirementsoftheconstructioncontract,andStateprocedures.TheLAPEmaybeanemployeeoftheLocalAgencyoraconsultant.Insuchevent,notwithstandingSection12-25-103,C.RS.,asamended,theLAPEshallbeinresponsiblechargeoftheconstructionoftheprojectasprovidedinSection12-25-102C.R.S.asamended.-9- 00 0CN.Intheeventthatallorpartoftheworkistobeaccomplishedbyforceaccountratherthancontract,theLocalAgencywillinsurethatallworkisaccomplishedinaccordancewiththepertinentStatespecificationsaswellasFAPG,Title23,ChapterI,Sub-chapterB,Part635,Sub-partB,ForceAccountConstruction.WorkwillnormallybebaseduponestimatedquantitiesandfirmunitpricesagreedtobetweentheLocalAgency,theStateandtheFHWAinadvanceofthework,asprovidedforinFAPG,Title23,ChapterI,Sub-chapterB,Part635,Sub-partB,Section635.204(c).Suchagreedunitpricesshallconstituteacommitmentastothevalueoftheworktobeperformed.Itmaybeagreedtoparticipateintheworkbasedonactualcostsoflabor,equipmentrental,materialssuppliesandsupervisionnecessarytocompletethework.V/hereactualcostsareused,eligibilityofcostitemsshallbeevaluatedforcompliancewithFederalProcurementRegulationsPart1-15.RentalratesforpubliclyownedequipmentwillbedeterminedinaccordancewithSection109.04oftheState’s“StandardSpecificationsforRoadandBridgeConstruction.AllforceaccountworkshallhavepriorapprovaloftheFHWAandshallnotbeinitiateduntiltheStatehasissuedawrittennoticetoproceed.TheLocalAgencyshall,duringallphasesofthework,permitdulyauthorizedagentsandemployeesoftheStateandtheFHWAtoinspecttheprojectandtoinspect,reviewandaudittheprojectrecords.0.TheLocalAgencywillprepareandsubmittotheStatemonthlychargesforcostsincunedrelativetotheproject.TheLocalAgencywillprepareprojectchargesinaccordancewiththeState’sstandardpolicies,procedures,andstandardizedbillingformatattachedheretoandmadeaparthereof.ChargesincurredbytheLocalAgencypriortothedateofFHWAauthorizationoftheprojectwillnotbechargedtotheproject.P.TheLocalAgencyshallmaintainallbooks,documents,papers,accountingrecordsandotherevidencepertainingtocostsincurredandtomakesuchmaterialsavailableforinspectionatallreasonabletimesduringthecontract-10- 00 aCperiodandfor3yearsfromthedateoffinalpaymenttotheLocalAgency.CopiesofsuchrecordsshallbefurnishedbytheLocalAgencyifrequested.Q.TheLocalAgencywillmaintainandoperatetheimprovementsconstructedunderthiscontract,atitsowncostandexpenseduringtheirusefullife,inamaimersatisfactorytotheStateandFHWA,andwillmakeampleprovisionforsuchmaintenanceeachyear.Suchmaintenanceandoperationsshallbeinaccordancewithallapplicablestatutesandordinances,andregulationspromulgatedthereunder,whichdefinetheLocalAgency’sobligationtomaintainsuchimprovements.TheStateandFHWAwillmakeperiodicinspectionsoftheprojecttoverifythatsuchimprovementsarebeingadequatelymaintained.R.TheLocalAgency/Contractorshallbecognizantofandfullycomplywithallfederalrequirementsapplicabletotheperformanceofthework,and/orapplicabletoanyprocurementforthework,underthisfederallyfundedcontract.Suchrequirementsinclude:1.Title23,CodeofFederalRegulations(CFR),Part172,ifthecontractprovidesfordesignlengineeringconsultantservices.Therequirementsof23CFR172include,withoutlimitation:a)theLocalAgency/ContractorshallsubmitanydesignconsultantsubcontracttoCDOTforapprovalpriortoitsexecutionbytheLocalAgency/Contractor,asrequiredbysection172.5(d);b)theLocalAgency/ContractorshallalsousetheCDOTproceduresasdescribedinAttachment#1toadministerthatdesignconsultantsubcontract,asrequiredbysections172.5(b)and(d);c)toexpediteanyCDOTapproval,theLocalAgency/Contractor’sattorney,orotherauthorizedrepresentative,shallalsosubmitalettertoCDOTcertifyingLocalAgency/ContractorcompliancewiththoseCDOTAttachment#1proceduresandwiththerequirementsofsections172.5(b)and(d);and-11- CC2.Title23UnitedStatesCode(USC)Section112andTitle23CFRPart633,ifthecontractprovidesforhighwayconstructionservices.Therequirementsof23USC112and23CFR633include,withoutlimitation:theLocalAgency/ContractorshallphysicallyincorporatetheentireForm1273”(whichisattachedandincorporatedintothisContract)intoanysubcontract(s)forthoseservicesastermsandconditionsthereof,asrequiredby23CFR633.102(e);43.Title49,CFR,Part18,unlessotherapplicablefederalrequirements(includingtheprovisionsof23CFR172and23CFR633)aremorespecificthanprovisionsofPart18andthereforesupersedesuchPartISprovisions.Therequirementsof49CFR18include,withoutlimitation:a)theLocalAgency/Contractorshallfollowapplicableprocurementprocedures,asrequiredbysection18.36(d);b)theLocalAgency/ContractorshallrequestandobtainpriorCDOTapprovalofchangestoanysubcontractsinthemanner,andtotheextentrequiredby,applicableprovisionsofsection18.30;c)theLocalAgency/Contractorshallcomplywithsection18.37concerninganysubgrants;d)toexpediteanyCDOTapproval,theLocalAgency/Contractor’sattorney,orotherauthorizedrepresentative,shallalsosubmitalettertoCDOTcertifyingLocalAgency/Contractorcompliancewithsection18.30changeorderprocedures,andwith18.36(d)procurementprocedures,andwith18.37subgrantprocedures,asapplicable;e)theLocalAgency/Contractorshallincorporatethespecificcontractprovisionsdescribedin18.36(1)(whicharealsodeemedincorporatedherein)intoanysubcontract(s)forsuchservicesastermsandconditionsofthosesubcontracts.-12- 00V.GENERALPROVISIONSA.NotwithstandinganyconsentsorapprovalsgivenbytheStateforprojectplans,theStatewillnotbeliableorresponsibleinanymannerforthestructuraldesign,detailsorconstructionofanymajorstructuresthataredesignedwithintheworkofthiscontract.B.Iftheworkinvolvesconstruction,theStateshallhavetheauthoritytosuspendthework,whollyorinpart,bygivingwrittennoticethereoftotheLocalAgency,duetothefailureoftheLocalAgencyoritsconstructioncontractortocorrectprojectconditionswhichareunsafefortheworkmenorforsuchperiodsastheStatemaydeemnecessaryduetounsuitableweather,orforconditionsconsideredunsuitablefortheprosecutionofthework,orforanyotherconditionorreasondeemedbytheStatetobeinthepublicinterest.C.Thiscontractmaybeterminatedasfollows:(a)TerminationforCause.If,throughanycause,theLocalAgencyshallfailtofulfill,inatimelyandpropermanner,itsobligationsunderthiscontract,oriftheLocalAgencyshallviolateanyofthecovenants,agreements,orstipulationsofthiscontract,theStateshallthereuponhavetherighttoterminatethiscontractforcausebygivingwrittennoticetotheLocalAgencyofsuchterminationandspecifyingtheeffectivedatethereof,atleastfive(5)daysbeforetheeffectivedateofsuchtermination.InthateventthatthecontractisterminatedforcausetheLocalAgencyshallreimbursetheStatetheentireamountpaidtotheLocalAgencyfortheprojectinalumpsumpaymentmadewithinthirty(30)daysofthetermination.Notwithstandingabove,theLocalAgencyshallnotberelievedofliabilitytotheStateforanydamagessustainedbytheStatebyvirtueofanybreachofthecontractbytheLocalAgency.Ifaftersuchterminationitisdetermined,foranyreason,thattheLocalAgencywasnotindefault,orthattheLocalAgency’saction/inactionwas-13- 00excusable,suchterminationshallbetreatedasaterminationforconvenience,andtherightsandobligationsofthepartiesshallbethesameasifthecontracthadbeenterminatedforconvenience,asdescribedherein.(b)TerminationforConvenience.TheStatemayterminatethiscontractatanytimetheStatedeterminesthatthepurposesofthedistributionoffundsunderthecontractwouldnolongerbeservedbycompletionoftheproject.TheStateshalleffectsuchterminationbygivingwrittennoticeofterminationtotheLocalAgencyandspecifyingtheeffectivedatethereof,atleasttwenty(20)daysbeforetheeffectivedateofsuchtermination.(c)TerminationDuetoLossofFunding.ThepartiesheretoexpresslyrecognizethattheLocalAgencyistobepaid,reimbursed,orotherwisecompensatedwithhindswhichareavailabletotheStateforthepurposesofcontractingfortheprojectprovidedforherein,andtherefore,theLocalAgencyexpresslyunderstandsandagreesthatallitsrights,demandsandclaimstocompensationarisingunderthiscontractarecontingentuponavailabilityofsuchhindstotheState.IntheeventthatsuchfundsoranypartthereofarenotavailabletotheState,theStatemayimmediatelyterminateoramendthiscontract.D.Notwithstandinganythinghereintothecontrary,thepartiesunderstandandagreethatalltermsandconditionsofthiscontractandattachmentsheretowhichmayrequirecontinuedperformanceorcompliancebeyondtheterminationdateofthecontractshallsurvivesuchterminationdateandshallbeenforceablebytheStateasprovidedhereinintheeventofsuchfailuretoperformorcomplybytheLocalAgency.E.ThiscontractissubjecttosuchmodificationsasmayberequiredbychangesinfederalorStatelaw,ortheirimplementingregulations.Anysuchrequiredmodificationshallautomaticallybeincorporatedintoandbepartofthiscontractontheeffectivedateofsuchchangeasiffullysetforthherein.Exceptasprovidedabove,nomodificationofthiscontractshallbeeffectiveunlessagreedtoinwritingbybothpartiesinanamendmentto-14- C0thiscontractthatisproperlyexecutedandapprovedinaccordancewithapplicablelaw.F.Totheextentthatthiscontractmaybeexecutedandperformanceoftheobligationsofthepartiesmaybeaccomplishedwithintheintentofthecontract,thetermsofthiscontractareseverable,andshouldanytermorprovisionhereofbedeclaredinvalidorbecomeinoperativeforanyreason,suchinvalidityorfailureshallnotaffectthevalidityofanyothertermorprovisionhereof.Thewaiverofanybreachofatermhereofshallnotbeconstruedasawaiverofanyotherterm,orthesametermuponsubsequentbreach.G.Thiscontractisintendedasthecompleteintegrationofallunderstandingsbetweentheparties.Nopriororcontemporaneousaddition,deletion,orotheramendmentheretoshallhaveanyforceoreffectwhatsoever,unlessembodiedhereinbywriting.Nosubsequentnovation,renewal,addition,deletion,orotheramendmentheretoshallhaveanyforceoreffectunlessembodiedinawrittencontractexecutedandapprovedpursuanttotheStateFiscalRules.H.Exceptashereinotherwiseprovided,thiscontractshallinuretothebenefitofandbebindinguponthepartiesheretoandtheirrespectivesuccessorsandassigns.TheLocalAgencyrepresentsandwarrantsthatitcurrentlyhasnointerest,andshallnotacquireanyinterest,directorindirect,thatwouldconflictinanymannerordegreewiththeperformanceoftheLocalAgency’sobligationsunderthiscontract.TheLocalAgency’sfurthercovenantsthat,intheperformanceofthiscontract,itwillnotemployanypersonorfirmhavinganysuchknowninterests.J.Thiscontractshallbecome‘effective”onlyuponthedateitisexecutedbytheStateController,ordesignee.ThetermofthiscontractshallbeginonthedatefirstwrittenaboveandshallcontinuethroughthecompletionandfinalacceptanceofthisprojectbytheState,FHWAandLocalAgency.-15- ctorwlusebestefforttoincorporateanEEOdausehitseachunionagreementtotheendthatsuchunionwillbecontacnmlyboundtoreferapplicantswithoutregardtothe?race,color,religion,sex,nationalorigin,ageordcaNlity.c.ThecontractoristoobtaininformationastothereferralpractcesandpoliciesofthelaborunionexceptthattotheextentsuchinformationiswithintheexclusivepossessionofthelaborunionandsuchlaborunionrefusestofurnishssdiinformationtoPage2
