05-070•C’RESOLUTIONNO.5-07WHEREAS,in2002,theTownofEstesParkcontractedwithAISACivil,Inc.fortheinstallationofanew12-inchwatermainknownastheEvergreenWaterlineInterconnectProject;andWHEREAS,CornerstoneEngineeringandSurveying,Inc.wasretainedbytheTowntoprovideconstructionmanagementfortheEvergreenWaterlineInterconnectProject;andWHEREAS,beginningin2004,waterserviceconnectionsfromtheinstalledwatermaintoprivateresidenceshavefailedbyfreezingduetoimproperinstallationofthoseservicelineconnectionsbyAISAaspartoftheEvergreenWaterlineInterconnectProject;andWHEREAS,CornerstoneEngineeringandSurveying,Inc.hasagreedtoberesponsibletotheTownforthenecessaryrepairstotheindividualservicelinesinreturnfortheTownassigninganyclaimitmayhaveagainstAISApursuanttothetermsandconditionsintheContractincluding,butnotlimitedto,anyclaimarisingunderthePerformanceBondwithregardtotheEvergreenWaterlineInterconnectProject.NOWTHEREFORE,BEITRESOLVEDthat:1.AttachedheretoasExhibitAandincorporatedhereinandbyreference,istheAssignmentoftheabovereferencedclaimtoCornerstoneEngineeringandSurveying,Inc.2.TheBoardofTrusteesherebyapprovetheAssignmentoftheclaimincluding,butnotlimitedto,thePerformanceBond,toCornerstoneEngineeringandSurveying,Inc.3.TheappropriateofficialsoftheTownofEstesParkareherebyauthorizedtoexecutetheAssignmentsetforthinExhibitAandexecuteanyotherdocumentsnecessarytoenableCornerstoneEngineeringandSurveying,Inc.topursueanyclaimtheTownhasagainstAISACivil,Inc.arisingoutoftheEvergreenWaterlineInterconnectProject.
