RESOLUTION21-20ARESOLUTIONAPPROVINGANINTERGOVERNMENTALAGREEMENTWITHCOLORADO’SWATER/WASTEWATERAGENCYRESPONSENETWORK(CoWARN)FORMUTUALAIDANDASSISTANCEWHEREAS,theTownBoarddesirestoentertheintergovernmentalagreementreferencedinthetitleofthisresolutionforthepurposeofmutualaidandassistance.NOW,THEREFORE,BEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADO:TheBoardapproves,andauthorizestheMayortosign,theintergovernmentalagreementreferencedinthetitleofthisresolutioninsubstantiallytheformnowbeforetheBoard.DATEDthis_______dayof________________,2020.TOWNOFESTESPARKMayorKATTEST:--0ClerkAPPROVEDASTOFORM:TownAttorney Colorado’sWater!WastewaterAgencyResponseNetwork(C0WARN)MutualAidandAssistanceAgreementThisAgreementismadeandenteredintobypublicandprivateWaterandWastewaterUtilitiesthathave,byexecutingthisAgreement,manifestedtheirintenttoparticipateinColorado’sWater/WastewaterAgencyResponseNetwork(CoWARN).ThisAgreementisauthorizedunderSections24-32-2113and24-110-101,etseq.,oftheColoradoRevisedStatutes.ARTICLEI.PURPOSERecognizingthatemergenciesmayrequireassistanceintheformofpersonnel,equipment,andsuppliesfromoutsidetheareaofimpactthesignatoryutilitiesestablishedCoWARN.ThroughCoWARN,Memberscoordinateresponseactivitiesandshareresourcesduringemergencies.ThisAgreementsetsforththeproceduresandstandardsfortheadministrationofCoWARN.ARTICLEII.DEFINITIONSA.Emergency—Anaturalormanmadeeventthatis,orislikelytobe,beyondthecontroloftheservices,personnel,equipment,andfacilitiesofaMember.Ashortageofuntreated(raw)water,adeclineinwellyields,orinadequatecapacityfortreatmentordeliveryoftreatedwaterisnotanEmergency.6.Member—AnypublicorprivateWaterorWastewaterUtilitythatmanifestsintenttoparticipateinCoWARNbyexecutingthisAgreement.C.AuthorizedOfficial—AnemployeeofaMemberthatisauthorizedbytheMember’sgoverningboardormanagementtorequestassistanceorofferassistanceunderthisAgreement.D.RequestingMember—AMemberwhorequestsassistanceunderCoWARN.E.RespondingMember—AMemberthatrespondstoarequestforassistanceunderCoWARN.F.PeriodofAssistance—AspecifiedperiodoftimewhenaRespondingMemberassistsaRequestingMember.Theperiodcommenceswhenpersonnel,equipment,orsuppliesdepartfromaRespondingMember’sfacilityandendswhentheresourcesreturntotheirfacility(portaltoportal).AllprotectionsidentifiedintheAgreementapplyduringthisperiod.ThespecifiedPeriodofAssistancemayoccurduringresponsetoorrecoveryfromanEmergency,aspreviouslydefined.G.NationalIncidentManagementSystem(NIMS)—Anational,standardizedapproachtoincidentmanagementandresponsethatsetsuniformprocessesandproceduresforemergencyresponseoperations.http://www.fema.gov/emergency/nims/index.shtmARTICLEIII.ADMINISTRATIONCoWARNshallbeadministeredthroughRegionalCommitteesandaStatewideCommittee.ThepurposeofaRegionalCommitteeistoprovidelocalcoordinationofCoWARNbefore,during,andafteranEmergency.TheStatewideCommitteewillestablishtheregionspursuanttoitsBylaws.EachRegionalCommittee,undertheRevised11/26/071 leadershipofanelectedChairperson,shaHmeetatleastannuallytoaddressCoWARNissuesandtoreviewEmergencypreparednessandresponseprocedures.TheChairpersonofeachRegionalCommitteerepresentshis/herRegionalCommittee’sinterestsontheStatewideCommittee.InadditiontorepresentingtheinterestsoftheMembers,theStatewideCommitteeincludesrepresentativesfromtheColoradoDepartmentofPublicHealthandEnvironment,theRockyMountainSectionoftheAmericanWaterWorksAssociation,theRockyMountainWaterEnvironmentAssociation,theColoradoRuralWaterAssociation,theRuralCommunityAssistancePartnership,andtheColoradoDepartmentofLocalAffairsDivisionofEmergencyManagement.PursuanttoitsBylaws,theStatewideCommitteemayvotetoincluderepresentativesfromadditionalorganizations.UndertheleadershipoftheChairperson,theStatewideCommitteemembersshallplanandcoordinateEmergencyplanningandresponseactivitiesforCoWARN.ARTICLEIV.REQUESTSFORASSISTANCEA.MemberContacts:UponexecutionofthisAgreement,MembersshallidentifyanAuthorizedOfficialandalternates,providecontactinformationincluding24-houraccess,andmaintainresourceinformationmadeavailablebytheMemberformutualaidandassistanceresponse.TheRegionalCommitteeChairpersonshallmaintainalistofallMembersintherespectiveregionandtheircontactinformation.TheStatewideCommitteeChairpersonshallmaintainamasterlistofallMembersofCoWARNandtheircontactinformation,whichshallbeavailabletoMembersatwww.cowarn.org.B.RequestsforAssistance:IntheeventofanEmergency,aMember’sAuthorizedOfficialmayrequestmutualaidandassistancefromparticipatingMembers.Requestsforassistancecanbemadeorallyorinwriting.Whenmadeorally,therequestforpersonnel,equipment,andsuppliesshallbepreparedinwritingassoonaspracticable.RequestsforassistanceshallbedirectedtotheAuthorizedOfficialsoftheparticipatingMembers.TheRequestingMembershallprovidetheparticipatingMemberswiththefollowinginformation:1.ageneraldescriptionofthedamagesustained;2.thepartofthewater/wastewatersystemforwhichassistanceisneeded;3.theamountandtypeofpersonnel,equipment,materials,andsuppliesneededandareasonableestimateofthelengthoftimetheywillbeneeded;4.thepresentweatherconditionsandtheforecastforthenexttwenty-four(24)hours;5.aspecifictimeandplaceforarepresentativeoftheRequestingMembertomeetthepersonnelandequipmentoftheRespondingMember(s);and6.theidentificationofworkconditionsandspecialconstraints,suchasavailabilityoffuelsupplies,lodging/mealsupport,medicalfacilities,security,communications,etc.C.ResponsetoaRequestforAssistance:AfteraMemberreceivesarequestforassistance,theAuthorizedOfficialevaluateswhetherresourcesareavailabletorespondtotherequestforassistance.Followingtheevaluation,theAuthorizedOfficialshallinform,assoonaspossible,theRequestingMemberwhetherithastheresourcestorespond.IfaMemberiswillingandabletoprovideassistance,theMembershallprovidetheRequestingMemberwiththefollowinginformation:1.acompletedescriptionofthepersonnel,equipmentandmaterialstobefurnishedtotheRequestingMember;2.theestimatedlengthoftimethepersonnel,equipmentandmaterialswillbeavailable;3.theworkexperienceandabilityofthepersonnelandthecapabilityoftheequipmenttobefurnished;Revised11/26/072 4.thenameofthepersonorpersonstobedesignatedassupervisorypersonnel;and5.theestimatedtimewhentheassistanceprovidedwillarriveatthelocationdesignatedbytheAuthorizedOfficialoftheRequestingMember.D.DiscretionofRespondingMember’sAuthorizedOfficial:ExecutionofthisAgreementdoesnotcreateanydutytorespondtoarequestforassistance.WhenaMemberreceivesarequestforassistance,theAuthorizedOfficialshallhaveabsolutediscretionastotheavailabilityofresources.AnAuthorizedOfficial’sdecisionsontheavailabilityofresourcesshallbefinal.ARTICLEV.RESPONDINGMEMBERPERSONNELANDEQUIPMENTA.NationalIncidentManagementSystem(NIMS):WhenprovidingassistanceunderthisAgreement,theRequestingMemberandRespondingMembershallbeorganizedandshallfunctionunderNIMS.B.Control:ThepersonnelandequipmentoftheRespondingMembershallremain,atalltimes,underthedirectsupervisionandcontrolofthedesignatedsupervisorypersonneloftheRespondingMember.IninstanceswhereonlyequipmentisprovidedbytheRespondingMember,theownershipofsaidequipmentshallremainwiththeRespondingMember,andsaidequipmentshallbereturnedtotheRespondingMemberimmediatelyuponrequest.RepresentativesoftheRequestingMembershallsuggestworkassignmentsandschedulesforthepersonneloftheRespondingMember;however,thedesignatedsupervisorypersonneloftheRespondingMembershallhavetheexclusiveresponsibilityandauthorityforassigningworkandestablishingworkschedulesforthepersonneloftheRespondingMember.Thedesignatedsupervisorypersonnelshallmaintaindailypersonneltimerecordsandalogofequipmenthours,beresponsiblefortheoperationandmaintenanceoftheequipmentfurnishedbytheRespondingMember,andreportworkprogresstotheRequestingMember.C.FoodandShelter:TheRequestingMembershallsupplyreasonablefoodandshelterforRespondingMemberpersonnelduringthePeriodofAssistance.IftheRequestingMemberfailstoprovidefoodandshelterforRespondingMemberpersonnel,theRespondingMember’sdesignatedsupervisorisauthorizedtosecuretheresourcesnecessarytomeettheneedsofitspersonnel.Thecostforsuchresourcesmustnotexceedthestateperdiemratesforthatarea.TheRequestingMemberremainsresponsibleforreimbursingtheRespondingMemberforallcostsassociatedwithprovidingfoodandshelter,iftheRequestingMemberdoesnotprovidesuchresources.D.Communication:TheRequestingMembershallprovideRespondingMemberpersonnelwithradioequipmentasavailable,orradiofrequencyinformation,inordertofacilitatecommunicationswithlocalrespondersandutilitypersonnel.E.Status:Unlessotherwiseprovidedbylaw,theRespondingMember’sofficersandemployeesretainthesameprivHeges,immunities,rights,duties,andbenefitsasprovidedintheirrespectivejurisdictions.F.LicensesandPermits:Totheextentpermittedbylaw,RespondingMemberpersonnelwhoholdlicenses,certificates,orpermitsevidencingprofessional,mechanical,orotherskillsshallbeallowedtocarryoutactivitiesandtasksrelevantandrelatedtotheirrespectivecredentialsduringthespecifiedPeriodofAssistance.Revised11/26/073 G.RighttoWithdraw:TheRespondingMember’sAuthorizedOfficialretainstherighttowithdrawsomeorallofitsresourcesatanytime.NoticeofintentiontowithdrawmustbecommunicatedtotheRequestingMember’sAuthorizedOfficialassoonaspossible.ARTICLEVI.COSTREIMBURSEMENTUnlessotherwisemutuallyagreedinwholeorinpart,theRequestingMembershallreimbursetheRespondingMemberforeachofthefollowingcategoriesofcostsincurredwhileprovidingaidandassistanceduringthespecifiedPeriodofAssistance.A.Personnel:RespondingMemberpersonnelaretobepaidforworkcompletedduringaspecifiedPeriodofAssistanceaccordingtothetermsprovidedintheiremploymentcontractsorotherconditionsofemployment.TheRespondingMemberdesignatedsupervisor(s)mustkeepaccuraterecordsofworkperformedbypersonnelduringthespecifiedPeriodofAssistance.RequestingMemberreimbursementtotheRespondingMembermustconsiderallpersonnelcosts,includingsalariesorhourlywages,costsforfringebenefits,andindirectcosts.B.Equipment:TheRespondingMembershallbereimbursedfortheuseofitsequipmentduringthePeriodofAssistanceaccordingtotheScheduleofEquipmentRatesestablishedandpublishedbytheFederalEmergencyManagementAgency(FEMA),httn://www.fema.gov!xls/government/grantfpa/egsch.xls.RatesforequipmentnotreferencedontheFEMAScheduleofEquipmentRatesshallbedevelopedbasedonactualrecoveryofcosts.C.MaterialsandSupplies:TheRequestingMembermustreimbursetheRespondingMemberinkindoratactualreplacementcost,plushandlingcharges,foruseofexpendableornon-returnablesupplies.TheRespondingMembermustnotchargedirectfeesorrentalchargestotheRequestingMemberforothersuppliesandreusableitemsthatarereturnedtotheRespondingMemberinaclean,damage-freecondition.ReusablesuppliesthatarereturnedtotheRespondingMemberwithdamagemustbetreatedasexpendablesuppliesforpurposesofcostreimbursement.0.PaymentPeriod:TheRespondingMembermustprovideanitemizedbilltotheRequestingMemberforallexpensesitincurredasaresultofprovidingassistanceunderthisAgreement.TheRespondingMembermustsendtheitemizedbillnotlaterthanninety(90)daysfollowingtheendofthePeriodofAssistance.TheRequestingMembermustpaythebillinfullonorbeforetheforty-fifth(45th)dayfollowingthebillingdate.Unpaidbillsbecomedelinquentontheforty-sixth(46th)dayfollowingthebillingdate,and,oncedelinquent,thebillaccruesinterestatthebankprimeloanrate,asreportedintheFederalReserveStatisticalReleaseK.15,http://www.federalreserve.gov/releases/K15/update!,forthedatetherequestismade,plustwopercent(20/D)perannum,computedonanactualdays/actualdaysbasis.ARTICLEVII.LIABILITY,INSURANCE,ANDIMMUNITYNotwithstandingArticlesVandVI,eachMembershallbeartheriskofitsownactions,asitdoeswithitsday-to-dayoperations,anddetermineforitselfwhatkindsofinsurance,andinwhatamounts,itshouldcarry.NothingcontainedhereinwillconstituteawaiverbyanyMemberoftheprovisionsoftheColoradoGovernmentalImmunityAct,C.R.S.§24-10-101,etseq.Revised11/26/074 ARTICLEVIII.SIGNATORIESIntheeventofaclaim,demand,action,orproceedingofwhateverkindornaturearisingoutofaspecifiedPeriodofAssistance,thoseMemberswhoreceiveandprovideassistanceshallbetotallyresponsibleforanyliability,damages,orcosts.ThoseMemberswhoseinvolvementinthesubjecttransactionoroccurrenceislimitedtoexecutionofthisAgreementshallhavenoliabilityorresponsibilitywhatsoeverforanysuchclaim,action,demand,orotherproceeding.ARTICLEIX.NOTICEAMemberthatbecomesawareofaclaimorsuitthatinanyway,directlyorindirectly,contingentlyorotherwise,affectsormightaffectotherMembersofthisAgreementshallprovidepromptandtimelynoticetotheMembersthatmaybeaffectedbythesuitorclaim.EachMemberreservestherighttoparticipateinthedefenseofsuchclaimsorsuitsasnecessarytoprotectitsowninterests.ARTICLEX.EFFECTIVEDATEANDTERMThisAgreementshallbeeffectiveaftertheMemberexecutestheAgreementandtheapplicableRegionalCommitteeChairpersonreceivestheAgreement.ThisAgreementshallcontinueinforceandremainbindingoneachandeveryMemberuntilDecember31stof2027.ThisAgreementmayberenewedforaperiodoftwentyyearsuponthesignatureofthoseMemberswhowishtoparticipate.AnyMembermayterminateitsparticipationinthisAgreementpursuanttoArticleXI.ARTICLEXI.WITHDRAWALAMembermaywithdrawfromCoWARNbyprovidingwrittennoticeofitsintenttowithdrawtotheapplicableRegionalCommitteeChairperson.Withdrawaltakeseffectsixty(60)daysaftertheRegionalCommitteeChairpersonreceivesnotice.AwithdrawingMemberalsoshallprovidecopiesofthenoticeofwithdrawaltotheStatewideChairpersonandallRegionalMembers.WithdrawalofparticipationinCoWARNbyaMembershallnotaffectthecontinuedoperationofthisAgreementbetweenandamongtheremainingMembers.ARTICLEXII.MODIFICATIONNoprovisionofthisAgreementmaybemodified,altered,orrescindedbyindividualMembers.ModificationstothisAgreementmaybeduetoprogrammaticoperationalchangestosupporttheAgreement.ModificationsrequireasimplemajorityvoteofMemberswithineachregionandaunanimousagreementamongtheregions.TheStatewideCommitteeChairpersonmustprovidewrittennoticetoallMembersofapprovedmodificationstothisAgreement.Approvedmodificationstakeeffectsixty(60)daysafterthedateuponwhichnoticeissenttotheMembers.ARTICLEXIII.PRIORAGREEMENTSThisAgreementsupersedesallprioragreementsbetweenMemberstotheextentthatsuchprioragreementsareinconsistentwiththisAgreement.ARTICLEXIV.PROHIBITIONONTHIRDPARTIESANDASSIGNMENTOFRIGHTS/DUTIESRevised11/26/075
