HomeMy WebLinkAboutRESOLUTION 14-20RESOLUTION14-20ARESOLUTIONAPPROVINGTHEESTESPARKBOARDOFADJUSTMENTBYLAWSWHEREAS,theTowniscurrentlyintheprocessofformingandappointinganewBoardofAdjustment;andWHEREAS,itisnecessaryandappropriateforTownofEstesParkBoardsandCommissionstohaveanapprovedsetofbylawsforconductofbusiness;andWHEREAS,undersection2.1(D)oftheEstesParkDevelopmentCode,effectiveApril1,2020,bylawsfortheBoardofAdjustmentmustbeapprovedbytheBoardofTrustees;andWHEREAS,TownBoardapprovalofastandardizedsetofbylawsinaccordancewithTownGovernancePolicy102willmeetthegoalofanorderlymeetingprocess:NOW,THEREFORE,BEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADO:TheEstesParkBoardofAdjustmentBylaws[adoptedSpring2020]nowbeforetheBoardareherebyapproved.DATEDthis7dayofATTEST:LTctjClerkAPPROVEDAS2020.TOWNOFESTESPARKMayorTOFORM:TownAttorney ESTESPARKBOARDOFADJUSTMENTBYLAWS[AdoptedSpring2020]I.ROLETheEstesParkBoardofAdjustment(“Board”)isestablishedundersection2.1(D)oftheEstesParkDevelopmentCode.TheBoardexercisestheauthoritygiventoitbytheTownBoardofTrusteesasoutlinedbelow:1.PerformallofthedutiesandresponsibilitiesofamunicipalboardofadjustmentpursuanttoColoradolaw;and2.PerformallofthedutiesandresponsibilitiesoftheBoardofAdjustmentasdescribedintheEstesParkDevelopmentCode.II.MEETINGSA.RegularMeetings.RegularmeetingsshallbeheldthefirstTuesdayofeachmonth,beginningat9:00AM.Foranygivenmonth,ifthefirstTuesdayisaholidayorifthefirstTuesdayisthedayafteraMondayholiday,theBoard’smeetingdateforthatmonthwillbethefollowingTuesdayoneweeklater.“Holiday”shallmeananyofthedayssodesignatedinTownofEstesParkPolicy306,section3(c)(ii).Atmeetings,theBoardshallconsiderallmattersproperlybroughtbeforetheBoardasscheduleditems.IfanychangeismadetothestartingtimeofaBoardmeeting,eitherbytheCommunityDevelopmentDirectororbytheBoardatapreviousmeeting,Boardmembersshallbenotifiedofsuchchangeatleastfivedayspriortothemeeting.B.SpecialMeetings.SpecialmeetingsmaybeheldatanytimeuponcallbytheChair,theBoard,ortheCommunityDevelopmentDirector.Noticeofatleastfive(5)calendardaysshallbegiventoeachmemberoftheBoard.Thetime,place,andpurposeofthespecialmeetingshallbespecifiedinthenoticetotheBoardmembers,PublicnoticeofthemeetingshallbegiveninaccordancewithColoradoRevisedStatutesSec.24-6-402(2)(c).C.OpenMeetings.Allmeetingsareopentothepublic.ActionoftheBoardshallbeinfullcompliancewithColoradostatutesgoverningopenmeetings.Ill.MEMBERSANDQUORUMA.Membership.TheBoardconsistsofthree(3)votingmembers,asprovidedintheDevelopmentCode.B.Quorum.Aquorumfortransactionofbusinessshallconsistoftwo(2)members.Inameetingwhereaquorumisnotpresent,noactionshallbetaken,andallscheduledmattersshallberescheduledforhearingatthenextregularlyscheduledBoardmeeting,orataspecialmeeting. C.Action.ActionbytheBoardshallbebymajorityvoteofthemembersattendinganyregularorspecialmeetingatwhichaquorumispresent,unlessotherwiseprovidedbylaworordinance.D.Liaison.TheTownBoardofTrusteesmayappointoneofitsmembersasaliaisontotheBoard,whoshallreceivecopiesofallnotices,documents,andrecordsofproceedingsoftheBoardwhichanyBoardmemberwouldalsoreceive.IV.OFFICERSA.Officers.ThereshallbeaChairandaViceChairfortheBoard.Eachshallserveforaone-yearterm.TheChairandVice-ChairshallbechosenbymajorityvoteofmembersoftheBoard.TheCommunityDevelopmentDepartmentPlanningDivisionAdministrativeAssistant,orhisorherdesignee,shallserveasRecordingSecretary.B.Elections.Officersshallbeelectedbythemembersannually,atthefirstregularlyscheduledmeetingofeachyearorassoonthereafteraspracticable.NotificationofwhoiselectedChairandViceChairwillbesenttotheTownClerk.C.Chairpersonresponsibilities:1.Shallpresideatallmeetingsatwhich(s)heispresent;2.Shallensurethatallmeetingsareconductedwithdecorumandefficiency;3.MaycallspecialmeetingsinaccordancewiththeBylaws;4.ShallsignanydocumentsonbehalfoftheBoard;5.ShallseethatdecisionsoftheBoardareproperlytaken;6.AsanyothermemberoftheBoard,shallvoteonmailersbeforetheBoard,maymakeorsecondmotions,andmayspeakfororagainstproposals.D.Vice-Chairpersonresponsibilities:PresideovermeetingsandperformtheotherdutiesoftheChairintheeventtheChairisabsentorunabletoact.E.RecordingSecretaryresponsibilities:1.AttestthesignatureoftheChairorViceChaironthedocumentsoftheBoard;2.PrepareandkeeptheminutesofallmeetingsoftheBoardinanappropriateanddesignatedfile;3.GiveandserveallnoticesrequiredbylawortheseBylaws;4.PreparetheagendainconsultationwiththeChairforallmeetingsoftheBoard;5.BecustodianofBoardrecords;6.InformtheBoardofcorrespondencerelatingtobusinessoftheBoardandattendtosuchcorrespondence.V.MEETINGPROCEDURESA.ParliamentaryProcedure.TheChairshallpresideinaccordancewithgenerallyacceptednormsfortheconductofparliamentaryprocedure.TheBoardmayoverturnaparliamentary determinationoftheChairbymajorityvote.Robert’sRulesofOrdermaybeconsideredasaparliamentaryguide.TheCommunityDevelopmentDirectorshallserveasaparliamentaryprocedureresource.B.PublicInvitedtobeHeard.TheChairmayallowpersonalappearancesatthebeginningofeachregularmeetingbyanypersondesiringtospeakonamatternotontheagenda.TheBoardshallnottakeactiononitemspresentedundersuchpersonalappearances.Anystatementmadeshallberelevanttolandusemattersandshallbenotmorethanthreeminutesperpersoninduration.TheChairshallrequestthatallpersonssoappearingidentifythemselvesbynameandaddress.C.ConsentAgenda.Itemsontheconsentagendamaybeapprovedintheaggregatebyasinglemotion.AnyBoardmembermayremoveanyitemfromtheconsentagenda.Removeditemsshallbeheardfollowingthedispositionoftheremainingconsentagenda,andshallbediscussedandvotedonseparately.D.FormalAction.Eachformalactionrequiredbylaworordinanceshallbeembodiedinaformalmotionorresolution.E.ReviewCriteria.Thoseitemstobeconsideredwhichrequirereviewpursuanttoadoptedcriteriashallbeconsideredinthecontextofsuchcriteria.TheBoardshallstatefindingsbasedonthecriteriawhentakingactiononsuchanitem.F.ChairProTem.IntheeventtheChairandtheViceChairarebothabsentorunabletoactinaregularorspecialmeetingwhereaquorumhasbeenmet,anothermemberoftheBoardshallbechosenbytheBoardtoperformtheresponsibilitiesoftheChairforthemeeting.G.TimelyConclusionofMeetings.Regularmeetingsshallendnolaterthan11:30AMunlesstheBoardapprovesanextensiontothemeetingbyatwo-thirds(2/3)majorityvote.Anyitemontheagendawhichcannotbeheardandconsideredbytheconclusionofthemeetingmay,asprovidedbytheDevelopmentCode,becontinueduntilandheardatthenextregularlyscheduledmeeting,oraspecialmeeting,andshallhavepriorityoveranyothermatterstobeheardandconsidered.H.CancellationofMeetings.RegularlyscheduledmeetingsoftheBoardmaybecanceledorrescheduledupondeterminationbytheChair.IntheeventnoapplicationhasbeenreceivedforhearingbytheBoardatanyregularlyscheduledmeeting,andintheabsenceofotherpressingbusiness,theCommunityDevelopmentDirectormaycancelthemeeting.VI.ATTENDANCEAllmembersshallattendallmeetings,includingspecialmeetings,oftheBoard,ifpossible.Intheeventanymembermissesthree(3)consecutiveregularmeetingsoratotaloffour(4)regularmeetingsinacalendaryear,theBoardmayreportsuchabsenteeismtotheTownBoardofTrustees.VII.COMPLIANCEWITHTOWNPOLICIES A.CompliancewithTownPolicies.InadditiontotheseBylaws,theBoardoperatesunderthetermsoftheTownofEstesParkGovernancePolicy102,asamendedfromtimetotime.ThePolicytermsareincorporatedintotheseBylawsbythisreference.AcopyofthatPolicy,alongwiththeseBylaws,shallbeprovidedtoeachmemberatthetimeoftheirappointment.B.VolunteerClassification.ParticipationasamemberoftheBoardisdoneofone’sownfreewillinthecontextofvolunteerism.VolunteersappointedbytheTownBoardofTrusteeswillactinaccordancetoanyadoptedTownvolunteermanualorpolicy.VIII.CONFLICTOFINTERESTAllmembersoftheBoardaresubjecttothestandardsofconductundertheStateofColoradoCodeofEthics,Sections24-18-101etseq.,C.R.S.,andArticleXXIXoftheColoradoConstitution(Amendment41).AtthetimeofintroductionofanindividualitemontheBoardagendainwhichthememberhasaconflictofinterest,themembershallstatethatheorshehasaconflictofinterestandthenabstainfromparticipatingandvotingonthemailer.AmemberhavingaconflictofinterestonanymailershallnotailempttoinfluenceothermembersoftheBoardatanytimewithregardtosaidmailer.Adoptedthis—dayof____________,2020ESTESPBOARDOFTRUSTEESBy:_______________ToddJirsa,Mor
