38-19RESOLUTION38-19ARESOLUTIONAPPROVINGANINTERGOVERNMENTALAGREEMENTBETWEENTHETOWNANDLARIMERCOUNTYREGARDINGLANDUSEPLANNINGANDRELATEDISSUESFORTHEESTESVALLEYWHEREAS,theTownandCountyatpresenthaveanIntergovernmentalAgreement(“IGA”)forlanduseplanningandalliedpurposesthatcontainsanexpirationdateofFebruary1,2020;andWHEREAS,theTownandCountyagreethanadoptionofanotherIGAforlanduseplanningandalliedpurposesisinthebestinterestofbothpartiesandourcitizensandstakeholders;andWHEREAS,theTownandCountygoverningbodiesfindthemselvesinmutualagreementthatcertainspecificprovisionsinaproposedIGA,ExhibitA,arereasonableandappropriate;andWHEREAS,theRecitalsintheproposedIGAarealsoapplicabletothisResolutionandareherebyincorporatedbyreferenceinthisResolution:NOW,THEREFORE,BEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADO:TheBoardofTrusteesapproves,andauthorizestheMayortosign,theintergovernmentalagreementreferencedinthetitleofthisresolution,insubstantiallytheformnowbeforetheBoard.DATEDthisILf¾dayofNo’.1mkv-,pr,2019.TOWNOFPARKMayorATTEST:pClerk ExhibitA(OptionB)INTERGOVERNMENTALAGREEMENTRegardingLandUsePlanningandRelatedIssuesfortheEstesValleyTHISINTERGOVERNMENTALAGREEMENT(“Agreement”)ismadeandeffectivethis1stdayofApril,2020(“EffectiveDate”)byandbetweenLARIMERCOUNTY,COLORADO(“County”),abodypoliticorganizedunderandexistingbyvirtueofthelawsoftheStateofColoradoandTHETOWNOFESTESPARK,COLORADO(“Town”)andjointlyreferredtoasthe“Parties.”RECITALSA.WHEREAS,thePartieshaveworkedtogethercooperativelyonlanduseplanningsincethemid-1990s,withaninitialintergovernmentalagreement(IGA)effectiveFebruary1,2000,withfivesubsequentamendments,andwhichexpiresinFebruary2020;B.WHEREAS,in1996,theTownandCountypreparedandjointlyadoptedtheEstesValleyComprehensivePlanforthelandareaintheEstesValleyPlanningAreawhichincludeslandswithinTownlimitsandinunincorporatedLarimerCounty,whichplaniseffectiveuntilupdatedorsuperseded;C.WHEREAS,thePartiesagreethatmaintainingandenhancingareasofTowndevelopmentinathoughtfulanddeliberateway,managinggrowthintheEstesValley,andprotectingopenspaceandconservingruralcharacterareenhancedbycooperationinlanduseplanninganddevelopmentreviewservices;D.WHEREAS,concentratingTownLevelDevelopmentinareasplannedanddesignatedforsuchdevelopmentaffordsgreaterefficiencyinthedeliveryofservicessuchaswater,streetsandtransportation,fireandpoliceprotectionandotherservices,andaffordsameasureofpredictabilitytolandownersandresidentsconcerningwhereserviceswillbeprovidedinthefuture;E.WHEREAS,maintainingthepartsoftheEstesValleyPlanningAreathataredesignatedforruralusesasruralpromotesthepurposesofprovidingacommunitybufferbetweentheTownandtheadjacentnationalparkandfederallands,serveseconomicandcommunityinterests,andmeetsthegoalsofthecommunityassetforththroughtheEstesValleyComprehensivePlan;F.WHEREAS,thepurposesofthisIntergovernmentalAgreement(Agreement)areto:1.ImplementtheEstesValleyComprehensivePlanasitcurrentlyexistsormayhereafterbeamendedorreplaced;2.EstablisheffectivemeansofplanningforfuturedevelopmentandconservationwithintheunincorporatedportionoftheCountyintheEstesValley;3.AssurethatTownLevelDevelopmentoccursonlywhereandwhenfacilitiesandservicescanbeprovidedtoitandinappropriatelocationswithintheEstesValleythatareabletosupporthigherintensitiesofdevelopment;4.AssurethatlandeligibleforannexationtotheTownareconsideredforannexationpriortoorconcurrentlywithdevelopment;ExhibitA-p.1 5.Provideeffectivemeansfortheappropriatedesign,construction,andmaintenanceofpublicimprovements;6.Encouragetheefficientuseoflandandopenspaceconservationinappropriatelocations,includingthoseintheunincorporatedareasoftheEstesValley;7.Provideamechanismforpropertyowners,residents,stakeholders,andotherstohaveinputonandbeinformedastowheredevelopmentwilloccurinthefuture;8.EnsurethatdevelopmentstandardsarethoughtfullyalignedoneithersideoftheTownlimits,soastoallowforintentionalpatternsofdevelopmentthatareconsistentwiththeplanandvisionfortheEstesValley;9.AssurethatdevelopmentinthevicinityoftheTowndoesnotnegativelyimpactroadsorotherinfrastructureimprovementsinunincorporatedLarimerCounty,andprovidethatwhentherearenegativeimpacts,thoseimpactswillbeappropriatelymitigated;and10.AllocateresponsibilitiesofLarimerCountyandtheTownofforpurposesofadministeringlandusewithintheirrespectivejurisdictions.G.WHEREAS,pursuanttoStateofColoradolaw,localjurisdictionsareauthorizedtoregulatethelocationofactivitiesanddevelopments;phasedevelopmentofservicesandfacilities;regulatedevelopmentonthebasisofitsimpactonthecommunityorsurroundingareas;planforandregulatetheuseoflandsoastoprovideforplannedandorderlyuseoflandandprotectionoftheenvironment;cooperateorcontractwithotherunitsofgovernmentforthepurposeofplanningandregulatingthedevelopmentofland,including,butnotlimitedto,thejointexerciseofplanning,zoning,subdivision,building,andrelatedregulationsandannexationofproperty,allinamannerconsistentwithconstitutionalrightsandstatutoryprocedures;H.WHEREAS,communicationamonglocaljurisdictions,specialdistricts,propertyownersandotherinterestedpartiesisessentialtoaccomplishingthisAgreement;I.WHEREAS,anyprovisionsinthisAgreementmaybeimplementedonlytotheextentlegallypermittedbyStateandFederalLaw;J.WHEREAS,thePartieshavesoughtcommunityinputandheldhearingsafterproperpublicnoticefortheconsiderationofenteringintothisAgreement;andK.WHEREAS,inordertoprovideforanorderlytransitiontothisIntergovernmentalAgreementandtoallowforappropriateallocationofresourcesbyallpartiestosupportit,itisdesirabletoextendtheFebruary1,2010IntergovernmentalAgreementanditssubsequentamendmentsforanadditionaltwo(2)months,toterminateonMarch31,2020,withthisnewIntergovernmentalAgreementtobecomeeffectiveonApril1,2020.TheextensionisbeingaccomplishedbyanamendmentcontemporaneouswiththisAgreement.ExhibitA-p.2 NOW,THEREFOREinconsiderationofthecovenantsandobligationsexpressedherein,itisherebyagreedbyandbetweenthePartiesasfollows:1.DEFINITIONSThefollowingtermsshallhavethemeaningssetforthbelow.1.1.Annexation.Annexationmeanstheincorporationoflandareaintoanexistingmunicipalitywitharesultingchangeintheboundariesofthatmunicipality.1.2.EstesValleyComprehensivePlan.TheadoptedComprehensivePlanfortheEstesValleyPlanningArea,adoptedbytheEstesParkPlanningCommissionandtheLarimerCountyPlanningCommissioninDecember1996.ThePlanaddresseslanduse,transportation,naturalresources,andotherelementsandguidesthroughmapsandtextandgenerallyindicatesthetypes,densitiesandintensitiesoflandusethatareacceptableforanygivenparceloflandorareaintheEstesValleyPlanningArea.ItalsoestablishestheEstesValleyPlanningAreaboundary.1.3.EstesValleyDevelopmentCode(EVDC).Theadoptedlanduse,zoning,anddevelopmentstandardsfortheEstesValleyPlanningAreaadoptedbytheTownandCountyeffectivein1999andassubsequentlyamended.1.4.EstesValleyPlanningArea(EVPA).TheEstesValleyPlanningAreaisthatgeographicalareaincludingalloftheTownofEstesParkandcertaindesignatedareasbeyondTownlimitsestablishedintheEstesValleyComprehensivePlan,andasdepictedinExhibit1.1.5.EstesValleyOverlayDistrict(EVOverlayDistrict).RegulationsproposedtobeadoptedbyLarimerCountyintheEVPAaspartoftheLarimerCountyLandUseCodetomaintainconsistencywithexistingEstesValleyDevelopmentCodeandtoimplementthisAgreement.Insuchareagenerally,TownLevelDevelopmentiscurrentlynotconsideredappropriateordesiredexceptwhereitannexestotheTown.1.6.LarimerCountyComprehensivePlan.Theofficialvisionandpolicydocumentguidinglong-rangeframeworkfordecisionmakingforLarimerCounty’sunincorporatedareasoutsidetheEstesValleyPlanningArea,adoptedin2019bytheCountyPlanningCommission.1.7.LarimerCountyLandUseCode.TheregulationsproposedtobeadoptedandamendedbytheBoardofCountyCommissionerspursuanttotheauthorityofTitle30,Article28oftheColoradoRevisedStatutestoimplementtheLarimerCountyComprehensivePlan.TheLandUseCodecontains,interalia,landuseregulations,developmentstandards,anddevelopmentreviewproceduresfortheunincorporatedareas.1.8.OpenSpace.Landthatisnotoccupiedbyanystructureorartificialimpervioussurfacesandthatisintendedforlong-termconservationpurposes.ExhibitA-p.3 1.9.RuralAreas.AreaswhichareoutsidetheTown’scorporatelimitsandwhichareplannedorzonedforruralestateorotherruralresidentialusesorwhicharedesignatedtoremainasconservedareas.Theselandsarenotintendedtobeannexedandwillgenerallyremainruralincharacter.1.10.SupplementalRegulations.RegulationsproposedtobeadoptedbyLarimerCountyintheLandUseCodeaspartoftheEstesValleyOverlayDistrict(EVOverlayDistrict)andthatprovidefortheimplementationoflanduse,street,design,andotherdevelopmentstandardsconsistentwiththeEstesValleyDevelopmentCodeandcarriedforwardthroughtheCounty’sdevelopmentreviewprocess.1.11.TownLevelDevelopment.AnydevelopmentwhichusesTownlevelfacilitiesandservicesprovidedeitherbytheTownorspecialdistrictsandwhichisathigherintensitiesthanruralareas.1.12.TownLevelFacilitiesandServices.Servicessuchascentralwater,sewer,responsivefireprotection,urbanlevelstreetconstructionandmaintenance,and/orsimilarservicesthataretypicallyprovidedbytheTownoranappropriatedistrictandarenecessarytoserveTownLevelDevelopmentasdefinedinthisAgreement.1.13.TownofEstesParkDevelopmentCode.TheregulationsproposedtobeadoptedandamendedbytheTownofEstesParkTownBoardofTrusteespursuanttotheauthorityofTitle31Article23oftheColoradoRevisedStatutestoimplementtheEstesValleyComprehensivePlanoritssuccessorPlan(s)assuchPlan(s)mayapplytotheTownofEstesPark.2.ADOPTIONOFNEWPLANSANDREGULATIONSThissectionidentifiestheplansandboundarymapswhicharereferencedinthisAgreement.2.1.ComprehensivePlanfortheEstesValleyPlanningArea.2.1.1.JointlyPreparedComprehensivePlan.ThePartiesagreetocommunicateandcoordinatetoprepareaComprehensivePlanfortheEstesValleyPlanningAreathatwillencompasstheTownandtheunincorporatedareaofLarimerCounty,whichuponadoptionshallreplaceandsupersedethecurrentEstesValleyComprehensivePlan.IfbyDecember31,2021,theComprehensivePlanhasnotbeencompletedordoesnotextendtocovertheEstesValleyPlanningArea,theCountyshallamenditsComprehensivePlantoincludepoliciesandmapsthataddresstheunincorporatedareaoftheEstesValleyPlanningArea,andtheTownshalladoptaComprehensivePlantoincludepoliciesandmapsthataddresstheincorporatedTownofEstesPark.WhiletheComprehensivePlanwillbejointlyprepared,eachPartywilladoptitforitsrespectivejurisdiction,andnothinginthisAgreementpreventseachPartyfromamendingtheComprehensivePlanwithrespecttolandusedecisionswithinitsownjurisdiction.2.1.2BoundarytoGuideFutureAnnexation.TheComprehensivePlanalsowillincludeaboundarywithintheEstesValleyPlanningAreaboundarytodelineateareasoftheunincorporatedEstesValleyPlanningAreathataresuitableforannexationtotheTown(e.g.,a“townlimit”or“towngrowthboundary,”oranothertermtobedefined),andareasbeyondwhichshouldremainruralinunincorporatedLarimerCounty.ExhibitA-p.4 2.2.EstesValleyPlanningAreaBoundary.TheEstesValleyPlanningAreaboundaryisidentifiedin“Exhibit1”,andattachedheretoandincorporatedherein,includinganysubsequentamendmentsthereto.2.3.TownandCountyLandUseCodes.ThePartiesagreethatthereshallbeaLandUseCodefortheTownandaLandUseCodefortheCounty,anduponsuchdesignationsbytherespectivepartiesshallreplaceandsupersedethecurrentEstesValleyDevelopmentCodeastothatParty.AsusedinthisAgreement,theterms£LandUseCode”and“DevelopmentCode”shallbedeemedsynonymous.ThePartiesintendthattheCounty’sLandUseCodeascurrentlyexistingorhereafteramendedorsupersededwillincluderegulationsspecifictotheunincorporatedareaofLarimerCountywithintheEstesValleyPlanningArea.2.4.LandUseandZoningDesignationsintheunincorporatedEstesValleyPlanningArea.TheCountyintendstorecognizeandcarryforwardthezoningdistrictsandcertaindevelopmentstandardsoftheEstesValleyDevelopmentCodewhenproposingandadoptingsupplementalregulationstotheCountyLandUseCodefortheunincorporatedareaoftheEstesValleyPlanningAreainordertomaintainconsistencywiththeEstesValleyComprehensivePlan.ThesedistrictsandstandardsareintendedtoprovidecontinuityofdevelopmentstandardsandterminologywithinandoutsidetheTownlimits,andshallincludebutarenotlimitedtostandardsforsteepslopes,ridgelineprotection,gradingandsitedisturbance,treeandvegetationprotection,wildlifehabitatprotection,exteriorlighting,andalloweduses,buildingheights,density,andsetbacksassociatedwiththerelevantzoningdistricts,thatareguidedbytheEstesValleyComprehensivePlan.AstheEstesValleyComprehensivePlanisupdated,orastheLarimerCountyLandUseCodeisupdated,theCountyshallexerciseitsregulatoryfunctionconsistentwiththepoliciesoftheplan.Also,astheTownupdatesitsDevelopmentCodeovertime,itwillforwarditsamendmentstotheCountyforconsiderationofadoptionofparallelupdatesintheCountyLandUseCodefortheunincorporatedareaoftheEstesValleyPlanningArea.2.5.LandUseandZoningDesignationsintheTownofEstesPark.TheTownintendstorecognizeandcarryforwardthezoningdistrictsandcertaindevelopmentstandardsoftheEstesValleyDevelopmentCodeviapreparationandadoptionoftheTownofEstesParkDevelopmentCode.ItisanticipatedthattheTownofEstesParkDevelopmentCode’soriginaladoptionwillincontentbesubstantiallysimilartotheTown-applicableprovisionsoftheEstesValleyDevelopmentCodeasitexistsatthetimeofadoptionofthisIntergovernmentalAgreement,providedthattheTownofEstesParkDevelopmentCodemayfromtimetotimeadoptappropriateamendmentsandmodificationsforclarityandreconciliationofnon-harmoniousCodesections,ormayincludechangesasdeemedappropriateinresponsetospecificland-userequestsonbehalfofpropertyowners.ItisfurtheranticipatedthatafteradoptionofanewComprehensivePlan,arewrittenTownofEstesParkDevelopmentCodethatconformstoguidanceinthePlanwillbepreparedandadoptedbytheTown.3.LANDUSEREGULATIONSANDFEESThissectionaddressestherelevantdevelopmentstandards,procedures,andfeesthatapplytoproposeddevelopmentintheEstesValleyPlanningArea.ExhibitA-p.5 3.1.TownLimits.WithinthemunicipalboundariesoftheTownofEstesParkastheyexistormaybechangedthroughannexation,theTownshallmaintainandexercisetherighttoreviewandapprovedevelopmentsubjecttotheTownofEstesParkDevelopmentCode,asexistingorhereafteramended.ThePartiesagreethat,exceptasmodifiedthroughappropriatedueprocessinaccordancewithapplicablelawandprocedures,allTownregulations,standardsandproceduresshallapplytofuturedevelopmentwithintheincorporatedTownofEstesPark.ThePartiesagreethatland-useapplications,appeals,interpretations,andvariances,includingthoseappliedforatthebuildingpermitstage,shallbeprocessedanddecidedbytheTownasprovidedforintheTownofEstesParkDevelopmentCode,asexistingorhereafteramended.3.2.UnincorporatedEstesValleyPlanningArea.WithintheunincorporatedareaoftheEstesValleyPlanningArea,LarimerCountyshallmaintainandexercisetherighttoreviewandapprovedevelopmentsubjecttotheLarimerCountyLandUseCode(includingtheEstesValleyOverlayDistrictandsupplementaryregulations).ThePartiesagreethat,exceptasmodifiedbythesupplementalregulationsnotedbelow,allCountyregulations,standardsandproceduresshallapplytofuturedevelopmentwithintheunincorporatedportionoftheEstesValleyPlanningArea.ThePartiesagreethatlanduseapplication,appeals,interpretations,andvariancesshallbeprocessedanddecidedbytheCountyasprovidedforintheLarimerCountyLandUseCode.BuildingPermitsshallbeprocessedaccordingtotheCountyBuildingCode.3.3.EstesValleyOverlayDistrictandSupplementalRegulations.TheCountywillundertaketherequiredlegislativeprocesstoestablishtheEstesValleyOverlayZoneDistrict(EVOverlayDistrict)andsupplementallanduseregulationstoimplementthisAgreement.TheCountyagreesthatitwillrequiredevelopmentapplicationsforRezonings,SpecialReview,DevelopmentPlansorSitePlans,andPlannedLandDivisionintheunincorporatedareasoftheEstesValleyPlanningAreatomeeteithertheLarimerCountydevelopmentstandards,ascontainedwithintheLarimerCountyLandUseCodeanditstechnicalsupplementsoranyotherstandardscontainedintheEstesValleyOverlayDistrictandsupplementalregulations.3.4.ModificationsandVariancestoRegulations.ThePartiesagreethattheTownorCountymayallowreasonablemodificationsfromadoptedstandardswithintheirrespectivejurisdictionswheretheTownorCountyinitsrespectivediscretiondeterminesthateither:3.4.1.Byreasonofexceptionalphysicalconditionsorotherextraordinaryandexceptionalsituationsuniquetosuchproperty,including,butnotlimitedto,physicalconditionssuchasexceptionalnarrowness,shallowness,ortopography,thestrictapplicationofthestandardsoughttobemodifiedwouldresultinunusualandexceptionalpracticaldifficulties,orexceptionalandunduehardshipupontheowneroftheaffectedproperty,providedthatsuchdifficultiesarenotcausedbyanactoromissiononthepartoftheownerorapplicant,or3.4.2.TheproposedmodificationwillservetoadvanceorprotectthepublicinterestsandpurposesofthestandardsforwhichthemodificationisrequestedequallywellorbetterthanaplanwhichcomplieswiththestandardforwhichamodificationisExhibitA-p.6 requested.TheCountyagreesitwillreferanyproposedmodificationstotheTownforitsreviewandarecommendation.3.5.FeesforDevelopment.3.5.1.ThePartiesagreetomaintainandadministerseparatefeeswiththeirrespectivejurisdictionsintheEstesValleyPlanningArea.3.5.2.TheCounty’sCapitalExpansionfeesforroads,communityparks,anddrainageshallapplywithintheunincorporatedareasoftheEstesValleyPlanningArea.3.5.3.TheCounty’sregionalparkfeeshallnotapplywithintheunincorporatedportionoftheEstesValleyPlanningArea.4.PARTIES’ROLESINDEVELOPMENTREVIEW,COMPLIANCE4.1.EstablishmentofImprovementDistricts.TheCountyagreestonotifyandallowtheTowntocommentpriortoestablishinganyimprovementdistrictwithintheunincorporatedEstesValleyPlanningArea.4.2.UtilitiesandServices.InareaswheretheTownhasjurisdictionandoversightoverthedeliveryofutilityservicesandotherservicesrelativetopublicimprovements,theTownagreestoprovideamechanismfortheperformanceofinspectionsofanyutilityorotherpublicimprovementsprovidedbydevelopers.Inareaswherespecialdistrictshavejurisdictionandoversightoverthedeliveryofutilityservicesandotherservicesrelativetopublicimprovements,theTownagreestoproposethattheTownandtherespectivespecialdistrictincludetermsintheintergovernmentalagreementwiththespecialdistrictthatstipulatethatthespecialdistrictwillperformtheseinspections.TheCountyagreesthatitwillproposeprovisionsinthesupplementalregulationsthattheTownorthespecialdistrictmaychargedevelopersanappropriatefeeforthisinspectionservice.4.3.ImprovementGuarantees.ImprovementguaranteesshallberequiredassetforthintheEVDC,ortheTown’sandCounty’srespectiveLandUseCodes.Therespectivejurisdictionsshalladministerandmaintainallimprovementguarantees.Appropriatejurisdictionalagencies,suchastheTownEngineerandCountyEngineer,theTownUtilitiesDepartment,andtheSanitationDistrict(s)withjurisdiction,shallverifytheestimateofconstructioncosts,dependingonthegeographiclocationoftheimprovements.ReleasesofsecurityfromanImprovementGuaranteeshallbeauthorizedbytherespectivejurisdictionalauthorityandreleasedbytheauthorizedCommunityDevelopmentDepartment.TotheextentthatdevelopmentintheTownrequirestheconstructionofoff-sitepublicimprovementsintheunincorporatedEstesValleyPlanningAreathataretypicallynotassociatedwithdevelopmentintheCounty,theTownagreestoprovideamechanismformaintenanceofthoseoff-sitepublicimprovementsbyadjacentpropertyowner.Suchimprovementsinclude,butarenotlimitedto,curbsandgutters,bicycleandpedestrianfacilities,transitfacilities,trafficsignals,trafficcontrolandtrafficcalmingdevices,drainagefacilitates,streetscapes,andmedians.ExhibitA-p.7 developmentproposalispresented.TheTownrepresentsthatitwillgivedueconsiderationtothedesirabilityofannexinglandsatsuchtimethattheybecomeeligibleforannexationbaseduponStateannexationstatutes(Title31,Article12,ColoradoRevisedStatutes(C.R.S.)).6.2.TownLimitsAnnexationArea.TheEstesValleyComprehensivePlanwilldefinetheareaappropriateforfutureannexationadjacenttotheTownofEstesPark.6.3.AnnexationPetition.TheCountyagreesthatitwillnotacceptanyapplicationforRezoning;SpecialReview;PublicSitePlan,MinorSpecialreview,SpecialException,oranylanddivisionapplicationthatresultsinthecreationofoneormoreadditionallotsonpropertythatiseligibleforvoluntaryannexationtotheTownunlessawrittenannexationrequestwhichconformstotheTown’sstandardannexationconditionsissubmittedtotheTownandissubsequentlydeniedbytheTown.IfsuchanannexationpetitionisdeniedbytheTown,theCountymayacceptsaidapplicationonthepropertyand,ifappropriate,approveitinaccordancewiththeLarimerCountyLandUseCode.6.4.FutureAnnexations.TheCountyagreesthat,inthecaseoflandswithintheunincorporatedEstesValleyPlanningAreathatarenoteligibleforannexationbutthatareproposingTownLevelDevelopment,theCountyshallrequireapplicantsthatapplyforoneofthefollowingCountyprocessesaftertheeffectivedateofthisAgreementtosignanagreementtoannexagreementasaconditionofdevelopmentapproval:Rezoning;SpecialReview;PublicSitePlan,MinorSpecialreview,SpecialException,oranylanddivisionapplicationthatresultsinthecreationofoneormoreadditionallots.6.5.AnnexationAgreements.TheCountyagreestorequireabindingannexationagreementasaconditionofapprovalonanydevelopmentapplicationforusesapprovedandlocatedwithintheunincorporatedportionofthePlanningAreathatisplannedforfuturetownannexationbutnoteligibleforannexationtotheTownatthetimeofdevelopmentapplication,excludingsubdivisionof4orlesslotsforresidentialuse.6.6.AmendmenttoImplementAnnexationPolicy.TheTownisdeliberatingregardingtheappropriatepolicytocoordinateannexationwiththeCounty.ThePartiesagreetocooperatediligentlyonthecreationofsuchapolicytobecompletedwithinsixmonthsofadoptionoftheComprehensivePlandescribedinsection2.1.1andintendtoincorporateithereinasanamendmentonceitisdetermined.Untilsuchtime,whiletheTownundertakesnospecificobligationswithregardtoannexation,thePartiesagreetocooperateregardingTownLevelDevelopmentintheunincorporatedEstesValleyPlanningAreaandonannexationpetitions.7.IMPLEMENTATIONOFAGREEMENT7.1.CommencementandTransitionPeriod.StaffprocessingofapplicationsfordevelopmentsubmittedaftertheeffectivedateofthisIGAshallbeconductedaccordingtothisAgreement.TheCountyshallonApril1,2020resumemaintainingallunincorporated-areaprojectfilesandTownstaffshallhaveaccesstofiles.TownstaffwillbeavailabletosupportCountystaffaccesstohistoriccasefilesforatleastoneyearfromthetimeofthisAgreementorsuchtimewhenfilesmaybetransitionedfromtheTowntoCounty.ExhibitA-p.11 7.2.LarimerCountyandTownRegulationsTiming.ThePartiesagreethatbyApril1,2020theywillhaveproposedregulationstotheirCodestoimplementthetermsofthisAgreement.Suchproposedregulationswilladdressfees,landusesanddevelopmentstandards.ThePartiesfurtheragreetoundertaketherequiredlegislativeprocesstoproposeamendingtheirrespectivelandusecodesorrelateddocumentsandproceduresasnecessarytoimplementthisAgreement.7.3.TrainingRegardingthisAgreement.ThePartiesagreeto(a)notifynewlyelectedofficials,newmanagersandkeystaffoftheexistenceofthisAgreement,and(b)onanas-neededbasis,conducttrainingsessionsontheprocedureswhicharenecessarytoimplementthisAgreement.7.4.Mediation.IftheParitiesfailtoreachagreementonanyprovisionscontainedinthisAgreement,thePartiesagreetoengageatrainedmediatortohelpthemresolvetheissue.8.PERFORMANCEOFAGREEMENTEitherpartymayseekspecificperformanceorenforcementofthisAgreementinaCourtofcompetentjurisdiction,butneitherpartyshallhaveanyclaimorremedyfordamagesarisingfromanallegedbreachhereofagainsttheother,norshallthisAgreementconferoneitherPartystandingtocontestalandusedecisionoractionoftheotherexceptasabreachofthisAgreement.9.THIRD-PARTYRIGHTSThisAgreementisnotintendedtomodifythestandingthePartiesmaypossessindependentofthisAgreement.ThisAgreementisbetweentheTownofEstesParkandLarimerCountyandnothird-partyrightsorbeneficiariesexistorarecreatedhereby.10.AGREEMENTAMENDMENTSTheproceduresforamendingthisAgreementshallbeasfollows:10.1.AmendmentstothetextofthisAgreement.ThetextofthisAgreementmaybeamendedonlybywrittenagreementofbothParties.EitherPartymayinitiateanamendment,butanysuchinitiationmustbeinwriting.10.2.AmendmentstotheEstesValleyPlanningAreaboundary.TheEstesValleyPlanningAreaBoundarymaybeamendedintheJointEstesValleyComprehensivePlanorbywrittenagreementofbothParties.10.3.AmendmentstoElementsoftheEstesValleyComprehensivePlan.ItisacknowledgedthattheadoptionofamendmentstotheEstesValleyComprehensivePlanmaynecessitateamendmentstothisagreement.10.4.SeparatePlans.IntheeventthattheTownandCountyprepareseparatecomprehensiveplans,eachpartyshallnotifytheotherpartyatleastthirty(30)dayspriortotheadoptionofanyamendmentstoanyelementsoftheComprehensivePlan(s)andprovidetheotherpartywithanopportunitytomakecommentsonanysuchamendmentstothePlanthatwouldinanywayeither(1)affecttheEstesValleyPlanningArea,(2)callforanamendmenttotheboundaries,or(3)causeanychangestobemadetoanyoftheTownorCountyregulations.ExhibitA-p.12
