RESOLUTION17-19AUTHORIZINGTHEUSEOFDESIGNBUILDAGREEMENTSFORBROADBANDNETWORKCONSTRUCTIONWHEREAS,theTown’sPowerandCommunicationsEnterprise(the“Enterprise”)wishestonegotiateandawarddesignbuildcontractsfortheconstructionoffibertothehomebroadbandfacilityservices;andWHEREAS,designbuildcontractingallowstheEnterprisetonegotiatecontractswithentitiesinthemostefficientandconstructivemanner;andWHEREAS,thedesignbuildcontractswillacceleratedeploymentofbroadbandserviceswhichwillleadtothecollectionofrevenuesfrombroadbandcustomers;andWHEREAS,developmentofrevenuefrombroadbandservicesisessentialtothefuturefinancialsuccessoftheEnterprise;andWHEREAS,someofthedesignbuildcontractswillobligatetheEnterpriseforamountsgreaterthan$100,000;andWHEREAS,theEnterpriseprocurementpolicyrequiresagreementsover$100,000tobeformallyapprovedbytheTownBoardataregularorspecialmeeting;andWHEREAS,theTownBoard,actingasthegoverningboardoftheEnterprise,hasdeterminedthatitisappropriatetoauthorizethenegotiationandexecutionofdesignbuildcontractsforconstructionoffibertothehomebroadbandutilityservices;andWHEREAS,theTownBoard,actingasthegoverningboardoftheEnterprise,hasdeterminedthatitisappropriatetoallowtheMayororMayorProTem,intheMayor’sabsence,toexecutedesignbuildcontractswhichobligatestheEnterpriseinanamountgreaterthan$100,000pursuanttothetermsofthisResolution.NOWTHEREFORE,BEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK:1.TheTownBoard,actingasthegoverningbodyoftheEnterprise,herebyauthorizestheEnterprisetonegotiatedesignbuildcontractsfortheconstructionoffibertothehomebroadbandutilityservices.2.TheTownBoardwaivestherequirementintheEnterpriseprocurementpolicythatanydesignbuildcontractsfortheconstructionoffibertohomebroadbandutilityservicesover$100,000beapprovedbytheTownBoard. 3.TheTownBoardauthorizestheMayorortheMayorProTern,intheMayor’sabsence,toreviewandexecuteanydesignbuildcontractsover$100,000onbehalfoftheEnterprise.4.NodesignbuildcontractsshallbeexecutedunlesstheamountoftheobligationoftheEnterpriseinthecontracthasbeenappropriatedbytheTownBoard.INTRODUCED,READ,ANDPASSEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARKonthis25thdayofJune,2019.TOWNOFESTESPARK,COLORADOMayorVATTEST:
