INTERGOVERNMENTALAGREEMENTFORSOLIDWASTEPROGRAMMINGANDINFRASTRUCTUREIMPROVEMENTSThisIntergovernmentalAgreementforSolidWasteProgrammingandInfrastructureImprovements(“Agreement”)ismadeandeffectiveon_________,2019(EffectiveDate),byandamongtheBoardofCountyCommissionersofLarimerCounty,Colorado(referredtoas“County”),andtheCityofFortCollins,Colorado,theCityofLoveland,Colorado,andtheTownofEstesPark,Colorado(individuallyreferredtoas“Municipality”orcollectivelyas“Municipalities”).TheCountyandMunicipalitiesshalljointlyhereferredtoasthe“Parties”.I.RECITALSWHEREAS,theappropriatemanagementofsolidwastematerialsiscriticaltohumanhealthandsafety,theenvironmentalandtheeconomicwellbeingoftheregion;andWHEREAS,theLarimerCountySolidWasteFacilitylocatedat5887S.TafiHillRoadservesasaregionalsolidwasteprocessinganddisposalsiteforresidentsofLarimerCountylocatedinmunicipalitiesandunincorporatedareas;andWHEREAS,TheLarimerCountySolidWasteFacilityincludesaregionalsanitarylandfillthatreceivesapproximatelyonemillioncubicyardsofmaterialperyearandisforecastedtoconsumetheavailablepermittedairspacecapacitybythefourthquarteroftheyear2024;andWHEREAS,thePartiesformedtheNorthFrontRangeRegionalWasteshedCoalition(includingaTechnicalAdvisoryCommitteeofstaffmembersandaPolicyAdvisoryCommitteeofelectedofficialsanda60+memberstakeholderadvisorygroup)toidentify,analyze,andprioritizesolidwasteinfrastructureandimplementationoptions.ThisworkresultedinthedevelopmentofaSolidWasteInfrastructureMasterPlanforadoptionbyLarimerCounty;andWHEREAS,onDecember19,2018,theLarimerCountyPlanningCommissionadoptedthe2018SolidWasteInfrastructureMasterPlan,whichincludesvariousrecommendationsforinfrastructureandfacilityimprovements,education,licensingandotherprogramelementstoprovidesolidwasteserviceswithinLarimerCountyandincreasematerialdiversionfromlandfilldisposal;andWHEREAS,thePartiesdesiretoworkcooperativelytoimplementthe2018SolidWasteInfrastructureMasterPlan,continuetodevelopjointprogramsforconsistentpubliceducation,evaluatethturetechnologiesassociatedwithsolidwastemanagement,andestablishtherespectiveresponsibilitiesoftheParties;andWHEREAS,theColoradolegislaturehasexpresslyendorsed“localefforts...focusedtowardthereductionofthevolumeandtoxicityofthewastestream...throughsourcereduction,recycling,composting,andsimilarwastemanagementstrategies”(Section30-20-100.5,C.R.S.)andPage1of20 authorizeddesignationofexclusivesitesandfacilitiesfordisposalofsolidwaste(Section30-20-107,C.R.Sj;andWHEREAS,cooperationofthePartiespursuanttothisAgreementwillallowforimplementationofanintegratedpackageofwastedisposalservicesdesignedtoincreaserecyclingandconfersignificanthealthandenvironmentalbenefitsuponthecitizensofLarimerCountybyenhancingrecyclingincentivesandopportunities,obtaininginformationforthetrackingandplanningofwastediversion,andincreasingtheabilityofthePartiestomonitorandenforcerecyclingandotherwastemanagementlaws;andWHEREAS,CountyandMunicipalitiesareauthorizedpursuanttoArticleXIV,Section18oftheColoradoConstitutionandSection29-1-201,etseq.,ColoradoRevisedStatutes,toenterintointergovernmentalagreementsforthepurposeofprovidinganyserviceorperforminganyfunctionwhichtheycanperformindividually;andWHEREAS,inadditiontotheexistinginfrastructureandinfrastructuretobeconstructedbyLarimerCounty,theMunicipalitieshavedevelopedandcontinuetooperatethefollowingsolidwasteinfrastructure:theEstesParkTransferStationownedbytheTownofEstesParkandoperatedbyLarimerCounty,theTimberlineRecyclingCenterandtheCrushingOperationsSitewhichareownedbytheCityofFortCollins,andtheLovelandRecyclingCenterandcollectionvehicleswhichareownedbytheCityofLoveland.NOWTHEREFORE,thePartiesagreeasfollows:II.DEFINITIONSForthepurposesofthisAgreement,thefollowingdefinitionsshallapply:CleanMaterialRecoveryFacility.Afacilityconsistingofstructures,machinery,devices,orpersonstosort,bale,orotherwisemanageorprocessrecyclablematerialspriortoconveyancetoendmarkets.ConstructionandDemolitionWaste.Wastethatisgeneratedfromconstruction,remodeling,repairs,ordemolitionofbuildings,andotherstructureswhichincludesbutisnotlimitedto,lumber,bricks,carpets,ceramics,sheetrock,porcelain,metals,drywall,windowglass,metalandplasticpiping,paintandanyothernon-hazardousmaterialsresultingfromconstructionanddemolitionactivities.Disposal.Thefinaltreatment,deposition,orincinerationofSolidWastebutshallnotincludeWastePreventionorRecyclingasdefinedherein.FlowControl.Provisionthatallowslocalgovernmentstodesignatetheplaceswherematerialsgeneratedwithintheirjurisdictionaretakenforprocessingdisposal.ForthepurposesofthisAgreement,flowcontrolexplicitlyexcludesmunicipalsolidwaste,yardwaste,foodwasteandhazardouswaste.Page2of20 FoodWaste.Materialsthatincludeanimal/fruit/vegetablebasedstaplescraps,oldfruit/vegetables,eggshells,coffeegrounds,teabags,food-soiledpaper,oldbread,foodscraps,andexpiredde-packagedfoods.Additionally,itmayincludeplantwastesfromthefoodprocessingindustryandpre-consumervegetativefoodwaste.Hauler.Anypersonorcompanythatcollects,transportsand/ordisposesofdiscardedmaterialsandwaste(e.g.solidwaste,recyclables,foodwaste,yardtrimmings)astheirprimarybusinessanddeliverswasteintofacilitiesfordisposalorrecycling.HaulerLicensing.Acoordinatedlibensingapproachfordatatracking,publicoutreachandcurbsidecollectionrequirementsforimplementationtolicensedhaulers(AppendixC).HazardousWaste.Hazardoussubstancesasdefinedin25-15-101(6),asamended,andanyothersubstancesormaterialsdefinedorclassifiedassuchbytheHazardousWasteCommissionpursuantto25-15-302,C.R.S.,asamended.IntegratedSolidWasteManagementSystem.Thesystemoffacilitiesforthecollection,processing,anddisposalofsolidwastecurrentlyowned/operatedbytheParties,whichincludestheEstesParkTransferStationownedbytheTownofEstesParkandoperatedbyLarimerCounty,theTimberlineRecyclingCenterandtheCrushingOperationsSiteownedbytheCityofFortCollins,theLovelandRecyclingCenterandcollectionvehiclesownedbytheCityofLoveland,andtheLarimerCountySolidWasteInfrastructureSystem.Landfill.Adiscreteareaoflandoranexcavationwheresolidwastesareplacedforfinaldisposal,whichisnotalandapplicationunit,wasteimpoundment,orwastepile.Landfillsinclude,butarenotlimitedto,ashmonofills,constructionanddemolitionlandfills,sanitarylandfills,tiremonofillsandsimilarfacilitieswherefinaldisposaloccurs.LarimerCountySolidWasteInfrastructureSystem.IncludesLarimerCounty’sSolidWastefacilitiesusedtomanageSolidWastewhichincludesbutisnotlimitedtohouseholdhazardouswaste,landfill,recyclingfacility,andTierIprocessinganddisposalfacilities•sestablishedpursuanttotheapprovedSolidWasteInfrastructureMasterPlan.MunicipalSolidWaste.Solidwastefromhousehold,community,commercialandindustrialsourcesthatdoesnotcontainhazardouswastesasdefinedinSection25-15-101(9)oftheColoradoHazardousWasteActunlessotherwiseregulatedbytheColoradoDepartmentofPublicHealthandEnvironment.Processing.Sortingandconvertingsolidwaste,bymanualormechanicalmeans,intorawmaterialfornewuse.IncludesRecyclingandComposting.RecyclableMaterial.AnytypeofdiscardedorwastematerialthatisnotregulatedunderSection25-8-2050)(e),C.R.S.,andcanbereused,remanufactured,reclaimed,orrecycled.SolidWaste.Anygarbage,refuse,sludgefromawastetreatmentplant,watersupplytreatmentplant,airpollutioncontrolfacility,orotherdiscardedmaterial;includingsolid,liquid,semisolid,Page3of2O orcontainedgaseousmaterialresultingfromindustrialoperations,commercialoperationsorcommunityactivities.SolidWastedoesnotincludeanysolidordissolvedmaterialsinirrigationreturnflows,orindustrialdischargeswhicharepointsourcessubjecttopermitsundertheprovisionsofthe“ColoradoWaterQualityControlAct”,Title25,Article8,CRSormaterialshandledatfacilitieslicensedpursuanttotheprovisionson“RadiationControlAct”inTitle25,Article11,CRS.SolidWastedoesnotinclude:(a)materialshandledatfacilitieslicensedpursuanttotheprovisionsonradiationcontrolinArticle11ofTitle25,C.R.S.;or(b)excludedscrapmetalthatisbeingrecycled;or(c)shreddedcircuitboardsthatarebeingrecycled.SolidWastePolicyCouncilorPolicyCouncil.ThePolicyCouncilcreatedtoadvisethePartiesonsolidwastemattersregardinginfrastructure,programs,educationandmasterplanupdates.SolidWasteInfrastructureMasterPlan.TheLarimerCounty2018SolidWasteInfrastructureMasterPlanasapprovedandamendedfromtimetotimebytheLarimerCountyPlanningCommission.TechnicalStaff.AgroupoftechnicalstaffprovidedbyeachPartypursuanttoSection6.1.2tosupportthePolicyCouncil.Tier1InfrastructureFacilities.TierIInfrastructurefacilitiesareoutlinedintheapprovedSolidWasteInfrastructureMasterPlantobedevelopedinsupportingthesolidwasteinfrastructuresystemandinclude:CentralTransferStation,NewCountyLandfill,ConstructionandDemolitionWasteProcessingFacility,YardWasteWindrowCompostingFacilityandFoodWasteCompostingFacility(AppendixA).Tier2InfrastructureFacilities.Tier2InfrastructurefacilitiesareoutlinedintheapprovedSolidWasteInfrastructureMasterPlantobereviewedonanannualbasisforpossibleimplementationatalaterdateandinclude:CleanMaterialRecoveryFacility/Upgrade,AnaerobicDigestionlPreProcessing(AppendixA).Tier3InfrastructureFacilities.Tier3InfrastructurefacilitiesareoutlinedintheapprovedSolidWasteInfrastructureMasterPlanandwillbefurtherreviewedonanannualbasisasindustrychangesoccurandinclude:WastetoEnergyandRefuseDerivedFuelProcessing(AppendixA).TransferStation.AfacilityatwhichSolidWaste,awaitingtransportationtoaprocessingordisposalsite,istransferredfromonetypeofcontainerizedcollectionreceptacleandplacedintoanotherand/orisprocessedforcompaction.WastePrevention.Methodsutilizedtocreatelesswastepriortorecycling,compostingordisposal.YardWaste.Wastegeneratedfromyardmaintenance,includinggardenwaste,fruitfall,grassclippings,wood,twigs,leavesandbranches.Page4of20 III.PURPOSEThepurposeofthisAgreementistofostercoordinationandcooperationbetweenthePartiesandtoestablishtherespectiveresponsibilitiesofthePartiesinanIntegratedSolidWasteManagementSystemincluding,butnotlimitedto,planning,education,wasteprevention,recycling,collection,composting,transportationanddisposal.IV.TERM4.1InitialTerm.ThisAgreementshallbecomeeffectiveontheEffectiveDateandshallremainineffectthroughDecember31,2050(InitialTerm).4.2ExtensionTerm.Unlessearlierterminatedasprovidedherein,theAgreementwillautomaticallyrenewforanadditionaltermoftenyears(ExtensionTerm).4.3Termination.AnyPartyshallhavetherighttoterminatetheircontinuedparticipationinthisAgreementduringtheInitialTermoranyExtensionTermasfollows:4.3.1Intheeventofnon-appropriationbytheirelectedbodies.4.3.2BywrittennoticegiventoallotherParties18monthspriortothedateonwhichthePartyelectstoterminatetheircontinuedparticipation.4.3.3Bymutualagreementbyallparties.V.GENERALOBLIGATIONSOFTHEPARTIES5.1LARIMERCOUNTY5.1.1LandforFacilityImprovements.TheCountyagreestoprovidelandforconstructionofTierIInfrastructureFacilitieswhichincludestheCounty-ownedlandadjacenttotheexistingLarimerCountyLandfilllocatedat5887S.TaftHillRoadandthe626acresofCountyownedpropertylocatedattheintersectionofCountyRoad76EastandCountyRoadIINorth.AnalternatesiteforTierIcompostingfacilitiesisindicatedonthemapinappendixD,whichisonjointlyownedpropertybytheCounty,CityofFortCollins,andCityofLoveland.ConstructionofanynewTierIInfrastructureonlandjointly-ownedbyLarimerCounty,LovelandandFortCollinswillrequireconsentfromtheCitiesofFortCollinsandLovelandaslandownersandpursuanttothe1974OperatingAgreement.IfconsentisnotgivenbyFortCollinsorLoveland,LarimerCountyshallnotberequiredtoprovidetheyardwasteandfoodwastefacilitiesdescribedinSections5.1.7and5.1.8below;however,thePartiesagreetonegotiateinanefforttofindanalternativelocationforsuchfacilities.5.1.2FacilityDesignandConstruction.TheCountyshallberesponsibleforallTierIInfrastructureFacilityDesignandConstructionactivities.InadditiontothedevelopmentoftheTier1InfrastructureFacilities,theCountywillannuallyevaluate,inclosecoordinationwiththeSolidWastePolicyCouncildescribedinSectionVI,theapplicability/feasibilityofdevelopingtheTier2andTier3InfrastructureFacilitiesbasedoncurrentwastemanagementpractices,thewastemarketwithintheregion,andquantityandqualityofwastematerialsmanagedwithintheTier1InfrastructureFacilities.TheCountyreservestherighttodesignPage5of20 andconstructanyTierIInfrastructureFacilitiespriortothedatesand/orvolumessetforthinthisAgreement.5.1.3ProjectFundingandFinancing.TheCountyshallberesponsibleforallfindingandfinancingofTierIInfrastructureFacilities,andretainallcorrespondingrevenue,withintheCounty’sSolidWasteEnterprise.FundingandfinancingofTier2andTier3InfrastructureFacilitieswillbedeterminedatthetimeoffacilityplanninganddevelopment.5.1.4FacilityOperationsandMaintenance.TheCountyshallownandoperateallTierIInfrastructureFacilitiesandshallberesponsibleforoperationsandmaintenanceofthefacilities.TheCountymayhireprivateserviceproviderstooperateTier1facilitiesatitsdiscretion,however,Countyshallatalltimesretainownershipandanycontractedserviceprovidershallonlyserveasavendorforoperationalpurposes.InnoeventshallCountydelegatediscretionaryrate-settingauthorityandnoprivatevendorwillhaveauthorityorinfluenceovertheintegratedwastemanagementsystemsimplementedbythisAgreement.TheCountyshallreceiveallincomefromtheoperationofTier1InfrastructureFacilities.IntheeventthereareanyoperatinglossesinconnectionwiththeTierIInfrastructureFacilities,theCountyshallbearthesamewithoutcontributionfromtheParties.OperationsandmaintenanceofTier2andTier3InfrastructureFacilitieswillbedeterminedatthetimeoffacilityplanninganddevelopment.TheCountyshallcontinuetooperateandmaintaintheLarimerCountySolidWasteInfrastructureSystemforthetermofthisAgreement.5.1.5HaulerLicensing.TheCountyshallsupportandparticipatewiththePartiesinacoordinatedapproachtodatatracking.TheCountyhaulerlicensingprogramwillbedevelopedandimplementednolaterthanJanuary1,2020.AppendicesBandCattachedheretoprovideproposedminimumhaulerlicensingrequirementsandmaps,whichwillbeappliedintheCounty’shaulerlicensingprogram.5.1.6SolidWasteManagement.TheCountyagreestodevclopandconstructtheTierIInfrastructureFacilitiestomanagesolidwastethatincludeaCentralTransferStationandNewCountyLandfill,thatwillbeoperationalpriortotheclosureofthecurrentLarimerCountyLandfill.TheCountywilldesignandconstructtheTierICentralTransferStationandtheNewCountyLandfillbeginningin2019toacceptsolidwasteonOctober1,2023.5.1.7YardWasteMaterialManagement.TheCountyagreestodevelopandconstructtheTier1YardWasteWindrowCompostFacilityandtoestablishfeesthatpromotesegregationofyardwastefromdisposalandencouragecomposting.TheCountywillcontinuetooperatethecurrentgreenwastelandfillsegregationprogramattheLarimerCountyLandfillthroughcalendaryear2021.TheCountywilldesignandconstructtheTier1YardWasteWindrowCompostFacilitybeginningin2019toacceptyardwasteonJune1,2021.5.1.8FoodWasteMaterialManagement.TheCountyagreestodevelopandconstructtheTier1FoodWasteCompostFacilitytorecycleandcompostsegregatedfoodwasteuponadoptionofpoliciesorprogramspursuanttosection5.2.4ofthisagreement.ThePartiesshallcoordinatethroughtheSolidWastePolicyCouncilthedevelopmentandtimingoffoodwastecollectionprogramsthatmeettherequiredquantitiestoproperlyscheduletheplanning,design,andPage6of20 constructionofafoodwastecompostfacility,andestablishpoliciestoencouragecomposting.5.1.9ConstructionandDemolitionWasteManagement.TheCountyagreestodevelop,constructandoperatetheTierIConstructionandDemolitionWasteProcessingFacilitytorecyclemixedconstructionanddemolitionwasteandtoestablishpoliciestoencouragerecyclingofmixedconstructionanddemolitionwaste.TheCountywilldesignandconstructtheTierIConstructionandDemolitionWasteProcessingFacilitypursuanttosection5.2.5ofthisagreementwithinnotmorethanfouryearsofpolicyadoption.5.1.10SingleStreamRecyclingMaterialManagement.TheCountyshallcontinuetoownandoperateaSingleStreamRecyclingMaterialsManagementFacility.TheCountyagreestoissuearequestforlettersofinterestfromprivatecompaniestoexpandorreplacetheexistingRecyclingFacilityforconversiontoafrill-serviceCleanMaterialRecoveryFacilitytoserveasaregionalsinglestreamrecyclingcenterfornorthernColoradoandpotentiallyotherareasuponadoptingflowcontrolforsinglestreamrecyclablespursuanttosection5.2.6.5.1.11‘PublicEducationPrograms.TheCountyshallworkcooperativelywiththeMunicipalitiestocoordinatepubliceducationandoutreachtoprovideinformationandeducationalmaterialsthatshallengageandeducatethecommunityontopicsincludingwastedisposal,recycling,wasteprevention,reuse,andmaterialshandlingmethods.TheSolidWastePolicyCouncilshallcoordinateoveralleducationaleffortsassociatedwithsolidwasteprogramsandthebestpracticesforproperwastemanagement.TheSolidWastePolicyCouncilwillcoordinateatoolkitforusewithinParties’educationprogramstofacilitateaconsistentlook,feelandmessageacrossallofLarimerCounty.ThistoolkitmaybecustomizedbythePartieswithoutinterferingwiththeconsistentmessaging.TheSolidWastePolicyCouncilwillalsoinitiatetheformationandregularmeetingsofanEducationsubcommitteecomprisedofrepresentativesfromeachPartyandappropriatekeystakeholdersthatwillmeetatleastonceperyear.5.1.12SolidWastePlanning.TheCountyshallserveasthecoordinatingbodywithresponsibilityforcompletingandupdatingtheSolidWasteInfrastructureMasterPlanthroughparticipationoftheSolidWastePolicyCouncil.5.2PARTIES5.2.1SolidWasteManagementThePartiesshallcontinuetooperateandmaintaintheirrespectiveIntegratedSolidWasteManagementSystemfacilitiesforthetermofthisAgreement,providedthatthepartiesmayindependentlyrelocate,replace,and/ormodifytheirrespectivefacilitiesinamannernotdetrimentaltotheoveralloperationoftheIntegratedSolidWasteManagementSystem.5.2.2HaulerLicensing.ThePartiesshallparticipateinacoordinatedapproachtodatatracking.CurbsidecollectionrequirementswillbeimplementedthroughtheParties’haulerlicensingprograms,whichwillbedevelopedandimplementedinaccordancewithAppendicesBandCnolaterthanJanuary1,2020.ThePartiesagreetomanageandenforceHaulerLicensingrequirementswithreasonablediligencewithintheirrespectivejurisdictions.Page7of20 5.2.3YardWasteManagement.ThePartiesagreetodevelopandimplementlocalprogramstoencouragesegregationofyardwastefromlandfilldisposalwithinthedesignatedyardwastecollectionserviceareaasoutlinedinAppendixB.TheMunicipalitiesagreetowaiveanyclaimtoashareofrevenuesfromtheexistingLarimerCountyLandfillpropertyforcompostingoperations,shouldtheCountyconstructtheTier1yardwastecompostingfacilityon“AlternativeCompostArea”asillustratedinAppendixD.TheCityofLovelandagreestodirectallyardwastematerialreceivedthebytheLovelandsolidwasteprogramtotheLarimerCountyyardwastefacilitycommencingonJune1,2021orsoonerifmutuallyagreedbyCityofLovelandandCounty.5.2.4FoodWasteManagement.ThePartiesmayimplementpoliciesandprocedurestosegregatefoodwastefromlandfilldisposalattheirindividualdiscretion.ThePartiesshallworkcooperativelytoplanandimplementsegregatedfoodwasteprograms,toallowCountyadequatetimetoconstructafoodwasteprocessingfacilityasdescribedinSection5.1.8.ThePartiesmustdemonstratetotheCountythatoneormoreofthemhaveadoptedpoliciesorprogramsreasonablyanticipatedtogenerateintheaggregate,aminimumof6,000tonsperyearoffoodwasteandaminimumof30,000tonsperyearofyardwastefordeliverytothefacilitypriortoimplementationoftheTierIfacilityconstruction.ThePartiesagreetoconductongoingeducationtoreducecontaminationinfoodwastecollectionprograms.5.2.5ConstructionandDemolitionWasteManagement.Tosupportwastediversion,thePartiesmaydirectmixedconstructionanddemolitionwastetotheCountyTierIConstructionandDemolitionWasteProcessingFacility.OneormoreofthePartiesmustadoptpoliciesorprogramsreasonablyanticipatedtogenerateintheaggregate,aminimumof60,000tonsperyearofmixedconstructionanddemolitionwastefordeliverytothefacilitypriortoimplementationoftheTierIfacilityconstruction.ThePartiesmayadoptcontrolmeasuresasdeemedappropriatethroughthefollowing:5.2.5.1FlowcontrolbyoneormorelocalMunicipalitiesofmixedconstructionanddemolitionwastereasonablyanticipatedtogeneratetheminimumvolumesetforthinthissection5.2.5;5.2.5.2Pricingdifferentials/incentives;and/or5.2.5.3MandatesasdevelopedbytheStateofColorado.5.2.6SingleStreamRecyclingMaterialManagement.TosupportwastediversionPartiesmaydirectsinglestreamrecyclablestotheCountyownedLarimerCountyRecyclingCenterat5887S.TaftKillRoadortheCountydevelopedfrillserviceCleanMaterialRecoveryFacility.OneormoreoftheParties,withorwithoutparticipationbyothers,mustadoptpoliciesorprogramsreasonablyanticipatedtogenerate,intheaggregate,aminimumof55,000tonsperyearofsinglestreamrecyclablesmaterialsfordeliverytothefacilitypriortotheCountysolicitinglettersofinterestforaCleanMaterialRecoveryFacility.5.2.7PublicEducationPrograms.Partiesshallworkcooperativelytocoordinatepubliceducationandoutreachtoprovideinformationandeducationalmaterialsthatshallengageandeducatethecommunityontopicsincludingwastedisposal,recycling,wasteprevention,reuse,andmaterialshandlingmethods.Inaddition,Page8of2O eachPartywillusethejointly-creatededucationandpublicoutreachtoolkitwithintheParties’educationalprogramstofacilitateaconsistentlook,feelandmessageacrossallofLarimerCounty.ThetoolkitmaybecustomizedbythePartieswithoutinterferingwiththeconsistentmessaging.VI.SOLIDWASTEPOLICYCOUNCIL6.1ThereisherebycreatedanadvisorycouncilcomprisedofrepresentativesfromthePartieswhichshallbeknownastheSolidWastePolicyCouncil(“Council”).ThechargeoftheCouncilistoserveinanadvisorycapacitytotheLarimerCountyBoardofCommissionersonsolidwastematters.Inaddition,theCouncilshallalsobeavailabletotheotherPartiestodiscusssolidwastemanagementandplanningmatters.6.1.1Membership.ThemembershipoftheCouncilshallconsistofeight(8)membersasfollows:one(1)electedofficialappointeeandone(I)appointeefromeachofthesignatoriestothisIntergovernmentalAgreement.IntheeventotherjurisdictionsjoinaspartiestothisAgreementpursuanttoSection10.5below,membershipoftheCouncilshallbeexpandedtoincludeone(1)electedofficialappointeeandone(1)appointeefromsuchjurisdiction.Membersshallbeappointedwithin90daysoftheEffectiveDateofthisIntergovernmentalAgreement.EachmemberoftheCouncilshallserveatermofthree(3)years,exceptthefirstappointeesshallservestaggeredtermstoavoidallmembershiptermsendingduringthesameyear.Eachmembershallbelimitedtotwoterms,withtheexceptionofelectedofficialappointeeswhomayserveforthedurationoftheirtermasanelectedofficial.RegulartermsshallbeginDecember1andendNovember30oftheexpiringtermyear.MembersoftheCouncilshallserveatthepleasureoftheirappointingbodiesandshallreceivenocompensationfromtheCounty.6.1.2Organization.TheCouncilshallelectachairandvice-chairandshalladoptbylawstoguideitsdeliberations.EachPartyshallprovideoneormoretechnicalstafftoserveinanadvisoryandstaff-supportroletotheCouncil(collectivelythe“TechnicalStaff’).6.1.3CouncilRcsponsibilities.TheCouncilshall:6.1.3.1ServeasanongoingforumtoadviseandassisttheLarimerCountyBoardofCommissioners,providingitwithtechnicalandnon-technicaladviceonsolidwastematters.TheCouncilisnotauthorizedtomakedecisionsorspeakfortheLarimerCountyBoardofCommissionersoranyotherParty.6.1.3.2MeetwithandprovidedirectiontotheTechnicalStaff.TheTechnicalStaffshallbeavailabletoprovideresearch/technicalandprogrammaticguidancetotheCouncilonmattersincludingbutnotlimitedtoinfrastructure,programs,educationandmasterplanupdates.EmployeesofthePartieshavealreadybeencollaboratinginthiscapacity,andtheintentofthePartiesisforsucheffortstocontinueandforeachPartytomakeoneormoreofitsemployeesavailabletoserveastheTechnicalStaff.Page9of20 6.1.3.3ProvidecommentstothePartiesonallpolicyaspectsofSolidWastemanagementandplanning;6.1.3.4ParticipateinthedevelopmentofifiturerecommendationsfortheSolidWasteinfrastructureManagementPlan(SWIMP)andotherplansgoverningthefutureoftheIntegratedSolidWasteManagementSystem,andfacilitateareviewandapprovalofrevisions/updatestotheexistingSWIMPbyeachjurisdiction;6.1.3.5AssistinthedevelopmentofproposedrevisionstothisIntergovernmentalAgreementbetweenLarimerCountyandmunicipalitiesregardingwastemanagement;6.1.3.6ReviewandcommentondisposalrateproposalsandCountyfinancialpolicies;6.1.3.7ReviewandcommentonstatusreportsgeneratedbytheTechnicalStaffand/orParties;6.1.3.8Promoteconsistentinformationexchangeandinteractionbetweenwastegenerators,haulers,recyclers,andthePartieswithrespecttotheIntegratedSolidWasteManagementSystem.6.1.4CountyResponsibilities.TheCountyshallassumethefollowingresponsibilitieswithrespecttotheCouncil:6.1.4.1TheCountyshallprovidestaffsupporttoCouncil;6.1.4.2InconsultationwiththechairoftheCouncil,theCountyshallnotifyMunicipalitiesandtheirdesignatedrepresentativesandalternatesofmeetingtimes,locationsandmeetingagendas.NotificationbyelectronicmailorregularmailshallmeettherequirementsofthisSubsection;6.1.4.3TheCountyshallpostsuchnoticesofmeetingsasmayberequiredfromtimetotimebytheColoradoOpenMeetingsLawandshallmaintaincustodyoftherecordsoftheCouncilinaccordancewiththeColoradoOpenRecordsAct;6.1.4.4TheCountyshallconsiderandrespondonatimelybasistoquestionsandissuesposedbytheCouncilandshallseektoresolvethoseissuesincollaborationwiththeMunicipalities.6.1.4.5TheCountyshallprovideinformationandsupportingdocumentationandanalysesasreasonablyrequestedbytheCounciltoperformitsdutiesandfunctionsdescribedherein.VII.RATESETTINGTheLarimerCountyBoardofCountyCommissionersmayadoptandamendratesforanyTierIInfrastructureFacilitiesatitssolediscretiontofundandrecoverallcapital,debt,operating,maintenance,depreciation,regulatory,postclosure,andanyotherexpensesoftheCountySolidWasteEnterprise.Differentialpricingofwastestreamsmaybedevelopedandimplementedtoassistwithwastediversioneffortsandsupportflowcontrolwhereapplicable.Upontheopeningofthecentraltransferstationandinitialreceiptofwaste,sections5and6oftheNovember21,1974IntergovernmentalAgreementregardingfreedisposalwillbeterminated.Page10of2O VIII.NOTICEAnynotice,request,demand,consent,orapproval,orothercommunicationrequiredorpermittedunderthisAgreementshallbeinwritingandshallbehand-deliveredorsentbyregisteredorcertifiedmail,returnreceiptrequested,orbyovernightcommercialcourier,addressedtosuchotherPartyatitsrespectiveaddressessetforthinExhibit“A”attachedheretoandsuchnoticeorothercommunicationshallbedeemedgivenwhensohand-deliveredorthree(3)businessdaysaftersomailed,orthenextbusinessdayafterbeingdepositedwithinanovernightcommercialcourier.IX.FUNDINGOBLIGATIONSThefinancialobligationsofthePartiesarisingunderthisAgreementthatarepayableaftercalendaryear2019arecontingentuponfundsforthatpurposebeingannuallyappropriated,budgetedandotherwisemadeavailablebytherespectivegoverningbodiesofthePartiesintheirsolediscretion.NotermorconditionofthisAgreementisintendednorshallbeinterpretedtobeamulti-fiscalyearobligation.X.MISCELLANEOUS10.1EntireAgreement.ThisAgreementistobeconstruedaccordingtoitsfairmeaningandasifpreparedbyallPartiesheretoandisdeemedtobeandcontaintheentireunderstandingandagreementbetweenthePartieshereto.Thereshallbedeemedtobenootherterms,conditions,promises,understandings,statements,orrepresentations,expressedorimplied,concerningthisAgreementunlesssetforthinwritingandsignedbythePartieshereto.ThisAgreementcannotbemodifiedexceptinwritingsignedbyallParties.10.2GoverningLaw.ThisAgreementshallbegovernedbyanditstermsconstruedunderthelawsoftheStateofColorado.VenueforanyactionshallbeinLarimerCounty,StateofColorado.10.3AgencyRelationship.NothingcontainedhereinisdeemedorshallbeconstruedbythePartiesorbyanythirdpartyascreatingarelationshipofprincipleandagent,apartnershiporajointventurebetweentheparties,oranemploymentrelationshipbetweentheParties.10.4ThirdPartyBeneficiaries.ThisagreementismadeforthesoleandexclusivebenefitoftheParties,theirsuccessorsandassigns,anditisnotmadeforthebenefitofanythirdparty.10.5AdditionofNewPartiestotheAgreement.AdditionalgovernmentalentitiesinLarimerCountymaybeaddedtothisAgreementwiththeconsentofallParties.10.6Severability.IfanytermorconditionofthisAgreementisheldtobeinvalidbyfinaljudgmentofanycourtofcompetentjurisdiction,theinvalidityofsuchatermorconditionshallnotinanywayaffectanyoftheothertermsorconditionsofthisAgreement,providedthattheinvalidityofanysuchtermorconditiondoesnotmateriallyprejudiceanPartyintheirrespectiverightsandobligationsunderthevalidtermsandconditionsofthisAgreement.Page11of20 10.7UncontrollableCircumstances.NoPartyshallbedeemedinviolationofthisAgreementifpreventedfromperforminganyofitsrespectiveobligationshereunderbyreasonofstrikes,boycotts,labordisputes,embargoes,shortagesofenergyormaterials,actsofGod,actsofpublicenemies,actsofsuperiorgovernmentalauthorities,weatherconditions,right,rebellions,sabotage,oranyothercircumstancesforwhichitisnotresponsibleorthatarenotwithinitscontrol.10.8Counterparts.ThisAgreementmaybesignedbythePartiesincounterpart.10.9GovernmentalImmunity.NotermorconditionofthisAgreementisintendednorshallbeconstruedasawaiver,eitherexpressorimplied,ofthemonetarylimits,noticerequirements,immunities,rights,benefits,defenses,limitationsandprotectionsavailabletothePartiesunderanyapplicablelaw,includingbutnotlimitedtotheColoradoGovernmentalImmunityAct,C.R.S.24-10-101,ci.seq.,ascurrentlywrittenorhereafteramendedorimplemented.10.10FutureAmendment.ThisAgreementismadeinrelianceoncurrentlawsandlegalauthority.ThePartiesagreetonegotiateamendmentstothisAgreementasmaybenecessarytomaintainthestatedpurposesandgoalswhileaccountingforchangesandevolutionofapplicablelawsandlegalauthority.INWITNESSWHEREOF,thePartieshavecausedthisAgreementtoberatifiedbyresolutionoftheirgoverningBoardsorCouncilsasevidencedbytheminutesoftheirgoverningBoardsorCouncilsandexecutedbytheirdulyauthorizedofficersasofthedatefirstwritten.REMAINDEROFPAGEINTENTIONALLYBLANKSIGNATUREPAGESFOLLOWPage12of2O
