00RESOLUTIONNO.16-15ARESOLUTIONESTABLISHINGTHEESTESPARKDOWNTOWNPLANSTEERINGCOMMITTEEWHEREAS,pursuanttotheprovisionsoftheTownBoardGovernancePolicy102,TownCommittees,theBoardofTrusteesoftheTownofEstesPark,ColoradomayauthorizetheformationofanAd-HocTaskForceforaspecificprojectortask;andWHEREAS,theTownofEstesParkreceivedfundingthroughtheColoradoDepartmentofLocalAffairs.StateEnergyandMineralAssistanceFund,topreparetheEstesParkDowntownPlan;andWHEREAS,communityinvolvementanddirectionthroughouttheplanningprocessiscriticaltothelong-termsuccessoftheplan;andWHEREAS,theBoardofTrusteeswishestocreatetheDowntownPlanSteeringCommitteetogiveoverallguidancetotheplanningprocessandensureamplepublicparticipationinthedevelopmentoftheEsteParkDowntownPlan.NOWTHEREFORE,BEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARKasfollows:1.TheBoardofTrusteesherebyestablishestheDowntownPlanSteeringCommittee,asmorefullysetforthinExhibitA.Datedthis_____dayofOctober,2015.MayorATTEST:TownClerk 00ExhibitADOWNTOWNPLANSTEERINGCOMMITTEEBYLAWSI.ROLETheDowntownPlanSteeringCommittee(DPSC)servesasadvisorsinsupportoftheEstesParkDowntownPlan.TheprincipalrolesoftheDPSCaretogiveoverallguidancetotheprocessandensureamplepublicparticipationinthedevelopmentoftheDowntownPlan.TheDPSCwillbeexpectedtoraiseissues,reviewdata,consideralternatives,discussideas,definevisionandvalues,advisethedowntownplanconsultantteamandmakerecommendationstoTownBoardonthegoals,policiesandstrategiesdevelopedforthedowntownplan.TheDPSCwillbealinktothecommunityatlargeandmembersareexpectedtosharetheplanningprocesswithfriends,colleaguesandinterestgroupsinthespiritofinformation-sharingandoutreachtodifferentsegmentsofthecommunity.Inadditiontothesebylaws,theDPSCoperatesunderthetermsoftheTownBoardPolicyGovernancePolicy102TownCommittees.Acopyofthatprocedure,alongwiththesebylaws,shallbeprovidedtoeachmemberatthetimeoftheirappointment.II.MEETINGSA.RegularMeetingsshallbeheldatleastoncepermonthorasestablishedbyameetingscheduleadoptedbytheDPSCincoordinationwiththeconsultantteam.Anyitemontheagendawhichcannotbeheardandconsideredbytheconclusionofthemeetingmaybecontinueduntilandheardatthenextregularlyscheduledmeetingoraspeciallyscheduledmeetingandshallhavepriorityoveranyothermatterstobeheardandconsidered.B.SpecialMeetingsmaybeheldatanytimeuponcallbytheChairperson.TheChairpersonshallcallaspecialmeetinguponrequestbytheTownBoard,TownAdministratororCommunityDevelopmentDepartmentDirectororuponrequestbythreeofthemembersoftheDPSC.C.CancellationofMeetingsRegularlyscheduledmeetingsoftheDPSCmaybecanceledorrescheduleduponapprovalbytwo-thirdsofthemembersoftheBoard.D.MeetingProceduresformattersrequiringactionbytheBoard,parliamentaryprocedureshallbefollowedinmoving,discussion,andactingonsuchmatters.E.OpenMeetingsAllmeetingsandactionsoftheBoardshallbeinfullcompliancewithStateStatutesgoverningopenmeetings,asamendedandincorporatedhereinbyreference.ItistheresponsibilityoftheStaffLiaisontobefamiliarwiththesestatutesandregulationsF.AttendancebyNon-membersMeetingsmaybeattendedbypersonswhoarenotmembersoftheDPSC.AtthediscretionoftheChairperson,nonmembersmaybeallowedtospeakatmeetings.However,innoeventshallnonmembersbeallowedtovoteonmattersforwhichavoteistaken. 00ExhibitAIll.MEMBERSANDQUORUMA.TheDPSCshallhavenomorethanfifteen(15)members.MembersshallresidewithintheEstesValleyDevelopmentCodeBoundary.TheTownBoardmayappointeleven(11)members.Townstaff,inconsultationwiththeDowntownPlanconsultantteamandDPSC,mayrecommendtheremainingfour(4)membersduringtheprojectimplementationphasetotheTownBoardforappointment.Membershipshouldbebalanced,withrepresentationfrombothdowntownstakeholdersandthecommunityat-large.Ataminimum,theDPSCwillincludethefollowingmembersofthedowntowncommunity:1.Downtownresidents;2.Ownersoroperatorsofretailestablishments,professionaloffices,food/drinkingestablishments;andaccommodationbusinesses;B.Termsshallbeappointedtoanine(9)monthterm.ThetermsofthemembersshallcommenceuponappointmentbyTownBoard.ThetermsmaybeextendedorreducedatthediscretionofTownBoardbasedonthescheduleoftheDowntownPlan.C.VacanciesshallbefilledbyappointmentbytheTownBoardfortheunexpiredportionofthetermofthepositiontobefilled.D.RecommendationsforAppointmentUponrequestbytheTownBoard,theDPSCshallmakerecommendationsforappointmentstotheTownBoard.E.Ex-officiomembersoftheBoardshallnotvoteonmattersrequiringavotebytheBoard.1.Ex-officiomembersshallreceivecopiesofallnoticesdocuments,andrecordsofproceedingsoftheBoard2.Ex-officiomembersshallnotbeentitledtovoteonmotionsbeforetheBoardF.QuorumAquorumshallconsistof2/3rdsofthemembersoftheCommitteebeingpresentatthemeeting.G.ActionActionbytheDPSCshallbebymajorityvoteofthemembersattendinganyregularorspecialmeetingatwhichaquorumispresent,unlessotherwiseprovidedintheseBylaws.IV.OFFICERSA.OfficersOfficersshallincludeachair,vicechairandsecretaryselectedbytheCommittee.B.ElectionsOfficersshallbeelectedbythemembersatthefirstregularlyscheduledmeeting.OfficersshallbemembersoftheBoard.NotificationofwhoiselectedChairwillbesenttotheTownClerk.C.Chairpersonresponsibilities:1.Presideatallmeetings.2.Insurethatallmeetingsareconductedwithdecorumandefficiency.3.Callspecialmeetingsinaccordancewiththebylaws. o0ExhibitA4.SignanydocumentspreparedbytheDPSCforsubmissiontotheTownBoardortowndepartments.5.SeethatdecisionsoftheBoardareimplemented.6.RepresenttheBoardindealingswiththeTownBoardorotherorganizations.7.TheChairpersonhasthesamerightasanyothermemberoftheBoardtovoteonmattersbeforetheBoardandtospeakfororagainstproposals,provided,however,thatiftheChairpersondesirestospeakfororagainstaproposalwhichhasbeenformallymovedandsecondedatapublicmeeting,theChairpersonshallrelinquishthechairtotheVice-Chairpersonwhileheorsheisspeaking.D.Vice-Chairpersonresponsibilities:1.AssisttheChairpersonasrequested.2.AcceptandundertakedutiesdelegatedbytheChairperson.3.PresideovermeetingsorperformotherdutiesoftheChairpersonintheeventtheChairpersonisabsentorunabletoact.E.Secretaryresponsibilities:1.PrepareanddelivertothestaffliaisontheminutesofallmeetingsoftheDPSCinanappropriateanddesignatedfile.2.AcceptandundertakedutiesdelegatedbytheChairperson.F.RemovalfromOfficeAnyofficermayberemovedfromofficebyamajorityvoteofthemembersoftheDPSCinattendanceatameetingprovidedthatatleastthirtydaysnoticehasbeengiventoallmembersthatremovaloftheofficerwillbeconsideredatsuchmeeting.G.OfficerVacanciesIfanyofficeisvacant,themembersoftheBoardshallelectamembertofilltheofficefortheremainderoftheyear.V.ATTENDANCEA.RegularattendancebythemembersoftheBoardisexpected.VI.GENERALPROVISIONSA.ThesebylawsmaybeamendedatanyregularorspecialmeetingoftheDPSCbyamajorityofthemembershipoftheBoardprovidedthatnoticeofsuchpossibleamendmentsisgiventoallmembersatleast20dayspriortothemeetingatwhichactionistobetaken:AnyamendmentsshallbesubjecttoreviewbytheTownBoard.VII.COMPLIANCEWITHTOWNPOLICIESA.TheBoardshalloperateincompliancewiththeadoptedTownBoardpolicyonTownCommittees,Policy102asamended.Thetermsofthispolicyareincorporatedinthesebylawsbythisreferenceandareattachedherewith.B.VolunteermembersoftheboardwillactinaccordancetotheadoptedTownVolunteerManual.Viii.CONFLICTOFINTEREST;A.Aconflictofinterestoccurswhenaperson’sprivate,personalrelationshipsorinterestsdivergesothatanindependentobservermayreasonablyquestionwhethertheperson’sactionsordecisionsaredeterminedbypersonalbenefit,gain,oradvantage.
