The Grantee has contracted to acquire a tract of land described as follows and hereafter referred to as "Parcel Two": LOT 5, MOUNTAIN TECHNOLOGICAL CENTER, TOWN OF ESTES PARK, LARIMER COUNTY, COLORADO, C. The Grantor wishes to grant and the Grantee wishes to receive an easement for the purpose of installing and maintaining an above ground explosion barrier on, over and across that part ofParcel One described in Exhibit"A" attached hereto and incorporated herein by this reference (hereinafter referred to as the "Easement Premises"). D. Grantee's acquisition of Parcel Two is contingent upon Grantor's execution of this Easement Grant. NOW, THEREFORE, in consideration of ten dollars and other valuable consideration, hereinafter described, the receipt and sufficiency ofwhich are hereby acknowledged, the following grants, agreements, covenants and restrictions are made: 1. GRANT OF EASEMENT. The Grantor hereby grants to the Grantee, its successors and assigns, a petpetual Easement on, over and across the Easement Premises for the purpose of insIalling andmainttins rn y.hovegroundexplosionbamtoinstallatioll- and maintenance of a 60 foot long, 10 foot high and 12 foot thick berm, built in accordance with the plans and specifications attached hereto as Exhibit B, and in accordance with all applicable codes and regulatibns. CONTINGENCY. This Easement shall be null and void if the deed of conveyance transferring ownership ofparcel Two to Grantee is not recorded. 3. USE OF EASEMENT PREMISES. Exclusive use ofthe Easement premises is hereby granted, and the Grantor expressly grants the exclusive right to use the surface of the Easement premises for the explosion barrier. Grantor specifically agrees not to remove the explosion barrier, or construct any structures over or within the Easement Premises which would adversely effect the purpose or structure ofthe explosion barrier. Provided, however, that the explosion barrier may be removed by Grantor if Parcel One ceases to be used for propane storage, and all propane storage tanks are removed from Parcel One. 4. RESTORATION OF PREMISES. Grantee, its successors and assigns, shall be responsible for restoration the surface of the premises as near to its original condition or better, as may be possible within a reasonable time afterthe installation or any subsequent maintenance ofthe explosion barrier, at its own cost and expense. Grantee agrees that it shall be responsible, at its sole cost and expense, for the following: a. All portions of the Easement Premises which are disrupted shall be restored with native grasses or appropriate tress and bushes. b. The side walls of the explosion barrier shall be concrete and shall be painted or decorated to soften the visual affect of exposed concrete. c. The ends of the explosion barrier shall be fenced to prevent trespassing upon the explosion barrier or within the Easement Premises. Grantee shall maintain and the fence as needed to accomplish the purpose of excluding unauthorized access to the explosion barrier. d. Any corner pins damaged or dislocated in the installation process shall be replaced by a licensed surveyor. 5. PROJECT SCHEDULE. The project shall be completed as soon as practical after commencement, so as to minimize any possible disruption to Grantor's property. It is understood that the signing of this Easement is preliminary to Grantee closing on the purchase of Parcel Two, and the ability to install the explosion barrier is a critical component of Grantee's closing on the purchase ofParcel Two. This Easement shall be recorded with the deed ofconveyance transferring ownership ofParcel Twoto Grantee, and construction ofthe explosion barrier maycommence atany time thereafter. This Easement shall be permanent and perpetual, and shall be liberally construed to - permit Granteeto-maintain-anappropriateexplosion-barrieras asafelydeviceforthe-protection-of occupants of Parcel Two. 6. PERSONAL INJURY AND PROPERTY DAMAGE LIABILITY. Any liability for personal injury to Grantee, its employees, agents and invitees, or any third persons, as a result of or arising out of or relating to either the use or occupancy of the Easement Premises by Grantee or 2 Grantee' s access on, over or across Parcel One shall be borne by Grantee. Further, Grantee agrees to indemnify and hold harmless Grantor, its successors and assigns against any loss or damage which should result from, arise out ofor be attributable to the use ofthe Easement Premises or Grantee's access on, over or across Parcel One whether or not such use is permitted hereunder. Any liability for personal injury to any worker employed to initially construct the explosion barrier, or any worker subsequently engaged for maintenance of or to make repairs to the explosion barrier or to third persons, as well as any liability for damage to the property of Grantor occurring during initial construction or any subsequent maintenance orrepair, or ofany third persons, as a result ofor arising out ofthe construction, existence, maintenance or repair ofthe explosion barrier, will be borne by Grantee, and Grantee shall indemnify and hold harmless Grantor regarding same. Grantee shall obtain anendorsementto itsliability insurance policy to cover anyliability forpersonal injury which might occur within the Easement Premises and for any liability for damage to Grantor's property or forpersonal injury which might occur within Parcel One and as aresult oforarising out ofthe use oroccupancy ofthe Easement Premises by Grantee or Grantee's access on, over and across Parcel One. 7. INDEMNITY. Grantee indemnifies and shall hold Grantor hannless from any and all liability for injury to Grantee, its agents, contractors, employees, guests and invitees, or for damage to Grantee's, its agent's, contractor's, employees, guests or invitees property when such injury or damage results from, arises out of, or is attributable to the construction or existence ofthe explosion barrier, together with any subsequent maintenance or repair undertaken pursuant to this agreement. 8. COVENANT OF OWNERSHIP. The Grantor covenants that it is the owner of Parcel One and has the right, title and capacity to grant the Easement herein. Grantor warrants and covenants thatproper approval ofthis Easement has been obtained inaccordance with the governing documents of the entity, and that this is a binding and enforceable act of Grantor. 9. RUNNING OF BENEFITS AND BURDENS. All provisions of this instrument, including the benefits and burdens, run with the land and are binding upon and inure to the heirs, assigns, successors, tenants and personal representatives of the parties hereto. 10. ENFORCEMENT. Either party may enforce this instrument by appropriate action and the prevailing party in any such enforcement proceedings shall be entitled to recover their costs and reasonable attorneys fees.
