System LEASE THIS LEASE, made this d a y of , 1985, between the TOWN OF E S T E S PARK, C O L O RAD O, a municipal cor— poration, hereinafter referred to as Lessor, and the LIONS CLUB OF E S T E S PARK, C O L O RAD O, a Colorado nonprofit corporation, hereinafter referred to as Lessee, W I THE S S E TH : Lessor, for an in consider of the covenants and agreements hereinafter set forth, to be kept and performed by Lessee, has leased and does hereby lease unto Lessee all those premises, situate in the Town of Estes Park, County of Larimer, State of Colorado, known and described as follows, to -wit: The concession stand attached to t h e grandstand at Stanley Park. TO HAVE AND TO HOLD, the above described premises with the appurtenances, unto Lessee from twelve o'clock noon on the 15th day of June 1985, until twelve o'clock noon on the 15th day of June 1990; and Lessee, in consideration of the leasing of said premises aforesaid by Lessor to Lessee, Covenants and agrees with Lessor as follows: 1. To pay to Lessor, as rent for said premises, thirty percent (30Z) net-p-ro€i-ts from the operation of said concession stand. For the purposes of this lease, net profits shall be that sum of money remaining after deducting from gross sales the actual cost of merchandise sold and all ordinary and necessary expenses of operation. Said rent shall be due and payable at the office of the Town Clerk on or before the 14th day of each June during the term hereof beginning on June 14, 1985. 2. To keep complete and accurate records of Lessee's operation of said concession stand; and to submit to the Board of Trustees of the Town of Estes Park, at the office of the Town Clerk, a copy of such records on or before the rent payment dates as herein provided. 3. To make all necessary repairs to the interior of the demised premises during the term of this lease, including all plumbing, painting, maintenance and replacing of all broken glass or fixtures; provided, however, should repairs become necessary because of structural defects and outside repairs, including the roof of the demised premises, they shall be made by Lessor at his expense. 4. To keep the demised premises safe and clean and in such order as may be required by the regulations of any governmental authority. 5. Not to alter the premises in any manner, except with Lessor's written consent. 6. To allow Lessor or its agents, at all reasonable times, to have free access to the demised premises for the purpose of examining or inspecting the condition of the same or the operation of the concession stand. 7. To furnish to Lessor a written physical inventory and statement of value of all improvements, fixtures and equipment presently located in the demised premises. Lessee shall keep said inventory and statement of value current by written notice to Lessor, whenever there are any additions to said improvements, fixtures and equipment. And it is agreed by the parties hereto: a. That all improvements, fixtures and equipment, except grills, shall become the property of Lessor when placed in the demised premises, and said improvements, fixtures and equipment shall be insured at Lessor's expense. b. That Lessee shall have the exclusive concession for the sale of all food, drink and tobacco products at Stanley Park for all events scheduled or operated by the Estes Park Horse Show and Rodeo Committee during the term of this lease. c. That Lessee agrees to pay to Lessor all additional expenses it incurs in insurance premiums resulting from Lessee's operations hereunder. d. That Lessee shall operate said concession stand at all events scheduled or operated by the Estes Park Horse Show and Rodeo Committee or at any other event scheduled at Stanley Park, when Lessor requests that the concession stand be operated. e. That, if Lessee shall fail to comply with the conditions of this — 2.— lease, or should not well and truly perform all and every one of the covenants and agreements herein contained on the part of the Lessee to be performed and kept, then this lease shall, at the option of Lessor, cease and absolutely determine. Notice of such termination shall be delivered to either the then acting President or the then -acting Secretary of Lessee. f. That Lessee shall be entitled to retain from Lessor's thirty per- cent (30%) share of the net profit a sum equal to the annual occupation tax for 3.2% Beer levied by Lessor as set forth in section 5.28.040 of the municipal code or any amendment thereto. g. In the event that changes occur which materially affect the Lessee's operation of the demised premises, the Lessee shall have the option to request of the Lessor that this lease be renegotiated, provided that the Lessee notify the Lessor of said desire, in writing, thirty (30) or more days prior to any annual anniversary date of this lease. Race Track 1. No exclusive agreements were found. Complete (only exception was Pepsi, Coca, Coors, Millers & ect. Rodeo promoting an event, show or special event.) _. Facilities 2. Rent or fee charged food vendor 20% to 25% of gross sales. (gross sales calculated after sales tax) Special Contestant 3. 20% to 25% of gross sales or $40.00 to $70.00 per front and Exhibitor foot whichever is the greater. Grand Stand 4. Flat rate ($110.00 per week) plus 20% of gross sales. Showers 5. Elec. fee charged in addition to rental fee (charged per week) and $50.00 to $110.00 up to 50 amps. Toilets for $190.00 50 to 110 amps. Grooms and $270.00 over 100 amps. Exhibitors 6. Most used a one or two year lease only. Lunch Stand on Grounds Ref.; Close to Lodging Colo. Grind and decompose used straw into top quality top soil 2. E.P. park dept. reports it now cost $20.00 per yd. deleivered here in Estes Park. 3. Est. cost per. yd. to produce is $7.00 per yd. (labor,fuel and maintenance. (finished product looks, feels & smells like dirt.) 4. 1985 est. dump fee for used straw is $30.50 per truck load or 1985 summer total $5,000.00. (park dept. would also bring all .their grass clippings out'to the straw thus saving their dump fee.) Est 2400 ydsused straw will reduce to 1200 yds. of composit. 1200 yds. x $20.00.= $24,000.00 7. C.S.U.-has'run test -on finished material and analysis is positive. 8. Nat. Western Stock Show started this year and is delevering to commercial landscrapers at $12.00 per yd. 9. E.P. park dept. est. they can use most of the first years material just on town parks. Cheif and the Rec. Dist. are possible purchasers. According to the Stanley Park Master Plan - Stanley Park alone would use the product for several years. Once the program is under way the problem may be not being able to produce enough. 10.Est. cost -April 1985 prices; (no ground prep. included.) 100' x 200' blacktop lot = $ 8,600.00 (part of master plan) tub grinder - new = 17,000.00 125 hp. tractor -used = 16,000.00 to 20,000.00 total investment est. $41,600.00 or 45,600.00 11.1985 savings; $ 5,000.00 24,000.00 less production 8,400.00 total $20,600.00 12. Five (5) years savings x 5 = $103,000.00 13. Life of machines - depreciation 5 to 7 years - could be 10 yr. life. 14. Investment can be recovered in the third (3) year. (investigation and reserch was conducted by Dan Speedlin and Bob Scott including a trip to the National Western Stock Show operation to watch the operation and bring back samples. The town and surrounding area has no source for good top soil. thus a high cost ot hall it up from the valley. 2. Because of the poor condition of soils in the area costly fertilization is a necessity. 3. Components needed to compost; a. large level area, hardsurfaced b. grinder - ta grind straw 3 times . . Complete '- C . tractor to run grinder - 100 to 125 hp. Rodeo •-• Facilities d. loader - turn compost - for areation necessity e. labor - safety hard hats and tractor cabs Special f. water - keep•moistre at 40% Cantestant and g. thermometer - to test temperature - need 160 degrees Exhibitor Grand Stand 4. Location; a. old land fill - hauling required b. Stanley Park - very little hauling required 4. Procedures; a. as the mixture is ground and decomposed it will decrease in volume by 50% b. the final product will be an organic compost high in nutients and low in salts. since the compost is organic it is virtually impossible to have the nitrogen burn when using a chemical fertilizer. The product can be used as a top dressing in established sod areas when verticle cultivation is part of the procedures with safer, longer lasting cheaper results. Compost can be mixed 50/50 with existing clean soil in new construction landscaped areas or major renovations.It will be an excellent mulch or topsoil in planting beds. Anytime is is used it will eliminate any top soil, planters mix, peat moss or fertilizer with the development of better root systems (summer growth and winter hardiness) and better water retention (less irrigation) with the possibility of complet control of the soil Ph levels. COLORADO 80517 • PHONE (3031 586-6256 April 22, 1985 To - Stanley Park Committee From - Mel Busch, Director EPAHM RE - Re -locate museum east boundary and move Macdonald Cabin to site A log cabin, approximately 14'X30', presently located behind Macdonald Bookshop has been offered to the museum by its owner, Paula Laing. The museum board of directors formally accepted the offer, provided the east boundary of the museum property can be re -located to accommodate that building, other structures of historic significance that may be otherwise destroyed, and future expansion of the museum facility. The museum's need for additional exhibit, storage and work space is real and urgent. Our long range planning committee is addressing that need, so that the needs of the museum, the Town, and area visitors might be met with adequate facility expansion in the future. We are therefore requesting that the east boundary of the Estes Park Area Historical Museum grounds be moved 150 feet east to accommodate present and future needs. By doing so at this time a more realistic museum boundary will be established as other Stanley Park facilities evolve. Thank you very much for your consideration of this request.
