Matzke-7&59»- SUBJECT: Rocky Mountain National Park Utility Contract for Electric connection Authorization to Execute Contract Attached is a draft contract between the Town of Estes Park and the National Park Service for upgrading the electric distribution system in Rocky Mountain National Park. Upon completion of all work included in this contract, all Rocky Mountain National Park loads currently served by the Bureau of Reclamation electric system will be served by the Town's system. The total estimated cost of the work is $197,000 which will be performed in phases and billed to the Park on a quarterly basis as the work is being done. This first contract is for $25,000 which covers the work described in Phase lA. Other documents required by this project are the right-of-way permit, a contract to provide electric service (including a park service administrative rate which is being designed by our rate consultant), and a contract transferring ownership of existing Park electric facilities to the Town. ~e-~-,/) 44 The Light and Power Department requests authorization for the Mayor to execute this contract. Negotiation and obtainment of easements and/or permits 170 from private or otherwise landowners, outside of the Park 171 boundary, 172 5. Preparation of easement(s) and right-of-way 173 documentation, 174 6. Connection Fees, 175 7. On-site survey, 176 8. Soils testing, 177 9. Pre-design conference, 178 10. On-site field supervision, quality control, inspection, 179 and perform system start-up, 180 11. Furnish a sepia or four (4) sets of installation drawing 181 prints at the [50, 95, and 100] percent design phase for 182 Park Service review, 183 12. Meet with appropriate park personnel prior to initial 184 cammencement of installation work, 185 13. Design and install the Facility consisting of but not be 186 limited to the following (as shown on the Town:s 187 referenced Drawings and as noted on the Town's Work 188 Sheets referenced in the Special Provisions herein): 189 190 a. Furnish and install a neutral conductor to required 191 poles throughout the Park for approximately 22,000 192 feet. 193 b. Remove approximately 27 old transformers from the 194 existing overhead system after testing and 195 confirmation of no PCBs, minus those being removed by 196 the Park Service. 197 c. Furnish and install approximately 27 transformers for 198 the overhead system. 199 d. Remove approximately 10 old transformers from the 200 existing underground system. 201 e. Furnish and install approximately 10 pad-mounted 202 transformers for the underground system. 203 f. Remove approximately 20 existing deteriorated or 204 unacceptable poles from the existing aerial 205 distribution system throughout the Park. 206 g. Furnish and install approximately 20 poles throughout 207 the Park. 208 h. Furnish and install hardware, cross arms, and 209 appurtenances. 210 i. Furnish and install approximately 61, 1-phase, aerial 211 secondary services as shown on Park Service Drawing 212 referenced in Special Provisions. 213 j. No 3-phase aerial secondary services are to be 214 installed. 215 k. Furnish and install 10 load profiling meters for 219 administrative loads as shown on Park Service Drawing 220 referenced in the Special Provisions. 221 m. Provide all trenching, bedding, select backfill, and 222 backfill, as necessary, including all road crossings. 223 n. Coordinate the final location of the utility 224 facilities and lines within the Service Area with 225 Park Service personnel. 226 o. Stake the final location of the utility facilities 227 and lines within the Service Area. Note: The staking 228 route shall be approved by the Park Service. 229 p. Restore final surface grade to the original grade 230 after burial of the lines and facilities allowing for 231 anticipated settlement. 232 q. Provide traffic control and safety per Special 233 Provisions. 234 r. Provide up-to-date as-built drawing after the 235 installation included herein has been 'completed. 236 237 Note: The Town shall cooperate, as required, with other utility 238 companies and their contractors, the telephone company, 239 and Park Service contractors for common usage of 240 compatible utilities and corridors, as required, to allow 241 scheduling of work in the same areas and to prevent earth 242 moving and rough grading type installation interference 243 problems. 244 245 PARK SERVICE RESPONSIBILITIES 246 247 Park Service will be responsible for the following: 248 249 , 1. Attend Pfe-design conference, if necessary. 250 2. Provide information for design pertaining-to 251 environmental and cultural resource laws. 252 3. Review of the installation drawings, furnished by the 253 Town, for scope, content, and compliance of the 254 environmental and cultural resource laws before 255 installation cammences. 256 4. Coordinate with the Town to determine the final location 257 of the Facility within the Service Area. 258 5. Approve the staking route. 259 6. Park Service and its contractors will be responsible for 260 all non-Town installation as indicated by the referenced 261 drawings in the Special Provisions herein, provided the 262 work is included in the Park Service contract. 263 7. Testing all transformers and disposing of those 264 containing PCBs. 265 8. Furnish and install approximately 16, 1-phase underground 266 secondary survices as shown on Park Service Drawing 267 referenced in the Special Provisions. 268 9. Maintaining all existing Utility Service during 272 installation. 273 11. Reseed trenching routes and all other disturbed areas 274 resulting from work described herein. 275 12. Provide all tree trimming, as required. 276 13. Provide repaving and/or patching of all road crossings 277 and parking areas, as required. 278 279 CONSTRUCTION DOCUMENTS 280 281 Construction Documents shall be made part of this contract and 282 shall consist of, but not be limited to this contract, Town's 283 Specifications and Construction Drawings, Town's installation 284 contracts, herein listed, as they are developed and executed, to 285 install the Facility, as required. 286 287 AUTHORIZATION TO CONDUCT BUSINESS IN THE PARK 288 289 The Park Service hereby authorizes the Town, during the term of 290 thie contract and any modifications or extensions thereof, to 291 engage in any lawful business activity within the Park that may 292 reasonably be required of the Town in order to fulfill its 293 obligations under this contract. 294 295 OWNERSHIP OF FACILITIES 296 297 It is understood by both parties that all materials furnished and 298 installed for all khk-44 Phases and/or system segments, under this 299 contract shall became the property of the Town, regardless of 300 cost-reimbursement by Park Service, and that the Facility 301 provided under this contract shall become the property of the 302 Town. The ownership of all equipment installed by the Town or its 303 contractor(s) shall be vested in the Town, up to the point of 304 delivery. The point of delivery shall be either the secondary 305 terminals of the transformer or the connection point in the 306 secondary junction box where applicable. Upon completion of the 307 installation, the Town's responsibility ends at the point of 308 delivery. The Park Service has responsibility for all operation 309 and maintenance beyond the point of delivery. 310 311 TERM OF CONTRACT 312 313 All work required by this contract for Phase la shall begin after 314 this contract has been awarded and shall be completed in 15 315 months. provided however that the contract shall be extended 316 authoritatively to the extent required by any action or inaction 317 of Park Service that delays or impedes the Town. 318 319 In no event shall the Town be penalized in the event installation 320 is not completed within the specified Term, provided however that 321 Park Service may terminate the contract and refuse payment for 322 any uncompleted work, if the Town does not complete the work 323 within the specified Term. 324 4/11/95 DAROMO~CONN.ELBCONTXON d.:t 6 NKS UMNS ENbkbi )E) IlL:305-969-2034 Hpr 11'95 1 <:26 NO . Ud 325 All work required by this contract for additional Phases *4444\11 326 shall begin after Phase la has been completed and after this 327 contract has been modified to include work for the additional 328 Phases *4444\IX. This Contract may be modified to perform work 329 earlier, if funds become available. 330 331 In the event the funding is not available during FY 96, Park 332 Service reserves a right to either extend or terminate this 333 contract. 334 335 PARTIES OF INTEREST 336 337 This contract shall be binding upon and inure to the benefit of 338 the Town's successors, legal representatives and assignees of the 339 respective parties hereto. 340 341 FACILITY INSTALLATION CHARGE 342 343 The Park Service shall reimburse the Town for the actual cost 344 amount of the Town's work included herein, contract ceiling not- 345 to-exceed the total cost amount of $25,000.00 for Phase lA. To 346 assure that the Park Service will benefit from any potential cost 347 savings that may arise, the Park Service hereby agrees to pay 348 only the actual installed cost of the Facility installed as per 349 agreement. 350 351 Estimated costs for each phase are as follows: 352 353 Phase 11 $25,000 354 Phase lB $23.000 355 Phase 2 $18,000 356 Phase 3 $42,500 357 Phase 4 $85.000 - 358 Phase 5 13.500 359 Total $197,000 360 361 Service connect fees, installation hook-up costs, and any 362 necessary easements are included in the above contract ceiling 363 not-to-exceed amount. 364 365 It is understood that funding for the contract ceiling not-to- 366 exceed amount included in this Contract has been appropriated and 367 approved for the work included herein. 368 369 This contract does not prohibit the Town from expending funds for 370 work outside the scope of this contract for installing the 371 Facility. However, no reimbursement will be made by the Park 372 Service for this work. 373 374 When other utility companies are involved, Park Service will 375 contract separately with those utility companies. I. 1 .-, ' I' 379 'PAYMENT CONDITIONS 380 381 The Park Service hereby agrees to make progress payments to the 382 Owner within 30 calendar days in accordance with OMB Circular A- 383 125, "Prompt Payment Act . rl 384 385 Progress payments shall be made as costs are incurred and after 386 completion of the work included herein, but not more frequently 387 than monthly. Progress payments shall be made after receipt of an 388 invoice and verification of the work performed. Invoices shall be 389 supported with itemized materials and labor costs and accompanied 390 by paid receipts, as deemed necessary by the Park Service's 391 Contracting Officer. The final payment will be made after the 392 Town has completed all of the work described herein. 393 394 In the event the Park Service, by its actions or inactions, 395 delays or impedes the Town's work or progress, then Park Service 396 agrees to compensate the Town for all additional labor, material, 397 cost and expense that results to the Town thereby. 398 399 Invoices shall be addressed to: NPS-WASO-OE, Attn: Branch of 400 Utilities, P.O. Telephone No. 401 (303) 969-2085. 402 403 TOWN'S CONSTRUCTION CONTRACT AWARDS 404 405 If the Town proceeds with a competitive low bid award 406 installation contract for performing the work in this contract, 407 the Park Service Contracting Officer has the right to review all 408 of the bids properly received by the Town after bid opening. The 409 Contracting Officer will be supplied with the competitive results 410 by the Town prior to the award of the contract for installation 411 of said Facility. 412 413 If all of the bids properly received by the Town, including all 414 other administrative costs, exceed the total contract ceiling 415 not-to-exceed cost amount included herein for this contract , the 416 Contracting Officer has the authority to proceed under any of the 417 following: (1) to modify this contract by increasing the total 418 contract ceiling not-to-exceed cost amount in this contract after 419 funding has been approved, (2) modify this contract by reducing 420 the scope of the work in this contract to coincide with Park 421 Service funding available, or (3) to terminate this contract. 422 423 Concurrence with the Town's recommendation for award of the 424 installation contract will not be unreasonably denied or withheld 425 by the Contracting Officer. This approval and 436 authorization for the Town to perform the work will not be 437 unreasonably delayed, if funds are available, and it is 438 determined to be in the best interest of the Government. 439 440 The Town shall provide the Park Service Contracting Officer with 441 backup and justifications sufficient to evaluate deletions and/or 442 additions that may be required of the Town's installation work. 443 444 EXPENSE RECORDS 445 446 The Town hereby agrees to maintain an accurate accounting of the 447 reimbursable costs associated with the installation included in 448 this contract in accordance with generally accepted accounting 449 principles, standards, and practices. The Park Service, during 450 the Town's normal business hours for the term of this contract, 451 shall have access to these records associated with the 452 installation required under this contract at the Townts offices 453 to the extent required to verify the costs incurred hereunder. 454 455 RIGHT-OF-WAY PERMIT 456 457 The Park Service, hereby agrees to grant to the Town, in 458 accordance with and subject to the terms and conditions contained 459 in this contract, a Right-of-Way Permit. 460 461 The Right-of-Way Permit will be issued concurrently and 462 separately from this contract by the Park Superintendent or their 463 representative (herein after called Superintendent), free of any 464 rental or similar charge, and will govern the access. 465 - --- 466 The Right-of-Way Permit will allow the Town to have access for 467 joint, non-exclusive use, over, across, along, below grade level 468 per drawing referenced in the Special Provisions and upon Park 469 Service land in the Service Area, as may be required by the Town 470 for the installation and service of the Facility. 471 472 The Right-of-Way Permit shall allow the Town to have access for 473 installation, service, operation, repair, replacement, 474 maintenance. inspection, and improvements (hereinafter called 475 Access Purposes) of the Facility. The Right-of-Way Permit will 476 allow access purposes of such special access roads, trails and 477 openings, as may be required by the Town to reach said Facility 478 and as approved by the Park Service. 479 480 The Town, its duly authorized agents and employees, shall have 481 the right of ingress and egress within the Park. I a. -' • .. 487 its trucks and vehicles over Park roads for all Access Purposes 488 without payment of any fees or other charges. 489 490 All activity, during installation of the Facility involving the 491 placement of underground lines and facilities, shall be confined 492 to the access utility corridors, routes. and areas per the Right- 493 of-Way Permit. The type and location of route markers, if used 494 inside of the Park boundary, shall be coordinated with the Park 495 Superintendent. 496 497 If the Access Purposes or activities require access on authorized 498 and designated utility access corridors and routes, the Park 499 Superintendent need not be notified for Access Purposes or ground 500 disturbing activity within the installation zone. 501 502 If Access Purposes or activities require access to other than 503 authorized and designated utility access corridors, routes, and 504 areas, the Park Superintendent must be notified in advance and 505 must approve any installation or ground disturbing activity 506 before the activity is accomplished. except for emergencies. 507 508 Whenever practicable, the Town will cooperate for joint use of 509 the utility access corridors, routes, and areas and joint 510 installation with other utilities now serving or hereafter 511 authorized to serve the Service Area. 512 513 Inasmuch as the Right-of-Way Permit for access referenced herein 514 is intended to endure beyond installation of the Facility to 515 govern continued Access Purposes of the Facility, both parties 516 agree that expiration of this contract will not affect or apply 517 to the Right-of-Way Permit. 518 519 CULTURAL AND ENVIRONMENTAL PROVISIONS 520 521 During the term of this contract and during installation, the 522 Park Service shall require the Town, either acting independently 523 or through this contract, to adhere to all Environmental 524 Provisions, as specifically agreed upon by inclusion in the 525 installation documents and in the Utility Access Authorizing 526 Right-of-Way Permit from the Park Superintendent. 527 528 The Park Service certifies that the contract is in conformance 529 with the approved Environmental Assessment and the related 530 Finding of No Significant Impact for this project and compliance 531 with the National Environmental Policy Act has been approved. 532 533 The Park Service certifies that the contract is in conformance 534 with the approved National Historic Preservation Act, Section 535 106, with concurrence from the state of Colorado Historical 536 Preservation Office (SHPO) Representative. 537 538 Any additional Federal Government approvals *4*41&4 that are 539 required will be provided by the Park Service. Should Town operations or its employees uncover or 549 find any archeological remains, Town shall suspend operations at 550 the site of discovery; notify Contracting Officer imnediately of 551 the findings; and continue operations in other areas. Included 552 with the notification, shall be a brief statement of the location 553 and details of the findings. Should the temporary suspension of 554 work at the site result in delays, or the discovery site require 555 archeological studies resulting in delays or additional work for 556 Town, it will be compensated by an equitable adjustment under the 557 General Provisions of the Contract. 558 559 RELEASE OF CLAIMS 560 561 After completion of work and prior to final payment, the Town 562 shall furnish to the Contracting Officer a release of claims 563 (Form DI-137) against the United States relating to this 564 contract, other than claims excepted from the operation of the 565 release. 566 567 SPECIAL PROVISIONS 568 569 1. Day-to-day administration of this contract by the Park 570 Service shall be conducted by the Park Service's 571 Contracting Officer or their Authorized Contracting 572 Officer's Representative, subject to the provisions of 573 this contract, as required. 574- --2.-The-Town-shall_inform_the Park Superintendent _oritheir - 575 representative, of all working hours and work scheduled, 576 while on Park land, except for emergencies. The Town 577 shall make every attempt to schedule work on Park land 578 that requires Park Service coordination during the Park's 579 normal working hours with the Park Superintendent or 580 their representative, except for emergencies. The Parkts 581 normal working hours are 8:00 A.M. to 4:45 P.M., M.T., 582 Monday through Friday. A schedule of work for Saturdays, 583 Sundays, Federal holidays or at night may be performed 584 only with prior notice to the Park Superintendent or 585 their representative, except for emergencies. 586 3. The Town or its contractor(s) shall designate an 587 individual or individuals on-site on Park land during 588 installation on Park land, who shall act as a point of 589 contact and have responsibility to deal with problems on 590 a day-to-day basis. 591 4. At all times the Town or its contractor(s) shall follow 601 the Colorado's Department of Transportation's Standards 602 for traffic control Federal and OSHA's Regulations for 603 life safety. 604 6. No signs or advertisements shall be displayed on the 605 installation site within the Park without the approval of 606 the Park Service Contracting Officer. Town names, etc., 607 on equipment and vehicles are excepted. 608 7. The length of time for scheduled outages of the existing 609 Utility Services shall be held to a minimum. The Town 610 shall notify the Park Superintendent or their 611 representative, in advance, of all scheduled outages. 612 8. The Town's Drawings titled R.M.N.P. Line Survey. Sheets 613 1, 2, and 3 and the Town's Work Sheets, including 614 sketches, Work Orders, Job Orders, and Staking Sheets are 615 made a part of this contract as they are prepared. The 616 most current Town's Drawings, Work Orders, Job Orders, 617 and Staking Sheets regarding the installation of the 618 Facility will be available to the Park Service upon 619 request. 620 9. Town's Rules and Regulations and Line Extension Policies 621 of Town are made a part of this contract. The most 622 current revisions will be available to the Park Service 623 upon request. 624 10. The Town is responsible for repairing all existing 625 utilities that are damaged during its installation if the 626 utilities are accurately shown on drawings or accurately 627 field located by the Park Service. The Park Service is 628 responsible for reimbursing the Town for the repair costs 629 for all existing utilities that are damaged during its 630 installation if the utilities are not accurately shown on 631 drawings or are not accurately field located by the Park 632 Service. 633 634 AMACHMENT 635 636 1.
