IIIGIILIGHTS OF CABLE TELEVISION CONSUMER PROTECTION AND COMPETITION ACT OF 1992 Under the Act, the FCC will have a number of obligations that include: • Within 180 days of enactment (April, 1993), the Commission shall prescribe procedures and standards for the establishment of reasonable rates for basic cable service. • Within 180 days of enactment (April, 1993), the Commission shall, following a rulemaking proceeding, issue regulations regarding carriage of local commercial television signals. • Within 45 days of enactment (November, 1992), the Commission shall commence a rulemaking proceeding to establish regulations to govern the exercise by television stations of the right to grant retransmission consent. The rulemaking proceeding shall be completed within 180 days of enactment. • Within 180 days of enactment (April, 1993), the Commission shall establish standards by which cable operators may fulfill customer service requirements. • Within 120 days of enactment (February, 1993),the Commission shall prescribe rules designed to limit the access of children to indecent programming. • Within 180 days of enactment (April, 1993), the Commission shall promulgate regulations to enable a cable operator to prohibit the use on its system of any programming which contains obscene material, sexually explicit conduct, or material soliciting or promoting unlawful conduct. ® Within one year after enactment (October, 1993), the Commission shall establish regulations governing program carriage agreements between cable operators and video programmers. • Within one year after enactment (October, 1993), the Commission shall prescribe rules establishing minimal technical standards. • Within 120 days of enactment (February, 1993), the Commission shall establish rules regarding home wiring. • Within 180 days of enactment (April, 1993), the Commission shall initiate a rulemaking proceeding on Direct Broadcast Satellite Service. LEASE THIS LEASE is effective the 1st day of November, 199 2, by and between TOWN OF ESTES PARK, COLORADO, a municipal corpora- tion, hereinafter referred to as "Lessor, " and JACOBSON/COLEMAN, a Colorado general partnership, hereinafter referred to as " Lessee. " In consideration of the payment of the rent, including additional rent, and the keeping and performance of the covenants and agreements by Lessee, as hereinafter set forth, Lessor has agreed to lease and hereby does lease and demise unto Lessee property commonly known as Fall River Hydroelectric Facility, being more fully set forth on Exhibit A hereto, and hereinafter referred to as either the "premises," "leased premises," or "demised premises." 1. TERM. To have and to hold the same for the term of six (6) months commencing November 1, 1992 and terminating April 30, 1993. 3€.«0:6-,ifl 16~22 67"911-U, U 2. RENTAL. A. Base Rental. Lessee covenants and agrees to pay for the initial term of this Lease the sum of One Dollar ($1.00), which amount shall be payable in advance without notice. B. Additional Rental. As additional rental for the premises, Lessee shall: (1). Secure all buildings on the demised premises from the effects of weather. (2). Conduct a feasibility study during the period of the Lease to determine whether or not Lessee wishes to propose an additional lease arrangement with Lessor for the hydroelectric facility. (3). Obtain from the Federal Energy Regulatory Commis- sion (FERC) a ruling regarding the necessity of licensing the installation. (4). Provide Lessor with copies Of all correspon- dence, feasibility studies and test results done by Lessee during the period of this Lease. (5). Provide a list to Lessor Of the historical features of the demised premises. 4. QUIET ENJOYMENT. Lessor agrees that, as long as Lessee shall fully and timely perform all of Lessee's covenants, agree- ments, provisions and conditions of this Lease to be performed by Lessee, Lessee may peaceably and quietly hold, occupy, use and 2-1
, enjoy the demised premises; subject, nevertheless, to the cove- nants, terms, provisions and conditions of this Lease. 5. PAYMENT OF RENT. To pay all rents and perform all covenants of additional rental at the times and in the manner herein provided. 6. ALTERATIONS BY LESSEE. Lessee shall make no alterations in or additions to the leased premises, other than securing the premises, without first obtaining the written approval of Lessor. Also, Lessee agrees to reassemble all portions of the equipment which have been disassembled by Lessee in any inspection or test- ing by Lessee prior to the termination of this Lease. 7. UTILITIES. Lessee shall pay for all electric service supplied and metered to the premises. The parties understand and agree that no other utility services, including, but not limited to water and sewer, are provided to the premises. 8. INJURY TO PERSON OR PROPERTY. Unless caused by the negligent or intentional act or omission of Lessor or its agents, officers and employees, Lessee agrees neither to hold nor to attempt to hold Lessor liable for any injury or damage, either proximate or remote, occurring through or caused by fire, water or any repairs, alterations, injury or accident to the leased premises, whether by reason of the negligence or default of the occupants thereof, or any other person, or otherwise, nor liable for any injury or damage occasioned by fire, gas, smoke, rain, snow, water, however occasioned, defective electric wiring. All property kept, stored or installed in the demised premises shall be at the sole risk of Lessee. 9. INDEMNITY TO LESSOR. Unless caused by the negligent or intentional act or omission of Lessor, its agents or employees, Lessee shall indemnify and hold Lessor harmless against and from any and all claims arising from Lessee's use of the premises or from the conduct of its business or from any activity, work or other things done, permitted or suffered by the Lessee in or about the premises, and shall further indemnify and hold Lessor harmless against and from any and all claims arising from any act or negligence of Lessee, or any agent, employee, guest or invitee of Lessee, and from all costs, attorney fees and lia- bilities incurred in or about the defense of any such claims, and Lessee, upon notice from Lessor, shall defend the same at Lessee's expense by counsel reasonably satisfactory to Lessor. As a material part of the consideration to Lessor, Lessee hereby assumes all risk of damage to property or injury to persons in, upon or about the premises, from any cause other than Lessor's negligence, and Lessee hereby waives all claims in respect hereof against Lessor. 10. END OF TERM. Upon the expiration of this Lease, or in the case of termination of this Lease by Lessor on account of a breach by Lessee of one or more of the covenants or agreements 2 -2-
hereof, Lessee shall promptly quit and0 surrender to Lesson the demised premises. 11. INSURANCE. During the term of this Lease, Lessee, at Lessee's sole cost and expense and for the mutual benefit of Lessor and Lessee, shall carry and maintain the following types of insurance: A. Comprehensive Public Liability Insurance. Com- prehensive public liability insurance including property damage, insuring Lessor and Lessee against liability for injury to per- sons or property occurring in or about the demised premises or arising out of the ownership, maintenance, use or occupancy thereof. Said insurance shall not be less than Five Hundred Thousand Dollars ($500,000.00) for any one person injured or killed and not less than One Million Dollars ($1,000,000.00) for any one accident and not less than One Hundred Thousand Dollars ($100,000.00) for personal property damage per accident. B. Workmen's Compensation. Workmen's compensation in form and amount satisfactory to Lessor. All such policies of insurance shall be written by a company or companies authorized to do business in the State of Colorado having a Best's insurance rating satisfactory to Lessor and shall name Lessor as an additional insured. The parties understand and agree that Lessor is relying on, and does not waive or intend to waive by any provision of this lease, the monetary limitations (presently One Hundred Fifty Thousand Dollars ($150,000.00) per person and Four Hundred Thousand Dollars ($400,000.00) per occurrence) or any other rights, immunities, and protections provided by the Colorado Governmental Immunity Act, 24-10-101 et. seq., C.R.S., as from time to time amended or otherwise available to Lessor or any of its officers, agents or employees. 12. DEFAULT IN RENT OR COVENANTS This Lease is made on condition also that if any one or more of the following events (herein referred to as "event of default") shall happen, this Lease may be terminated by Lesspetot A. Payment of Rent. Lessee shall default in the pay- ment of the rent. B. Neglect or Failure to Perform Covenants. Lessee shall neglect or fail to perform or observe any of the covenants, other than payment of rental herein contained, and shall fail to remedy the same within thirty (30) days after Lessor shall have given to Lessee written notice specifying such neglect or failure or, if such default cannot be cured within such 30-day period, if Lessee shall fail to commence curing such' default within said ' 30-day period and to proceed diligently to completion; or 2 -3-
· C. Abandon Premises. Lessee shall abandon the demised premises before the end of the term of this Lease, and Lessor reasonably determines the occurrence of any such abandonment. 13. NOTICE. A. To Lessor. Notice to Lessor under the terms and provisions hereof shall be in writing and shall ~e delivered in person to the principal office of Lessor at 170 MacGregor Avenue, Estes Park, CO 80517, or by certified mail, sufficient postage prepaid, return receipt requested, to Lessor at Post Office Box 1200, Estes Park, CO 80517. B. To Lessee. Notice to Lessee under the terms and provisions hereof, shall be in writing and sent postage prepaid by certified mail, return receipt requested, addressed to Lessee at Hydro-West, Inc., Telluride, CO. Service, if by mail, shall be complete as of the day of receipt or refusal, but in no event more than four (4) days after mailing. Either party shall have the right to designate in writing 3 different address to which notice is to be mailed, except that Lessee shall maintain a mailing address in the State of Colorado. 14. AMENDMENT OR MODIFICATION. Lessee acknowledges and agrees that Lessee has not relied upon any statement, representa- tion, agreements or warranties except such as are expressed here- in, and that no amendment or modification of this Lease shall be valid or binding unless expressed in writing and executed by the parties hereto. 15. MISCELLANEOUS. The parties understand and agree that, based upon the acts of Lessee as Additional Rental, Lessee may propose a long-term lease for the demised premises. If so pro- posed, the parties will negotiate in good faith to accomplish a long-term lease of the demised premises. Matzke-~-,~32T·~1 SUBJECT: Current Transformer Test Equipment Authorization to Purchase The Light and Power Department received authorization to obtain bids for current transformer test equipment at the May meeting of the Light and Power Committee. We have researched the products available and the only equipment that meets our requirements is the Spinlab Model 660 Current Transformer Field Tester. This is the only equipment that allows for field testing of high voltage as well as low voltage metering transformers. The equipment quoted will test the transformers in place without removing them from the metering installation. By testing the transformers in place, we can verify the integrity and connections of the wiring installation as well as transformer accuracy. This equipment is available from Equal Electric Co. in Denver at a cost of $12,512. Following is the proposed configuration: Model 660 Field Tester $7,545 250-1000 amp Current Probe 707 Low Voltage Probe 275 High Voltage 60 amp Current Probe 3,985 Total ($12,5*j The Light and Power Department included $9,500 in the 1992 budget for purchase of current transformer test equipment. We also included $3,200 for purchase of a meter wire verifier. The Spinlab Model 660 configured as quoted will accomplish both purposes.
