("NCI") has known Robert Fanch and Fanch Communications Inc. for several years. We hold Mr. Fanch in high regard and currently provide equity financing for a number of cable television companies operated by Fanch Communications Inc. NCI intends to provide the equity financing for the acquisition which will include the cable television system serving Estes Park. Negotiations for the senior financing required for the transaction are in the final stages. NCI is a privately held investment firm with over $500,000,000 of risk capital under management. In February 1987 NCI raised its most recent pool of equity capital by securing ' capital commitments of $216,000,000 from a group of institutional investors, NCI is primarily involved in organizing and investing in leveraged buyouts of media properties. These properties include cable television systems, radio and television stations as well as publishing operations. At the present time, NCI has investments in cable television systems serving over 300,000 subscribers. Other noteworthy media investments include KOVR-TV, the ABC affiliate serving the Sacramento, California market and radio stations serving San Jose, California; Tulsa, Oklahoma and Baton Rouge, Louisiana. Smith of Cable Systems,~Iny. mto-yoll,conperning ·Di-g·i.<r- c#• the pending sale of the corporate stock of table'?,Systems/ZInct to Fanch Acquisitions, Co. I have reviewed th;«lettet-add J.Kilso*'spoken personally with Mr. Smith and Mr. Dean Wandry of Fanch Communications concerning the sale of corporate stock.- Mr. Smith informed me that the transaction involves sale of all the corporate stock of Cable Systems, Inc. to Fanch Acquisitions, Co. The sale involves only the sale of the corporate stock and does not include the transfer of any assets of Cable Systems, Inc. out of the Corporation. Based upon the letter of October 19, 1987, my telephone conversa- tion with Mr. Smith and Mr. Wandry, and review of the Cable TV Permit between the Town of Estes Park and Cable Systems, Inc., I have the following comments: - 1. It is my opinion that the sale of the corporate stock of Cable Systems, Inc. is a offer of purchase of the CATV System under the terms and provisions of Section 42 of the Cable TV Permit. In that regard, the Town has the right of first refusal under the terms and con- ditions of said paragraph. However, Cable Systems, Inc. consists of 20 individual systems in Colorado, Kansas, New Mexico, and Oklahoma. Since only the corporate stock of Cable Systems, Inc. is being trans- ferred to a new entity, there is no sale of the indi- vidual assets of each cable system owned by the Corpo- ration. Therefore, it is impractical to pursue the right of' first refusal. As the sale involves the purchase of the corporate stock of a Corporation running numerous cable systems, there is no sale of the Mr. Dale Hill October 29, 1987 Page Two individual systems. The financial situation of the entire Corporation is the basis upon which the Stock is being sold. Financial performances of individual systems and the value of those systems cannot be quantified, as a practical matter, in the Stock pur- chase. Therefore, it is my opinion that although the right of first refusal is appropriate to the sale of the corporate stock, there is no practical way to review or accomplish a purchase of the individual Estes Park CATV System under the terms and conditions of Section 42 of the permit. 2. Section 23 of the Cable TV Permit provides that the Town has the right to approve the transfer or acquisi- tion of control of the system prior to the transfer. Also, in order to enable the Town to adequately-review the transfer, the Town may inquire into the qualifica- tions, including financial qualifications, of the prospective controlling party. The transferee is required to assist the Town in this endeavor. It is my opinion that the Town can review financial information of the prospective transferee as well as the trans- feree's experience in the field of CATV. It is my - - -- -understanding- that Mr. Wandry will be submitting to the Town a summary of Fanch Communications' experience in the CATV industry and a letter from the financial institution providing financial support -for the corpo- ration acquiring Cable Systems, Inc.'s stock. They are: 1. We plan to fulfill all the obligations of the Cable TV Ordinance, as amended. 2. We will be maintaining the Estes Park office location. 3. We will honor the balance of the two-year rate freeze promised by CSI at the time of their last rate increase. 4. We will evaluate all possible extensions of service in and around Estes Park and build those which are economically feasible. 5. We will continue to have a bulk rate arrangement available for motels and others at reduced rates. 6. We plan to review the economic feasibility of using the satel- lite to bring the Denver channels to Estes Park. 7. We will consider the following system improvements, and others: a. add new channels to basic b. add ESPN back c. add Disney d. expand basic service to include the tier services e. go to monthly, computerized billing, from coupons ..., F Mr. Dale. Dear Dale: This letter will confirm that Harold Greenleaf and I have entered into an agreement with Fanch Acquisitions, Co., a Kansas corporation, for the sale and purchase of all the corporate stock of Cable Systems, Inc. Cable Systems, Inc., now owns and operates 20 cable systems in the states of Colorado (4), Kansas (14), New Mexico (1) and Oklahoma (1). It is my understanding that when the transaction is completed, Cable Systems, Inc., will service as a recapitalized corporation under the control of Mr. Robert Fanch of Denver, Colorado, and will continue to operate basically as it has been operated with little change in corporate personnel, but with a stronger capital base and with technical and managerial assistance;from the Fanch Communications, Inc., management group. I am advised that Mr. Dean Wandry, of the Fanch organization, and Steve Anderson of Cable systems, Inc., met with the Light and Utilities Committee on October 13 or 14 to request approval of the transfer of control of Cable Systems, Inc., which will occur through the sale of corporate stock, pursuant to Section 23 of the Permit Agreement. As I understand it some question atose concerning the Right of First Refusal reserved by the Town under Section 42 of the Permit Agreement. Since there is to be no sale or transfer of the Permit Agreement, nor of the physical assets of the system, it would appear to me that the matter, 7 should be controlled by Section 23 of the Permit Agreement, and not Section 42. I would appreciate it if you would discuss the matter with the City Attorney for his interpretation, as we would not want to delay the matter because of a misunderstanding. CSI is willing to reimburse the Town for any legal expense this might involve. 3 Wherever I have inquired about the Fanch orgahization, I have received good reports. It seems Mr. Fanch enjoys a good reputation in both the CAT industry and financial circles. I feel certain the Fanch organization will furnish the Light and Power Comn ittee with any information it may request in + . Ill .*- Jim Watson has offered to drive one of his trucks down Elkhorn Avenue as close as legally possible to the curb so you can see how many lights might be close enough to the street to be hit- It probably would be best for you and Jim to visit and set a mutually agreeable date and time. I have told Jim we will wait until this has been done before deciding whether or not he has to Pay for the damage. Your specific judgment at the southeast corner of Elkhorn and Wiest Drive will be the determing factor. Please let me know the results of your "test run".
