Box 30 DRAEr DATF /L.ls /36 LICENSE AGREEMENT FOR DISCUSSION ONLY Agreement made January 1, 1987, between the Town of Estes Park, Colorado (Licensee), Robert Heron and Nell Frances Heron (Licensors), and the National Park Service (Licensor). WHEREAS, The Town of Estes Park, Colorado is desirous of obtaining permission to install and maintain one or more radio transmitters and antennas on property currently owned by the Herons and leased by the National Park Service; WHEREAS, the National Park Service is willing to allow the Town of Estes Park to utilize facilities and tower currently located on the property of the Herons; WHEREAS, Robert Heron and Nell Frances Heron, in exchange for payment of certain fees agree to the placement and maintenance of one or more radio transmitters in a building currently utilized by the National Park Service and one or more antennas on a tower currently on the property belonging to the National Park Service; and WHEREAS, the parties desire to reduce their agreement to writing; NOW, THEREFORE, in consideration of the foregoing premises and the covenants and agreements,hereinafter set forth, the parties agree as follows: 1. The term of this Agreement shall be for five (5) years commencing on the 1st day of January, 1987, and ending on the 31st day of December, 1992. The parties shall have the right to negotiate to extend the term of this agreement for an additional period of five (5) years providing that Licensee provides written notice of its election to Licensors ninety (90) days prior to the expiration of the initial term. 2. The Town of Estes Park shall pay to the Herons the sum of One Thousand Dollars ($1,000) in advance, on the first day of January in each year during the term of this agreement, together-with-all-taxes- (~ GO a-nd-lten-srfees-impo-5-ed-bra'ny-county, b Ld Le, er-federal- gglernmental--author-ity-on-the--facilittes- -erected-hereundert Said , jOb fee is to be paid at 2135 South Monroe Street, Denver, Colorado, or at such other address as the Herons may in writing direct. j. All three Licensors agree to permit the Town of Estes Park during the term of this agreement to place and maintain one or more transmitters within the building presently on the property and one or more antennas on the tower currently in place, in accordance with the attached specifications set forth in Exhibit A. 1 L, e.9.ELS- 4%4 4. All construction, erection and maintenance of the#ransmitters and antennas shall be at the sole expense of the Licensee. 2 5. The Licensee shall have a right-of-way over and across the existing access road on the property owned by the Herons and the National Park Service which is contiguous to the transmitter building and the tower. The Licensee shall also have ingress and egress upon the access road which now exists across other property of the Herons. It is agreed that there shall be no maintenance on the road to the property during the winter months and that, therefore, at times the property may not be accessible. 6. All improvements, appliances, fixtures and all other property of whatsoever nature, made to or placed upon said premises by Licensee, shall be and remain the property of Licensee and may be removed by Licensee in whole or in part, at any time before the termination of this Agreement or within a reasonable time thereafter. Licensee shall be responsible for any damage occasioned by the removal or maintenance thereof and shall restore the property after such removal to its condition prior to the installation thereof (reasonable wear and tear excepted). 7. Licensee, in consideration of this Agreement concerning the property, further covenants and agrees as follows: a. To keep said premises in good repair and at the expiration of this agreement surrender and deliver up the same in as good order and condition as when entered upon (loss by fire, inevitable accident, act of God, or ordinary wear excepted). This covehent shall not decrease the obligation of Licensee to restore the property pursuant to paragraph 6 above. b. To not assign this License or any interest therein without the written consent of Licensor being first obtained. c. To not conduct nor permit to be conducted on the premises any business or permit any act which is contrary to or in violation of the laws of the United States of America, the State of Colorado, or of the applicable ordinances of the County of Larimer or any other governmental entity having jurisdiction over the premises. 8. All the covenants and agreements in this document shall be binding upon and inure to the benefit of the heirs, executors, administrators, successors and assigns of the parties hereto. 9. The Herons and the National Park Service warrant and covenant to provide the Licensee with peaceful and quiet enjoyment of the emoluments of this License. Any transfer of title to the premises shall be subordinate and subject to the Town's rights under this Agreement. 3 10. Licensee agrees to indemnify and save Licensors harmless from any and all claims, demands or suits regarding Licensee's operations or regarding damages as a result thereof. 11. Licensee agrees that as long as the Herons elect to maintain a gate with a lock thereon across the access road, Licensee will keep the gate locked at all times. The Herons are obliged to provide Licensee with a key to said gate, and will subsequently provide new keys as necessary when the lock to said gate is changed. The Licensee agrees that it shall limit the use of the key to Town employees required for construction or maintenance of the radio equipment exclusively. 12. If Licensee is in default with respect to its covenants herein, either Licensor shall have the right to terminate the Agreement or, \r wvf without terminating the Agreement, to seek damages or any other , remedy available to Licensors and shall be entitled to any and all costs and expenses in connection with enforcement of this Agreement or collection of damages with respect hereto, including but not limited to court costs and attorney's fees. 13. Any written notice or communication provided for, required, or permitted hereunder, shall be deemed to have been sufficiently delivered upon the mailing of such notice, first class mail, postage prepaid, to the party entitled to the notice at the following addresses: Town of Estes Park P.O. The making, execution and delivery of this Agreement by Licensee has been induced by no representations, statements, warranties, or agreements other than those herein expressed. This Agreement embodies the entire understanding of the parties and there are no further or other agreements or understandings, written or oral, in effect between the parties, relating to the subject matter hereof. This instrument may be amended or modified only by an instrument of equal formality signed by the respective parties, with notice. 4 15. This Agreement shall be irrevocable during its term and shall continue in force unless or until terminated by any of the parties hereto only in accordance with and as allowed under the terms of this Agreement. Thereupon this Agreement shall absolutely end. Dekker Off DATE: December 8, 1986 SUBJECT: Prospect Mountain License Agreement The proposed license agreement for the Town's use of Prospect Mountain for a radio antenna will not adversely affect the Light and Power Department. Electric power supply is limited at that location, but the Police Department has advised us the additional electric load should be minimal. If it has not been addressed, the Town should reach an agreement with the proper federal agency regarding payment of electric bills on the account where the new base station will be added. The applicant requests the proposed exemption as a means of facilitating the transfer of 6 acres fran the Town of Estes Park for purposes of establishing a cemetery. 2. The Board of Adjustment reviewed and conditionally approved a request for special exception to permit development of a cemetery on the property on October 28, 1986. 3. A wildlife mitigation plan is required by the Board of Adjustment; other conditions of approval have already been accomplished. 4. The Town of Estes Park recommends approval. 5.
