Too Fr.mo at RE: 'I OWN OF ES'l'ES PARTK Chairwoman Eisenlauer and the Public Safety Committee Wes Kufeld, Chief of Police (f/� February 16, 2010 Intergovernmental Agreement — Pictomertry Imaging System Background: Larimer Emergency Telephone Authority continues to provide Estes Park with state of the art equipment and services in an effort to enhance Estes Park's ability to effectively receive emergency telephone calls, and provide critical emergency services response within its respective jurisdiction. The availability of a photo imaging system utilizing aerial photography of structures and property throughout the Estes Park Valley is a valuable tool for emergency responders. Updated photographs were created and stored in a database in 2009 designed to be used by each responding agency. Emergency first responders, through existing wireless technology, are able to view photographs of specific locations prior to their arrival on scene. This technology cuts down response times and improves the safety of emergency responders. This technology may also be utilized in crime scene investigations and intelligence gathering. Budget: None Recommendation: I recommend the Pictomertry Intergovernmental Agreement with The Larimer Emergency Telephone Authority to the Town Board to be included on the Consent Agenda at the March 9, 2010 Town Board meeting (OR) to be included as an Action Item at the March 9, 2010 Town Board meeting. Page 1 INTERGOVERNMENTAL AGREEMENT REGARDING THE USE OF THE PICTOMETRY IMAGING SYSTEM. THIS INTERGOVERNMENTAL AGREEMENT ("this Agreement") is made and entered into this day of , 20 , by and between the LARIMER EMERGENCY TELEPHONE AUTHORITY, hereinafter referred to as "LETA", the CITY OF FORT COLLINS, COLORADO; the CITY OF LOVELAND, COLORADO; the TOWN OF ESTES PARK, COLORADO; LARIMER COUNTY, COLORADO; and the BOARD OF GOVERNORS OF THE COLORADO STATE UNIVERSITY SYSTEM, acting by and through the Colorado State University Police Department, hereinafter collectively referred to as "the Participating Parties". WITNESSETH: WHEREAS, as part of its mission as the emergency telephone service provider for Larimer County, Colorado, LETA provides the Participating Parties with equipment and services to enable the parties to effectively receive emergency telephone calls and to dispatch emergency services in response thereto; and WHEREAS, LETA and the Participating Parties have determined that the availability of an imaging system using aerial photography of structures located throughout Larimer County would be a valuable tool for emergency responders when used in conjunction with the emergency telephone services network; and WHEREAS, LETA has entered into an agreement with a provider of such an imaging system known as, and herein after referred to as "PICTOMETRY"; and WHEREAS, LETA has agreed to provide PICTOMETRY to the Participating Parties and, by the terms of this Agreement, to establish requirements and guidelines with regard to the use of PICTOMETRY by the Participating Parties; NOW, THEREFORE, in consideration of the mutual promises contained herein, and for other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, LETA and the Participating Parties agree as follows: 1. Preamble. The parties acknowledge that the recitals set forth above are true and correct and those recitals are incorporated into the body of this Agreement. 2. Conditions for use of PICTOMETRY. LETA agrees that it shall make PICTOMETRY available for use by each of the Participating Parties. The PICTOMETRY system uses a data base which is created in conjunction with aerial photographs of Larimer County taken in 2009. It is understood and agreed that LETA is not responsible for the maintenance of the PICTOMETRY system, nor does this Agreement obligate LETA to provide software updates, updated photographic records, or other updates or upgrades which may be made available in the future. All such maintenance, updates and upgrades shall be the responsibility the Participating Parties. Each of the Participating Parties agrees that prior to commencing use of the PICTOMETRY system it shall complete such training, and shall adopt such reasonable internal use policies as may be required by PICTOMETRY or LETA. In addition to the foregoing, each of the Participating Parties agrees that it shall comply with the General License Terms and Conditions, a copy of which is attached hereto as Exhibit "A". 3. Term. This Agreement shall become effective as to each of the Participating Parties upon the approval by such party and LETA, and shall remain in effect with regard to each individual Participating Party until terminated. Termination may occur at any time with or without cause, and shall become effective upon thirty (30) days written notice to LETA. 4. Liability. Each of the parties hereto shall be solely responsible for the actions or omissions of its officers and employees, but shall not be responsible or legally liable for the negligent acts of any other party to this Agreement or of its officers and employees. In no event shall LETA be liable for any loss or damages related to the accuracy or completeness of any data provided to the Participating Parties, nor shall LETA be liable for any special, incidental or 2 consequential damages. Nothing in this Agreement shall be construed as a waiver of the notice requirements, defenses, immunities and limitations either party may have under the Colorado Governmental Immunity Act (Sec. 24-10-101, C.R.S. et seq.) or of any other defenses, immunities, or limitations of liability available to either of the parties by law. 5. Relationship of the Parties. The parties enter into this Agreement as separate and independent entities and shall maintain such status throughout the term of this Agreement. 6. Amendment. No amendment or other modification of this Agreement shall be valid unless pursuant to a written instrument signed by LETA and the Participating Parties. 7. Assignment. The benefits and burdens under this Agreement may not be assigned by any party to any other without written consent. 8. Appropriations. All financial obligations of the parties to this Agreement are subject to budgeting and appropriation of such funds by the governing body of each party each year. This Agreement shall not be construed to create a multiple fiscal year debt or other financial obligation 9. Parties to Exercise Good Faith. LETA and each of the Participating Parties agree to devote their best efforts and to exercise good faith in implementing and adhering to the provisions of this Agreement. 10. Intent of Agreement. This Agreement is intended to describe rights and responsibilities only as between the named parties hereto. It is not intended to, and shall not be deemed to confer rights to any persons or entities not named as parties herein. 11. Counterparts. This Agreement may be signed in counterparts. 3 IN WITNESS WHEREOF, the parties hereto have caused this Intergovernmental Agreement to be executed the day and year first written above.
