HomeMy WebLinkAboutMINUTES Stockholders - Estes Park Golf and Country Club 1978-09-11RECORD OF PROCEEDINGS Minutes of the annual meeting of the Stockholders of the Estes Park Golf and Country Club, Inc., held in the Municipal Building in Estes Park, Colorado, on the 11th day of September, 1978 at 2:00 p.m. Present: Harry B. Tregent, H. Bernerd Dannels, James H. Swickard, Margaret Houston, Robert E. Wagner, John McGraw, Frank McGraw, George Hix, Jim Beauchamp, Bob Diers, Dale Hill The Secretary called the roll with the following shares of stock being represented: Town of Estes Park - represented by Mayor Harry B. Tregent Rocky Mountain Metropolitan Recreation District - represented by Jim Beauchamp Charles F. Hix - proxy by George Hix Elsie J. Hix - proxy by George Hix John J. McGraw - represented by John McGraw and Frank McGraw 1121 shares 16 24 3 shares shares shares 5 shares 1601 shares Chairman Tregent stated that out of 216 shares, 1601 shares were represented and, therefore, declared a quorum present. Minutes of the annual meeting of the Stockholders of the Estes Park Golf and Country Club held on the 12th day of September, 1977, were read and approved as read. Secretary/Treasurer Dale Hill reported a balance in the savings account in the amount of $78.16. Chairman Tregent declared nominations in order for the Board of Directors. H. Bernerd Dannels moved the following persons be elected to the Board of Directors: Harry B. Tregent, Robert E. Burgess, H. Bernerd Dannels, Jack T. Rumley, Margaret Houston, James H. Swickard, Robert E. Wagner Robert E. Wagner seconded the motion and upon roll call the motion unanimously carried. Recreation District Manager Bob Diers discussed transferring the Town's shares of stock to the Rocky Mountain Metropolitan Recreation District. The reasons given were that the Recreation District was making major investments and permanent improvements in relation to the Golf Course as well as serving an area beyond the Town limits and receiving revenue from this general area. An opinion from the Town's Attorney dated September 17, 1975 was read to the members present advising the Town not to transfer its shares. Bob Diers moved the Town's shares of stock be transferred to the Rocky Mountain Metropolitan Recreation District. George Hix seconded the motion. Upon roll call the motion was defeated by the following votes: Town of Estes Park Rocky Mountain Metropolitan Recreation District Charles F. Hix Elsie J. Hix John J.
