Thank you for your interest in donating a work of art to the Town of Estes Park. Art in public places is a
vital component to the beauty and quality of life in our community. Please complete the information
below to facilitate a thorough review of the proposed donation. In order to assure the highest
standards, aesthetic consistency, and proper maintenance, the decision to accept the donation rests
with the Parks Advisory Board, and the PAB reserves the right to move or remove the piece from the
permanent collection if that becomes necessary in the future. Please attach photographs or detailed
drawings of the artwork to this form. Please also attach documentation authenticating the purchase
price or appraised value.

CONTRACT FOR COMMISSION OF ARTWORK
ESTES PARK WOMEN’S MONUMENT PROJECT
This Agreement is entered into this (12, May, 2021) by and between the Estes Park Women’s Monument
Project Committee (herein after called “the EPWMPC”, the Art Center of Estes Park (herein called “the
Art Center”) and Jane DeDecker (herein after called “the Artist”).
Recitals
The EPWMPC has allocated $100,000 to acquire artwork which will be created and installed in
downtown Estes Park. The Artist was selected through a competitive process by the EPWMPC.
Based on these foregoing recitals and the terms and conditions set forth herein, THE PARTIES AGREE AS
FOLLOWS:
ARTICLE 1. SCOPE OF SERVICES
1.1 Artist’s Responsibility
A. The Artist shall perform all services and be responsible for all expenses, materials, supplies, and
equipment necessary to design, fabricate, deliver, and install Artwork consisting of a Monument
featuring a life-sized bronze of Eleanor Hondius, her story and the plaques with smaller bronze
sculptures and stories of other historical Women of Estes Park as depicted in the attached Exhibit A.
B. The Artist’s services shall be performed in a professional, timely, and workmanlike manner, and in
strict compliance with all terms and conditions in this Agreement. The Artist is responsible for all costs,
expenses, and fees associated with the design, engineering, fabrication, installation, site visits, and
insurance of the Artwork during this process. The Town will take care of lighting using existing light
poles.
C. The Artist shall coordinate the installation of the Artwork with the Town and the EPWMPC via their
representatives. The Artist agrees to repair and/or replace any damage caused by the Artwork
installation at their expense, whether caused by the Artist or by anyone the Artist engages to assist
them, to the satisfaction of the designated representative for the EPWMPC as set forth in this
Agreement. The person designated as the project representative is the Chair of the EPWMPC. The Town
representative is the Supervisor of the Estes Park Public Works Parks Division.
D. The Artist is an independent contractor and not an agent or employee of the EPWMPC, the Town, or
the Art Center
E. The Artist shall secure any necessary design/engineering work and is responsible for working with the
Estes Park Parks department for all site preparation.
F. The Artist will provide specifications for the concrete foundation on which the sculptures will sit. The
Town is responsible for this site preparation per the specifications provided by the Artist.

G. In performance of the work described herein, the Artist shall comply with all applicable federal, State
and Town laws, rules, and regulations, including but not limited to, applicable copyright, building and
life, health and safety codes.
H. The Artist shall indemnify and hold the EPWMPC and the Art Center harmless from any damage or
injury claims made by a third party(ies) arising during the installation process and caused, or claimed to
be caused by such process, including harm to himself, to others including the public, or to the Artwork.
I. The Artist shall provide the EPWMPC with written instructions for the maintenance, care, and up keep
of the Artwork, with a description of all materials used, and a Certificate of Authenticity for the Artwork.
J. The Artist is solely responsible for the compensation and for the work of every contractor and other
person they engage to assist them in discharging the duties under this Agreement. The Artist agrees to
engage no person without providing adequate worker’s compensation insurance, in amounts required
by Colorado law.
K. The Artist shall secure and provide insurance for the on-site installation period in amounts and limits
specified in this section. The Artist shall provide the EPWMPC with a certificate of liability insurance
which addresses the period of on-site installation, and includes the following:
(1) The policy must be an occurrence form; the coverage amount shall be $1,000,000 for
products/completed operations hazard(s); the Comprehensive General Liability insurance shall
have combined single limits of $1,000,000 per occurrence; and the policy shall not be cancelled,
terminated nor not renewed without first giving 30 days advance written notice to the Town
Risk Manager;
(2) Neither this Agreement nor an insurance policy issued as required by this Agreement shall be
understood to waive or diminish the effect of the Colorado Governmental Immunity Act
protections enjoyed by the Town.
1.2 EPWMPC’s Responsibility
A. The EPWMPC will provide the Artist with text for the women’s stories that are included in the final
installed monument per the Artist’s specification for these stories.
B. The EPWMPC via its partner, the Art Center will provide payment to the Artist in a timely fashion as
outlined in the Payment Schedule in Article 5 of the Agreement.
C. The EPWMPC will designate a representative with whom the Artist should communicate and
coordinate when necessary, and the EPWMPC Representative has the authority to make decisions for
the EPWMPC with regard to the matters described herein, including, but not limited to inspection of any
work in progress and approving and coordinating installation.
D. The EPWMPC will donate this monument to the Town immediately after Acceptance of the Artwork
per Article 4 has occurred.
1.3 The Art Center’s Responsibility

A. The Art Center will provide the actual delivery of payment for work performed from the special
account they maintain for this project in conjunction with the EPWMPC Chair as outlined in the Payment
Schedule in Article 5 of this agreement.
ARTICLE 2. DESIGN CHANGES
A. Final Design Proposal – the Artist will follow their Final Design Proposal as agreed to by the EPWMPC
Chair which includes:
1.) A working drawing or rendition of the proposed Artwork and the site, and a description of
the materials to be used in the artwork; and
2.) Cost estimates for the design, fabrication, engineering, transportation, installation, and
insurance. The EPWMPC representative and the, or a committee thereof, shall review and
approve the final design prior to execution.
B. Any significant change to the design of the Artwork, as approved pursuant to this Article 2, must be
approved in writing by the EPWMPC Chair. The Artist shall provide proposed changes in writing or
graphic communication to this party for review and approval. A significant change is considered to be
any alteration which materially affects the approved design or installation. Minor changes do not
require written approval and may be approved verbally by the EPWMPC Chair.
ARTICLE 3. COMPLETION DATE
The Artist agrees to complete, deliver, and install the Artwork no later than September 30, 2021
Liquidated Damages: If the Artist fails to complete the on-site installation of the Artwork by September
30, 2021, a late fee of $1 per day will be levied, beginning on October 1, 2021 and continuing at $1 per
day for every day until the day the Artwork is successfully installed. This late fee will be deducted from
the final payment due to the Artist. This late fee shall not apply to delays caused by the EPWMPC, the
Town, or acts of God.
ARTICLE 4. ACCEPTANCE OF THE ARTWORK
The Artwork will be deemed to be accepted by the EPWM Chair after the following requirements have
been satisfied:
(1) The Artwork is completed, delivered, and installed in accordance with this Agreement and
the approved design, and the EPWM Chair has verified this; and
(2) The Artist has delivered to the EPWMPC the following:
(a) An executed bill of sale;
(b) Written maintenance and care instructions; and
(c) An original signed Certificate of Authenticity.

ARTICLE 5. PAYMENT SCHEDULE
The EPWMPC shall pay the Artist a fixed fee of $100,000 that will constitute full and complete
compensation for all services performed, materials furnished, and for the artistic value provided by the
Artist under this Agreement. If the Artist is in compliance with the terms of this Agreement, then the
EPWMPC via its partner the Arts Center will pay the Artist as follows:
A. First payment of 40% of the total cost of the Artwork shall be made when this Agreement is signed by
all parties, recognizing that the Artist will invest time and incur expenses in preparing the designs and
purchasing materials as set forth in Article 1, Section 1.1(A). No invoice from the Artist is required.
B. Second payment of 20% of the total cost shall be made to the Artist when the Artwork is 50%
completed and reasonable proof of this, such as digital photographs, has been provided. The Artist will
provide a written invoice for this payment.
C. Third payment of 20% of the total cost shall be made to the Artist when the sculpture is completed
(but prior to transport) and reasonable proof of this has been provided. The Artist will provide a written
invoice for this payment and digital photographs of the completed sculpture.
D. Fourth and final payment of 20% of the total cost shall be made to the Artist following installation
and acceptance of the Artwork by the EPWM Chair and the Town, as described in Article 4.
The EPWMPC via its partner the Arts Center agrees to mail or personally deliver each payment described
above within two (2) weeks of receiving an invoice from the Artist.
ARTICLE 6. WARRANTY
A. The Artist represents and warrants that the design of the Artwork is unique and solely the result of
the creative efforts of the Artist, and is wholly original with the Artist and does not infringe upon or
violate the rights of any third party.
B. The Artist warrants that the Artwork is and shall remain free and clear of all liens, including mechanics
liens and encumbrances of the Artist.
C. The Artist shall not duplicate or offer the same or materially similar Artwork for sale elsewhere within
a 200 mile radius of Estes Park.
D. The Artist warrants that all work is performed in accordance with professional “workmanlike”
standards, and fully guarantees the Artwork to be free from defective materials, products, and
workmanship, for one year following the date of the EPWMPC Chair and the Town’s final acceptance of
the Artwork, as described above. During this period the Artist agrees to make necessary repairs to the
Artwork, in a manner satisfactory to the EPWMPC Chair, of any defect which is the result of faulty
workmanship or materials. If within one year following the date of final acceptance, the Artist is unable
or unwilling to make any necessary repairs, the Artist is responsible for reimbursing the EPWMPC for
damages, expenses, or loss incurred by the EPWMPC as a result of having to complete such repairs. The
Artist is not responsible for damage to the Artwork caused by vandalism, acts of God.
ARTICLE 7. COPYRIGHT

A. The Artist expressly reserves the rights under common law or under the federal Copyright Act to
control the making and dissemination of copies and reproductions of the Work that the court(s) in the
venue of this Agreement afford to him, except as specified in Article 6 Section C. The Artist specifically
agrees that the EPWMPC, and its commissions, agents, divisions, employees and officials may, without
further approval from or compensation to the Artist, reproduce the Artwork graphically, in photographs,
drawings, or computer generated images for any EPWMPC business, including advertising, promotions,
visitor and convention activities, and economic development activities. The EPWMPC agrees that
whenever appropriate such graphic reproductions of the Artwork will include the Artist’s name, in such
a manner and location as will comply with U. S. copyright law.
B. The Artist agrees to indemnify and hold the EPWMPC and the Art Center harmless from any and all
liability arising out of the Artist’s violation or claim of violation by any person of any copyright or
trademark infringement whether or not such claim(s) or suit(s) is(are) frivolous.
ARTICLE 8. INDEMNIFICATION
The Artist will indemnify and hold the EPWMPC and the Art Center harmless from all loss and liability
(including attorney’s fees, court costs, and all other litigation expenses) for any infringement of the
patent rights, copyright, trademark, and all intellectual property claims of any person or persons in
consequence of the Town’s and EPWMPC’s acceptance of the Artists work or the use by EPWMPC or any
of its officers or agents, of articles or services supplied in the performance of the Agreement, whether or
not such claim (s) is (are) frivolous.
ARTICLE 9. DEATH OR INCAPACITY
If the Artist becomes unable to complete the terms of this Agreement due to death or incapacitation,
such death or incapacitation will not be considered a default of this Agreement on the part of the Artist;
however, upon the happening of death or incapacity of the Artist, the EPWMPC is not obligated to
proceed with this Agreement.
In the event of incapacity, the Artist may assign the Artist’s obligations and services under this
Agreement to another artist of his/her choosing, but only with written approval of the EPWMPC.
Alternatively, the EPWMPC may terminate this Agreement.
In the event of the death of the Artist, this Agreement may terminate. The Artist’s executor shall deliver
the Artwork, in whatever form and degree of completion it may be at the time, to the EPWMPC, along
with all materials and supplies purchased for the Artwork’ fabrication, if not yet completed. The
EPWMPC has the right to have the Artwork completed, fabricated, delivered, and installed by another
artist or fabricator of their choosing; however, the Artist’s heirs shall retain the copyright to the Artwork
and all rights under Article 7.
ARTICLE 10. TERMINATION OF AGREEMENT
The EPWMPC may terminate this Agreement if the Artist fails without cause to complete, deliver, and
install the Artwork as stipulated in this Agreement. The exercise of a right to termination under this
section shall be in writing and set forth the grounds for termination. If this Agreement is terminated
under this section, the Artist is entitled to retain no more than $5000 of the fees paid to him/her/them
by EPWMPC, but shall return to the EPWMPC all other compensation paid to him/her/them under the

terms of this Agreement within 30 days of the date of termination. If the Artist fails to return said
EPWMPC funds, in whatever form and degree of completion it may be at the time, and all materials and
supplies purchased and obtained by the Artist for the Artwork, and the EPWMPC has the right to have
the Artwork completed, fabricated, delivered, and installed by another artist or fabricator of their
choosing. However, the Artist shall retain the copyright to the Artwork and all rights under Article 7.
ARTICLE 11. WRITTEN NOTICE
The parties agree that any notice required by this Agreement shall be given as follows, including notice
of a change of address or change in the EPWMPC Representative:

ARTICLE 12. ENTIRE AGREEMENT
The terms and provisions of this Agreement, including attachments and any amendments, represent the
entire understanding of the parties with respect to the subject matter of this contract. No
representations or warranties are made by the Artist or the EPWMPC or the Art Center except as herein
set forth. The terms of this Agreement may only be altered or modified in writing and signed by all
parties.

ARTICLE 13. LAW AND VENUE
The laws of the Town of Estes Park, Larimer County, Colorado, shall govern this Agreement. Any action
arising out of or under this Agreement shall be brought in Larimer County, Colorado.

PAB Working Sub-Committee Meeting for “Estes Park Women’s Monument” project Minutes - 5/6/2021
Present: Ron Wilcocks, Lars Sage, Karen Daugherty, Karen D’Onofrio, Frank Lancaster, Judy Schaffer, Ann Wilcocks
Meeting called to order 5:00 PM
1) The project has the opportunity to purchase the small bronze that Sutton Betti and Daniel Glanz produced for their
proposal. The recommendation from the meeting is to proceed, but I will send out a vote for the entire Team. If the
answer is yes, we will purchase the bronze and donate it to a local entity like the Library.
2) We discussed the current status of fundraising. We have raised about $74,000 so far. We are making great
progress and are on track. Please continue make new “asks” and to follow-up with your earlier “asks” (i.e. ask again and
again) to try to get these folks (your friends) to donate. Also, a partial list of local EP businesses was sent out to each of
you. If you have any personal contacts with the owners or top managers of any of these businesses, please consider
making a personal “ask” to them to donate to the project. Many of these businesses have already donated, but even if
just some of these very successful businesses that haven’t donated yet donate reasonable amounts, we could complete
our fundraising with this push. Please let me know who you are personally asking from this list (or from your our list) so I
know roughly what is happening on this front. Frank has graciously agreed to personally “ask” Town Government
Leaders to donate. Ron will continue to focus on local retail businesses. As you all know, a brief project description and

3) We discussed the list of the top 12 Women to be included in the first phase of this project (i.e., the entire first phase is
what will be installed in late August/early September 2021). It was unanimously agreed that the list we created and
provided to the Jane Dedecker is the correct list for this phase. No changes to the list are recommended. I will send out
a vote to confirm this outcome. It is important to finalize this list now so that Jane can work in a focused manner and
complete the project on time. Also, please remember that we can add sculptures of other women to this Monument in the
future, this is just the first phase.

4) We discussed putting a sign up at the site about the new Monument. It was unanimously agreed that this is a good
idea. Ron will pursue making this happen.
5) After the two votes occur, we will start the fun project of finalizing the wording of the woman’s stories that go on each
of the twelve plaques. Karen Daugherty and Karen D’Onofrio are working to get some very nice pictures of the women
that are part of this first phase for Jane to help her in her work. Ron will work with Brian Berg to get the AIPP donation
paperwork filed with the Town.

Next PAB Estes Park Women’s Monument sub-committee meeting is scheduled for Thursday, 6/3/2021 from 5:00 PM to
6:00 PM via ZOOM (email with link will be sent out prior to the meeting).

Re: Possible Environmental Advisory Task Force
It is quite laudable that the Trustees are considering forming a temporary Task Force Committee to investigate and
outline the need and scope of a permanent citizen advisory group to focus on environmental issues for the Town and
surrounding community.
While several groups and informed citizens have raised such important issues as renewable energy and recycling, I
suggest that a broader, comprehensive view for the long term preserving and sustaining our wonderful “sense of place”
is needed. It is the local features of powerful mountain landscape scenery, access to nature and observing wildlife that
anchor our sense of place that residents and visitors are so attracted to.
This requires a long term, total Ecology view, where the environment (climate change, auto emissions, recycling,
renewable energy) ; wildlife; watersheds and floods; plants (native and noxious) and wildfires, etc. are addressed.
Please consider broadening the view for a new “Ecological” task force to consider a more comprehensive and total
Ecology view in their investigations and recommendations.
Please note that your Parks Advisory Board (PAB) is already assigned: Trees, shrubs, recommended plant list, native
plants, noxious weeds; wetlands, water quality, trails, pest control and environmental eduction. It might be a useful
consideration to expand the PAB into a total Ecology/Environmental role and transfer the Arts in Public Places program
to Admin. responsibility with advice from the Museum curatorial staff and the several Arts organizations in Town.

Re: Art in Public Places (AIPP) program update.
Honorable Trustees:
When the Trustees expanded the existing Tree Board into the
Parks Advisory Board (PAB), some of the expanded duties had to
do with additional ecology areas. Also, there was the thought of
building on the existing downtown bronze statues with more
public Art to attract more visitors. So in 2015 an Art in Public
Places (AIPP) program was initiated with oversight assigned to
the new PAB and staff support assigned to the Parks segment of
the Public Works Department.
Many months ago the then current Trustees asked the PAB to
investigate options for future funding of the AIPP program. During
these investigations a number of AIPP related issues have
surfaced and been discussed by the PAB. Following is a
summary of the situation and options from the PAB about the
AIPP program and related issues:
1. Situation:
1A. The main sources for funding public Art are: Donors, Grants
and a program of designating a % of Town project construction
costs for Art (common at the Federal and State levels and in
active municipalities with strong public Art programs). The
Trustees seem not interested in a % of construction cost program.
1B. Art funding from grants and donors is very difficult without the
Town having established a formal Art Master Plan.
1C. The Trustees asked the PAB to investigate the possibility of
developing an Arts Master Plan with inexpensive assistance from
a local University with Arts Management expertise. 3 such
Universities were contacted and only CSU expressed interest
because of their developing Arts Management program and their
obligation to community service as a Land Grant school.
1D. After talking to their staff, CSU was not comfortable to provide
Arts Master Plan assistance, so development of an Art Master
Plan with local University assistance is an unlikely option. Most
recently, CSU recommended talking to an arts management
professional working with the Fort Collins Museum of Art. That
person recommended getting a grant for professional help to do
an Arts Master Plan (estimated to cost $15K to 25K).
1E. We note that developing an Art Master Plan is not listed in the
current Town Strategic Plan.
1F. The Downtown Plan has page 36 titled Public Art, and half of
the page cites the existing public Art and emphasizes the need to
further develop public Art.
1G. We have discovered that annual decorating the Utility Electric
Boxes has been put on hold by the Town Utilities Department.
1H. Little Town arts info is currently provided to citizens and
visitors by the Town. Some Arts info is provided by the Estes Arts
District, VisitEstesPark and BEstes groups; but it is
uncoordinated.
1I. Town currently does not have a consolidated culture and arts
management responsibility specifically assigned to staff.
1J. Trustees are interested in more involvement from the local
arts organizations in the AIPP program.
1K. Feedback from the Women’s Monument Committee aligns
with the PAB in calling for an Arts Advisory Committee to provide
esthetic and technical support for the Town AIPP program and
that the local Arts community is interested and available.
1L. Town’s collectible fixed assets are currently above $1.75
million and probably appreciating. These Assets, while identified,
do not have assessment for adequate management, storage,
display or maintenance responsibilities/instructions. The bulk of
these investments roughly fall into these categories:
Bronze sculptures: >$347,000
Museum holdings: >$1,020,000
Misc. Arts/Crafts: >$245,000
1M. Public Works feels it “does not currently have sufficient staff
or specialized training and experience to inventory, store and
maintain the Town’s entire collectible arts assets”.
1N. PAB members are uncomfortable with the PAB making
esthetic and maintenance decisions about public Art without
assistance from the local arts community and Museum curatorial
expertise.
2. Possible Actions:
2A. Establish the desired degree of importance of the AIPP
program to the community, and an appropriate level of Town
support.
2B. Establish a consolidated Town program for Culture and Arts
and assign administrative staff responsibility to include Town
owned art and other collectible fixed assets.
2C. Establish an appropriate arts advisory group to assist the
responsible staff per above with esthetic and technical support for
the AIPP program.
2D. Enlist Museum curatorial staff to review the list of Town’s
collectible fixed assets (including all Town owned Art) to
determine appropriate insurance value, maintenance, storage and
monitoring procedures; ideally with the assistance of the local Arts
organizations and artists. This can be prioritized and phased over
several years.
2E. Propose that an Art Master Plan be included in 2022 Strategic
Plan.
2F. Research and apply for grants to assist developing an Arts
Master Plan?
2G. Develop an Art Master Plan, in house, with assistance from
Museum staff, local Arts organizations, and local artists, or:
2H. Develop a Plan with professional assistance.
2I. Develop and provide descriptions of key public art pieces and
a corresponding map for residents and visitors, available on a
Town webpage, at the Visitors Center, and with Arts organizations
such as: Estes Arts Disrict, Art Center of Estes Park, Visit Estes
Park, BEstes (Artists Trail).
2K. Develop and advertise a Solicitation program for public art
donors.
2L. Upon establishing an Arts Master Plan, the Town can apply
for grants to fund public Art projects for the AIPP. As valuable
Town investment assets, these projects should be managed by
appropriate Town staff efforts, which can be overseen by a
volunteer advisory group.
The PAB looks forward to discussing the above at a Town Study
Session and facilitating direction and decisions for the future
growth of the AIPP program.
