Dannels Absent: The following proceedings, among others, were had and taken. Thereupon Director 'DgV77e/-C there was read in full the following Resolution: introduced and WILLSON 8 LAMM ATTORNEYS AT LAW DENVER, COLORADO - 36 - RESOLUTION WHEREAS, at a special election of the qualified electors of the Estes Park General Improvement Sewer District No. 1, is the Town of Estes Park, Colorado, duly called and held on Tuesday, June 9, 1970, a majority of the qualified taxpaying electors of the Dis- trict and also a majority of all qualified electors, both taxpayers and non -taxpayers, have voted for the question of issuing general obligation bonds in the principal amount of $80,000 for the purpose of providing funds for construction of a complete sanitary sewage collection and transmission system, facilities and service, together with all incidental and appurtenant facilities for the District and its inhabitants; and WHEREAS, it is necessary to advertise said bonds for sale, and publish a Notice of Sale of said bonds; THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE TOWN OF ESTES PARK, COLORADO, EX-OFFICIO THE BOARD OF DIRECTORS OF ESTES PARK GENERAL IMPROVEMENT SEWER DISTRICT NO. 1, ESTES PARK, COLORADO: 1. That Notice of Sale of said bonds shall be published in the Mountain Gazette, Estes Park, Colorado, a newspaper published and of general circulation in the Town of Estes Park, in the editions of said newspaper dated June 25, July 2 and 9, 1970, which Notice shall be in substantially the following form: WILLSON R LAMM ATTORNEYS AT LAW DENVER. COLORADO - 37 - OFFICIAL NOTICEOF SALE ESTES PARK GENERAL IMPROVEMENT SEWER DISTRICT NO. 1 ESTES PARK, COLORADO GENERAL OBLIGATION SEWER BONDS, $80,000 SALE DATE: MONDAY JULY 13, 1970 NOTICE IS HEREBY GIVEN that the Board of Trustees of the Town of Estes Park, ex-officio the Board of Directors of Estes Park General Improvement Sewer District No. 1, Estes Park, Colorado, will, on Monday, the 13th day of July, 1970, at the hour of 2:00 o'clock P.M., Mountain Daylight Time, at the Town Hall, Estes Park, Colorado, receive and open sealed bids for $80,000 of General Obligation Sewer Bonds of the District. Said bonds will be dated August 1, 1970, will be in the denomination of $1,000 each, numbered 1 to 80, in- clusive, and shall mature serially on the 1st day of August, as follows: Amount Maturity $ 1,000 1971 2,000 1972 and 1973 - 5,000 1974 to 1978, incl. 10,000 1979 to 1983, incl. Bonds of this issue maturing on or before August 1, 1980, are not redeemable in advance of their respective maturity dates. Those bonds maturing in the years 1981 to 1983, inclusive, shall be redeemable at the option of the District, in inverse numerical order, on August 1, 1980 and interest payment dates thereafter, upon pay- ment of par, accrued interest and a premium of 2% of principal. Said bonds shall bear interest at a net effective interest rate not exceeding 8.00% per annum, to be evidenced by one set of coupons only, payable on February 1, 1971, and semi-annually there- after on the 1st day of February and the 1st day of August, each year. Net effective interest rate shall be defined as the net in- terest cost of said bonds divided by the sum of the products derived by multiplying the principal amount of the bonds maturing on each maturity date by the number of years from their date to their re- spective maturities. The net effective interest rate shall be de- termined without regard to the option for prior redemption. Principal and interest shall be payable at the office of the Town Treasurer, ex-officio Treasurer of the District, in Estes Park, Colorado. Sealed bids should be submitted to the Treasurer of the District, Town Hall, Estes Park, Colorado, and envelopes should be marked "Sealed Bid --General Obligation Sewer Bonds". The formal award of said bonds, if proper bids are received, will be made by the District Board at 7:30 o'clock P.M. on July 13, 1970. - 38 - All bids must be accompanied by a certified or,cashieres check on a bank or trust company in the amount of $2,000.00, pay- able to the Treasurer of the District, the amount of the check of the successful bidder to be held by the District as liquidated damages if the bonds are not taken up and paid for promptly in accordance with the terms of the Notice of Sale and the bid. Checks tendered by unsuccessful bidders will be returned promptly. The bonds may be sold at less than their par value, but not exceeding a discount of 2% of principal. Such discount, if any, should be considered as interest, and the net effective interest rate of the bonds cannot exceed 8.00% per annum. The Board reserves the right to reject any and all bids and to waive any irregularity in any bid. The bonds, subject to the above, will be awarded to the bidder naming the lowest net interest cost to the District which is defined for the purpose of this sale as the total amount of interest to accrue from date of issue to date of maturity without regard to the option for prior redemption, plus the amount of any discount and less the amount of any cash premium bid. Any' premium bid must be paid in lawful money of the United States of America as a part of the purchase price. For information purposes, bidders are requested to state (A) the total net interest cost in dollars and cents to the Dis- trict and (B) the net effective interest rate in the stated per centum. The legality of the bonds will be approved by Messrs. Willson and Lamm, Attorneys at Law, Denver, Colorado, whose opinion, together with the printed bonds, will be furnished to the purchaser without charge. Said bonds will be delivered at any bank or trust company in either Denver or Estes Park, Colorado, or at any other place at the request and expense of the purchaser. It is anticipated that delivery of the bonds will be made on or about August 1, 1970. Additional information on this issue may be obtained from Boettcher and Company, 828 Seventeenth Street, Denver, Colorado 80202, the financial consultant to the District.
