ESTES PARK TRANSFER STATION AGREEMENT:
The Code and Sanitation Committee reviewed the final agreement
between Larimer County and A-1 Transfer, Inc. (Operator)
regarding the Estes Park Solid Waste Transfer Station. Public
Works Director Widmer stated the agreement was basically the same
as the draft agreement with the addition of paragraph 4 "H" on
page 10, which discusses Title to Facilities. Upon termination
of the agreement or completion of the term of the agreement,
title to all equipment is transferred to the County, who will pay
the operator the difference between the operator's initial actual
cost, minus the County's annual payments and depreciation on the
equipment. Title to the building is transferred to the Town of
Estes Park, who will pay the operator the actual cost minus
depreciation on the building. The Town of Estes Park has been
added to the signature page on the agreement to acknowledge
approval of the provisions of paragraph 4 "H". A brief
discussion followed on the color of the building. Mr. Steven
Gillette stated that he will bring the color chart in for the
Town to decide on the color of the structure. The Committee
recommends the Town Board authorize the Mayor to sign -the
agreement.
LEASE ON PROPERTY FOR TRANSFER STATION:
The Committee reviewed the Lease between the Town of Estes Park
and A-1 Transfer, Inc. for the property to be used -for the
transfer station. The lease is basically a standard 10-year
lease. Public Works Director Widmer stated that Article 8 gives
the Town storage area on the property not used by Lessee for its
solid waste transfer business. Article 14 reserves the Town's
right for utility easements across the property. Article 15,
paragraph 2 states the Lessee must abide by all the terms and
conditions of the Larimer County Agreement. Article 17 is the
Indemnification Clause requested by the Committee. "Exhibit A",
attached to the Lease, is the legal description of the property.
The Committee recommends the Town Board authorize the Mayor to
sign the Lease.
There being no further business, the meeting adjourned.
