BYLAWS Compreshensive Plan Advisory Committee
COMPREHENSIVEPLANADVISORYCOMMITTEEBYLAWS[ADOPTED01/2022]I.ROLEThemissionandroleoftheComprehensivePlanAdvisoryCommittee(“C0rnpPAC”)arefourfold:1.ServeasadvisorsinsupportofdraftingaComprehensivePlan(‘Plan”),bygivingoverallguidancetotheprocessandensuringamplepublicparticipationandspecializedinputinthedevelopmentofthePlan;and2.Considerissues,reviewdata,consideralternatives,discussideas,refinevisionandvalues,advisestaff,PlanningCommission,andelectedofficials,andmakerecommendationstothoseentitiesandthecommunityregardinggoals,policiesandstrategiesbeingdevelopedforthePlan;and3.Bealinktothecommunityatlargebysharingtheplanningprocesswithacquaintances,colleagues,andcommunitiesofinterestinthespiritofinformationsharingandoutreachtodifferentsegmentsofthecommunity,withoutbiasesandprejudicestotheoutcomes;and4.DuringtheComprehensivePlanningprocess,theC0mpPACshouldstrivetomaintaincompliancewithapplicablestandardsandrequirementsfromtheColoradoDepartmentofLocalAffairs,perthegrantawardcontract,andwithapplicablestateandlocalregulatoryrequirementsforadvisorycommittees.“Chair”intheremainderofthisdocumentwillrefertotheChairofC0mpPAC.II.MEETINGSA.RegularMeetings.Shallbeheldatleasttwicepercalendarmonth.RegularmeetingsshalloccuratregulartimessetbytheCompPAC.Anyitemontheagendawhichcannotbeheardandconsideredbytheconclusionofthemeetingmaybecontinueduntilandheardatthenextregularlyscheduledmeetingoraspeciallyscheduledmeetingandshallhavepriorityoveranyothermatterstobeheardandconsidered.B.SpecialMeetings.MaybeheldatanytimeuponcallbytheChairorCommunityDevelopmentDirectorasneeded.TheChairshallcallaspecialmeetinguponrequestbytheTownBoardorTownAdministrator.Noticeofatleastthree(3)calendardaysshallbegiventoeachmemberoftheCornpPAC.Thetime,place,andpurposeofthespecialmeetingshallbespecifiedinthenoticetothecommitteemembers.PublicnoticeofthemeetingshallbegiveninaccordancewithColoradoRevisedStatutesSec.24-6-402(2)(c)C.R.S. C.CancellationofMeetings.RegularlyscheduledmeetingsoftheC0mpPACmaybecancelledorrescheduledupondeterminationbytheChair.AnycancelledmeetingrequiresnotificationtotheCommunityDevelopmentDirectorinanefforttoadequatelynotifythepublic.D.MeetingProcedures.TheChairshallpresideinaccordancewithgenerallyacceptednormsfortheconductofparliamentaryprocedure.TheCompPACmayoverturnaparliamentarydeterminationoftheChairbymajorityvote.Robert’sRulesofOrdermaybeconsideredasaparliamentaryguide.E.OpenMeetings.AllmeetingsandactionoftheC0mpPACshallbeinfullcompliancewithstatestatutesgoverningopenmeetings,asamendedandincorporatedhereinbyreference,ItistheresponsibilityoftheCommunityDevelopmentDirectortobefamiliarwiththesestatutesandregulations.F.AttendancebyNon-members.MeetingsmaybeattendedbypersonswhoarenotmembersoftheC0mpPAC.AtthediscretionoftheChair,nonmembersmaybeallowedtospeakatmeetings.However,innoeventshallnonmembersbeallowedtovoteonmattersforwhichavoteisrequired.Ill.MEMBERSANDQUORUMA.Membership.TheCompPACshallconsistofeleven(11)votingmembers,plusanindefinitenumberofnon-votingstakeholdersattheTownBoard’sdiscretion.Appointmentsofvotingmembersandnon-votingstakeholdersshallbemadebytheTownBoardinaccordancewithPolicy102.Thefollowingmembershipparametersareaspirational,andreflecttheneedtoprovideforadiverseandwidelyinclusivearrayofstakeholdersamongtheCompPAC’smembers.RepresentativevotingmembershipontheC0mpPACmayinclude,butwillnotbelimitedto,thefollowing:•Member(s)oftheEstesParkPlanningCommission•Resident(s)oftheTownofEstesPark•Businessowner(s),operator(s),oremployee(s)ofenterprisesthatprimarilyservevisitors•Businessowner(s),operator(s),oremployee(s)ofenterprisesthatdonotnecessarilyprimarilyservevisitors•Propertyowner(s)intheTownofEstesPark,notnecessarilyfull-yearresidents•Member(s)orrepresentative(s)ofthecommunityforwhomEnglishisnotafirstlanguage•Member(s)orrepresentative(s)ofstakeholdersage25oryounger•Member(s)orrepresentative(s)reflectingoneormoreofthe“ColoradoForAll”diversity,equity,andinclusiondemographics,including:gender,race,ethnicity,religion,nationalorigin,age,sexualorientation,gender identity,citizenshipstatus,education,disability,and/orsocio-economicstatus•Resident(s)oftheEstesValleyPlanningAreanotinsidetheTownofEstesPark•Businessowner(s),operator(s),oremployee(s)ofenterprise(s)locatedintheEstesValleyPlanningAreaoutsidetheTownofEstesPark•Member(s)ofthe[LarimerCounty]EstesValleyPlanningAdvisoryCommitteeItisintendedthatasingleindividualmayeffectivelyrepresentmorethanoneofthecategoriesabove;forexample,anindividualunderage25mayalsobeanemployeeoroperatorofabusiness.ItisnotintendedthateveryC0mpPACvotingmembermustfitintooneormoreoftheabovestakeholdercategories,astheTownBoardmustselectfromthosesubmittingapplications.ItisdesirablethatmostoralloftheabovestakeholdercategoriesberepresentedbyC0mpPACvotingmembership.Non-votingstakeholdersmaybeappointedatthediscretionoftheTownBoardanddonotnecessarilyneedtobedrawnfromtheapplicantpool.B.Terms.MembersshallbeappointedforthelifeoftheC0mpPAC.TheCommitteeshalldissolveuponadoptionbytheTownBoardofanewComprehensivePlanfortheTown.C.Vacancies.VacantpositionsshallbefilledbyappointmentbytheTownBoardfortheunexpiredportionofthetermofthepositiontobefilled.D.RecommendationsforAppointment.UponrequestbytheTownBoard,theC0mpPACshallmakerecommendationstotheTownBoardforvacancyappointments.E.Non-votingStakeholders.1.Non-votingstakeholdersshallreceivecopiesofallnotices,documents,andrecordsofproceedingsoftheC0mpPAC,andmayspeakandparticipateinmeetingsasC0mpPACmembers.2.Non-votingstakeholdersshallnotbeentitledtovoteonmotionsbeforetheC0mpPAC.F.Quorum.AquorumforthetransactionofbusinessoftheCompPACshallconsistofamajorityofappointed(voting)memberpositionsthatarefilledatthetime.Thisistheminimumnumberofmembersrequiredtobepresenttoopenameetingandconductbusiness.G.Action.AnyActionbytheC0mpPACshallbebymajorityvoteofthemembersattendinganyregularorspecialmeetingatwhichaquorumispresent,unless otherwiseprovidedbylaworordinance.Atievoteshallconstitutefailureofthemotiononthefloor.H.TownBoardLiaison.TheTownBoardmayappointoneofitsmembersasaliaisontotheCompPAC,whoshallreceivecopiesofallnotices,documents,andrecordsofproceedingsoftheCompPACwhichanymemberwouldalsoreceive.IV.OFFICERSA.Officers.C0mpPACOfficersshallconsistofaChairandaVice-ChairasselectedbytheCompPAC.B.Elections.Officersshallbeelectedbythemembersannually,atthefirstregularlyscheduledmeetingofeachyear.OfficersshallbemembersoftheCompPAC.NotificationofwhoiselectedChairwillbesenttotheTownClerk.C.ChairResponsibilities:1.Presideatallmeetings2.Ensurethatallmeetingsareconductedwithdecorumandefficiency3.Callspecialmeetingsinaccordancewiththebylaws4.SignanydocumentspreparedbytheC0mpPACforsubmissiontotheTownBoardorTowndepartments5.RepresenttheCompPACindealingswiththeTownBoardorotherorganizations.6.TheChairhasthesamerightasanyothermemberoftheC0mpPACtovoteonmattersbeforetheCompPAC,tomoveorsecondamotion,andtospeakfororagainstproposals.D.Vice-ChairResponsibilities:1.AssisttheChairasrequested2.AcceptandundertakedutiesdelegatedbytheChair3.PresideovermeetingsorperformotherdutiesoftheChairintheeventtheChairisabsentorunabletoact.E.OfficerVacancies.Ifanyofficeisvacant,themembersoftheCompPACshallelectamembertofilltheofficefortheremainderoftheyear.F.ChairProTern.IntheabsenceoftheChairandVice-Chairatagivenmeeting,theCompPACmayelectavotingmembertoserveasChairforthedurationofthatmeeting.V.STAFFROLEAnassignedstaffmemberoftheCommunityDevelopmentDepartmentisresponsibleforpropernotificationofmeeting,preparationanddistributionofagenda,assemblyofpacketandminutetakingforallmeetings. V.ATTENDANCERegularattendancebythemembersoftheC0mpPACisexpected.Intheeventanymembermissesthree(3)consecutiveregularmeetingsoratotaloffour(4)regularmeetingsinacalendaryear,theTownBoardmayremoveitsappointedmemberforneglectofdutyanddesignateanewmembertofillthevacancy.VI.GENERALPROVISIONSRecommendationsforamendmentstothesebylawsmaybeadoptedatanyregularorspecialmeetingoftheC0mpPACbyamajorityofthevotingmembershipoftheC0mpPACprovidedthatnoticeofsuchpossibleamendmentsisgiventoallmembersatleastfive(5)dayspriortothemeetingatwhichactionistobetaken.AnyamendmentsshallbesubjecttoapprovalbytheTownBoard.VII.COMPLIANCEWITHTOWNPOLICIESA.Inadditiontothesebylaws,theC0mpPACshalloperateincompliancewiththeadoptedTownBoardPolicyonTownCommittees,Policy102,asamended.Thetermsofthispolicyareincorporatedinthesebylawsbythisreference.Acopyofthepolicy,alongwiththesebylaws,shallbeprovidedtoeachmemberatthetimeoftheirappointment.B.FailuretocomplywithapplicableTownpoliciesmaybegroundsforanofficialreprimandorcensurebytheC0mpPACand/orarecommendationtotheTownBoardforremoval.VIII.CONFLICTOFINTERESTAllmembersoftheC0mpPACaresubjecttothestandardsofconductundertheStateofColoradoCodeofEthics,Sections24-18-101etseq.,C.R.S.,andArticleXXIXoftheColoradoConstitution(Amendment41).AtthetimeofintroductionofanindividualitemontheC0mpPACagendainwhichthememberhasaconflictofinterest,themembershallstatethataconflictofinterestexistsandthenabstainfromparticipatingandvotingonthematter.AmemberhavingaconflictofinterestonanymattershallnotattempttoinfluenceothermembersoftheC0mpPACatanytimewithregardtosaidmatter.AdoptedthisdayofcDCU1,2022.ESTESPARKBOARDOFTRUS[9By:Mayor
