30RESOLUTIONNO.319ARESOLUTIONOFTHEESTESPARKURBANRENEWALAUTHORITYTOAMENDTHECONSTRUCTIONADMINISTRATIONSERVICESCONTRACTWITHDESIGNSTUDIOSWESTWHEREAS,theEstesParkUrbanRenewalAuthority(EPURA)andDesignStudiosWest(DSW)enteredintoacontractdatedMarch20,2002,whereinDSWagreedtoprovideconstructionadministrationservicesrelativetoPhaseIofPerformanceParkforanestimatedcostof$14,500,plusdirectreimbursableexpenses,basedonthebestinformationavailableatthetime;andWHEREAS,thescopeofworkhasexpandedtoincludeapproximatelytwiceasmanymeetingswiththeprojectteamthanoriginallyprojected,developmentofrevisionstodesignconceptsduetoproceedingwiththedetaileddesignofPhaseII,revisionstodocumentsduetochangesaimedatreducingcostsrelativetocertaincomponentsandchangestoincorporatelegitimate,butunanticipated,suggestions;andWHEREAS,DSWhassubmittedarequestforanadditional$8,200inprofessionalfeesinordertocompletetheconstructionadministrationserviceswithoutincurringaloss,makingthecostoftheconstructionadministrationservicetotal$22,700orabout4.5percentofthetotalprojectcost,apercentagenotinconsistentwithindustrystandardsforsuchservices;andWHEREAS,itisinthebestinterestofEPURAtotreatitscontractorsfairlyandensurethehealthandwell-beingofitsloyalconsultants.NOW,THEREFORE,BEITRESOLVEDBYTHEESTESPARKURBANRENEWALAUTHORITYTHAT:TheChairmanisherebyauthorizedtoexecuteacontractamendmentwithDSWtoincreasetheprofessionalfeesforconstructionadministrationservicesby$8,200,plusanyadditionaldirectreimbursableexpensesnottoexceed10percentoftheprofessionalfees.ADOPTEDthis21stdayofAugust,2002.ESTESPARKURBANRENEWALAUTHORITY/ChairmanATTEST:Secretary’/ 00Revised6/01BYLAWSOFTHEESTESPARKURBANRENEWALAUTHORITYARTICLEITHEAUTHORITYSection1.NameofAuthority.ThenameoftheAuthorityshallbethe“EstesParkUrbanRenewalAuthority”,alsoreferredtoas“EPURA”.Section2.OfficeofAuthority.TheofficeoftheAuthorityshallbeatsuchplaceintheTownofEstesParkastheAuthoritymaydesignate.Section3.PurposeoftheAuthorty.TheprimarypurposeoftheAuthorityistomakephysicalimprovementsthatbenefitthecommunityandenhancetheeconomy.TheAuthorityshallservethecommunityinaccordancewiththeprovisionsoftheColoradoUrbanRenewalLawandallotherpowersextendedtoitbythelawsoftheTownofEstesPark,theStateofColorado,andtheUnitedStatesofAmerica.ARTICLEIIOFFICERSANDPERSONNELSection1.Officers.TheOfficersoftheAuthorityshallbeaChairmanandaViceChairman,whoshallbeCommissionersoftheAuthorityandshallbeselectedannuallybymajorityvoteoftheCommissionersoftheAuthority.TheExecutiveDirectorisdesignatedastheSecretary,assistedbytheDeputyTownClerkintheroleofRecordingSecretary.NoCommissioneroftheAuthorityshallbeeligiblefortheofficeofSecretaryexceptasatemporaryappointee.ThefunctionofTreasurerisperformedbytheTownFinanceDepartmentandtheExecutiveDirector.Section2.Chairman.TheChairmanshallpresideatallmeetingsoftheAuthority.ExceptasotherwiseauthorizedbyresolutionoftheAuthority,theChairmanshallexecuteallwritteninstrumentsanddocumentsmadebytheAuthority.Section3.ViceChairman.TheViceChairmanshallperformthedutiesoftheChairmanintheabsenceorincapacityoftheChairman.InthecaseofavacancyintheofficeoftheChairman,theViceChairmanshallperformsuchdutiesasareimposedontheChairmanuntilsuchtimeastheAuthorityshallselectanewChairmanfromamongitsmembers. 00Section4.RecordingSecretary.TheRecordingSecretaryshallkeeptherecordsoftheAuthority,shallactassecretaryofthemeetingsoftheAuthorityandrecordallvotes,andshallkeeparecordoftheproceedingsoftheAuthorityinajournaltobekeptforsuchpurposes.Section5.ExecutiveDirector.TheAuthorityshallemployanExecutiveDirector,whoshallserveatsuchtermastheAuthoritymayestablish.TheExecutiveDirectorshallhavegeneralsupervisionovertheadministrationoftheaffairsandbusinessoftheAuthority,andshallbechargedwiththemanagementoftheprojectsoftheAuthority.Section6.AdditionalDuties.TheofficersoftheAuthorityshallperformsuchdutiesandfunctionsasmayfromtimetotimeberequiredbytheAuthorityorbythebylawsortherulesandregulationsoftheAuthority.Section7.ElectionofOfficers.TheofficersoftheAuthorityshallbeelectedannuallybytheAuthorityatthefirstregularmeetinginJuneandshallassumetheirdutiesuponelection.Section8.Vacancies.ShouldtheofficeofChairmanorViceChairmanbecomevacant,theAuthorityshallselectasuccessorfromitsmembershipatthenextregularmeetingtoservefortheunexpiredtermofsaidoffice.EstesParkUrbanRenewalBylaws—Page2 aaSection9.Personnel.A.TheAuthoritymayfromtimetotimeauthorizetheemploymentofsuchpersonnel,consultantsoragents,permanentortemporary,asitdeemsnecessarytoexerciseitspowers,duties,andfunctionsasprescribedbythe“UrbanRenewalLaw”oftheStateofColorado,andallotherlawsoftheStateofColoradoapplicablethereto.B.Theselection,qualifications,dutiesandcompensationoftheExecutiveDirectorshallbedeterminedbytheAuthority.TheAuthoritymaydelegatetotheExecutiveDirectorthedeterminationofthesemattersastoallotherpersonneloftheAuthority.C.Thepersonnelrules,policiesandproceduresoftheTownofEstesParkshallapplytoallpersonneloftheAuthority.ARTICLEIIIMEETINGSSection1.RegularMeetings.RegularmeetingsshallbeheldatsuchtimeandplaceasmaybeprescribedbyResolutionadoptedbytheAuthority.Intheeventanydayofaregularmeetingshallbealegalholiday,saidmeetingshallbeheldonthenextsucceedingdayoronthesamedayofthesucceedingweek,asdeterminedbytheChairman.Section2.SpecialMeetings.TheChairmanoftheAuthoritymay,whenhedeemsitexpedient,callaspecialmeetingoftheAuthorityforthepurposeoftransactinganyurgentbusinessrequiringattentionpriortothenextregularmeeting.AllCommissionersshallbenotifiednolessthantwodaysinadvanceofsuchspecialmeeting.Suchnoticeshalldesignatethepurpose,timeandplaceofthespecialmeetinginEstesPark,Colorado.Atsuchspecialmeeting,nobusinessshallbeconsideredotherthanasdesignatedinthenotice,butifallofthemembersoftheAuthorityarepresentataspecialmeeting,anyorallbusinessmaybetransactedatsuchspecialmeeting.Allspecialmeetingsshallbepublic,unlessthesubjectmattersqualifiesfordiscussioninanexecutivesession.Section3.Quorum.ThepowersoftheAuthorityshallbevestedintheCommissionersthereofinofficeatanygiventime.Amajority(4)oftheCommissionersshallconstituteaquorumforthepurposeofconductingitsbusinessandexercisingitspowersandforallotherpurposes,butasmallernumbermayadjournfromtimetotimeuntilaquorumisobtained.Whenaquorumisinattendance,actionmaybetakenbytheAuthorityuponanaffirmativevoteofthemajorityoftheCommissionerspresent.EstesParkUrbanRenewalBylaws—Page3 0Section4.MannerofVoting.Theaffirmativeandnegativevotesshallbeenteredupontheminutesofeverymeeting,exceptinthecaseofelectionswhenthevotemaybebyballot,andexceptwherethereisaunanimousvote.Section5.OpenMeetings.TheAuthorityshallnotmakefinaldecisionsonanymatters,passresolutions,adoptrulesorregulations,approveanycontracts,orauthorizethepaymentofmoneyatanymeetingwhichisnotopentothegeneralpublic.Section6.Notice.NoticeofspecialmeetingsoftheAuthorityshallbemadeavailabletothepublicnotlessthanone(1)dayinadvanceofsame.Section7.AgendaandMaterials.A.TheAgendaandalldocumentsandmaterialsrequiringactionbytheAuthorityatanymeetingshallbeprovidedeachmembernotlessthanone(1)dayinadvanceofsuchmeeting.B.CopiesoftheagendashallbeavailableforthepublicatAuthoritymeetings.C.Anyindividualorgroupcommentingonagiventopiconagivenoccasionshalllimithis/her/theirspeakingtimetonomorethanthreeminutes.Agroupshallbeconsideredtobeanynumberofindividualssharingthesameviewpointonagivenissue.Saidgroupshallappointaspokesperson,whosespeakingtimeshallbelimitedtothreeminutes.Section8.ParliamentaryProcedure.TheAuthorityshallbegovernedbyparliamentaryprocedure,assetforthinRobert’sRulesoforder.ARTICLEIVAMENDMENTSANDSUSPENSIONOFBYLAWSSection1.AmendmenttoBylaws.TheBylawsoftheAuthorityshallbeamendedonlyiftherehasbeennoticeofsuchproposalatthepreviousmeeting,andifsameisvotedonaffirmativelybyatleastfour(4)membersoftheAuthority.Section2.SuspensionofBylaws.AnyrequirementoftheseBylawsmaybewaivedbyunanimousapprovaloftheCommissioners.EstesParkUrbanRenewalBylaws—Page4 0ARTICLEVBANKACCOUNTS,AUDITSANDFISCALYEARSection1.BankAccounts.TheAuthoritymayestablishinaccordwithallapplicablelaws,suchgeneralandspecialbankaccountsastheAuthoritydeemsappropriatewithsuchbanks,trustcompanies,orotherdepositoriesastheAuthoritymaydesignate.Depositsforpayments,checksordraftsonAuthorityaccountsintheamountof$2,500.00ormorerequirethesignaturesofboththeExecutiveDirectorandChairman.IftheExecutiveDirectororChairmanisunavailabletotheextentthattimelypaymentisnotpossible,theTownFinanceOfficerisauthorizedtoprovidethesecondsignature.AlldisbursementsoftheAuthorityshallbereviewedbytheBoardofCommissioners.Section2.Auditing.Aftertheendofeachfiscalyear,theAuthorityshallcausetheaccountsoftheAuthoritytobeauditedbyacertifiedpublicaccountant,andafullstatementoftheAuthority’sfinancesshallbedistributedtoeachCommissioneroftheAuthority,andbemadeavailabletowhomeverrequestsacopyofsame.Section3.FiscalYear.ThefiscalyearoftheAuthorityshallbethecalendaryear.ARTICLEVIMISCELLANEOUSSection1.Committees.TheChairmanmayappointmembersoftheAuthoritywithotherpersonstosuchcommitteesasdeemednecessarytoperformanyfunctionsforthepurposesofadvisingorprovidingotherservicestotheAuthority.Section2.Contracts.Contractswithpersons,firms,agencies,companies,theUnitedStates,andotherpublicentitiesshallbeauthorizedbywrittenresolutions,copiesofwhichresolutionsandcontractsshallbekeptwiththejournaloftheproceedingsoftheAuthority.Section3.ConflictofInterest.Nocommissioner,officer,oremployeeoftheAuthority(including,byillustrationonly,consultants,expertsandlegalcounsel),noranyimmediatememberofthefamilyofanysuchcommissioner,officer,oremployeeshallacquire,norshallanycommissioner,officerretainanyinterest,directorindirect,inanyprojectorinanypropertyincludedorplannedtobeincludedinanyproject,norshallhe/shehaveanyinterest,directorindirect,inanycontractorproposedcontractformaterialsorservicestobefurnishedorusedinconnectionwithanyproject.Ifanycommissioner,officeroremployeeoftheAuthorityownsorcontrolsaninterest,directorindirect,inanypropertyincludedorplannedtobeincludedinanyproject,he/sheshallimmediatelydisclosethesameinwritingtotheAuthorityandSecretaryofStateandsuchdisclosureshallbeenteredintheminutesatameetingoftheAuthority,Uponsuchdisclosure,suchcommissioner,officeroremployeeshallnotparticipate,voteorattempttoEstesParkUrbanRenewalBylaws—Page5 aCinfluencethedecisionofanycommissioner,officeroremployeeinanyactionbytheAuthorityaffectingthecarryingoutoftheproject,planning,ortheundertakingoftheprojectunlesstheAuthoritydeterminesthat,inconsiderationofsuchpersonalinterest,theparticipationofsuchmemberinanysuchactwouldnotbecontrarytothepublicinterest.Acquisitionorretentionofanysuchinterestorwiflfulfailuretodiscloseanysuchinterestshallconstitutemisconductinoffice.Commissioners,officers,consultants,experts,attorneys,representativesandemployeesoftheAuthorityshallalsobesubjecttotheCodeofEthics,Section24-18-101,etsea.,ColoradoRevisedStatutes,assuchprovisionsofsaidCodeapplytolocalgovernmentofficials.IntheeventofaconflictbetweentheprovisionsofthefirstparagraphhereinandtheCodeofEthics,theCodeshallprevail.Section4.GeneralPowersoftheAuthority.TheAuthorityshallhaveandmayexerciseallthepowersgrantedtoanurbanrenewalauthorityundertheColoradoUrbanRenewalLawandallotherapplicablelaws.Section5.CompensationofCommissioners.ACommissionershallreceiveuptoonedozendoughnutspermonthforhis/herservicesandshallbeentitledtonecessaryexpenses,includingtravelingexpenses,incurredinthedischargeofhis/herduties.EstesParkUrbanRenewalBylaws—Page6
