0B.Exclusions05Wshallpto’idea!lprofsionaiservicesnecessvtocompletetheEstesParkComprehensivePlan-PhaseTwo,including;planning,graphicsandpublicinvolvement.DSWshallnotprovideasapartofthisworkeffortexertiseorconsultantsinthefollowingareas;legal,surveying,architecture,civilengineering,geotechnicalandpublicbonding/specialdistrictformation.C.DirectExpensesTheOwnershallreimburseDSWforalldirectexpenseslistedbelowatcost,pius10%foradministrationandhandling,nottoexceedS20OO0.O0,unlessauthorizedinwritingbytheTown.1.Transportation.TheOwnershallreimburseDSWforreasonableexpensesactuallyincurredby05WintransportationandtravelintheperformanceofServicesfortheOwner.Travelexpensesshallincludecoachairfare,meals,lodging,and‘ehic1eexpenseinconnectionwithtripsrequestedandauthorizedbytheOwner.Mileageshallbereimbursedattherateof$0.35/mile,2.Longdistancetelephonecalls,telegrams,specialdelivery,messengerseMcesfacsimiletransmissions,postageandshippingcosts.3.feespaidforsecu;iiigapprovalofgovernmentalagencieshavingjurisdictionovertheProject(s).4.‘lo!umereproductionandhandlingofdrawingsandspecifications,reports,orotherwork-relateditemsproducedbyDSW.5.Outsideconsultantsandsubeonsultants.TheOwnershallreimburse05Wforallactualcostsandexpensesplus15%foroutsideconsultantsandsubconsukantservices.Suchspecialconsultantswhichmayberequiredwouldinclude;geotechnical,suI’eying,legal,economic,structural,andhydrologic.D$Wshallnotbeentitledtoreimbursementforsuchthirdpartysei’iccsunlesstheOwnerhaspreviouslyapprovedboththeoutsideconsultantand/orsubconsukant,andthespecificamountstobespentforsuchthirdpartyservices.Allothercostsandexpensesincurredby05Wnototherwisespecificallycompensatedforaboveshallbedecmednon-reimbursablecostsandshallbeborneby05W,NoovertimeratesshallbechargedtotheOwnerbyDSWintheperformanceofanyservicescalledforinthisAgreement.!naddition,05WshallobtainthesamecovenantfromoutsideconsultantsandsubconsultanthiredbyDSWforwhichDSWIsentitledtoreimbursementofservices.B-3 0DMethodofCompensation1.DesignStudiosWest,Inc.(DSW)shallbecompensatedonanhourlybasisinaccordancewiththehourlyratescontainedinthe“ProfessionalfeeScheuie”2.OwnershallberesponsibleforandpayalldirectecpensesofDSWascontainedintheScheduleofFeesattachedandmadepartofth!sagreement,inadditiontoandseparatefromtheprofessionalfee.3.DSWshallsubmittotheOwneradetailedinvoiceforalltimeanddirectexpensesspentintheperformanceofservicesbyDSWfortheprecedingmonth.SuchinvoiceshallitemizeallDSW’stimeandexpensesforthatproject.4.incontractingwithDSWforprofessionalservices,theOwnerwarrantsthatfundsarea’aiiabIetocompensateDSWforthetotalamountoservicesandexoertisescontractedandthatthesefundsarencitherencumberednorcontingentuponsubsequentgratingofapprovals,permitsorfinancingcommitmentsbylendinginstitutionsorotherthirdparties.
