CEXHIBITADISTRICTCOURT,LARIMERCOUNTY,COLORADOCaseNo.91-CV-978;Courtroom3SETTLEMENTAGREEMENTESTESPARKURBANRENEWALAUTHORITY,Plaintiff,vs.U.S.A.CONSTRUCTION,INC.,aColoradocorporation,andEMPLOYERSMUTUALCASUALTYCOMPANY,Defendants.THISAGREEMENTismadeandenteredintothis_____dayofDecember,1991,byandbetweenESTESPARKURflANRENEWALAUTHORITY,hereinafterreferredtoas“EPURA’1,U.S.A.CONSTRUCTION,INC.,hereinafterreferredtoas“USA,”andEMPLOYERSMUTUALCASUALTYCOMPANY,hereinafterreferredtoas“EmployersMutual,”WITNESSETHWHEREAS,USAwastheprimecontractoronaprojectinthetownofEstesPark,countyofLarimer,stateofColorado,identifiedasBIGTHOMPSONRIVERIMPROVEMENTSEASTCORRIDORPHASEONE,hereinafterreferredtoas“theProject”;WHEREAS,adisputehasarisenbetweenEPUMandUSAconcerningtheconstructionoftheProjectbyUSA;and.WHEREAS,tosettlethedisputesbetweentheparties,thepartiesenterintothisSETTLEMENTAGREEMENT.NOW,THEREFORE,inconsiderationoftheirmutualpromiseshereincontained,thepartiesagreeasfollows:1.ThepartiesagreethatthepreamblehereinabovesetforthshaJi.be,andthesameherebyis,incorporatedintoandmadeapartofthisAgreementbyreference.2.ThepartiesagreethatthepurposeofthisAgreementistocompromiseandsettleCivilActionNo.91-CV—768,Courtroom3,LarimerCountyDistrictCourt,StateofColorado.ThisAgreementdoesnotconstituteanadmissiononthepartofanypartyofguiltorliability. 3.USAshallpaytoEPURAFOURTEENTHOUSANDDOLLARS($14,000)attimeofexecutionofthisAgreementandfilingofthejointmotiontodismisstheabove—entitledaction,eachofthepartiestopaytheirownattorney’sfeesandcosts.4.EPURAhasmadeapplicationtotheRiskStudiesDivisionoftheFederalInsuranceAdministrationrequestingthataLetterofMapRevision(LOMR)beissuedtoreflecttheimpactoftheriverchannelimprovementsonthe100yearflood,InconjunctionwiththisapplicationEPURAhasrequestedthattheRiskStudiesDivisionoftheFederalInsuranceAdministration,andtheFEMAconsultantsundertakingthestudyinconjunctionwiththeLOMRapplication,utilizea“Manningroughnessco—efficient11of0,036forthe100yearflood.Ifa“Manningroughnessco-efficient”ofgreaterthan0.036isutilized,theriverchannel,intheareaoftheprojectasconstructed,wouldnotappeartoentirelycontainthe100yearflood.IntheeventthattheRiskStudiesDivisionoftheFederalInsuranceAdministrationandFEMAutilizea“Manningroughnessco-efficient”greaterthan0.036inconjunctionwiththeLOMRapplication,USAshall,atitssoleexpense,excavateandreconstructtheriverchannelinthevicinityofstationnumbers7+50and3+00toconformtotheoriginalcontractdocumentsfortheproject.Theexcavationandreconstructionatsaidstationswillbesuchthatthereisreasonablecontourandtransitionsurroundingsaidstations.Saidexcavationandreconstruction,ifrequired,shallbecarriedoutassoonasispracticalgivingconsiderationtotheflowoftheriver,USA,atitscostandexpense,shallprovideasuretybondissuedbyEmployersMutualCasualtyCompanytoguaranteeitsperformanceasprovidedinthisparagraph.Thebond,orthecommitmentforthebond,shaJ.lbeprovideduponfilingofthemotiontodismissthisaction.Thetermofthebondshallbetwo(2)yearswithapenalsumnottoexceedTwentyThousandDollars($20,000).EPUKshallusereasonableeffortswithrespecttoitsrequestthata“Manningroughnessco-efficient”of0.036beutilizedinconjunctionwiththeLOMRapplication.EPtJRP.shallnot,however,initiatdisclosureofthetermsofthisAgreementtoanyregulatoryauthorityinvolvedintheLOMRprocess.5.EPURA,foritself,itssuccessors,predecessors,assigns,officers,directors,agents,andemployees,andeach.ofthem,andanyindividualorentityclaimingbyorthrougheitherofthem,doesherebyreleaseandforeverdischargeDefendants,theirsuccessors,predecessors,assigns,subsidiaries,affiliates,agents,attorneys,andemployees,andeachofthem,ofandfromanyandallclaims,demands,damages,liabilities,actions,orcausesofactionofwhateverkindornature,includingthoseforindemnityorcontribution,nowknownorwhichshouldhavebeenknownwithduediligence,arisingoutofanyandallactionsandomissionsofDefendants,theirsuccessors,predecessors,assigns,subsidiaries,agents,andemployees,and‘eachofthem,relatinginanywaytothisaction,2 totheProject,tothecontractbetweenEPURAandUSAregardingtheProjectand/oranyandalltransactionsoroccurrencesconnectedtherewith.6.Defendants,forthemselves,theirsuccessors,predecessors,assigns,subsidiaries,agents,andemployees,andeachofthem,andanyotherindividualorentityclaimingbyorthroughthem,doesherebyreleaseandforeverdischargeEPUPA,itssuccessors,predecessors,assigns,officers,directors,agents,attorneys,andemployees,andeachofthem,ofandfromanyandallclaims,demands,damages,liabilities,actions,orcausesofactionofwhateverkindornature,includingthoseforindemnityorcontribution,nowknownorshouldhavebeenknownwithduediligence;arisingoutofanyandallactionsandomissionsofDefendants,theirsuccessors,predecessors,assigns,subsidiaries,agents,andemployees,andeachofthem,relatinginanywaytothisaction,totheProject,tothecontractbetweenUSAandEPURAregardingtheProjectand/oranyandalltransactionsoroccurrencesconnectedtherewith.7.ThepartiesagreethatparagraphsSand6shallnotreleasethemoftheirexecutorypromiseshereincontained.8.ThisAgreementisintendedbythepartiestobeacompleteandfinalexpressionofthetermsoftheiragreementwhichmaynotheexplained,supplemented,orcontradictedbyevidenceofanyadditionalterm,prioragreement,orcontemporaneousoralagreement.Thisagreementmaynothealteredormodifiedexceptbywritteninstrumentexecutedbyallthepartieshereto.9.ThisAgreementisgovernedbythelawsofthestateofColoradoandtheUnitedStatesofAmerica.10.ThisAgreementmaybeexecutedinoneormerecounterparts,eachofwhichisanoriginal.11,ThepartiesshalltiletheirJointMotiontoDismissthisactionwithprejudice,witheachpartytopayitsowncostsandattorney’sfees.12.EachofthepartiestothisAgreementrepresentsthat,beforeexecutingthisAgreement,theyhavereadtheforegoingAgreement,knowthecontentsthereof,havebeenadvisedbytheirattorneysregardingthemattersrelativetothisAgreement,includingtherespectiverightsandobligationsofthepartiesunderthisAgreement,andthateachoftheundersignedcovenantsandrepresentsthatheorshehasthepowerandauthoritytoexecutethisAgreementonbehalfoftheperson,persons,orentityforwhomheorsheissigning.3
