78cøRESOLUTION78(Series1987)ARESOLUTIONOFTHEESTESPARKURBANRENEWALAUTHORITYAPPROVINGALEASEAGREEMENTFORMATFORTHELEASINGOFSPACEINTHEFORMERBOYDPROPERTYANDAUTHORIZINGNEGOTIATIONSWITHTENANTSWHEREAS,theEstesParkUrbanRenewalAuthorityhasobtainedpossessionandtitletotheformerBoydPropertylocatedatEastRiversideDriveandEastElkhornAvenueindowntownEstesPark;andWHEREAS,theAuthorityiscontinuingnegotiationswiththeDarkHorsePartnershipinanattempttoreachanagreementforthedevelopmentofthisproperty;andWHEREAS,itisfeasibletoleaseaportionofthesepremisestomerchantsduringthetouristseasonof1987priortoredevelopmentoftheproperty.NOW,THEREFORE,BEITRESOLVEDBYTHEBOARDOFCOMMISSIONERSOFTHEESTESPARKURBANRENEWALAUTHORITYTHAT:1.TheproposedleaseagreementforthetemporaryleasingofportionsofthepropertyownedbyEPURAandlocatedatEastElkhornAvenueisherebyapprovedintheformsimilartothecopyofsuchproposedagreementattachedtothisResolution.2.TheExecutiveDirectorisherebyauthorizedtonegotiatethespecifictermsofleasingportionsofthepropertytomerchants,pursuanttosaidagreement;subject,however,tofinalapprovalofsuchagreementbytheExecutiveCommitteeofthisBoard.ADOPTEDthis7thdayofMay,1987.o&I/1CharlesH.Phares,ChairmanATTEST:ArthuL.Andrson,Secretary 00LEASEAGREEMENTTHISLEASEAGREEMENTshallbeeffectivethis____dayof____________19_,betweentheESTESPARKURBANRENEWALAUTHORITY,P.O.Box1200,EstesPark,CO80517(hereinafter“Authority”),and_________________________________________________(hereinafter“Tenant”).AuthorityleasestoTenantthePremiseslocatedat___________________________________(hereinafter“Premises”)ThisAgreementismadebetweenthepartiespursuanttotheacquisitionofthePremisesbytheAuthorityunderitspowerofeminentdomain.TheAuthorityisacquiringthePremisesforthepurposeofredevelopingsameinaccordancewiththeEstesParkDowntownRedevelopmentPlan,andpursuanttoaDispositionandDevelopmentAgreementtobenegotiatedbytheAuthorityandthedeveloperofthePremises.AuthorityentersintothisLeasewiththeTenanttoprovidetheTenantwithatemporaryfacilitytooperateabusinessindowntownEstesPark.Inconsiderationthereof,theTenantherebywaivesanyright,titleorinteresthe/shemayhaveinthePremises,exceptasprovidedinthisLease.1.Term.ThetermofthisLeaseshallliefrom_____________________________to___________________________________.ThisLeasemaybeextendedforanyperiodoftimeatthesolediscretionoftheAuthority.2.RentPayments.TherentforthePremisesis___________________________permonth.TheTenantshallpaysuchrentonthefirstdayofeachmonth,commencing_______RentshallbepaidormailedtotheAuthorityat____________________________ThemonthlyrentshallbeproratedasapplicabletothedateofoccupancybytheTenant.3.LateRentCharge.AnypaymentswhicharenotdeliveredtotheAuthorityasstatedhereinshallbeassesseda$15.00perdaylatefee,commencingthefifthdayofthemonth,whichmaybeimmediatelypayableasrent.ThischargeshallalsobeassessedagainstpaymentsmadewithchecksnothonoredbytheTenant’sbank.4.Termination.ThisLeaseshallterminateon______________________________unlesssoonerterminatedasprovidedherein.UpontheterminationorexpirationofthisLease,TenantherebycovenantsandagreestosurrenderanddeliverthePremisespeaceablytoAuthorityimmediatelyuponsaidterminationorexpiration.IfTenantremainsinpossessionofthePremisesaftertheterminationorexpirationofthisLeasewithoutconsentoftheAuthority,theTenantshallbedeemedguiltyofaforcibledetainerforthePremisesunderColoradolaw,andshallbesubjecttoevictionandremoval,forciblyorotherwise,withorwithoutprocessoflaw.IntheeventAuthoritymustevictand/or 00removeTenantbylegalprocess,Tenantshallpayallcostsandexpenses,includingattorney’sfees,incurredbytheAuthorityasaresultofsuchevictionorremoval.5.Utilities.Gasandelectricity,waterandsewerservice,andallotherutilitiesshallbeplacedinthenameoftheTenantandshallbepaidbyTenant.6.ConditionofPremises.TenantacknowledgesthatthePremisesarecleanandingoodconditionandorderatthecommencementofoccupancyandagreestokeepallimprovements,interiorandexterior,onthePremisesingoodrepairattheexpenseoftheTenant.TenantfurtheragreesthatattheexpirationofthisLeaseitshallsurrenderanddeliverthePremisesinasgoodorderandconditionaswhenthesamewereenteredbytheTenant,lossordamagebyfire,unavoidableaccidentorordinarywearexcepted;tousethePremisesfornopurposeprohibitedbythelawsoftheUnitedStates,theStateofColoradoorthecodes,rules,regulationsorordinancesoftheTownofEstesParkandtheCountyofLarimer;tokeepthePremisesfreefromalllitter,dirt,debris,snow,andobstructions;toneitherpermitnorsufferthePremises,northewallsorfloorsthereof,tobeendangeredbyoverloading,northePremisestobeusedforanypurposewhichwouldrendertheinsurancethereonvoid,nortomakeanymajororsubstantialalterationorchangesin,upon,oraboutthePremiseswithoutfirstobtainingwrittenconsentfromtheAuthoritytherefor;toallowtheAuthorityoritsagentsorrepresentativesatanyreasonablehourofanybusinessdaytoenterandgothroughandviewthePremises;andtooccupythePremisesforlawfulusesonly.7.MaintenanceofPremises.Tenantcovenantsandagreesthatitshall,exceptincaseofunavoidableaccident,properlymaintainthebuildinglocatedonthePremises,includingbyillustrationonlyutilitylines,sidewalks,driveways,parkinglots,otherpublicareas,andtomaintaintheappearanceoftheexteriorwalls,andfurnishheat,water,electriclight,andelectricitytothePremisesduringthetermofthisLeaseandshallpromptly,atitsexpense,provideallnecessarymaintenanceandmakeallnecessaryrepairsintheeventanyoftheforegoingservicesaremalfunctioning.TheTenantshallpayforallsuchutilitiesservicesusedbytheTenantandforallothermaintenancewithinthePremises.NothinghereinshallgiveTenanttheobligationtomaintainthestructuralpartsofthePremises,suchasthefoundation,exteriorwallsandroof.TheAuthoritycovenantsandagreesthat,duringthetermofthisLease,itshalltakenoactorpermitanyacttobetakenwhichdispossessesTenantofthePremisesordeniesreasonableaccessofthepublictothebusinessoperationsoftheTenantorwhichdeprivesTenantfromreceivingeffectiveutilityservicestotheleasedPremises.2 G8.Liability.TheTenantshallholdtheAuthorityharmlessfromallliabilityarisingfromanyinjuryordamagesustainedbyanyperson,orthepropertyofanyperson,byreasonofanyuseofthePremisesbyTenant,includingallcostsandattorneyfeesincurredbyAuthority.TheTenantshallmaintaininsuranceinsuringtheAuthorityfromallliabilityarisingfromanyinjuryordamagesustainedbyanyperson,orthepropertyofanyperson,byreasonofanyuseofthePremises,whichinsuranceshallbecarriedbycompaniesofadequatefinancialresponsibilityandshallbeinsuchformthatthelimitofliabilitythereunderforallinjuryanddamage,inthecaseofinjuryanddamagetoonepersoninoneaccidentshallbenotlessthan$150,000.00;thelimitofliabilityinthecaseofinjuryanddamagetotwoormorepersonsinoneaccidentshallbenotlessthan$400,000.00;andthelimitofliabilityinthecaseofinjurytopropertyorpropertydamageshallbenotlessthan$.TheAuthorityshallbenamedasanadditionalinsuredonanysuchinsurancepolicy,andacertificateevidencingtheexistenceofsaidinsurance,andanyrenewalcertificatesasrenewalsshalloccur,shallbedeliveredtoAuthority,uponfullexecutionofthisAgreementbytheparties.Suchpoliciesshallprovidethatthesameshallnotbecancelledoralteredexceptupon30dayspriorwrittennoticetotheAuthority.TheTenantisnotobligatedtocarryfireorpropertydamageinsuranceontheimprovementsorcontentsofthePremises.However,iffireorpropertydamageoccursduringTenant’spossession,thisleaseshallterminateandTenantshallhavenofurtherinterestinthePremises.TenantshallberesponsibleforandshallclearfromthePremises,withinareasonabletime,thedebrisresultingtherefrom.9.Repairs,AlterationsandAdditions.Allrepairs,alterationsoradditionstotheinteriorofthePremisesmadeduringthetermofthisLeaseshallbemadeatthesoleexpenseoftheTenantandallsuchrepairs,alterationsoradditionsshall,attheexpirationofthetermofthisLease,beandbecomethepropertyoftheAuthority.TheAuthorityshallnotbeunderanyobligationtoreimbursetheTenantforanysumsofmoneysoexpendedinmakingrepairs,alterations,oradditionstosaidinterior.Norepairs,alterationsoradditionstothePremisesshallbemadebytheTenantwithouthavingfirstreceivedthewrittenpermissionoftheAuthoritytothemakingofsuchrepairs,alterationsoradditions.10.BreachorDefault.Itisexpresslyunderstoodandagreedbetweenthepartiesthatiftherentduehereunder,oranypartthereof,shallbeinarrears,orifdefaultshallbemadeinanyofthecovenantsoragreementshereincontained,itshallandmaybelawfulforAuthoritytodeclaresaidtermended;andAuthoritymayenterthePremises,oranypartthereof,andremoveand/orevictTenantasprovidedherein.Noassent,expressedor3 0implied,toanybreachofanyoneormoreofthecovenantsoragreementshereofshallbedeemedortakentobeawaiverofanysucceedingorotherbreach.TenantshallpayandindemnifytheAuthorityagainstalllegalcostsandcharges,includingreasonableattorney’sfeesinobtainingpossessionoftheleasedPremisesafteradefaultbytheTenantinthepaymentofrent,oradditionalrent,orinperforminganyotherdutyorcovenanthereincontained,oraftertheTenant’sdefaultinsurrenderingpossessionuponexpirationorearlierterminationofthetermofthisLease.11.OwnershipofProperty.Tenantshallbepermittedtoremoveanytradefixtures,equipmentandotherpersonalpropertyownedbyTenantlocatedwithinthePremises,exceptTenantshallnotremovetheitemswhichareownedbytheAuthority.AnysuchpropertynotremovedbythedateoftheterminationofthisleaseshallbedeemedpartofthePremisesandownedbytheAuthority.12.Notice.NoticemaybeeffectedtoeitherpartybypersonalserviceofsuchnoticeorbydepositingsuchnoticeintheU.S.mailwithpostagefullyprepaid,bycertifiedmail,returnreceiptrequested,toeachpartyattheaddressfirstabovelisted.13.Enforceability.Whenfullyexecutedbytheparties,thisAgreementshallbespecificallyenforceablebyanycourtofcompetentjurisdiction,andthenon-defaultingpartyshallbeentitledtocostsandreasonableexpertandattorneyfeesfromthedefaultingpartyforitsfailuretoperformhereunder.14.MiscellaneousProvisions.A.ThisLeaseconstitutestheentireagreementbetweentheparties.B.Tenantwaivesanyright,titleorinterestitmayhaveinthePremisespertainingtotheAuthority,exceptasprovidedbythetermsofthisAgreementonly.ThiswaivershallnotapplytoanysuchrighttheTenantmayhaveinthePremisesagainsttheformerowners,EdwardandGeraldineBoyd.C.AllcovenantsandagreementsinthisLeaseshallextendtoandbebindingupon,theheirs,executors,successors,legalrepresentatives,andassignsoftherespectivepartieshereto.D.ThisLeaseisnotassignablebyTenant,andtheTenantshallnotsubleasethePremises.E.ThisLeaseismadebyandbetweenthepartiesheretowiththeexpressunderstandingandagreementthatitistoprovidetheTenantwithatemporarybusinessfacility,andnota4 00propertyrightbyTenantinthePremises.IntheeventtheTenantbecomeinsolventorisdeclaredbankrupt,then,ineitherevent,theAuthoritymaydeclarethisLeaseterminated,andallrightstoTenanthereundershallthereuponterminateandcease.F.ThisAgreementshallbegovernedbythelawsofColorado.VenueofanydisputeregardingthisAgreementshallbeinLarimerCounty,Colorado.G.ThisAgreementmaybeamendedonlybyadocumentexecutedbyallparties.BEINGINAGREEMENTTOTHESETERMS,theAuthorityandTenanthaveexecutedthisAgreementthis_____dayof________________19Tenant:Authority:ESTESPARKURBANRENEWALAUTHORITYBy:________ChairmanATTEST:Secretary5
