00ESTESPARKURBANRENEWALAUTHORITYPROFESSIONALSERVICESAGREEMENTWITHTHOMASF.KRISTOPEITTHISAGREEMENTeffectivethis5thdayofDecember,1984,byandbetweentheESTESPARKURBANRENEWALAUTHORITY,aColoradoUrbanRenewalAuthority,hereinafterreferredtoasthe“Authority”,andTHOMASE.KRISTOPEIT,hereinafterreferredtoas“Negotiator”.INCONSIDERATIONofthemutualcovenantsandobligationshereinexpressed,itisagreedbyandbetweenthepartiesheretoasfollows:1.ScopeofService.NegotiatoragreestoprovideservicestoassisttheAuthority,pursuanttoexpresswrittendirection,asdescribedintheletterofDecember5,1984,attachedheretoasAppendixAandincorporatedherein.Negotiator’sresumeisalsoattachedheretoandincorporatedherein.NegotiatorshallnotproceedwithanyoftheservicesoranyotherservicesonbehalfoftheAuthoritywithoutdirectionfromtheExecutiveDirectoroftheAuthority.2.WorkSchedule.NegotiatorshallbereimbursedforhisservicesattheratescontainedinsaidAppendixA.Nochargesshallbemadeotherthanlongdistancetelephonecostsandexpensesoftravelat$.205permile.NegotiatorshallprovidetheAuthoritywithanitemizedbillingofhisservicesforeachphaseofservicesperformedbyNegotiatorwhichsuchbillingsshallbeprovidedatleastmonthly.3.Responsibility.Negotiatorshallberesponsibleforthehighestprofessionalquality,workmanship,technicalaccuracy,timelycompletionandthecoordinationofallworkproducts,reports,expertorprofessionaladvice,andallotherservicesrenderedbyNegotiator.Negotiatorshallindemnify,saveandholdharmlesstheAuthority,inaccordancewithColoradolaw,fromalldamageswhatsoevertotheAuthority,orclaimedbythirdpartiesagainsttheAuthority,arisingdirectlyorindirectlyoutofNegotiator’snegligentperformanceofanyoftheservicesfurnishedunderthisAgreement.4.TimeSchedule.Negotiator’scompleteservicesasprovidedforunderthisAgreementshallbeprovidedtotheAuthorityasdirectedbytheAuthority.5.Compensation.Inconsiderationoftheservicestobe,_—erformedpursuanttothisAgreement,theAuthorityagreestopay/%TNegotiatorFiftyand00/100Do11ars($50.OO)perhour.CompensationshallbeinaccordancewithactualprofessionalservicesrenderedatNegotiator’sstandardratesstatedinparagraph2above.MonthlypaymentsbaseduponNegotiator’sbillingsanditemizedstatementsshallbemadebytheAuthority.TheNegoti— 0atorshallprovideallsupportingdata,invoices,receipts,anddocumentstosubstantiatehisrequestsforpayments.TheNegotiatorshallalsoprovideanyotherdocuments,dataorinformationrequestedbytheAuthorityrelatingtorequestsforpayments,servicesperformed,orservicesinprogress.FinalpaymentshallbemadefollowingacceptanceoftheworkbytheAuthority,subjecttolegalretentionsforunresolvedclaims.Uponfinalpayment,allplans,reports,writtenopinionsoradvisorystatements,workproductsofanynature,specifications,drawingsandotherservicesrenderedbyNegotiatorshallbecomethesolepropertyoftheAuthorityandtransferredtotheAuthority.6.AuthorityRepresentative.TheAuthorityherebydesignates,ArthurAnderson,ExecutiveDirector,asitsprojectrepresentativewhoshallmakeorproperlydesignatewithinthescopeofhisauthorityallnecessaryandproperdecisionswithreferencetotheproject.Allrequestsforcontractinterpretations,changeorders,andotherclarificationorinstructionsshallbedirectedtotheAuthorityRepresentativeorhisdesignee,whichdecisionshallfinallybemadebysuchperson.7.MonthlyReport.Commencingthirty(30)daysafterinitialdirectionsarepresentedtoNegotiatorfromtheAuthority,andeverythirty(30)daysthereafter,NegotiatorshallprovidetheAuthoritywithastatusreportoftheservicesperformedhereunder.8.IndependentContractor.TheservicestobeperformedbyNegotiatorarethoseofanindependentcontractorandnotasanagent,representative,officer,oremployeeoftheAuthority.9.PersonalServices.ItisunderstoodthattheAuthorityenteredintothisAgreementbasedonandinconsiderationofthespecialabilitiesofNegotiator,andthatthisAgreementshallbeconsideredasanagreementforpersonalservices.Accordingly,NegotiatorshallneitherassignanyresponsiblitiesnordelegateanydutiesarisingunderthisAgreementwithoutthepriorconsentoftheAuthority.NegotiatorshalldevotefullattentionandhisbestprofessionalefforttotheAuthoritywhenperformingservicesasprovidedherein.10.Default.EachandeverytermandconditionhereofshallbedeemedtobeamaterialelementoftheAgreement.IntheeventeitherpartyshouldfailorrefusetoperformaccordingtothetermsofthisAgreement,suchpartymaybedeclaredindefaultthereof.11.ConflictsofInterest.Negotiatordoesnotandshallnothaveanypersonalinterest,association,orfinancialinterest,directlyorindirectly,inanyrealorpersonalpropertyintheredevelopmentarea,orwithanydeveloper,consultant,agent,associate,employeeorrepresentativeoftheAuthorityoranyre——2— 0developmentproject.Negotiatorshall,atanytimetheremaybeorisaconflictofinterestbetweenhisservicesprovidedtotheAuthorityandprofessionalservicesheprovidestootherpersonsorentities,immediatelysoinformtheAuthorityinwriting.AuthorityacknowledgesthatNegotiatorisemployedwithothergovernmentalandprivateentities.NegotiatorrepresentsthatthereisnoconflictofinterestbetweenhisservicestotheAuthorityandanyofhisotherprofessionalservicesprovidedtootherpersonsorentities.12.Negotiator’sWorkProduct.TheworkproductsofNegotiatorshallbethepropertyoftheAuthority.Allmaterials,letters,reports,plans,studiesandotherdocumentspreparedbyNegotiatororcausedtobepreparedbyhimshallbegiventoAuthorityuponitsrequestoruponterminationorcompletionofthisAgreement.13.Termination.ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty.Upontheeffectivedateofthetermination,allmaterials,reports,plans,studiesandotherdocumentspreparedbyNegotiatorshallbegiventoAuthoritybyNegotiator,andAuthorityshallpayNegotiatorhisfeetothedateoftermination.14.Remedies.Intheeventapartyhasbeendeclaredindefaulthereof,suchdefaultingpartyshallbeallowedaperiodoften(10)dayswithinwhichtocuresaiddefault.Intheeventthedefaultremainsuncorrected,thepartydeclaringthedefaultmayelectto,inaccordancewithparagraph15below,(a)terminatetheAgreementandseekdamages;fb)treattheAgreementascontinuingandrequirespecificperformance;or(c)availitselfofanyotherremedyatlaworequity.Intheeventofdefaultofanyoftheagreementshereinbyeitherpartywhichshallrequirethepartynotindefaulttocommencelegalorequitableactionsagainstthedefaultingparty,thedefaultingpartyshallbeliabletothenon—defaultingpartyforthenon—defaultingparty’sreasonableattorneyfeesandcostsincurredbecauseofthedefault.15.Arbitration.AnycontroversyorclaimarisingoutoforrelatingtoanyprovisionofthisAgreementorthebreachthereof,shallbefinallydeterminedbyarbitrationinaccordancewiththerulesandproceduresthenineffectoftheAmericanArbitrationAssociation,totheextentconsistentwiththelawsoftheStateofColorado.Suchproceduresshallbesubjecttotheremedies,damagesandcostsspecifiedinparagraph14above.Itisagreedthatanypartytoanyawardrenderedinanysucharbitrationproceedingsmayseekajudgmentupontheawardandthatjudgmentmaybeenteredthereonbyanycourthavingjurisdiction.16.Severability.Itisagreedthattheinvalidityorunenforceabilityofanysection,paragraphorprovisionofthis—3—
