CraRESOLUTIONNO.30(Series7985)RESOLUTIONOFTHEESTESPARKURBANRENEWALAUTHORITYAPPROVINGACONTRACTWITHBASILS.KATSAROSFORAPPRAISALSOFREALPROPERTYWITHINTHETNOFESTESPARKBEITRESOLVEDBYTHEBOARDOFCOMMISSIONERSOFTHEESTESPARKURBANRENEWALAUTHORITYTHAT:TheAuthorityherebyapprovesacontractforappraisalserviceswithBasilS.Katsarosinsubstantiallythesameformasacopyofthedraftthereofattachedhereto.ADOPTEDthis6thdayofFebruary,1985.n\Cba1rman 00ESTESPARKURBANRENEWALAUTHORITYPROFESSIONALSERVICESAGREEMENTWITHBASILS.KATSAROSTHISAGREEMENTeffectivethis31stdayofJanuary,1935,byandbetweentheESTESPARKURBANRENEWALAUTHORITY,aColoradoUrbanRenewalAuthority,hereinafterreferredtoasthe“Authority”,andBASILS.KATSAROS,hereinafterreferredtoas“Appraiser”.INCONSIDERATIONofthemutualcovenantsandobligationshereinexpressed,itisagreedbyandbetweenthepartiesheretoasfollows:1.ScopeofService.AppraiseragreestoprovideappraisalservicesofvariousparcelsofpropertywithinEstesPark,Colorado.TheAuthorityshallidentifytheparcelstobeappraised,andappraisershalldefineafeeforappraisalofeachparcel.TheAuthority,byitsExecutiveDirector,andAppraisershallexecuteanexhibitinthesameformasthatattachedheretoasExhibitAforeachparcelofpropertytobeappraised.Eachexecutedpageoftheexhibitshallbeincorporatedhereinuponexecutionbybothparties.2.Compensation.Appraisershallbereimbursedforhisservicesattheratecontainedintheexhibitformapplicabletotheparcel.NochargesshallbemadeotherthanlongdistancetelephonecostsandexpensesoftravelbeyondtheDenverMetropolitanArea.ThelatterexpensesshallbeincurredonlywithapprovaloftheAuthority.AppraisershallprovidetheAuthoritywithanitemizedbillingofhisservicesforeachphaseofservicesperformed.TheAppraisershallprovideallsupportingdata,invoices,receipts,anddocumentstosubstantiatehisrequestsforpayments.TheAppraisershallalsoprovideanyotherdocuments,dataorinformationrequestedbytheAuthorityrelatingtorequestsforpayments,servicesperformed,orservicesinprogress.FinalpaymentforeachparcelshallbemadefollowingacceptanceoftheworkbytheAuthority,subjecttolegalretentionsforunresolvedclaims.Uponfinalpayment,alldata,reports,writtenopinionsoradvisorystatements,workproductsofanynature,andotherservicesrenderedbyAppraisershallbecomethesolepropertyoftheAuthorityandtransferredtotheAuthority.3.Responsibility.Appraisershallberesponsibleforthehighestprofessionalquality,workmanship,technicalaccuracy,timelycompletionandthecoordinationofallreports,data,expertorprofessionaladvice,andallotherservicesrenderedbyAppraiser.Appraisershallindemnify,saveandholdharmlesstheAuthority,inaccordancewithColoradolaw,fromalldamageswhatsoevertotheAuthority,orclaimedbythirdpartiesagainsttheAuthority,arisingdirectlyorindirectlyoutofAppraiser’snegligentperformanceofanyoftheservicesfurnishedunderthisAgreement. CC4.TimeSchedule.Appraiser’scompleteservicesasprovidedforunderthisAgreementshallbeprovidedtotheAuthorityasdirectedbytheAuthorityandstatedintheapplicableexhibit.5.AuthorityRepresentative.TheAuthorityherebydesignatesArthurAnderson,ExecutiveDirector,asitsprojectrepresentativewhoshallmakeorproperlydesignatewithinthescopeofhisauthorityallnecessaryandproperdecisionswithreferencetotheproject.Allrequestsforcontractinterpretations,changeorders,andotherclarificationorinstructionsshallbedirectedtotheAuthorityRepresentativeorhisdesignee,whichdecisionshallfinallybemadebysuchperson.6.IndependentContractor.TheservicestobeperformedbyAppraiserarethoseofanindependentcontractorandnotasanagent,representative,officer,oremployeeoftheAuthority.7.PersonalServices.ItisunderstoodthattheAuthorityenteredintothisAgreementbasedonandinconsiderationofthespecialabilitiesofAppraiser,andthatthisAgreementshallbeconsideredasanagreementforpersonalservices.Accordingly,AppraisershallneitherassignanyresponsiblitiesnordelegateanydutiesarisingunderthisAgreementwithoutthepriorconsentoftheAuthority.8.Default.EachandeverytermandconditionhereofshallbedeemedtobeamaterialelementoftheAgreement.IntheeventeitherpartyshouldfailorrefusetoperformaccordingtothetermsofthisAgreement,suchpartymaybedeclaredindefaultthereof.9.Notices.Nonoticehereundershallbesufficienttoaffectanyrights,remediesorobligationsofanypartyheretounlesssuchnoticeisinwritinganddeliveredtothepersonorperSonswhoserights,remediesorobligationsaresoughttobeaffected,exceptthatanysuchwrittennoticewhichismailedbyprepaidU.S.certifiedmail,returnreceiptrequested,addressedtotherespectiveandappropriatepartyasfollows(ortosuchotheraddressaseitherpartyshalldesignatetotheotherinwriting)andshallbedeemedsosufficientuponsuchmailing:Withrespectto:AddressAuthorityArthurAnderson,ExecutiveDirectorEstesParkUrbanRenewalAuthorityP.O.Box7200EstesPark,CO80517AppraiserBasilS.Katsaros650GrantStreetDenver,CO80203—2— Cl010.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartiesandeachpartyrepresentstotheotherpatythatnootheragreements,promises,representations,orwarrantiesexceptthoseexpresslysetforthhereinhavebeenmadetotheotherparty,andthatnoamendmentormodificationofthisAgreementmaybemadeexceptinwriting,signedbybothparties.11.Remedies.Intheeventapartyhasbeendeclaredindefaulthereof,suchdefaultingpartyshallbeallowedaperiodoften(10)dayswithinwhichtocuresaiddefault.Intheeventthedefaultremainsuncorrected,thepartydeclaringthedefaultmayelectto,inaccordancewithparagraph12below,(a)terminatetheAgreementandseekdamages;(b)treattheAqreementascontinuingandrequirespecificperformance;orfc)availitselfofanyotherremedyatlaworequity.Intheeventofdefaultofanyoftheagreementshereinbyeitherpartywhichshallrequirethepartynotindefaulttocommencelegalorequitableactionsagainstthedefaultingparty,thedefaultingpartyshallbeliabletothenon—defaultingpartyforthenon—defaultingparty’sreasonableattorneyfeesandcostsincurredbecauseofthedefault.12.Arbitration.AnycontroversyorclaimarisingoutoforrelatingtoanyprovisionofthisAgreementorthebreachthereof,shallbefinallydeterminedbyarbitrationinaccordancewiththerulesandproceduresthenineffectoftheAmericanArbitrationAssociation,totheextentconsistentwiththelawsoftheStateofColorado.Suchproceduresshallbesubjecttotheremedies,damagesandcostsspecifiedinparagraph11above.Itisagreedthatanypartytoanyawardrenderedinanysucharbitrationproceedingsmayseekajudgmentupontheawardandthatjudgmentmaybeenteredthereonbyanycourthavingjurisdiction.13.Severability.Itisagreedthattheinvalidityorunenforceabilityofanysection,paragraphorprovisionofthisAgreementshallnotaffectthevalidityorenforceabilityofanyoneormoreoftheothersections,paragraphsorprovisions;andthatthepartiesheretoshallexecuteanyotherinstrumentsorperformanyactswhichareormaybenecessarytoeffectuateallandeachofthetermsandprovisionsofthisAgreement.ESTESPARKURBANRENEWALAPPRAISER:AUTHORITY:BasilS.KatsorosI//fsByChairman
