RESOLUTION OF THE ESTES PARK URBAN RENEWAL AUTHORITY
APPROVING AN AGREEMENT BE’IWEEN THE AUTHORITY AND NCE,INC.
FOR THE STREETSCAPE PROJECT
BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE
ESTES PARK URBAN RENEWAL AUTHORITY THAT:
The greement between the Authority and NCE,Inc.for
the Streetscape Project attached hereto and made part hereof is
approved.

00February27,1984RobertB.NicholsonNCE,Inc.2897ValmontRoadBoulder,Colorado80301Re:EstesParkUrbanRenewalStreetscapeProject.DearMr.NicholsonThisdocumentistheagreementbetweentheEstesParkUrbanRenewalAuthorityandNCE,Inc.regardingtheabove—captionedproject:1.ThepartiesintendtoenterintoasubsequentagreementregardingconstructionofStreetscapeimprovementsindowntownEstesParkandpaymentforcostoftheworkplusafeewithaguaranteedmaximumprice.Allcontractdocumentshavenotbeencompleted,andthetermsofthecontracthavenotbeenfinallyagreedupon.Therefore,afinalagreementcannotbeexecutedatthisdate.2.Inordertocommenceconstructionoftheprojectimmediatelytomeetstringenttimerequirements,itisnecessarytoenterintothisagreement.3.NCEisengagedbyEPURAtomanagetheconstructionoftheproject.ThearchitectisDesignStudiosWest.4.Eitherpartymayunilaterallyterminatethisagreementifamutuallysatisfactorycontractformanagementoftheconstructionoftheprojectisnotexecutedonorbefore,1984,exceptthatEPURAshallbeliableforandpaycostsandfeeasprovidedinparagraph71below,incurredpriortosuchdate.5.NCEshallperforminasubstantialandworkmanlikemannerallservicesnecessaryforconstructionoftheprojectinaccordancewithalloftheavailableconstructiondocuments,includedhereinbyreferencebutwithoutlimitation,specifications,architecturaldesignsanddrawings,theprojectbudget,andgeneralconditionsoftheTownofEstesPark.6.AllworkistobedonetothesatisfactionoftheEPURAandtheTown.7.NCEshallcomplywithallapplicablefederal,state,townorothergovernmentallaws,rules,standards,requirements
0orregulations.8.Timeisoftheessenceinallrespectsregardingthisagreementandtheproject.Therefore,NCEshallcommenceandcarryoutconstructionoftheprojectwithallduediligence.9.Supplementaltotheprovisionsofparaqraph5above,NCEshallcomplywiththerequirementsofparagraphs11and12(p.p.7&8)oftheGeneralConditionsoftheTownofEstesParkregardinginsurance,whicharespecificallyincludedhereinbyreference.10.Supplementaltotheprovisionsofparagraph5above,paragraph41(p.13)ofsaidGeneralConditionsregardingindemnificationofEPURAbyNCEisalsospecificallyincludedhereinbyreference.11.Supplementaltotheprovisionsofparagraph5above,NCEshallcomplywiththerequirementsofparagraph44(p.14)ofsaidGeneralConditionsregardingcontractsecurityandperformancebond.12.NCEshallbepaidforallcostsincurredinaccordancewiththeprovisionsofArticle8ofthepreliminarycopyoftheStandardFormofAgreementBetweenOwnerandContractor,AlADocumentAlil,attachedtoaletterdatedJanuary17,1984toJamesA.WindholzfromBobNicholson,PresidentofNCE,whichletterandsaidArticle8areincorporatedhereinbyreference.Inadditiontosuchcosts,NCEshallbepaidafeeof%.SaidfeeshallbeappliedagainstanyfeepayabletoNCEunderthesubsequentagreementandincludedwithinthemaximumguaranteedpriceundersaidagreement.Saidcostsshallalsobeincludedwithinthemaximumguaranteedpriceunderthesubsequentagreement.ExecutedbythepartieseffectiveFebruary27,1984.EstesParkUrbanRenewalNCE,INC.By:(cBY:/‘Attest_______________________Attest:________________________SecretarySecetay—2—
