FOR THE STREETSCAPE PROJECT BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE ESTES PARK URBAN RENEWAL AUTHORITY THAT: The greement between the Authority and NCE,Inc.for the Streetscape Project attached hereto and made part hereof is approved. ESTES PARK URBAN RENEWAL AUTHORITY By:7/ Charles H.Phares,Chairman ATTEST: By:LkiL(i CC— Ba bara Cole,Secretary 00February27,1984RobertB.NicholsonNCE,Inc.2897ValmontRoadBoulder,Colorado80301Re:EstesParkUrbanRenewalStreetscapeProject.DearMr.NicholsonThisdocumentistheagreementbetweentheEstesParkUrbanRenewalAuthorityandNCE,Inc.regardingtheabove—captionedproject:1.ThepartiesintendtoenterintoasubsequentagreementregardingconstructionofStreetscapeimprovementsindowntownEstesParkandpaymentforcostoftheworkplusafeewithaguaranteedmaximumprice.Allcontractdocumentshavenotbeencompleted,andthetermsofthecontracthavenotbeenfinallyagreedupon.Therefore,afinalagreementcannotbeexecutedatthisdate.2.Inordertocommenceconstructionoftheprojectimmediatelytomeetstringenttimerequirements,itisnecessarytoenterintothisagreement.3.NCEisengagedbyEPURAtomanagetheconstructionoftheproject.ThearchitectisDesignStudiosWest.4.Eitherpartymayunilaterallyterminatethisagreementifamutuallysatisfactorycontractformanagementoftheconstructionoftheprojectisnotexecutedonorbefore,1984,exceptthatEPURAshallbeliableforandpaycostsandfeeasprovidedinparagraph71below,incurredpriortosuchdate.5.NCEshallperforminasubstantialandworkmanlikemannerallservicesnecessaryforconstructionoftheprojectinaccordancewithalloftheavailableconstructiondocuments,includedhereinbyreferencebutwithoutlimitation,specifications,architecturaldesignsanddrawings,theprojectbudget,andgeneralconditionsoftheTownofEstesPark.6.AllworkistobedonetothesatisfactionoftheEPURAandtheTown.7.NCEshallcomplywithallapplicablefederal,state,townorothergovernmentallaws,rules,standards,requirements 0orregulations.8.Timeisoftheessenceinallrespectsregardingthisagreementandtheproject.Therefore,NCEshallcommenceandcarryoutconstructionoftheprojectwithallduediligence.9.Supplementaltotheprovisionsofparaqraph5above,NCEshallcomplywiththerequirementsofparagraphs11and12(p.p.7&8)oftheGeneralConditionsoftheTownofEstesParkregardinginsurance,whicharespecificallyincludedhereinbyreference.10.Supplementaltotheprovisionsofparagraph5above,paragraph41(p.13)ofsaidGeneralConditionsregardingindemnificationofEPURAbyNCEisalsospecificallyincludedhereinbyreference.11.Supplementaltotheprovisionsofparagraph5above,NCEshallcomplywiththerequirementsofparagraph44(p.14)ofsaidGeneralConditionsregardingcontractsecurityandperformancebond.12.NCEshallbepaidforallcostsincurredinaccordancewiththeprovisionsofArticle8ofthepreliminarycopyoftheStandardFormofAgreementBetweenOwnerandContractor,AlADocumentAlil,attachedtoaletterdatedJanuary17,1984toJamesA.WindholzfromBobNicholson,PresidentofNCE,whichletterandsaidArticle8areincorporatedhereinbyreference.Inadditiontosuchcosts,NCEshallbepaidafeeof%.SaidfeeshallbeappliedagainstanyfeepayabletoNCEunderthesubsequentagreementandincludedwithinthemaximumguaranteedpriceundersaidagreement.Saidcostsshallalsobeincludedwithinthemaximumguaranteedpriceunderthesubsequentagreement.ExecutedbythepartieseffectiveFebruary27,1984.EstesParkUrbanRenewalNCE,INC.By:(cBY:/‘Attest_______________________Attest:________________________SecretarySecetay—2—
