40.RESOLUTIONNO.(Series1983)RESOLUTIONOFTHEESTESPARKURBANRENEWALAUTHORITYAPPROVINGANAGREEMENTOFCOOPERATION,SERVICESANDLOANOFFUNDSWITHTHETOWNOFESTESPARKBEITRESOLVEDBYTHE3OARDOFCOMMISSIONERSOFTHEESTESPARKURBANRENEWALAUTHORITY:ThattheAgreementofCooperation,ServicesandLoanofFundswiththeTownofEstesParkisherebyapprovedintheformofthecopyofsuchAgreementattachedhereto.ADOPTEDthis19thdayofOctober,1983.ATTEST:SecretaryChairman 0AGREEMENTOFCOOPERATION,SERVICESANDLOANOFFUNDSTHISAGREEMENT,effectivethis13thdayofDecember,1983,byandbetweentheTOWNOFESTESPARK,COLORADO,aMunicipalCorporation(“Town”),andtheESTESPARKURBANRENEWALAUTHORITY,aColoradoUrbanRenewalAuthority,abodycorporateandpoliticoftheStateofColorado(“Authority”).RECITALS1.InfurtheranceoftheobjectivesoftheColoradoUrbanRenewalLaw,theAuthorityisenqaqedintheimplementationofanUrbanRenewalPlanforcertainportionsoftheTownofEstesParkpreviouslydesignatedbytheBoardofTrusteesoftheTownofEstesParkbyResolutiononMay24,1983,asblightedandinneedofredevelopmentforthebestinterestsandwell—beingofthecommunity.2.ToeffecttheessentialcoordinatedeffortsoftheTownandtheAuthoritytoimplementthePlanandtoassisttheAuthorityinprocuringvariousservicesandassistancetherefor,itisnecessaryandinthepublicinterestthattheTownandtheAuthoritycooperatetoprovidestart—upservices,operationalfacilitiesandfunding,inadditiontoothercooperativeactionsoftheTownandtheAuthorityascontainedinthisAgreementaridsubsequentAgreements.Itisagreedbythepartiesasfollows:ARTICLEI.EMPLOYEESSection1.ExecutiveDirector.TheTownhashiredapersontoserveastheTownPlannerandExecutiveDirectoroftheAuthority.TheTownPlannershallmaintainrecordsofhertimeexpendedonanhourlybasiswhileservingasExecutiveDirector.TheAuthorityshallberesponsibleforandpaytheTownforsuchtimeexpendedonAuthoritymatters,baseduponhersalaryandfringebenefits.Section2.AuthorityEmployees.TheAuthoritymayretaintheservicesofasecretaryandotheremployeesasnecessary,inaccordancewiththetermsofthisAgreement,toserveasadditionalstafffortheAuthority.Section3.TownEmployees.UponrequestoftheDirectoroftheAuthority,andsubjecttoapprovaloftheTownManagerorhisdesiQnee,TownemployeesmaybeassignedtoworkfortheuthorityWhileperformingservicesfortheAuthority,suchTownemployeesshallcoordinatetheirserviceswiththeDirector. 00WhileservingasemployeesfororprovidingservicestotheAuthority,recordsshallbemaintainedofsuchTownemployees’worktimeandservices,andtheexpensesofsuchservicesattributabletotheAuthorityshallbebilledtotheAuthoritybytheTown,asprovidedinArticleIX.ARTICLEII.PERSONNELACTIONSRELATEDTOEMPLOYEESSection1.Theselection,terminationandotherpersonnelactionsrelatedtoanypersonperformingthefunctionsoftheDirectoroftheAuthorityshallbemadebytheBoardofCommissionersoftheAuthority.Section2.Theselection,terminationandotherpersonnelactionsrelatedtoallotheremployeesoftheAuthorityshallbemadebytheDirectoroftheAuthority.Section3.PersonnelactionsrelatingtoTownemployeesshallinnomannerbeaffectedbythisAgreement.ARTICLEIII.SALARIESANDPROCEDURESSection1.ThesalaryoftheExecutiveDirectoroftheAuthorityshallbeestablishedbytheBoardofCommissionersoftheAuthority,inaccordancewiththesalarypaidbytheTownfortheDirector’spositionasTownPlanner.Section2.ThesalaryoftheemployeesoftheAuthorityshallbeinaccordancewiththesalariesprovidedforemployeesoftheTownperformingdutiesofequalresponsibility.Section3.AdministrativeoroperationalproceduresoftheDirectorandstaffoftheAuthorityshallbeinaccordancewiththoseoftheTownpersonnelrules,regulationsandprocedures,whichareherebyadoptedbyreferenceforusebytheAuthorityinsofarastheymayapply.ARTICLEIV.OTHERSERVICESSection1.TheTownmayprovidetheAuthoritywithsuchservicesasmayberequiredinordertoperformitspublicfunctionsincluding,butnotlimitedto,accounting,treasurymanagement,finance,procurement,budgetarymatters,personnelservices,planningservicesandengineeringservices;provided,however,thatnothinghereinshallbeconstruedasprohihitinqtheAuthorityfromcontractingwithorretainingthirdpartiestoprovidealloraportionofanyservices.Recordsofallexpensesandsalariesrelatedtosuch—2— 00Townservicesshallbemaintained,andtheAuthorityshallbehilledbytheTowntherefor,asprovidedinArticleIX.Section2.AnnualoranyspecialfinancialauditsshallbeperformedbytheTown’sindependentauditor.AllcostsofanysuchauditorfinancialservicesshallbebilledtoandpaidbytheAuthority,asprovidedinArticleIX.ARTICLEV.FUNDINGTheTownhasprovidedtheAuthoritywithaloanof$306,580.00forthefiscalyears1983—1984.ThefundsshallbepaidbacktotheTownasprovidedinArticleIXherein.ARTICLEVI.OFFICESPACE;FURNISHINGSSection1.TheTownmaymakeavailableappropriateofficespaceandequipmenttotheAuthority.Allfurnishings,equipmentandsuppliesacquiredbytheAuthorityshallremainthepropertyoftheAuthority.AllfurnishingsandequipmentloanedtotheAuthoritybytheTownshallremainthepropertyoftheTown.UpondissolutionoftheAuthority,allpropertypurchasedbytheauthorityshallreverttotheTown.Section2.SuchofficespaceshallbeleasedtotheAuthorityfor$7.50persquarefoot,includigutilitiesandmaintenance.PaymentthereforshallbeasprovidedinArticleIX.ARTICLEVII.OPERATIONINTEGRATIONSection1.TheAuthorityshallcomplywithapplicableTownordinances7codes,rulesandregulationsrelatedtotheredevelopmentoftheurbanrenewalareas.Section2.TheBoardofTrusteesshallbeinformedoftheactivities,functions,operationsandfinancialconditionsoftheAuthorityintheformofreportstotheBoardnotlessthanquarterly,andatanyothertimeasrequestedbytheBoard.ARTICLEVIII.INSURANCETheAuthorityshallpayforitsownpublicliabilityinsuranceandotherinsurancerequirements;provided,however,thattheTownandAuthorityagreetoconsiderthedesirabilityofincludingtheAuthorityasanadditionalseparateinsuredwithintheTown’s—3-- 00existingliabilityinsurancecoveragesasapartoftheservicestobeprovidedbytheTowntotheAuthorityunderChetermsandprovisionsofthisAqreement.ARTICLEIX.REIMBURSEMENTOFT7NTheAuthorityshallreimbursetheTownforallsalaries,rentsandcostsincurredbytheTowninprovidinginsurance,facilities,servicesandsuppliesasprovidedunderthisAgreement.TheTownshallfileaninitialclaimforsuchexpensesincurredbytheTownonbehalfoftheAuthoritypriortothedateofthisAgreement.Thereafter,theTownshallfileaclaimwiththeAuthorityeachmonthforfacilities,equipmentandservicesrenderedduringtheimmediatelyprecedingcalendarmonth,includingthereinallcostsofprovidingsame.SuchclaimsshallbeinsufficientdetailandincludeallcostsincurredbytheTownandshallsufficientlydesignatethetypesofservicesperformedbytheTownsothattheAuthoritymightproperlydeterminethefundstowhichcostsaretobecharged.WhentheAuthorityhasobtaineditsowninitialsource(s)offundingby,butnotlimitedto,theissuanceofbonds,anduponapprovalofsuchclaimsbytheCommissioners,theAuthorityshallmakearrangementswiththeTowntopaysaidfiledclaims.ThetotalfundsloanedbytheTowntotheAuthorityasprovidedinArticleVshallbearannualinterestatthesameratethattheTownreceivesonitsinvestedfundswiththefinancialinstitutionswheresuchfundsaredeposited.SaidprincipalandinterestshallbepaidinfullbytheAuthoritytotheTownwhentheAuthorityhasobtaineditsowninitialsource(s)offundingby,butnotlimitedto,theissuanceofbonds.TheAuthoritymayprepayprincipalorinterestorbothatanytimewithoutpenalty,premium,interestinadditiontothatprovidedherein,orexpense.Allamountspaidshallfirstbeappliedtoaccruedinterest,ifany,andthebalance,ifany,toprincipal.TheobligationsoftheAuthorityherein,oranypaymentduehereby,maybeextendedbytheTownfromtimetotime.TheAuthorityherebywaivespresentment,noticeofdishonorandprotest.Ifdefaultoccursinthepaymentofanyprincipalorinterest,asandwhenthesameisorbecomesdueandpayable,theTownshallhavetherightandoptiontodeclareallunpaidsumstobedueandpayableimmediately.Iflegalorjudicialproceedingsareinitiatedpursuanttodefaulthereof,theAuthorityshallalsopayreasonablecostsandexpensesthereof,includingreasonableattorneys’fees.—4— *,APTICLEX.TOWNANDAUTHORITYSEPARATENothinginthisAgreementshallbeinterpretedinanymannerasconstitutingtheTownoritsofficials,representatives,consultantsoremployeesastheagentsoftheAuthority,ortheAuthorityoritsofficials,representatives,consultantsoremployeesastheagentsoftheTown.Eachentityshallremainseparate.Neitherpartyshallherebyassumethedebts,obligationsorliabilitiesoftheother.TheAuthorityshallberesponsibleforcarryingoutitsdutiesandfunctionsinaccordancewiththeColoradoUrbanRenewalLawandotherapplicablelawsorregulations.ARTICLEXI.TERMINATIONThisAgreementmaybeterminatedbyeitherparty,orbythemutualconsentofthepartiesatanytimeaftergivingatleastthirty(30)days’writtennoticeofintentiontosoterminate;provided,however,terminationofthisAgreementshallnotreleasetheAuthorityfromitsobligationtopaythefundsduetheTownasprovidedherein,unlesssuchobligationisspecificallyterminatedbytheTown.SuchnoticeshallbesubmittedtotheTownAdministratoroftheTown,P.O.Box1200,EstesPark,Colorado80517,andtotheDirectoroftheAuthority,P.O.Box1200,EstesPark,Colorado80517.ThepartieshaveexecutedthisAgreementeffectiveonthedatefirstabovewritten.TOWNOFESTESPARK,COLORADOBy/MayorATTEST:ESTESPARKURBANRENEWALAUTHORITY__________By:/1.ecretaryChairman0ATTEST:—5—
