C.NoProposalwillbeacceptedfromanyperson,firmorcorporationthatisinarrearsforanyobligationtotheTownofEstesPark,orthatotherwisemaybedeemedirresponsibleorunresponsivebytheTownofEstesParkorBoardofTrustees.D.OnlyoneProposalwillbeacceptedfromanyperson,firmorcorporation.E.Allpricesquotedmustbefirmforaperiodofninety(90)calendardaysfromtheProposalsubmittaldateanduntiltheworkiscompletedontheproject.F.TheTownofEstesPark,ColoradoreservestherighttorejectanyandallProposalsoranypartthereof.TherightisreservedtowaiveanyformalitiesorinformalitiescontainedinanyProposal,andtoawardtheProposaltothemostresponsiveandresponsibleproposingfirmasdeemedinthebestinterestoftheTownofEstesPark.G.AllProposalsshallbepreparedinacomprehensivemannerastocontent,butnonecessityexistsforexpensivebindersorpromotionalmaterial.H.Allcosts,includingtravelandexpenses,incurredinthepreparationofthisProposalshallbebornesolelybytheproposingfirm.I.TownofEstesParkreservestherighttonegotiatefinaltermswiththeselectedProposerthatmayvaryfromthosecontainedinthisdocument.J.TownofEstesParkreservestherighttorequestaclientlistfromtheProposer,forthepurposeofdeterminingpotentialconflictsofinterestorforobtainingreferences.Saidlistshallbeconsideredproprietary.K.TownofEstesParkwillnotreturnProposals,orotherinformationsuppliedtoTownofEstesPark,totheproposingfirms.VII.EVALUATIONOFPROPOSALSAllProposalswillbeevaluatedbyaProjectcommitteeassignedbytheEstesParkTownAdministratororherdesignee.ProposalsshallbeevaluatedonthebasisoftheEvaluationCriterianotedhere-in.ThecommitteemaymakeaselectiononthebasisoftheProposalsreceived,ormaychooseto“shortlist”prospectivefirmsforfurthernegotiations.ThefirmselectedfortheawardwillbechosenonthebasisoftheapparentgreatestbenefittotheTownofEstesPark,andnotnecessarilyonthebasisoflowestprice.TheTownofEstesParkMayorandBoardofTrustees,shallmakethefinaldeterminationofthefirmselected.TownofEstesParkmayrequestinterviewsbysomeproposers.Page5of29 VIII.EVALUATIONCRITERIAProposalsshallbeevaluatedonthebasisofthefollowingcriteria:A.ResponsivenesstotheneedsoftheTownofEstesPark,bothintimetocompletetheProjectandintheScopeofServicesoffered.B.ResponsibilityoftheproposingfirmanditsexperienceindealingwithmunicipalgovernmentsinProjectsofsimilarsize,scopeandnature.C.Theproposingfirm’sengagementteam,includingtheexperienceandresumesofkeypersonnelassignedtotheProject.D.ThedegreetowhichtheProposalmeetsorexceedsthetermsoftheRequestforProposal.E.Resultsofreferencechecksandpastperformanceforotherclients.F.Theproposingfirm’sfee(not-to-exceedcost)structurebasedontheservicestobeprovidedincludinghourlyrates.G.Theproposingfirm’sabilitytoadheretotheDeliverablesScheduleonExhibit3.H.Theproposingfirm’sabilitytoutilizelocallyestablishedconsultants/serviceprovidersontheProjectTeam.Localprinciplefirmswillhavepreferenceasaselectioncriterion.IX.PROPOSALPREPARATIONANDINFORMATIONA.Proposalssubmittedshallcontainallinformationasrequestedherein,andanyadditionalinformationnecessarytosummarizetheoverallbenefitoftheProposaltotheTownofEstesPark.One(1)originalandfive(5)copiesoftheProposalshallbeprovidedbytheproposingfirm.Clearlymarktheoriginaldocumentassuch.B.Proposalsshallincludethefollowing:1.Provideacoverletterstatingthename,e-mail,addressandtelephonenumberoftheproposingfirm,andbearingthesignatureofthepersonhavingtheauthoritytomaketheProposalforthefirmandbindthefirminaformalContracttotheTownofEstesPark.2.AlistofpersonnelassignedtotheProjectteam,includingresumeswitheducationandworkexperiencestatedinExhibit6.3.AnexecutedAcceptanceofConditionsStatementinExhibit1which:>AffirmstheacceptanceofallconditionsorrequirementscontainedintheRequestforProposals,>ListsthenamesofanyoftheproposingfirmsemployeewhoarespousesorchildrenoftheTownofEstesParkemployeesorthespouseofaTownemployee’schild,Acknowledgedreceiptofalladdenda.Page6of29 4.AnarrativethatdefinesthemethodsandmeansbywhichtheproposingfirmwillperformtheservicesoutlinedintheRequestforProposals.5.AProjecttimelineoutliningthedatesandspecifictasksnecessarytocompletetheProject;includingthespecificemployeesinvolved.Includean-hourestimate,summarizingtheapproximatenumberofhoursforeachphaseortaskforeachindividualassignedtotheProject,includingSubconsultantpersonnel.6.Theproposedfixedfeeoftheproposingfirm,brokendownbyProjectphases,aswellasratesforanyanticipatedreimbursableexpensessuchasforvehiclemileage,equipment,postage,copying,etc.Therateschedulemustbeascomprehensiveaspossible.Ifreimbursableratesarenotknowninadvance,thosereimbursableexpensesdefinedinthescheduleshallbenotedtobereimbursed“atcost”.Thefixedfeeandreimbursablerateschedulewillbethebasisofpaymentforthesuccessfulfirm.7.AlistofwhatportionoftheWork,ifany,willbesubcontractedusingExhibit6.8.Alistofatleastfive(5)referencesforwhichsimilarserviceshavebeenprovided.Includecurrentcontactnames,addressesandtelephonenumbersandprojectvalue.9.Anyotherinformationdeemednecessarybytheproposingfirm.JO.AnexecutedReferenceAuthorizationandReleaseFormExhibit7.C.SubmittalofaProposalshallbetakenasaprimafacieevidencethattheproposerhasfullknowledgeofthescope,nature,qualityandquantityoftheWorktobeperformed,andthedetailedrequirementsandconditionsunderwhichtheWorkistobeperformed.D.GeneralRequirementsofthesuccessfulproposingfirm:1.ThesuccessfulproposingfirmshallenterintoaContractattachedasExhibit2,withtheTownofEstesPark.TheTownofEstesParkwillgenerateaPurchaseOrderwhichmatchestheAgreementvalue.2.ThesuccessfulproposingfirmwillberequiredtomaintaininsurancecoveragesforthedurationoftheContractperiodasoutlinedinExhibit2tothisRequestforProposal.3.ThesuccessfulproposingfirmshallbeprohibitedfromassigningorsubcontractingthewholeoranypartoftheContractwithoutthepriorwrittenconsentoftheTownofEstesPark.4.ThesuccessfulproposingfirmanditsemployeeswilloperateasanIndependentContractorandwillnotbeconsideredemployeesoftheTownofEstesPark.Page7of29 EXHIBIT2TOWNOFESTESPARKAGREEMENTFORPROFESSIONALSERVICESTHISAGREEMENTFORPROFESSIONALSERVICES(this“Agreement”)ismadeandenteredintothis______dayof________2009,byandbetweentheTownofEstesPark,CountyofLarimer,StateofColorado(the“Town”)andanindependentcontractor(“Consultant”)__________________________________WHEREAS,theTownrequiresprofessionalengineeringservicesrelatedtotheMulti-PurposeEventsCenter(MPEC)andIndoorArena,andWHEREAS,ConsultanthashelditselfouttotheTownashavingtherequisiteexpertiseandexperiencetoperformtherequiredengineeringservices;NOW,THEREFORE,fortheconsiderationhereinaftersetforth,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:SCOPEOFSERVICESA.Consultantshallfurnishalllaborandmaterialsrequitedforthecompleteandpromptexecutionandperformanceofitsduties,obligations,andresponsibilities(the“Work”)whicharedescribedorreasonablyimpliedinConsultant’sproposaldatedApril17,2009.B.NomaterialchangetotheScopeofServices,includinganyadditionalcompensation,shallbeeffectiveorpaidunlessauthorizedbywrittenamendmentexecutedbytheTown.IfConsultantproceedswithoutsuchwrittenauthorization,thenConsultantshallbedeemedtohavewaivedanyclaimforadditionalcompensation,includingaclaimbasedonthetheoryofunjustenrichment,quantummeritorimpliedcontract.Exceptasexpresslyprovidedherein,noagent,employee,orrepresentativeoftheTownisauthorizedtomodifyanytermofthisAgreement,eitherdirectlyorimpliedbyacourseofaction.REPORTS.DATAANDWORKPRODUCTA.TheTownshallprovideConsultantwithreportsandsuchotherdataasmaybeavailabletotheTownandreasonablyrequiredbyConsultanttoperformtheScopeofServices.AlldocumentsprovidedbytheTowntoConsultantshallbereturnedtotheTown.ConsultantisauthorizedbytheTowntoretaincopiesofsuchdataandmaterialsatConsultant’sexpense.B.OtherthansharinginformationwithdesignatedthirdpartiesaspreviouslydirectedbytheTown,noprojectinformationshallbedisclosedbyConsultanttothirdpartieswithoutpriorwrittenconsentoftheTownorpursuanttoalawfulcourtorderdirectingsuchdisclosure.Page9of29 C.TheTownacknowledgesthatthedocumentscreatedbyConsultantfortheProject,includingbutnotlimitedtodrawings,designs,specifications,reports,andincidentalworkormaterials(the“WorkProduct”),areinstrumentsofprofessionalservice.Nevertheless,copiesoftheWorkProductshallbeprovidedtotheTownandothercontractorsandsubcontractorsshallbeauthorizedtouseandreproduceapplicableportionsoftheWorkProductthatareappropriatetouseintheexecutionoftheirworkrelatedtotheProject.TheWorkProductshallbecomethepropertyoftheTownuponcompletionoftheWork.Consultant,however,shallretainitsrightsinitsstandarddrawingdetails,designs,specifications,databases,computersoftwareandanyotherproprietarypropertyandallrightstoanyintellectualpropertydeveloped,utilized,ormodifiedintheperformanceoftheWork.D.ConsultantshallprovidetotheTownelectronicversionsoftheWorkProductintheformatdirectedbytheTown.Ill.COMPENSATIONANDFINALSETTLEMENTA.InconsiderationforthecompletionoftheWorkbytheConsultant,theTownshallpaytheConsultant.B.If,onthebasisoftheTown’sobservationoftheWorkandtheTown’sreviewofthefinalinvoiceandaccompanyingdocumentationasrequiredbythisAgreement,theTownissatisfiedthattheWorkhasbeencompletedandConsultant’sotherobligationsunderthisAgreementhavebeenfulfilled,theTownwillpaytheamountusingVendorpaymentCutoffDatesforAccountsPayableperTownrequirements.Otherwise,theTownwillreturntheinvoicetoConsultant,indicatinginwritingthereasonsforrefusingtoschedulefinalsettlement,inwhichcaseConsultantshallmakethenecessarycorrectionsandresubmittheinvoice.IV.COMMENCEMENTANDCOMPLETIONOFWORKWithinsevendaysofreceiptofaNoticetoProceed,ConsultantshallcommenceworkassetforthintheScopeofServicesorthatportionofsuchworkasisspecifiedinsaidNotice.ExceptasmaybechangedinwritingbytheTown,theScopeofServicesshallbecompleteandConsultantshallfurnishtheTownthespecifieddeliverablesasprovidedinExhibit3.PageiOof29ED PROFESSIONALRESPONSIBILITYA.ConsultantherebywarrantsthatitisqualifiedtoperformtheWork,holdsallprofessionallicensesrequiredbylawtoperformtheWork,andhasallrequisitecorporateauthoritytoenterintothisAgreement.B.TheWorkshallbeperformedbyConsultantinaccordancewithgenerallyacceptedprofessionalpracticesandthelevelofcompetencypresentlymaintainedbyotherpracticingprofessionalfirmsperformingthesameorsimilartypeofworkintheDenvermetroarea.TheWorkshallbedoneincompliancewithapplicablefederal,stateandlocallaws,ordinances,rulesandregulations.C.Consultantshallberesponsiblefortheprofessionalquality,technicalaccuracy,timelycompletion,andthecoordinationofalldesigns,drawings,specifications,reports,andotherservicesfurnishedbyConsultantunderthisAgreement.Consultantshall,withoutadditionalcompensation,correctorresolveanyerrorsordeficienciesinitsdesigns,drawings,specifications,reports,andotherservices,whichfallbelowthestandardofprofessionalpractice,andreimbursetheTownforconstructioncostscausedbyerrorsandomissionswhichfallbelowthestandardofprofessionalpractice.D.ApprovalbytheTownofdrawings,designs,specifications,reports,andincidentalworkormaterialsfurnishedhereundershallnotinanywayrelieveConsultantofresponsibilityfortechnicaladequacyofthework.NeithertheTown’sreview,approval,oracceptanceof,norpaymentfor,anyoftheWorkshallbeconstruedtooperateasawaiverofanyrightsunderthisAgreementorofanycauseofactionarisingoutoftheperformanceofthisAgreement.E.BecausetheTownhashiredConsultantforitsprofessionalexpertise,Consultantagreesnottoemploysubcontractorstoperformmorethanfiftypercent(50%)oftheworkrequiredundertheScopeofServices.UponexecutionofthisAgreement,ConsultantshallfurnishtotheTownalistofproposedsubcontractors,andConsultantshallnotemployasubcontractortowhoseemploymenttheTownreasonablyobjects.AllcontractsbetweenConsultantandsubcontractorsshallconformtothisAgreementincluding,butnotlimitedto,SectionXl,L.Page11of29 VI.INSURANCEA.Consultantagreestoprocureandmaintain,atitsowncost,apolicyorpoliciesofinsurancesufficienttoinsureagainstallliability,claims,demands,andotherobligationsassumedbyConsultantpursuanttothisAgreement.Suchinsuranceshallbeinadditiontoanyotherinsurancerequirementsimposedbylaw.B.Consultantshallprocureandmaintain,andshallcauseanysubcontractorofConsultanttoprocureandmaintain,theminimuminsurancecoverageslistedbelow.SuchcoveragesshallbeprocuredandmaintainedwithformsandinsurersacceptabletotheTown.Inthecaseofanyclaims-madepolicy,thenecessaryretroactivedatesandextendedreportingperiodsshallbeprocuredtomaintainsuchcontinuouscoverage.1.TheConsultantshallcarry,provideandmaintain,infullforceandeffectatalltimesduringthetermofthisAgreement,atitssolecostandexpense,workmen’scompensationinsurancerequitedforallitsemployees,commercialgeneralliabilityinsurance,errorsandomissioninsurance(professionalliability),andautomobileliabilityinsuranceinconjunctionwiththeperformanceofitsobligationsunderthetermsofthisAgreement.SaidinsurancecoverageshallbeinamountsnolessthantheliabilitylimitsspecifiedintheColoradoGovernmentalImmunityAct,Section24-10-101,etseq.,C.R.S.ascurrentlyexistsormaybeamendedhereafter.2.SuchpoliciesshallprovidethatTown,itsofficers,itsemployeesbeanadditionalinsuredandtheTownshallbeentitledtorecoveryundersaidpoliciesforanylossoccasionedtoit,itsofficers,employees,andagentsbyreasonoftheactsoromissionsofConsultant,itsofficers,employees,agents,subcontractors,orbusinessinvitees.SuchpoliciesshallbewrittenasprimarypoliciesnotcontributingtoandnotinexcessofcoverageTownmaycarry.C.AnyinsurancecarriedbytheTown,itsofficers,itsemployees,oritsconsultantsshallbeexcessandnotcontributoryinsurancetothatprovidedbyConsultant.Consultantshallbesolelyresponsibleforanydeductiblelossesunderanypolicy.D.ConsultantshallprovidetotheTownacertificateofinsurance,completedbyConsultant’sinsuranceagent,asevidencethatpoliciesprovidingtherequiredcoverages,conditions,andminimumlimitsareinfullforceandeffect.ThecertificateshallidentifythisAgreementandshallprovidethatthecoveragesaffordedunderthepoliciesshallnotbecancelled,terminatedormateriallychangeduntilatleastthirty(30)dayspriorwrittennoticehasbeengiventotheTown.TheTownreservestherighttorequestandreceiveacertifiedcopyofanypolicyandanyendorsementthereto.E.FailureonthepartofConsultanttoprocureormaintaintheinsurancerequiredhereinshallconstituteamaterialbreachofthisAgreementuponwhichtheTownmayimmediatelyterminatethisAgreement,oratitsdiscretion,theTownmayprocureorPagel2of29ED renewanysuchpolicyoranyextendedreportingperiodtheretoandmaypayanyandallpremiumsinconnectiontherewith,andallmoniessopaidbytheTownshallberepaidbyConsultanttotheTownupondemand,ortheTownmayoffsetthecostofthepremiumsagainstanymoniesduetoConsultantfromtheTown.VII.INDEMNIFICATIONConsultantagreestoindemnifyandholdharmlesstheTownanditsofficers,insurers,volunteers,representatives,agents,employeesandassignsfromandagainstallclaims,liability,damages,losses,expensesanddemands,includingattorney’sfees,onaccountofinjury,loss,ordamage,including,withoutlimitation,claimsarisingfrombodilyinjury,personalinjury,sickness,disease,death,propertylossordamage,whichariseoutofthenegligentact,omission,error,professionalerror,mistake,negligence,orothernegligentfaultofConsultant,anysubcontractorofConsultant,oranyofficer,employee,representative,oragentofConsultantorofanysubcontractorofConsultant,orwhichariseoutofanyworkmen’scompensationclaimofanyemployeeofConsultantorofanyemployeeofanysubcontractorofConsultant.InanyandallclaimsagainstTownoranyofitsofficers,insurers,volunteers,representatives,agents,employeesorassigns,byanyemployeeofConsultant,anysubcontractorofConsultant,anyonedirectlyorindirectlyemployedbyanyofthemoranyoneforwhoseactanyofthemmaybeliable,theindemnificationobligationunderthisSectionVIIshallnotbelimitedinanywaybyanylimitationontheamountortypeofdamages,compensationorbenefitspayablebyorforConsultantoranysubcontractorunderworker’scompensationactions,disabilitybenefitactsorotheremployeebenefitacts.IntheeventitbecomesnecessaryfortheTowntobringanyactiontoenforceanyprovisionofthisAgreementortorecoveranydamagestheTownmayincurasaresultofthebreachofthisAgreement,including,butnotlimitedto,defectivework,andtheTownprevailsinsuchlitigation,ConsultantshallpaytheTownitsreasonableattorneys’feesasdeterminedbythecourt.VIII.TERMINATIONThisAgreementshallterminateatsuchtimeastheWorkiscompletedandtherequirementsofthisAgreementaresatisfied,orupontheTown’sprovidingConsultantwithseven(7)daysadvancewrittennotice,whicheveroccursfirst.IftheAgreementisterminatedbytheTown’sissuanceofwrittennoticeofintenttoterminate,theTownshallpayConsultantthereasonablevalueofallworkpreviouslyauthorizedandcompletedpriortothedateoftermination.If,however,ConsultanthassubstantiallyormateriallybreachedthisAgreement,theTownshallhaveanyremedyorrightofset-offavailableatlawandequity.IftheAgreementisterminatedforanyreasonotherthancausepriortocompletionoftheWork,anyuseofdocumentsbytheTownthereaftershallbeattheTown’ssolerisk,unlessotherwiseconsentedtobyConsultant.NothinghereinshallconstituteamultiplefiscalyearobligationpursuanttoColoradoConstitution,ArticleX,Section20.NotwithstandinganyotherprovisionofthisAgreement,theTown’sobligationsunderthisAgreementaresubjecttoannualappropriationbytheTownPage13of29 BoardoftheTown.AnyfailureoftheTownBoardannuallytoappropriateadequatemoniestofinancetheTown’sobligationsunderthisAgreementshallterminatethisAgreementatsuchtimeassuchthen-existingappropriationsaretobedepleted.NoticeshallbegivenpromptlytoConsultantofanyfailuretoappropriatesuchadequatemonies.IX.CONFLICTOFINTERESTTheConsultantshalldiscloseanypersonalorprivateinterestrelatedtopropertyorbusinesswiththeTown.Upondisclosureofanysuchinterest,theTownshalldetermineiftheinterestconstitutesaconflictofinterest.IftheTowndeterminesthataconflictofinterestexists,theTownmaytreatsuchconflictofinterestasadefaultandterminatethisAgreement.X.INDEPENDENTCONTRACTORConsultantisanindependentcontractor.NotwithstandinganyotherprovisionofthisAgreement,allpersonnelassignedbyConsultanttoperformworkunderthetermsofthisAgreementshallbe,andremainatalltimes,employeesoragentsofConsultantforallpurposes.ConsultantshallmakenorepresentationthatitisaTownemployeeforanypurposes.Xl.MISCELLANEOUSA.GoverninQLawandVenue.ThisAgreementshallbegovernedbythelawsoftheStateofColorado,andanylegalactionconcerningtheprovisionshereofshallbebroughtinLarimerCounty,Colorado.B.NoWaiver.DelaysinenforcementorthewaiverofanyoneormotedefaultsorbreachesofthisAgreementbytheTownshallnotconstituteawaiverofanyoftheothertermsorobligationofthisAgreement.C.Integration.ThisAgreementandanyattachedexhibitsconstitutetheentireAgreementbetweenConsultantandtheTown,supersedingallpriororalorwrittencommunications.D.ThirdParties.Therearenointendedthird-partybeneficiariestothisAgreement.E.Notice.AnynoticeunderthisAgreementshallbeinwriting,andshallbedeemedsufficientwhendirectlypresentedorsentpre-paid,firstclassUnitedStatesMail,addressedasfollows:TheTown:TownofEstesPark,PublicWorksDepartmentP0Box1200EstesPark,CO80517Consultant:TEDPagel4of29 F.Severability.IfanyprovisionofthisAgreementisfoundbyacourtofcompetentjurisdictiontobeunlawfulorunenforceableforanyreason,theremainingprovisionshereofshallremaininfullforceandeffect.G.Modification.ThisAgreementmayonlybemodifieduponwrittenagreementoftheparties.H.Assignment.NeitherthisAgreementnoranyoftherightsorobligationsofthepartieshereto,shallbeassignedbyeitherpartywithoutthewrittenconsentoftheother.GovernmentalImmunity.TheTown,itsofficers,anditsemployees,arerelyingon,anddonotwaiveorintendtowaivebyanyprovisionofthisAgreement,themonetarylimitations(presentlyonehundredfiftythousanddollars($150,000)perpersonandsixhundredthousanddollars($600,000)peroccurrence)oranyotherrights,immunities,andprotectionsprovidedbytheColoradoGovernmentalImmunityAct,C.R.S.§24-10-101,etseq.,asamended,orotherwiseavailabletotheTownanditsofficersoremployees.J.RightsandRemedies.TherightsandremediesoftheTownunderthisAgreementareinadditiontoanyotherrightsandremediesprovidedbylaw.TheexpirationofthisAgreementshallinnowaylimittheTown’slegalorequitableremedies,ortheperiodinwhichsuchremediesmaybeasserted,forworknegligentlyordefectivelyperformed.K.BindingEffect.TheTownandConsultanteachbinditself,itssuccessorsandassignstotheotherpartytothisAgreementwithrespecttoallrightsandobligationsunderthisAgreement.NeithertheTownnorConsultantshallassignortransferitsinterestinthisAgreementwithoutthewrittenconsentoftheother.L.WorkByIllegalAliensProhibited.1.Consultantherebycertifiesthat,asofthedateofthisAgreement,itdoesnotknowinglyemployorcontractwithanillegalalienandthatConsultanthasparticipatedorattemptedtoparticipateinthebasicpilotemploymentverificationprogramasdefinedinC.R.S.§8-17.5-101(1)(Program”)inordertoverifythatitdoesnotemployillegalaliens.2.ConsultantshallnotknowinglyemployorcontractwithanillegalalientoperformworksunderthisAgreementorenterintoacontractwithasubcontractorthatfailstocertifytoConsultantthatthesubcontractorshallnotknowinglyemployorcontractwithanillegalalientoperformworkunderthisAgreement.3.ConsultantherebycertifiesthatithasverifiedorattemptedtoverifythroughparticipationintheProgramthatConsultantdoesnotemployanyillegalaliensand,ifConsultantisnotacceptedintotheProgrampriortoenteringintothisAgreement,thatConsultantshallapplytoparticipateintheProgrameverythree(3)monthsuntilConsultantisacceptedorthisAgreementhasbeencompleted,whicheverisearlier.Page15of29 F.5EnvironmentalCriteriaTheconsultingteamshallmeetorexceedallenvironmentalrequirementsthatgovernthedesignandproposedwork.Thedesignwillrequireapprovalfromallagenciesthatmayhavejurisdictionoverthework.ThismayincludebutnotbelimitedtotheColoradoDepartmentofHealthandEnvironment,TheU.S.CorpofEngineers,theColoradoDepartmentofTransportation,theBureauofReclamationandtheTownofEstesPark.TheTownwillrequirethattheconsultantsproposedteamwillhavetheexpertisetorecognizealloftheserequirementsandincludetheworknecessaryintheproposaltogettheprojectsapprovedwithallagencieshavingjurisdictionandapprovalauthorityoverthework.TheconsultantshallincludeaTrafficImpactStudy(TIS)inconformancewithCDOTrequirements.TheconsultantshallberequiredtoobtainapprovalfromCDOT.TISwillbedevelopedtomaximizethebenefittotheTownsinterests.F.6EnergyDesignCriteriaTheTownwillrequirethattheconsultantsTeamhavesubstantialbackgroundinmechanical,electricalengineeringandLEEDdesignexperience.TheTownwilllookfortheconsultantstodevelopalternativesinmaterials,HVAC,lightingandrecycledmaterialstoreduceimpactstotheenvironment.Theconsultantsshalltakeadvantageofalltechnologiesinregardtogeothermal,solarandwindenergies.TheconsultantshallprovideanalysisofthesealternativetechnologiesandthecostbenefitsanalysistoassisttheTownindevelopingbothasustainablebutalsoanenvironmentallysoundbuildingsandsite.F.7ConformancewithFunctionalSpaceProgramCriteriaItisimperativethattheproposeddesignmeetorbetterthenetareasassetforthintheprogramdevelopmentphasesetbytheTown.Proponentsmayaddtothenetareasshoulditbefeltthatthefunctionalspaceprogramisdeficientorunderstatedincertainareas.Itmaybethataparticulardesignmayrequiresomeminorchangestotheareaslistedintheprogram.Theseconflictsandminorchangesaretobeexpectedandreworkofthedocumentswillbeinclusiveintheconsultantswork.Areasforconcessionsandrestroomswillbeconsideredessentialprogramareas.F.8PlanningCommissionCriteriaIfitisnecessaryatthispointtime,theconsultantwillbedirectedtoseekapprovalfromtheplanningcommissionandanyvariancesrequiredbytheboardofadjustments.TheconsultingteamwillberequiredtoprepareandproposetheprojecttothePlanningCommissionandtheTownBoard.Itwillbetheconsultant’sresponsibilitytoreachconsensusandapprovalfromtheboardspriortomovingintofinaldesignphase.Page22of29cD ProposedStanleyParkMultiUseFacilityJterraconN.SaintVramAvenueand4thStreetTownofEstesPark,LarimerCounty.ColoradoTerraconProjectNo.2O7515OWeunderstandthebuildingwillbeasinglestory,slab-on-gradestructureusingsteelframeconstruction(pre-engineeredbuilding)andwillencompassabout60,000squarefeetinplanview.Thesteelframestructuralmembersarereportedtoclear-spanadistanceofabout140feetandwillbeplacedonapproximate20-footcenters.Basement/belowgradeconstructionisnotplannedfortheproposedbuildingandweatenotawareofanysignificantearthretainingstructuresforthisproject.Basedonthesizeandtypeofconstructionplanned,weanticipatecomparativelylighttomoderatefoundationloads.Forouranalysis,wehaveconsideredmaximumcolumn/pointloadsontheorderof100kips.Finalgradingplanswerenotavailableatthetimeofthisreport;however,preliminaryinformationprovidedbytheclientindicatesthatthefloorslabwillbeconstructedaroundoursiteelevationof98to99feet(pleasereferencetheSubsurfaceDiagramincludedintheAppendixofthisreport).Basedonthisinformation,maximumcutsandfillsofabout2%to3Y2feetand2to3feet,respectively,willbeneededtoachieveconstructiongrades.Ifthetypeofconstruction,foundationloadsorsitegradingvariesfromthoseoutlinedabove,oriflocationofconstructionchangesweshouldbecontactedtoconfirmand/ormodifyoutrecommendationsaccordingly.SITEEXPLORATIONPROCEDURESFieldExploration:HghttestboringsweredrilledonNovember19,2007.Theboringsweredrilledtodepthsofabout12Y2to25feetattheapproximatelocationsshownontheBoringLocationDiagram,Figure1.Threeoftheeightboringsencountereddrillrigaugerrefusalingranitebedrockatdepthsofabout12Y2to13feetbelowthegroundsurface.Theboringsweredrilledwithinornearthefootprintoftheproposedbuilding.Allboringswereadvancedwithatruck-mounteddrillingrig,utilizing4-inchdiametersolidstemaugers.Theboringswerelocatedinthefieldbymeasurementswithamechanicalsurveyingwheelusingpropertyboundariesand/orexistingsitefeaturesasareference.Rightanglesforlocatingtheboringswereestimated.Approximategroundsurfaceelevationsateachboringlocationwereobtainedbymeasurementswithanengineer’slevelandrodfromatemporarybenchmark(TBM)shownontheBoringLocationDiagram.Theaccuracyofboringlocationsandelevationsshouldonlybeassumedtothelevelimpliedbythemethodsused.Ageotechnicalengineerrecordedlithologiclogsofeachboringduringthedrillingoperations.Atselectedintervals,samplesofthesubsurfacematerialsweretakenbydrivingCaliforniabarrelorsplit-spoonsamplers.PenetrationresistancemeasurementswereobtainedbydrivingtheCaliforniabarrelorsplit-spoonintothesubsurfacematerialswitha140-poundhammerfalling30inches.Thepenetrationresistancevalueisausefulindexinestimatingtheconsistency,relativedensityorhardnessofthematerialsencountered.In2 CProposedStanleyParkMuIi-UseFacility7h!rraconN.SaintVramAvenueand4’StreetTownofEstesPark,LarirnerCounty,ColoradoTerraconProjectNo.22075150addition,groundwaterlevelswererecordedineachboringatthetimeofsiteexploration,andabout24hourslater.LaboratoryTesting:SamplesretrievedduringthefieldexplorationwerereturnedtothelaboratorytotobservationbytheprojectgeotechnicalengineerandwerevisuallyclassifiedingeneralaccordancewiththeUnifiedSoilClassificationSystemdescribedinAppendixC.SamplesofbedrockwereclassifiedingeneralaccordancewiththenotesforRockClassification.Atthattime,anapplicablelaboratorytestingprogramwasformulatedtodeterminephysicaland/orengineeringpropertiesofthesubsurfacematerialsandthenthefielddescriptionswereconfirmedormodifiedasnecessary.BoringlogswerepreparedandarepresentedinAppendixA.LaboratorytestswereconductedonselectedsamplesandarepresentedinAppendixB.Thetestresultswereusedforthegeotechnicalengineeringanalyses,andthedevelopmentoffoundationandearthworkrecommendations.Laboratorytestswereperformedingeneralaccordancewithapplicablelocalstandardsorotheracceptedstandards.Selectedsoil/bedrocksamplesweretestedforthefollowingengineeringproperties:•WaterContent•GrainSizeDistribution•WaterSolubleSulfateContent•PlasticityIndexSITECONDITIONSTheprojectsiteislocatedonthewestendofStanleyParkFairgroundsneartheintersectionofNorthCourtand4thStreetintheTownofEstesPark,Colorado.Ingeneral,residentialdevelopmentbordersthewestsideofthesite,whilecommercialbuildingsaresituatedtothesouth.Severalexistingmetalbuildingsassociatedwiththefairgroundsarelocatedtotheeastoftheprojectarea.LakeEstesislocatedtothenorthandeastofthefairgroundsfacility.Thegroundsurfaceintheareaoftheproposedconstructionisrelativelyuniformwithagentleslopedownwardtothenorthandnortheast.Amaximumdifferenceinelevationofabout51%feetwasmeasuredacrossthelocationofourtestborings.Surfaceslopesintheareaoftheproposedbuildingareestimatedtobeontheorderofabout11%to2percent.Little,ifany,vegetationwaspresentonthesite.30 ProposedStanleyParkMulti-UseFacilityirerraconN.SaintVramAvenueand4aStreetTownofEstesPark,LarimerCounty,ColoradoTerraconProjectNo.22075150SUBSURFACECONDITIONSSoilandBedrockConditions:Ingeneral,subsurfaceconditionsencounteredinourtestboringsconsistedofathinlayerofapparentfillcomprisedofsiltytoclayeysandwithvaryingamountsofgraveloverlyingabout1Y2to3.4feetofhighlyweatheredgraniteorgraniticsoil.Granitebedrockwasencounteredinalloftheboringsatdepthsofabout2to4feetbelowthegroundsurfaceandextendedtothebottomoftheboring.Foramoredetaileddescriptionofthesubsurfaceconditions,pleaserefertotheindividualboringlogs.FieldandLaboratoryTestResults:Fieldpenetrationtestresultsindicatethatthehighlyweatheredgranite/graniticsoilisgenerallydensetoverydenseintermsofrelativedensity.Thegranitebedrockvariesfromweatheredtoveryhard,withhardnessgenerallyincreasingwithdepth.Borings4,5and6encountereddrillrigaugerrefusalingranitebedrockatdepthsofabout12%to13feetbelowthegroundsurface.Penetrationresistancevaluesindicatethatthesoils/bedrockonthesitehavemoderatetohighloadbearingcapacity.Drivesamplesoraugercuttingsfromtheapproximateupper5feetofthesoil/bedrockprofileweretestedforgrainsizedistributionandplasticitycharacteristics.Resultsofthesetestsindicatethatthesamplestestedcontainedabout10to16percentsiltandclaysizematerial(materialpassingtheNo.200sieve),52to75percentsandsizematerial(#4to#200sieve)and9to38percentgravelsizematerial(3-inchto#4sieve).Atterberglimittestingindicatesthattheportionofthesamplesfinerthanthe#40sieveisnon-plasticorhaslowplasticity.Indexpropertytestsandoutexperienceintheareasuggestthatthesoils/bedrockonthesitearetypicallynon-expansivewhenwetted.GroundwaterConditions:Groundwaterwasmeasuredintheboringsimmediatelyaftercompletionofdrillingatdepthsofabout6to12feetbelowthegroundsurface.Whencheckedonedaylater,waterwasmeasuredinalloftheboringsatdepthsrangingbetween5%to9%feet.Itisbelievedthatthewaterispresentwithinfracturesorfissureswithinthebedrock,Theseobservationsrepresentshort-termgroundwaterconditionsatthetimeofthefieldexploration,andmaynotbeindicativeofothertimes,oratotherlocations.Groundwaterlevelscanbeexpectedtochangewithvaryingseasonalandweatherconditions,irrigationdemandsonoradjacenttothesiteandfluctuationsinadjacentwaterfeatures.Fluctuationsingroundwaterlevelscanbestbedeterminedbyimplementationofagroundwatermonitoringplan.Suchaplanwouldincludeinstallationofgroundwater4 ProposedStanleyParkMulti-UsaFacilityJterticonN.SaintVramAvenueand4thStreetTownofEstesPerk,LarimerCounty,ColoradoTerraconProjectNo.22075150monitoringwells,andperiod[cmeasurementofgroundwaterlevelsoverasufficientperiodoftime.ENGINEERINGRECOMMENDATIONSGeotechnicalConsiderations:Basedonthegeotechnicalconditionsencounteredinourtestborings,thesiteappearssuitablefortheproposedconstructionprovideddesignandconstructionrecommendationsoutlinedinthisreportarefollowed.Waterwasmeasuredinthetestboringsatdepthsrangingfromabout54to94feetbelowtheexistinggroundsurface.Basedontheanticipatedfloorslabelevation,itappearsthatthefloorwillbelocatedascloseas4Y2to5Y2feettothewater,butforthemostpart,thefloorwillbe6to7feetorgreaterabovethemeasuredwaterlevel.Fromageotechnicalstandpoint,webelievethatthisoffsetisadequateandcanalsoaccommodatesomefluctuationinthelevelofwater.Groundwaterconditionsshouldbeevaluatedpriortoorattheonsetofconstruction.Ifwaterconditionsdiffersignificantlyfromthosepresentedinthisreport,supplementalrecommendationswillberequired.Thesemayincludetheprovisionofasubsurfacedrainsystem.()Weanticipatethatnon-expansivesoils/bedrockortestedandapprovedengineeredfillwillsupportshallowfoundationsonthesite.Consideringthesizeandtypeofconstructionplannedandthesubsurfaceconditionsencounteredinourtestborings,webelievetheproposedbuildingcanbesupportedonconventionalspreadfootings.However,looseordisturbedsoils/bedrockcouldbeencounteredatfoundationbearingdepthandtheseconditions(ifpresent)mayrequiresomecorrectiveworkpriortoformingandpouringfootings.Indexpropertytestsandourexperienceintheareasuggestthatthesoils/bedrockonthesitearetypicallynon-expansive.Basedonthisdata,webelieveslabs-on-gradecanbesupportedonthesitesoils/bedrockorengineeredfilltestedandapprovedbyouroffice.Theownershouldrecognizethatfloorslabsconstructedonthesitecouldexperiencesomedifferentialmovementand/orcrackingundernormalloads,shouldtheunderlyingsoilsbecomewettedorduetotheaffectsofconcreteshrinkage.Recommendationsforthedesignandconstructionoffoundationsandthesupportoffloorslabsarediscussedinthefollowingparagraphs.50 0ProposedStanteyParkMulti-UseFacilityJterracanN.SaintVramAvenueand4thStreetTownofEstesPark,LatimerCounty,ColoradoTerraconProjectNo.22075150filldepthsexceedabout5feet,weshouldbecontactedtodeterminewhethermodificationstothefillplacementandcompactioncriteriaareneeded.ExcavationandTrenchConstruction;Basedonthetypeofconstructionplannedforthisprojectwedonotexpectexcavationstoexceedabout5feetindepth.Excavationsonthesitewilllikelyencounterhighlyweatheredgranite/graniticsoilandweatheredtoveryhardgranitebedrock.Itisanticipatedthatshallowexcavationscanbeaccomplishedwithconventionalearthmovingequipmentand/orappropriatesizedtrackhoes.However,deeperexcavationspenetratingthecompetentgranitebedrockmayrequiretheuseofpneumatichammersorotherspecializedheavy-dutyequipment,togetherwithdrillingandblasting(ifallowed)toadvancetheexcavation.Careshouldbetakentoavoidexcessivesoildisturbanceand/oroverbreakageofthebedrockrequiringareductioninfoundationdesignparameters.Considerationshouldbegiventoobtainingaunitpricefordifficultexcavationinthecontractdocumentsfortheproject.Groundwaterseepageintoexcavationsisnotexpectedforexcavationshallowerthanabout5to7feetbelowcurrentsitegrades.However,ifseepageoccursorrainorsnow-meltwaterdevelops,itshouldberemovedassoonaspossible.Controlofwaterintheexcavation(ifany)shouldbefeasiblewithsumppitsandpumps.Theindividualcontractor(s)shouldbemaderesponsiblefordesigningandconstructingstable,temporaryexcavationsasrequitedtomaintainstabilityoftheexcavationsidesandbottomaswellasanyadjacentstructures.Excavationsshouldbeslopedorshoredintheinterestofsafetyfollowinglocalandfederalregulations,includingcurrentOSHAexcavationandtrenchsafetystandards.Asasafetymeasure,itisrecommendedthatvehiclesandsoilpilesbekepttoaminimumlateraldistancefromthecrestoftheslopeequattonolessthantheslopeheight.Theexposedslopefaceshouldbeprotectedagainsttheelements.Thesoilstobepenetratedbytheproposedexcavationsmayvarysignificantlyacrossthesite.Thepreliminarysoilclassificationsarebasedsolelyonthematerialsencounteredinwidelyspacedexploratorytestborings.Thecontractorshouldverifythatsimilarconditionsexistthroughouttheproposedareaofexcavation.Itdifferentsubsurfaceconditionsareencounteredatthetimeofconstruction,theactualconditionsshouldbeevaluatedtodetermineanyexcavationmodificationsnecessarytomaintainsafeconditions.110 0ProposedStanleyParkMulti-UseFacilityIrerraconN.SaintVramAvenueand4thStreetTownofstesPark,LarimerCounty,ColoradoTerraconProjectNo.22075150Maintenanceofsurfacedrainageisimportantsubsequenttoconstructionandbecomestheresponsibilityoftheowner.Infiltrationofwaterintoutilityorfoundationexcavationsmustbepreventedduringandafterconstruction.Landscapedirrigationadjacenttothefoundationsystemshouldbeminimized.Exposedgroundshouldbeslopedatapproximately5percentgradeforatleast10feetbeyondtheperimeterofthebuilding,wherepractical.Thegroundsurfaceshouldbeslopedinsuchamannerthatwaterwillnotpondbetweenoradjacenttoflatwork,pavementsorstructures.Backfillagainstfootings,exteriorwallsandinutilityandsprinklerlinetrenchesshouldbewellcompactedandfreeofconstructiondebristoreducemoistureinfiltration.PlanterslocatedadjacenttoThestructureshouldpreferablybeself-contained.Sprinklermainsandsprayheadsshouldnotbeinstalledorallowedtodischargewithin5feetoffoundationwalls.Roofdrainsshoulddischargeonflatworkorpavementsorbeextendedawayfromthestructureaminimumof5feetthroughtheuseofsplashblocksordownspoutextensions.GENERALCOMMENTSTerraconshouldberetainedtoreviewthefinaldesignplansandspecificationssocommentscanbemaderegardinginterpretationandimplementationofourgeotechnicalrecommendationsinthedesignandspecifications.Terraconalsoshouldberetainedtoprovideobservationandtestingservicesduringgrading,excavation,foundationconstructionandotherearth-relatedconstructionphasesoftheproject.Theanalysisandrecommendationspresentedinthisreportarebaseduponthedataobtainedfromtheboringsperformedattheindicatedlocationsandtramotherinformationdiscussedinthisreport.Thisreportdoesnotreflectvariationsthatmayoccurbetweenborings,acrossthesite,orduetothemodifyingeffectsofweather.Thenatureandextentofsuchvariationsmaynotbecomeevidentuntilduringorafterconstruction.Ifvariationsappear,weshouldbeimmediatetynotifiedsothatfurtherevaluationandsupplementalrecommendationscanbeprovided.Thescopeofservicesforthisprojectdoesnotincludeeitherspecificallyorbyimplicationanyenvironmentalorbiological(e.g.,mold,fungi,bacteria)assessmentofthesiteoridentificationorpreventionofpollutants,hazardousmaterialsorconditions.Iftheownerisconcernedaboutthepotentialforsuchcontaminationorpollution,otherstudiesshouldbeundertaken.130
