THIS IS TO CERTIFY That we have examined a certified copy
of the record of the proceedings of the Board of Trustees of the
Town of Estes Park,Larimer County,Colorado,taken preliminary to
the issuance by said Town of its
General Obligation Water Bonds in the principal
amount of $600,000:
Dated July 1,1971:
Consisting of 120 bonds in the denomination of
$5,000 each,numbered 1 to 120,inclusive.
Bearing interest payable January 1,1972,and semi
annually thereafter on the 1st day of January and
the 1st day of July each year,and maturing on
July 1,as follows:
Bonds of this issue maturing in the years 1980 and
thereafter being callable for redemption prior to
maturity at the option of the Town on July 1,1979,
and on any interest payment date thereafter in in
verse numerical order,at par and accrued interest.
Principal and interest payable at the office of the
Town Treasurer,in Estes Park,Colorado.

We have also examined Bond No.1 of said issue and have
found the same duly executed and in full conformity with law.
It is our opinion that such proceedings show lawful au
thority for said issue of bonds under the laws of the State of
Colorado now in force;that said bonds are valid and legally
binding on said Town;and that all of the taxable property there
in is subject to the levy of a tax to pay the same without limit
of rate or amount.
It is further our opinion that the interest on said bonds
is exempt from taxation by the United States of America under
present Federal Income Tax Laws.
