RESOLUTION24-21ARESOLUTIONDECLARINGTHETOWN’SINTENTTOACQUIREAND/ORSECURECERTAINREALPROPERTYFORIMPROVEMENTSTOTHETOWN’SWATERSYSTEMANDAUTHORIZINGNEGOTIATIONS,PURCHASE,QUIETTITLE,ANDTHEEXERCISEOFTHETOWN’SPOWERSOFEMINENTDOMAININCONNECTIONTHEREWITHWHEREAS,theTownplanstoengageinapublicimprovementprojectandneedstosecurepossessionofandtitletopermanentandtemporaryeasementson,inandacrosscertainparcelsoflandinLarimerCounty,ColoradoforimprovementstotheTown’swatersystem,includingwithoutlimitationtheconstruction,installation,operation,maintenance,repairanduseofawatertank,waterlines,anassociatedaccessroadandotherancillaryimprovementsandfacilities(the“Project”)uponrealpropertygenerallydescribedontherealpropertydescribedontheattachedExhibitsA,BandC(the“Property”);andWHEREAS,thePropertytobeacquiredbytheTownispartofthreeparcelsoflanddescribedasfollows:i)Lot37ofareplatofVennerRanchEstates(2nd)recordedonJune26,1969atReceptionNo.966226inLarimerCounty,Colorado;ii)Lot38ofareplatofVennerRanchEstates(2)recordedonJune26,1969atReceptionNo.966226inLarimerCounty,Colorado,aportionofwhichisencumberedbyaDeedofConservationEasementdatedNovember28,2014andrecordedonDecember4,2014atReceptionNo.20140070350(the“ConservationEasement”);andiii)aportionoftheNW1/4ofSection36,Township5North,Range73Westofthe6thPrincipalMeridian,LarimerCounty,Colorado(AssessorParcelID#:3536000006);andWHEREAS,theTownhasdeterminedthattheacquisitionofthePropertyisnecessarytoimprovecurrentwaterserviceprovidedtotheTown’scustomersandresidentsthroughthecompletionoftheProject;andWHEREAS,theimprovementsrequireadditionallandrightstoaccommodatetheProject;andWHEREAS,theTownhasdeterminedthatthereisacompellingpublicneedandpurposefortheProject;andWHEREAS,inordertocompletetheProject,Towndesirestoaccomplishthefollowing: A.DeclaretheTown’sintenttoacquirethePropertyforpublicpurposesnecessaryfortheProject,freeandclearoftheConservationEasementandanyotherencumbrancesthatarenotconsistentwiththeTown’sProjectandotherobjectives;B.AuthorizenegotiationsforandacquisitionofthePropertyasmaybenecessaryfortheProject;andC.AuthorizetheTownAdministratorandTownAttorneyandtheirdesignees,inconsultationwiththeTown’soutsidespecialcondemnationcounsel,toinstituteandprosecutetocompletioncondemnationand/orquiettitleproceedingstoacquirethePropertynecessaryfortheProject,intheeventthattheTownisunabletoacquireorsecurethePropertyvoluntarily.NOW,THEREFORE,BEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADO:Section1:TheBoardofTrusteesherebymakesandadoptsthedeterminationsandfindingscontainedintherecitalssetforthabove.Section2:TheBoardofTrusteesoftheTownofEstesParkherebyfindsanddeterminesthattheProjectisapublicuseandwillserveapublicpurpose.TheBoardalsofindsanddeterminesthatthereisaneedandnecessityfortheTowntoacquireimmediatepossessionofandtoobtainandsecuretitletothePropertyinfurtheranceoftheProject.Section3:PursuanttoC.R.S.§31-35-402(1)(a),38-6-101,38-6-122,38-30.5-107and/orotherauthorities,theBoardherebyauthorizestheTownAdministratorandtheTownAttorney,inconsultationwiththeTown’soutsidespecialcondemnationcounsel,totakenecessaryandappropriateactiontoacquirethePropertyneeded,includinggoodfaithnegotiations,acquisition,quietingtitleandifnecessary,filingapetitionincondemnationtoacquirethePropertythroughtheexerciseoftheTown’seminentdomainauthority.TheBoardfurtherauthorizestheTownAdministratorandtheTownAttorney,inconsultationwiththeTown’soutsidespecialcondemnationcounsel,toseekandobtainimmediatepossessionoftheProperty.TheTownAdministratorandtheTownAttorneyareauthorizedtoretain,onbehalfoftheTown,appraisersandotherappropriateconsultantsandexpertwitnessesinconnectionwithsuchefforts.Inthisresolution,“TownAdministrator”shallincludeanydesigneeoftheTownAdministratorforsuchdesignatedpurposes.Section4:TheTownAdministrator,inconsultationwiththeTownAttorneyandtheTown’soutsidespecialcondemnationcounsel,isauthorizedtoestablishareasonableamountofcompensationtobeofferedtotheowner(s)ofthePropertythatisreflectiveoftheProperty’sfairmarketvalueandtoincurreasonabletransactionalcostsandexpensesassociatedtherewith. Section5:Asappropriateandnecessary,theTownAdministratorisdirectedtoundertakegoodfaithnegotiationswiththePropertyowner(s)foracquisitionofthePropertyonthebasisoffairandreasonablevalue.Negotiationsmaybebaseduponappraisalreportsand/orothervaluationandotherinformationwhichhasbeenapprovedbytheTownAdministrator.TheTownAdministratorisherebyauthorizedtomakebindingofferstotheownersofthePropertybaseduponappraisalreportsand/orvaluationinformation,andtoexecuteagreementsfortheacquisition,quiettitleand/orpossessionoftheProperty.ShouldnegotiationsforthevoluntaryacquisitionofthePropertyfailtoachieveavoluntaryacquisitionoftheProperty,theTown’soutsidespecialcondemnationcounselisauthorizedtoinstituteeminentdomainproceedingsandprosecutethesametocompletionsoastoacquireimmediatepossessionof,andgoodtitletotheProperty.Section6:TheBoardofTrusteesfindsanddeterminesitisnecessaryandintheinterestofthepublic’shealth,safetyandwelfareforittoacquireand/orsecuretitleto,assoonaspossible,theProperty,andtoextinguishtheConservationEasementandanyotherencumbrances,butonlytotheextenttheyencumberoraffectthePropertybeingacquiredbytheTown.TheBoardofTrusteesfurtherfindsanddeterminesthereisapublicneedandnecessityforobtainingimmediatepossessionoftheProperty.Section7:TheTownAdministratorshallbeauthorizedtoincurreasonablecostsassociatedwithacquiringtheProperty,including,withoutlimitation,thecostoftitleexamination,titleinsurance,appraisalfeepaymentsforboththeTownandthePropertyowners,normalclosingcosts,litigationcosts,suchasattorneyfees,filingfeesandcharges,expertwitnessfees,andallotherrelatedorincidentalcostsorexpensescustomarilyassociatewiththequiettitle,acquisition,and/orcondemnationoftheProperty.Section8:TheTownAdministrator,inconsultationwiththeTown’soutsidespecialcondemnationcounsel,isauthorizedtoprovidelegaldescriptionsandtermsandconditionsofeasementsashemaydeterminetobeappropriate,andisfurtherauthorizedtohereafteramend,adjust,orclarifythePropertyandtheextentornatureoftheintereststobeacquiredsothattheTownmayacquireallpropertyinterestsnecessaryfortheProject.Section9:Ifnegotiationsarenotsuccessful,theBoardofTrusteesherebyauthorizestheTown’soutsidespecialcondemnationcounseltoinitiatequiettitleand/oreminentdomainproceedingsinLarimerCountyDistrictCourt,toperfectserviceonthepurportedownersoftheProperty,bypublicationifnecessary,tomakesuchdepositsofcompensationintotheCourtRegistryasmaybeorderedbytheCourt,andtotakesuchotheractionsthatarereasonablynecessaryfortheTowntoacquiretitletoandimmediatepossessionofallremaininginterestsownedbyothers,ifany,intheentiretyoftheProperty.
