13-140RESOLUTION#13-14WHEREAS,theTownofEstesParkhasbeenawardedtwograntprogramsbytheStateofColoradoforpartialfundingoftheconstructionoftheEstesParkTransitFacilityParkingStructure(the‘Project”);andWHEREAS,thetwograntprogramsaretheCongestionMitigationAirQuality(CMAQ)intheamountof$329,000andtheFundingAdvancementforSurfaceTransportationandEconomicRecovery(FASTER)intheamountof$400,000;andWHEREAS,theCMAQgrantrequiresa17.21%matchingshareoftheTown,andtheFASTERgrantrequiresa20%matchfromtheTown;andWHEREAS,theTownofEstesParkandtheStateofColoradothroughtheColoradoDepartmentofTransportationhavenegotiatedanIntergovernmentalAgreement(the“IGA”)forthepurposeofusebytheTownofthegrantfundsfromtheState,whichalongwithTownfundsandotherfederalgrantfunds,willbeusedforthedesignandconstructionoftheProject;andWHEREAS,receiptoffundsfromtheStateofColoradorequirestheTowntoapproveandexecutetheIGAandauthorizetheexpenditureoftheTown’smatchingshareofthetwoStategrantsfortheProject;andWHEREAS,sufficientfundshavebeenpreviouslyappropriatedbytheTowninthe2014TownBudgetfortheTown’smatchingshareofthetwoStategrantsfortheProject.NOW,THEREFORE,BASEDUPONTHERECITALSSETFORTHABOVEWHICHAREINCORPORATEDHEREINBYREFERENCE,BEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADOASFOLLOWS:1.TheIntergovernmentalAgreement(“IGA”)attachedheretoasExhibitAandincorporatedhereinbyreferencewhichprovidesforthefundingbytheStateofColoradooftheCongestionMitigationAirQuality(CMAQ)fundsandtheFundingAdvancementforSurfaceTransportationandEconomicRecovery(FASTER)fundsfortheuseandbenefitoftheTownofEstesParkfortheEstesParkTransitFacilityParkingStructure(the“Project”)isapproved.2.TheMayorandTownClerkareherebyauthorizedtoexecutetheIGA.3.Thefundsappropriatedinthe2014TownBudgetforthematchingshareofthecostoftheProjectareherebyauthorizedtobeexpendedpursuanttothetermsandconditionsoftheIGA.DatedthiscIcU-jc,201ATTEST:Clerk 00(4)LocalAgency(andanyConsultant)shallcomplywith23C.F.R.172.5(b)and(d)andusetheCDOTproceduresdescribedinExhibitHtoadministertheConsultantcontract.(5)LocalAgencymayexpediteanyCDOTapprovalofitsprocurementprocessand/orConsultantcontractbysubmittingalettertoCDOTfromtheLocalAgency’sattorney/authorizedrepresentativecertifyingcompliancewithExhibitHand23C.F.R.172.5(b)and(U).(6)LocalAgencyshallensurethattheConsultantcontractcomplieswiththerequirementsof49CFR18.36(i)andcontainsthefollowinglanguageverbatim:(a)ThedesignworkunderthisAgreementshallbecompatiblewiththerequirementsofthecontractbetweentheLocalAgencyandtheState(whichisincorporatedhereinbythisreference)forthedesign/constructionoftheproject.TheStateisanintendedthird-partybeneficiaryofthisagreementforthatpurpose.(b)Uponadvertisementoftheprojectworkforconstruction,theconsultantshallmakeavailableservicesasrequestedbytheStatetoassisttheStateintheevaluationofconstructionandtheresolutionofconstructionproblemsthatmayariseduringtheconstructionoftheproject.(c)TheconsultantshallreviewtheConstructionContractor’sshopdrawingsforconformancewiththecontractdocumentsandcompliancewiththeprovisionsoftheState’spublication,StandardSlecificationsforRoadandBridgeConstruction,inconnectionwiththiswork.d)TheState,initssolediscretion,mayreviewconstructionplans,specialprovisionsandestimatesandmayrequiretheLocalAgencytomakesuchchangesthereinastheStatedeterminesnecessarytocomplywithStateandFHWArequirements.iii.ConstructionIftheWorkincludesconstruction,theLocalAgencyshallperformtheconstructioninaccordancewiththeapproveddesignplansand/oradministertheconstructioninaccordancewithExhibitE.SuchadministrationshallincludeWorkinspectionandtesting;approvingsourcesofmaterials;performingrequiredplantandshopinspections;documentationofcontractpayments,testingandinspectionactivities;preparingandapprovingpayestimates;preparing,approvingandsecuringthefundingforcontractmodificationordersandminorcontractrevisions;processingConstructionContractorclaims;constructionsupervision;andmeetingtheQualityControlrequirementsoftheFHWNCDOTStewardshipAgreement,asdescribedintheLocalAgencyContractAdministrationChecklist.a)IftheLocalAgencyisperformingtheWork,theStatemay,afterprovidingwrittennoticeofthereasonforthesuspensiontotheLocalAgency,suspendtheWork,whollyorinpart,duetothefailureoftheLocalAgencyoritsContractortocorrectconditionswhichareunsafeforworkersorforsuchperiodsastheStatemaydeemnecessaryduetounsuitableweather,orforconditionsconsideredunsuitablefortheprosecutionoftheWork,orforanyotherconditionorreasondeemedbytheStatetobeinthepublicinterest.b)TheLocalAgencyshallberesponsibleforthefollowing:(1)Appointingaqualifiedprofessionalengineer,licensedintheStateofColorado,astheLocalAgencyProjectEngineer(LAPE),toperformengineeringadministration.TheLAPEshalladministertheWorkinaccordancewiththisAgreement,therequirementsoftheconstructioncontractandapplicableStateprocedures.(2)FortheconstructionoftheWork,advertisingthecallforbidsuponapprovalbytheStateandawardingtheconstructioncontract(s)tothelowresponsiblebidder(s).Page5of24 caProgramsasamended(49C.RR.Part24),CDOT’sRightofWayManual,andCDOT’sPolicyandProceduralDirectives.c)TheParties’respectivecomplianceresponsibilitiesdependontheleveloffederalparticipation;providedhowever,thattheStatealwaysretainsOversightresponsibilities.d)TheParties’respectiveresponsibilitiesundereachlevelinCDOT’sRightofWayManual(locatedathttp://www.dot.state.co.us/ROW_Manual/)andreimbursementforthelevelswillbeunderthefollowingcategories:(1)Rightofwayacquisition(3111)forfederalparticipationandnon-participation;(2)Relocationactivities,ifapplicable(3109);(3)Rightofwayincidentals,ifapplicable(expensesincidentaltoacquisition/relocationofrightofway—3114).G.UtilitiesIfnecessary,theLocalAgencyshallberesponsibleforobtainingtheproperclearanceorapprovalfromanyutilitycompanywhichmaybecomeinvolvedintheWork.PriortotheWorkbeingadvertisedforbids,theLocalAgencyshallcertifyinwritingtotheStatethatallsuchclearanceshavebeenobtained.a)RailroadsIftheWorkinvolvesmodificationofarailroadcompany’sfacilitiesandsuchmodificationwillbeaccomplishedbytherailroadcompany,theLocalAgencyshallmaketimelyapplicationtothePublicUtilitiescommissionrequestingitsorderprovidingfortheinstallationoftheproposedimprovementsandnotproceedwiththatpartoftheWorkwithoutcompliance.TheLocalAgencyshallalsoestablishcontactwiththerailroadcompanyinvolvedforthepurposeofcomplyingwithapplicableprovisionsof23C.F.R.646,subpartB,concerningfederal-aidprojectsinvolvingrailroadfacilitiesand:b)Executeanagreementsettingoutwhatworkistobeaccomplishedandthelocation(s)thereof,andwhichcostsshallbeeligibleforfederalparticipation.c)Obtaintherailroad’sdetailedestimateofthecostoftheWork.d)Establishfuturemaintenanceresponsibilitiesfortheproposedinstallation.e)Proscribefutureuseordispositionsoftheproposedimprovementsintheeventofabandonmentoreliminationofagradecrossing.f)Establishfuturerepairand/orreplacementresponsibilitiesintheeventofaccidentaldestructionordamagetotheinstallation.H.EnvironmentalObligationsTheLocalAgencyshallperformallWorkinaccordancewiththerequirementsofthecurrentfederalandstateenvironmentalregulationsincludingtheNationalEnvironmentalPolicyActof1969(NEPA)asapplicable.I.MaintenanceObligationsTheLocalAgencyshallmaintainandoperatetheWorkconstructedunderthisAgreementatitsowncostandexpenseduringtheirusefullife,inamannersatisfactorytotheStateandFHWA,andtheLocalAgencyshallprovideforsuchmaintenanceandoperationsobligationseachyear.Suchmaintenanceandoperationsshallbeconductedinaccordancewithallapplicablestatutes,ordinancesandregulationspertainingtomaintainingsuchimprovements.TheStateandFHWAmaymakeperiodicinspectionstoverifythatsuchimprovementsarebeingadequatelymaintained.7.OPTIONLETTERMODIFICATIONAnoptionlettermaybeusedtoauthorizetheLocalAgencytobeginaphasewithoutincreasingtotalbudgetedfunds,increaseordecreasetheencumberanceamountasshownonExhibitC,and/ortranferfundsfromonephasetoanotherOptionlettermodificationislimitedtothespecificscenarioslistedbelow.TheoptionlettershallnotbedeemedvaliduntilsignedbytheStateControlleroranauthorizeddelegate.Page7of24 0B.Paymenti.Advance,InterimandFinalPaymentsAnyadvancepaymentallowedunderthisContractorinExhibitCshallcomplywithStateFiscalRulesandbemadeinaccordancewiththeprovisionsofthisContractorsuchExhibit.TheLocalAgencyshallinitiateanypaymentrequestsbysubmittinginvoicestotheStateintheformandmanner,approvedbytheState.ii.InterestTheStateshallfullypayeachinvoicewithin45daysofreceiptthereofiftheamountinvoicedrepresentsperformancebytheLocalAgencypreviouslyacceptedbytheState.UncontestedamountsnotpaidbytheStatewithin45daysshallbearinterestontheunpaidbalancebeginningonthe46thdayataratenottoexceedonepercentpermonthuntilpaidinfull;provided,however,thatinterestshallnotaccrueonunpaidamountsthataresubjecttoagoodfaithdispute.TheLocalAgencyshallinvoicetheStateseparatelyforaccruedinterestondelinquentamounts.Thebillingshallreferencethedelinquentpayment,thenumberofdaysinteresttobepaidandtheinterestrate.iii.AvailableFunds-Contingency-TerminationTheStateisprohibitedbylawfrommakingcommitmentsbeyondthetermoftheState’scurrentfiscalyear.Therefore,theLocalAgency’scompensationbeyondtheState’scurrentFiscalYeariscontingentuponthecontinuingavailabilityofStateappropriationsasprovidedintheColoradoSpecialProvisions.TheState’sperformancehereunderisalsocontingentuponthecontinuingavailabilityoffederalfunds.PaymentspursuanttothisContractshallbemadeonlyfromavailablefundsencumberedforthisContractandtheState’sliabilityforsuchpaymentsshallbelimitedtotheamountremainingofsuchencumberedfunds.IfStateorfederalfundsarenotappropriated,orotherwisebecomeunavailabletofundthisContract,theStatemayterminatethisContractimmediately,inwholeorinpart,withoutfurtherliabilityinaccordancewiththeprovisionshereof.iv.ErroneousPaymentsAttheState’ssolediscretion,paymentsmadetotheLocalAgencyinerrorforanyreason,including,butnotlimitedtooverpaymentsorimproperpayments,andunexpendedorexcessfundsreceivedbytheLocalAgency,mayberecoveredfromtheLocalAgencybydeductionfromsubsequentpaymentsunderthisContractorothercontracts,AgreementsoragreementsbetweentheStateandtheLocalAgencyorbyotherappropriatemethodsandcollectedasadebtduetotheState.SuchfundsshallnotbepaidtoanypartyotherthantheState.C.UseofFundsContractFundsshallbeusedonlyforeligiblecostsidentifiedherein.D.MatchingFundsTheLocalAgencyshallprovidematchingfundsasprovidedin§8.A.andExhibitC.TheLocalAgencyshallhaveraisedthefullamountofmatchingfundspriortotheEffectiveDateandshallreporttotheStateregardingthestatusofsuchfundsuponrequest.TheLocalAgency’sobligationtopayalloranypartofanymatchingfunds,whetherdirectorcontingent,onlyextendtofundsdulyandlawfullyappropriatedforthepurposesofthisAgreementbytheauthorizedrepresentativesoftheLocalAgencyandpaidintotheLocalAgency’streasury.TheLocalAgencyrepresentstotheStatethattheamountdesignated“LocalAgencyMatchingFunds”inExhibitChasbeenlegallyappropriatedforthepurposeofthisAgreementbyitsauthorizedrepresentativesandpaidintoitstreasury.TheLocalAgencydoesnotbythisAgreementirrevocablypledgepresentcashreservesforpaymentsinfuturefiscalyears,andthisAgreementisnotintendedtocreateamultiple-fiscalyeardebtoftheLocalAgency.TheLocalAgencyshallnotpayorbeliableforanyclaimedinterest,latecharges,fees,taxesorpenaltiesofanynature,exceptasrequiredbytheLocalAgency’slawsorpolicies.E.ReimbursementofLocalAgencyCostsTheStateshallreimbursetheLocalAgency’sallowablecosts,notexceedingthemaximumtotalamountdescribedinExhibitCand§8.Theapplicableprinciplesdescribedin49C.F.R.18Page9of24 Cpaymentwithin60days,itshallpayinteresttotheStateatarateofonepercentpermonthonthedelinquentamountsuntilthebillingispaidinfull.CDOT’sinvoicesshalldescribeindetailthereimbursablecostsincurred,thedatesincurredandtheamountsthereof,andshallnotbesubmittedmoreoftenthanmonthly.10.REPORTING-NOTIFICATIONReports,Evaluations,andReviewsrequiredunderthis§10shallbeinaccordancewiththeproceduresofandinsuchformasprescribedbytheStateandinaccordancewith§18,ifapplicable.A.Performance,Progress,Personnel,andFundsTheLocalAgencyshallsubmitareporttotheStateuponexpirationorsoonerterminationofthisAgreement,containinganEvaluationandReviewoftheLocalAgency’sperformanceandthefinalstatusoftheLocalAgency’sobligationshereunder.B.LitigationReportingWithin10daysafterbeingservedwithanypleadingrelatedtothisAgreement,inalegalactionfiledwithacourtoradministrativeagency,theLocalAgencyshallnotifytheStateofsuchactionanddelivercopiesofsuchpleadingstotheState’sprincipalrepresentativeasidentifiedherein.IftheStateoritsprincipalrepresentativeisnotthenserving,suchnoticeandcopiesshallbedeliveredtotheExecutiveDirectorofCDOT.C.NoncomplianceTheLocalAgency’sfailuretoprovidereportsandnotifytheStateinatimelymannerinaccordancewiththis§10mayresultinthedelayofpaymentoffundsand/orterminationasprovidedunderthisAgreement.0.DocumentsUponrequestbytheState,theLocalAgencyshallprovidetheState,oritsauthorizedrepresentative,copiesofalldocuments,includingcontractsandsubcontracts,initspossessionrelatedtotheWork.If.LOCALAGENCYRECORDSA.MaintenanceTheLocalAgencyshallmake,keep,maintain,andallowinspectionandmonitoringbytheStateofacompletefileofallrecords,documents,communications,notesandotherwrittenmaterials,electronicmediafiles,andcommunications,pertaininginanymannertotheWorkorthedeliveryofServices(including,butnotlimitedtotheoperationofprograms)orGoodshereunder.TheLocalAgencyshallmaintainsuchrecordsuntilthelasttooccurofthefollowing:(i)aperiodofthreeyearsafterthedatethisAgreementiscompletedorterminated,or(ii)threeyearsafterfinalpaymentismadehereunder,whicheverislater,or(iii)forsuchfurtherperiodasmaybenecessarytoresolveanypendingmatters,or(iv)ifanauditisoccurring,ortheLocalAgencyhasreceivednoticethatanauditispending,thenuntilsuchaudithasbeencompletedanditsfindingshavebeenresolved(collectively,the“RecordRetentionPeriod”).B.InspectionTheLocalAgencyshallpermittheState,thefederalgovernmentandanyotherdulyauthorizedagentofagovernmentalagencytoaudit,inspect,examine,excerpt,copyand/ortranscribetheLocalAgency’srecordsrelatedtothisAgreementduringtheRecordRetentionPeriodtoassurecompliancewiththetermshereofortoevaluatetheLocalAgency’sperformancehereunder.TheStatereservestherighttoinspecttheWorkatallreasonabletimesandplacesduringthetermofthisAgreement,includinganyextension.IftheWorkfailstoconformtotherequirementsofthisAgreement,theStatemayrequiretheLocalAgencypromptlytobringtheWorkintoconformitywithAgreementrequirements,attheLocalAgency’ssoleexpense.IftheWorkcannotbebroughtintoconformancebyre-performanceorothercorrectivemeasures,theStatemayrequiretheLocalAgencytotakenecessaryactiontoensurethatfutureperformanceconformstoAgreementrequirementsandmayexercisetheremediesavailableunderthisAgreementatlaworinequityinlieuoforinconjunctionwithsuchcorrectivemeasures.Page11of24 1.,’0ofaconflictofinterestexists,theLocalAgencyshallsubmittotheStateadisclosurestatementsettingforththerelevantdetailsfortheState’sconsideration.FailuretopromptlysubmitadisclosurestatementortofollowtheState’sdirectioninregardtotheapparentconflictconstitutesabreachofthisAgreement.14.REPRESENTATIONSANDWARRANTIESTheLocalAgencymakesthefollowingspecificrepresentationsandwarranties,eachofwhichwasreliedonbytheStateinenteringintothisAgreement.A.StandardandMannerofPerformanceTheLocalAgencyshallperformitsobligationshereunder,includinginaccordancewiththehighestprofessionalstandardofcare,skillanddiligenceandinthesequenceandmannersetforthinthisAgreement.B.LegalAuthority—TheLocalAgencyandtheLocalAgency’sSignatoryTheLocalAgencywarrantsthatitpossessesthelegalauthoritytoenterintothisAgreementandthatithastakenallactionsrequiredbyitsprocedures,by-laws,and/orapplicablelawstoexercisethatauthority,andtolawfullyauthorizeitsundersignedsignatorytoexecutethisAgreement,oranypartthereof,andtobindtheLocalAgencytoitsterms.IfrequestedbytheState,theLocalAgencyshallprovidetheStatewithproofoftheLocalAgency’sauthoritytoenterintothisAgreementwithin15daysofreceivingsuchrequest.C.Licenses,Permits,Etc.TheLocalAgencyrepresentsandwarrantsthatasoftheEffectiveDateithas,andthatatalltimesduringthetermhereofitshallhave,atitssoleexpense,alllicenses,certifications,approvals,insurance,permits,andotherauthorizationrequiredbylawtoperformitsobligationshereunder.TheLocalAgencywarrantsthatitshallmaintainallnecessarylicenses,certifications,approvals,insurance,permits,andotherauthorizationsrequitedtoproperlyperformthisAgreement,withoutreimbursementbytheStateorotheradjustmentinAgreementFunds.Additionally,allemployeesandagentsoftheLocalAgencyperformingServicesunderthisAgreementshallholdallrequitedlicensesorcertifications,ifany,toperformtheirresponsibilities.TheLocalAgency,ifaforeigncorporationorotherforeignentitytransactingbusinessintheStateofColorado,furtherwarrantsthatitcurrentlyhasobtainedandshallmaintainanyapplicablecertificateofauthoritytotransactbusinessintheStateofColoradoandhasdesignatedaregisteredagentinColoradotoacceptserviceofprocess.Anyrevocation,withdrawalornon-renewaloflicenses,certifications,approvals,insurance,permitsoranysuchsimilarrequirementsnecessaryfortheLocalAgencytoproperlyperformthetermsofthisAgreementshallbedeemedtobeamaterialbreachbytheLocalAgencyandconstitutegroundsforterminationofthisAgreement.15.INSURANCETheLocalAgencyanditscontractorsshallobtainandmaintaininsuranceasspecifiedinthissectionatalltimesduringthetermofthisAgreement:AllpoliciesevidencingtheinsurancecoveragerequitedhereundershallbeissuedbyinsurancecompaniessatisfactorytotheLocalAgencyandtheState.A.TheLocalAgencyi.PublicEntitiesIftheLocalAgencyisa“publicentity”withinthemeaningoftheColoradoGovernmentalImmunityAct,CRS§24-10-101,etseq.,asamended(the“GIA”),thentheLocalAgencyshallmaintainatalltimesduringthetermofthisAgreementsuchliabilityinsurance,bycommercialpolicyorself-insurance,asisnecessarytomeetitsliabilitiesundertheGIA.TheLocalAgencyshallshowproofofsuchinsurancesatisfactorytotheState,ifrequestedbytheState.TheLocalAgencyshallrequireeachAgreementwiththeirConsultantandContractor,thatareprovidingGoodsorServiceshereunder,toincludetheinsurancerequirementsnecessarytomeetConsultantorContractorliabilitiesundertheGIA.Page13of24
