HomeMy WebLinkAboutRESOLUTION 05-140RESOLUTIONNO.05-14WHEREAS,onJanuary6,2014,theTownBoardofTrusteesapprovedaContracttoBuyandSellRealEstateforthesaleofLot4,PlatofLots3,4,5,6,7,8and9,StanleyHistoricDistrictSubdivision,TownofEstesPark,StateofColorado;andWHEREAS,Section17.44.090oftheMunicipalCoderequiresasfollows:“BeforeanysaleofanypropertyownedbytheTownofEstesParkwithintheStanleyHistoricDistrict,thequestionofsuchsaleandthetermsandconsiderationthereofshallbesubmittedandapprovedataregularorspecialelection”andWHEREAS,theregularmunicipalelectionwillbeheldonApril1,2014.NOW,THEREFORE,BEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADO,asfollows:1.ThefollowingballotquestionshallbeplacedontheballotfortheregularmunicipalelectiononApril1,2014:BALLOTQUESTIONlBShalltheTownofEstesPark(“Town”)sellLot4,PlatofLots3through9,StanleyHistoricDistrictSubdivision,TownofEstesPark,Colorado(“Lot4”),toGrandHeritageHotelCompany,LLC(“Buyer”),pursuanttothetermsandconsiderationoftheContracttoBuyandSellRealEstatedatedJanuary10,2014(“Contract”),acompletecopyofwhichisonfilewiththeTownClerk.MajortermsandconsiderationoftheContractareasfollows:PurchasePrice:$1,650,000,payableasfollows:(1)$1,000,000byBuyeratclosingonthepurchaseofLot4(“Closing”);and(2)ExecutionofaPromissoryNotebytheBuyerintheamountof$650,000dueandpayabletwo(2)yearsafterClosingwithdefaultinterestof8%;and(3)$325,000ofthePromissoryNotewillbewaivedbytheTowniftheParkHospitalDistricthasbeenissuedabuildingpermitbytheTownforconstructionoftheEPMC/Anschutz C)WelinessTrainingCenterwithintwo(2)yearsofClosingonthatportionofLot4tobeleasedtotheParkHospitalDistrict(“LeaseArea”).DevelopmentofLot4:FollowingClosing,developmentofLot4islimitedto:(i)theEPMC/AnschutzWellnessTrainingCenter,togetherwithallusesancillarythereto;and(ii)anaccommodationsuse,togetherwithallusesancillarythereto,includingwithoutlimitation,staffphysicianlodgingfortheEPMC/AnschutzWelinessTrainingCenter(the“Project”).UseCovenant:Townshall,priortotherecordingofthespecialwarrantydeedconveyingLot4fromtheTowntoBuyer,recordaCovenantrestrictinguseoftheLeaseAreatoeithertheEPMC/AnschutzWellnessTrainingCenter,asdefinedinSection2(d)oftheContract,oropenspace.MiscellaneousTerms:ThereareadditionalmiscellaneoustermsintheContractincludingpaymentofearnestmoney,contingenciestoClosing(finalapprovalofProjectlanduseapplicationsandcertaincodeamendments),andtheexecutionofaleasewithParkHospitalDistrictfortheWeilnessCenter.____YESNODATEDthis11thdayofFebruary,2014.TOWNOFESTESPARKMayorATTEST:T6vnClerkU
