______CRESOLUTION30—90ARESOLUTIONOFTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADO,APPROVINGTHESALEOFPARCEL#3TOTHEESTESVALLEYMEMORIALGARDENS,INC.WHEREAS,theTownofEstesPark,hereinafterreferredtoas“theTown”andtheEstesValleyMemorialGardens,Inc.,hereinafterreferredtoas“theCemeteryCorporation”,enteredintoarealestatecontractdatedFebruary25,1986;andWHEREAS,saidrealestatecontractwasforthepurposeoftheCemeteryCorporationpurchasingfromtheTownsix(6)parcelsofrealpropertywhichweredescribedinsaidrealestatecontract;andWHEREAS,thecontractprovidedthattheapprovalofthepurchasewassubjecttotheapprovaloftheelectorsoftheTown,pursuanttotheprovisionsofSection31-15-713(1)(a)C.RS.;andWHEREAS,saidapprovalwasobtainedfromtheelectorsoftheTown;andWHEREAS,pursuanttothetermsandconditionsofsaidrealestatecontract,theCemeteryCorporationhasgiventheTownwrittennoticeofitsintenttoexerciseitsrighttopurchaseParcel#3,accordingtothetermsandconditionsofsaidrealestatecontract.NOWTHEREFOREBEITRESOLVEDBYTHEBOARDOFTRUSTEESOFTHETOWNOFESTESPARK,COLORADOTHAT:1.TheBoardofTrusteesoftheTownofEstesParkherebyauthorizetheTowntoconveytotheCemeteryCorporationbyWarrantyDeed,Parcel#3,asthesameparcelisdescribedintherealestatecontractdatedFebruary25,1986,acopyofwhichisattachedheretoandincorporatedhereinbyreferenceasExhibit“A11.2.TheappropriateofficialsoftheTownofEstesParkareauthorizedherebytoexecutesaidWarrantyDeedandanyotherdocumentsreasonablyrequiredtoclosethepurchaseofParcel#3,accordingtothetermsandconditionsoftheabovestatedrealestatecontract.INTRODUCED,READANDPASSEDTHIS//DAYOF____________1990.TOWNOFESTESPARKBy:_______MayorATTEST:TownClerk EXHTh.“A”REALESTATECONTRACTTHISAGREEMENTismadeandenteredintothis_______dayof______________1986,byandbetweenESTESVALLEYMEMORIALGARDENS,INC.,aNon-profitCemeteryCorporation,thereinafterknownas“FirstParty”)andtheTOWNOFESTESPARK,COLORADO,aMunicipalCorporation,(hereinafterknownas“SecondParty”),uponthefollowingtermsandconditions.WITNESSETH:1.LegalDescription:FirstPartyagreestopurchnndSecondPartyagreestoselltherealpropertymorefullydescribedonExhibit“A”attachedheretoandbyreferencemadeaparthereof.2.PaymentofPurchasePrice:Thepartiesagreethattheaforementionedrealpropertyshallbesoldinsix(6)parcels.Theparcelsshallbesoldconsecutively(1through6)asshownonExhibit“B”attachedhereto.Thepurchasepriceoftheparcelsshallbeasfollows:Parcel1:$23,369.00Parcel2:$20,097.00Parcel3:$17,284.00Parcel4:$14,864.00Parcel5:$12,783.00Parcel6:$11,603.00Firstpartyshallhavearighttopurchaseanynumberofsuccessiveparcelsatanytime,solongassaidpurchaseismadewithintwo(2)yearsofthedateofthelastparcelpurchased.Eachparcelshallbepurchasedwithintwo(2)yearsofthepurchaseofthepreviousparcel.IntheeventthatFirstPartydoesnotpurchaseasuccessiveparcelwithintwo(2)yearsofitslastparcelpurchase,allofitsrightandinterestunderthetermsofthisagreementtopurchaseanyfurtherparcelsshallthenterminate.FirstPartyagreestoescrowwithSecondPartyaQuitClaimDeedtoeachoftheparcelstobeusedbySecondPartytoterminateFirstParty’sinterestinanyparcelnotpurchasedunderthetermsofthisagreement. 0FirstPartyshallgiveSecondPartysixty(60)days’writtennoticeofanintenttopurchaseanysucceedingparcel.Thepurchasepriceofeachparcelshallbepayableincashorcertifiedfunds.IntheeventSecondPartypurchasesparcels1and2atthesametime,theoptiontopurchaseparcel3shallbeextendedtofour(4)yearsfromthedateofthepurchaseofparcels1and2.Inthatevent,theoptiontopurchaseparcels4,5and6shallremaintwo(2)yearperiodsasmorefullyetforthabove.3.MerchantableTitle!SecondPartyagreestoprovideFirstPartywithacurrentcommitmentforatitleinsurancepolicyinanamountequaltothepurchaseprice,showingtitletobemerchantableinFirstParty.SaidcommitmentshallbefurnishedtoFirstPartyatleastten(10)dayspriortoclosing.FirstPartyshallhavesaid10-dayperiodwithinwhichtoexaminethesameandmakeobjectionsthereto,ifany.Shouldtherebeobjections,SecondPartyshallhaveareasonabletimewithinwhichtoperfectthesame,includingsuchtimeasmightberequiredforaquiettitleaction.FirstPartyshallbereponsihleforpaymentofthepremiumforsaidpolicy.4.Survey:Uponexecutionofthisagreement,FirstPartyagreestohavetherealpropertysurveyed,includingasurveyofeachindividualparcel.FirstPartyshallprovideSecondPartywithsaidsurveypriortoclosingofthepurchaseofthefirstparcel.5.Closing:Closingshalltakeplacewithinthirty(30)daysofthefulfillingofallcontingenciessetforthinParagraph6ofthisagreement.6.Contingencies:ThisAgreementshallbecontingentuponthefollowing:A.FirstPartyshallreceiveapprovalofsaidpremisesasasiteforacemeteryfromallpublicboardsandagencieshavingauthorityinsuchmatters.FirstPartyshallreceiveapprovalofthesubdivisionoftheentireparcelintosix(6)parcelsfromallpublicboardsandagencieshavingauthorityinsuchmatters.—2— 0B.ThisAgreementshallreceiveapprovalbythevotersforthepurchaseofthesubjectpremisesundertheprovisionsofSection31—15—713(1)(a),CRS1973.IntheeventeitheroftheabovecontingenciesarenotfulfilledbyDecember31,1986,thisagreementshallbenullandvoidandofnofurtherforceandeffectunlesssaiddateisextendedbymutualagreementoftheparties.However,ifanypartyorentitycontestsincourttheapprovalofacemeteryand/orthesubdivisionoftheproperty,conteststheelection,and/orconteststheabilityofthepartiestoenterintothisagreement,orthecontentshereof,theclosingdateshallbeextendedtothirty(30)daysfollowingfinaldeterminationbythecourt,includinganyappellatecourts,ofsuchlitigation.7.Possession:PossessionofeachindividualparcelshallbedeliveredtoFirstPartyatclosingofeachindividualparcel.8.Conveyance:ConveyanceshallbebygoodandsufficientWarrantyDeed,conveyingthepropertyfreeandclearofallliensorencumbrances,SAVEANDEXCEPTforcurrenttaxes,ifany,easements,restrictions,reservationsandagreementsofrecord,andacovenantshallbeplaceduponthepropertybySecondPartyrestrictingtheuseofthepropertytothatofacemetery.9.Water:SecondPartyagreestoprovideFirstPartywithaneasementforawaterlineacrossanypropertyownedbySecondPartyforthepurposeofprovidingwatertothepremises,ifrequestedbyFirstParty.Ifsorequested,FirstPartyshallprovideSecondPartywithalegaldescriptionoftherequestedeasement.10.Default:TimeisoftheessenceofthisContract,andintheeventofanydefaultbyeitherpartyinthetermsandconditionshereto,thenon—defaultingpartyshallgivethedefaultingpartyten(10)days’noticeinwritingofsaiddefault.Ifsaiddefaultisnotcuredwithinsaid10—dayperiod,thisContractshallbedeemedtohavebeenterminatedforsaiddefaultandthenon—defaultingpartyshallbeentitledtoalldamagesincurredbyreasonofsaiddefault,includingallreasonableattorney’sfeesandcourtcosts.Intheevent,however,the—3— o0non—defaultingpartyelectstotreatthisContractasbeinginfullforceandeffect,thenon-defaultingpartyshallhavetherighttoanactionforspecificperformanceanddamages.11.Assignment:ThisContractshallbebindinguponandinuretothebenefitofthepartieshereto,theirrespectiveheirs,successorsandassigns,andshallnotbeassignedbyeitherofthepartieswithoutthewrittenconsentoftheotherparty.12.Covenants,Warranties,Representations:ThisContractconstitutestheentireagreementbetweentheparties.Allcovenants,warrantiesandrepresentationshereinshallsurvivetheclosingofeachparcel.INWITNESSWHEREOF,thepartieshaveexecutedthisContractthedayandyearfirstabovewritten.ESTESVALLEYMEMORIALGARDENS,INC.,aNon—ProfitCemeteryCorporationATTEST:,&ItsTOWNOFESTESPARK,COLORADO,aMunicipalCorporationMayorATTEST:TownClerk—4—
